WI�RFAS, the City of Saint P�ul, acting throu�h its Valuation
Engineer, ha.s secured an agreement for the purcha.se of the follcx�ring de-
scribed property:
Lots 5 and 6, Block 13, Terry's Addition
to the City of Saint Paul
WI�REAS, the property herein described is necessary for the expansion
of Fire Station No. 7 and was approved for acquisition on May 5, 1981 by
Council Resolution 276973• The price at which the property may be purchased
is in the amount of $37,000.00, it bein� a fair and reasonable price for the
sub�ect property according to the independent appraisal obtained by the
Valuation Engineer; and
WHEREAS, the Valua.tion Engineer has recom¢nended the purchase of said
property at the stated price; n�r, therefore be it
RESOLVID, that the Council of the City of St. Pau1 does hereby
authorize and direct the proper City officials to execute the said purchase
agreement for the said property; and lae it
FURTHER RESOLVED, that the proper City officials are hereby authorized
and directed to pay Haines Tree Service, record owner, the sum of $37,000.00,
the condition of said sale contained. in the Purchase Agreement; said Purchase
Agreeme�rt is attached hereto and incorpor�.ted herein by reference. Said sum
to be char�ed to 65007-881-000 (L8587) and to be reimbursed from 95�1-537-002.

THIS PURCHASE AG?�EEMEPTT is ma.de this day of , 1982
by and between Haines mree Service, a general partnership consisting of George
J. Haines and George C, Haines, referred to as "Seller", owner of property
described as Lots 5 and 6, Block 13, Terry's Addition to the City of St. Pau1,
hereinafter referred +o as "Premises", and the City of Saint Pa.ul, a municipal
corporation, hereinafter referred to as "City", purchaser.
WIT1V'ESSETH
Il�1 CONSIDERATIOAT of the covenants and conditions set forth in this Purchase
'.greement, Seller agrees to se11 and the City agrees to purchase the above de-
scribed Premises located in the City of Saint Paul, County of Ramsey, State of
Minnesota, including ali real and personal property on the Premises including
but not limited to al1 garden bulbs, plants, shrubs and trees used or located
on the premises.
THIS AGREEMEDIT is subject to the foliawing covenants and conditioas ;
l. Se11er covenants that it is awner in fee simple of the Premises.
2. Seller agrees to sell and Ci+y a�rees to purcha.se property described
above for Thirty-Seven Thousand Dol�ars (�3?,000,00) payable in one installment,
and at no interest, on the date of c:_osing. Tit1e to the Premises sha;_1 pass to
�he City and the Cit�r sha1� take possession of the Premises on the date of closing
which sha_.1 be June l , �9��2. Se1�er expressly waives any re_ocation rights
or pa.yments.
3• Se11er agrees that the purchase price of $3?,000.00 agreed upon by the
parties shalt be disbursed on the date of the closing in the manner and method
stated in the atta.ched Exhibit A entitled, "Authorization for Disbursement" which
shall be proper_y executed and notarized and herein made a pa.rt of this Purchase
Agreement.
�+ Seller covenants that an Affidavit of Non Les Pendens has been fully
and properly executed and notarized and is attached to and made a pa.rt of this

5. Seller covenants that buildings, if any, are within the bound.ary lit�es
of the property and agrees to remove all personal property not included there-
in and all debris from the premises prior to the date of closing.
6. Seller covenants that it shall del.iver possession of the premises in
good condition to the City on the date of closing.
7. Seller covenants that at the time of closin� no encumbrances sY�ll be
against the premises and that i� shall execute and deliver to the City a wa.rrarrty
deed conveying marketable title to said premises.
8. Seller covenants that it shall pay the real estate taxes due through
the year 1982 inclusive and ar�y unpe.id installments of special assessments,
payable therewith, as well as any levied or pending assessments as of the date
of closing. The City shall pay the re�e.l estate taxes, if ar�y, due af`ter the
year 1982.
9. In the event the Premises are destroyed or substa.nti.al7�y damaged by
fire or some other cause prior to closing, then this agreement sha.11 become
null and void at the City's option, pravided that in the case of ar�y damage
whatsoever prior to closing, the City shall be entitled to deduct the amount
of such da.�.ge �om the purchase price.
10. Seller covena.nts that it sha.11 furnish, solely at its expense, an owner-
ship and encumbrance report, an abstract of title or a Re�istered Property
Abstract certified to da,te to include proper searches covering bankruptcies,
Sta.te and Federal judgments and liens, to the City of Saant Paul fifteen (15)
days prior to the date of closing.
11. Seller covenants and warrants that it sha.11 indemnif�r, protect and
defend, and hold ha.rmless the City against ar�y claim or challenge by ano�her of
a�y adverse ownership interest in the property. Seller flzrther covenants and
warrants that the premises shall be free of ar�y mortgage, lien or a�y other charge

against the premises and that it shall indemxxif�r, protect and defend, and hold
ha.rmless the City against az�y claim or challenge by another of any such interests
against the premises.

the awner in fee of property legally described as follaws;
Lots 5 and 6, Block 13, Terry's Addition to the City of St. Pa.ul.
Further, affiants sta.te that the property is free and clear of any mortga.ge
and all encumbrances, including unrecorded contracts for deed, and that there are
no claims m�.de for improvements which are not of record.
Further affiants state tha.t Haines Tree Service is in possession of sa.id
premises, and that no transfer of interest to thixd pa.rties has been or will be
entered into.
Further, affiants state that there are no actions pending nor have any actions
been commenced. or completed against affiants, Haines Tree Service or the premises
which affect Haines Tree Service's free and clear ownership of the premises and
affiants ' ability to convey the premises to the City.
