Seller covenants that at the time of closin� no encumbrances sY�ll be against the premises and that i� shall execute and deliver to the City a wa.rrarrty deed conveying marketable title to said premises. 8. Seller covenants that it shall pay the real estate taxes due through the year 1982 inclusive and ar�y unpe.id installments of special assessments, payable therewith, as well as any levied or pending assessments as of the date of closing. The City shall pay the re�e.l estate taxes, if ar�y, due af`ter the year 1982. 9. In the event the Premises are destroyed or substa.nti.al7�y damaged by fire or some other cause prior to closing, then this agreement sha.11 become null and void at the City's option, pravided that in the case of ar�y damage whatsoever prior to closing, the City shall be entitled to deduct the amount of such da.�.ge �om the purchase price. 10. Seller covena.nts that it sha.11 furnish, solely at its expense, an owner- ship and encumbrance report, an abstract of title or a Re�istered Property Abstract certified to da,te to include proper searches covering bankruptcies, Sta.te and Federal judgments and liens, to the City of Saant Paul fifteen (15) days prior to the date of closing. 11. Seller covenants and warrants that it sha.11 indemnif�r, protect and defend, and hold ha.rmless the City against ar�y claim or challenge by ano�her of a�y adverse ownership interest in the property.
