PRENIISES: A. The MSHSL had contracts ("Existing Contracts") to lease the former RiverCentre (a/k/a Civic Center) arena and adjacent facilities for the 1999 and 2000 state high school hockey, basketball, wrestling, volleyball, gymnastics and dance team tournaments ("Touruaments"). The Existing Contracts consisted of a mutual agreement to lease said azena and facilities for the 1999 and 2000 Tournaments under terms consistent with the contracts for the 1998 Tournaments. B. T'he former RiverCentre (a/k/a Civic Center) arena was razed so that a new arena could be constructed in its place, rendering the facility unusable for certain of the 1999 and 2000 Tournaments. The new arena has not yet been named, and for the purposes of this Settlement Agreement and Release, sha11 be refened to as"the New Arena". C. The MSHSL incurred certain damages and loss as a result of the relocation of certain of the 1999 and 2000 Tournaments. D. The Parties wish to assure that the MSHSL is fairly compensated for the damages and loss sustained as result of the relocation and to assure that the MSHSL Tournaments return to the New Arena and the City in continuation of a good and long standing relationship between the Parties. NOW THEREFORE, in consideration of the mutual promises set forth herein, it is agreed by and between the Parties as follows: In full, final and complete satisfaction of any and all claims, known or unknown, that the MSHSL or its constituent members haue or may have for damages, loss or injury arising out of the relocation of the 1999 Tournaments, RiverCentre and the City promise to pay the League the sum of ONE H[JNDRED FIFTY-ONE THOUSAND THREE HIJNDRED SEVEN AND NO/100s DOLLARS ($151,307.00), in the following manner: (a) RiverCentre shall make one lump sum payxnent of $80,000.00 upon execution of this agreement; (b) The City shall pay the balance of $71,307.00 in three (3) equal installment payments of $23,769.00; the installments sha11 be payable on July 1, 2000, July 1, 2001, and 3uly 1, 2002 respectively; no interest sha11 accrue on the outstanding balance. In consideration of the promises set forth in Pazagraph 1, the MSHSL and its constituent members do hereby release and forever discharge RiverCentre, the City, and each of them, and their representatives, successors, assigns, employees, employers, directors, officers, and agents from any and all iiability, actions, causes of action, claims, and demands, known and tmkuown, for any damages, losses or injuries which in the past, at the present, or in the future have been or may be sustained by the MSHSL andlor its consrituent members arising out of or in any manner connected with the relocation of the 1999 Toumaments. 3. In full, final and complete satisfaction of any and all clauns, known or milaiown that the MSHSL or its consfituent members haue or may have for damages, loss or injury arising out of the relocation of the 2000 Toumaments, RiverCentre and the City promise to pay the MSHSL the sum of ONE HiJNDRED EIGHTY-FIVE THOUSAND AND N01100s DOLLARS ($185,000.00), in the following manner: (a) RiverCentre shall make one lump sum payment of $80,000.00 on or before 7uly 1, 200Q; (b) The City shall pay the balance of $105,000.00 in three (3) equal installment payments of $35,000.00; the installments shall be payable on July 1, 2000, July 1, 2001, and July 1, 2002 respectively; no interest sha11 accrue on the outstanding balance. 4. In consideration of the promises set forth in Paragraph 3, the MSHSL and its constituent members do hereby release and forever discharge RiverCentre, the Ciry, and each of them, and their representatives, successors, assigns, employees, employers, directors, officers, and agents &om any and a11 liability, actions, causes of action, claims, and demands, known and uulaiown, for any damages, losses or injuries which in the past, at the present, or in the future haue been or may be sustained by the MSHSL and/or its constihient members arising out of or in any manner connected with the relocarion of the 2000 Tournaments. 5. In fiu consideration of the promises set forth in Paragraphs 1 and 3, above, the M5HSL agrees to hold its Toumaments for the years 2001, 2002, and 2003 at the New Arena andlor adjacent RiverCentre facilities under terms consistent with the Existing Contracts between the MSHSL and the RiverCentre (f/k/a Civic Center Authority). To the extent this agreement relates to the use of the New Arena, the terms of the Exisring Contracts sha11 be in force. The MSHSL shall be able to conduct the Toumaments and xeceive the same revenue streams, and subject to negotiations between the MSHSL and Minnesota Hockey Ventures Group, LP ("the Wild"), any new revenue streams, and pay the type of expenses in the same categories that were in effect under the Existing Contracts. The Wild's obligation to honar this agreement is set forth in the January 15,1998 Arena Lease, Section 14.6. The preceding provisions of this paragraph do not create any new obligations on the part of the City or the RiverCentre with respect to the New Arena. To the ea�tent this Page 2 of 4 DO -3G0 agreement relates to the use of adjacent RiverCentre facilifies, said terms consistent with the Existing Contracts shall be negotiated in good faith between the MSHSL and the RiverCentre. 6. The MSHSL understands that it may have suffered damages or losses that aze unknown at the present time and that unlaiown effects of present known damages or losses may arise, develop or be discovered in the future. The MSHSL aclrnowledges that the consideration set forth in Paragraphs 1 and 3, above, is intended to and does release and discharge all claisns for damages or losses, direct and indirect, that the MSHSL now has or may in the future have regazdless of mistake of fact or law. The Parties understand and agree that this Settlement Agreement is a compromise of a disputed claim and that any promises ar payments made pursuant to this Settiement Agreement and Release aze not to be construed as an admission of liability on the part o£any of the Parties. The undersigned state and represent that they have fuliy read this three (3) page Settlement Agreement and Release, and that they each know and understand the consequences and legal effect thereof. This Settlement Agreement and Release contains the entire agreement of the Parties with regard to the mazters set forth herein. This Settlement Agreement and Release shall be binding upon and inure to the benefit of the Parties, j ointiy and severally, and their respective representatives, employers, employees, directors, officers, agents, assigns and successors in interest. 9. The terms of this Settlement Agreement and Release are contractual in nature and not a mere recital. The MSHSL shall be able to conduct the Toumaments and xeceive the same revenue streams, and subject to negotiations between the MSHSL and Minnesota Hockey Ventures Group, LP ("the Wild"), any new revenue streams, and pay the type of expenses in the same categories that were in effect under the Existing Contracts. The Wild's obligation to honar this agreement is set forth in the January 15,1998 Arena Lease, Section 14.6. The preceding provisions of this paragraph do not create any new obligations on the part of the City or the RiverCentre with respect to the New Arena. The MSHSL understands that it may have suffered damages or losses that aze unknown at the present time and that unlaiown effects of present known damages or losses may arise, develop or be discovered in the future. The MSHSL aclrnowledges that the consideration set forth in Paragraphs 1 and 3, above, is intended to and does release and discharge all claisns for damages or losses, direct and indirect, that the MSHSL now has or may in the future have regazdless of mistake of fact or law. The Parties understand and agree that this Settlement Agreement is a compromise of a disputed claim and that any promises ar payments made pursuant to this Settiement Agreement and Release aze not to be construed as an admission of liability on the part o£any of the Parties. The undersigned state and represent that they have fuliy read this three (3) page Settlement Agreement and Release, and that they each know and understand the consequences and legal effect thereof. This Settlement Agreement and Release contains the entire agreement of the Parties with regard to the mazters set forth herein. This Settlement Agreement and Release shall be binding upon and inure to the benefit of the Parties, j ointiy and severally, and their respective representatives, employers, employees, directors, officers, agents, assigns and successors in interest. 9. The terms of this Settlement Agreement and Release are contractual in nature and not a mere recital.
