THE COUNCIL OF THE CITY OF SAINT PAUL DOES ORDAIN:
Section 1.
73.01 In operating a program of public recreation and play�rounds
under Minnesota statutes , sections 471 . 15 throu�h 471 . 191 (the
"Act") and for the purpose of constructing, equinning and main-
taining recreational facilities as defined in the Act, the city
may acquire and dispose of a fee or such lesser interest as the
council may determine in any real property, including improve-
ments to the realty and equipment located thereon, as authorized
by Sections 13 . 01 and 13 . 04 of the Saint Paul city charter or as
authorized and in the manner provided in the Act or other
applicable law.
Section 2 .
73.02 �Y acquisition or disposition under section 1 hereof shall
be considered by the council upon the recommendation of the mayor
and director, department of community services and report of the
city budget director and city valuation engineer, and may be
approved by the council, after public hearing, upon specific
findings of public purpose and conformity of the transaction with
the city comprehensive plan, by resolution passed by five affir-
mative votes .

Section 3 .
73.03 The net cash proceeds of any disposition transaction under
section 1 shall be applied in accordance with provisions of the
city charter. Any cash proceeds or credits of an acquisition
or disposition transaction which are encumbered as a part of the
transaction or which are obligated to the operation of the pro-
gram of public recreation and playgrounds or the repurchase of
the property at a future time shall not constitute net cash
proceeds of the transaction.
Section 4.
73.04 In the event that the city operates a program of public
recreation in cooperation with a nonprofit organization, a
written contract specifying the terms and conditions of the
cooperative undertaking and period of time the contract shall
be in effect shall be considered and approved by the council
in the manner provided in section 2. A cooperative undertaking
by the city with a nonprofit organization may also involve a
for profit organization where the council determines such
participation will be of assistance in financing the acquisition,
construction or improvement of the affected recreational facil-
ities and the nonprofit organization is primarily obligated to

operate the program. The City may dispose of property under
section 1 without ].imitation of the estate or use and nothing
herein shall impair any title or interest of the for profit
organization in the property acquired for the facility, but
its use as a recreational facility under the public program
shall be a condition of exemption of the property from taxation
under the Act .
Section 5 .
This ordinance snall take effect and be in force thirty
days after its passage, approval and �utlic�tion.

RE: ORDWAY MUSIC THEATER
Find attached a draft ordinance authorizing the City to dispose of
property for the purpose of operating cultural and recreational
programs.
In this instance, the City currently owns the Stem Hall property and
would be assigning it to the Ordway Music Theater in the form of a
100 year ground lease.
If this ordinance is adopted, subsequent resolutions respecting this
project would be required.
Given the rather lengthy ordinance approval process as well as the need
for adoption of necessary resolutions prior to the end of this year, we
previously discussed the possibility of introducing this measure under
suspension of the rules and bypassing further committee action.
If this stategy is acceptable to you, I would propose this matter be
presented to the City Council on Thursday, October 13.
