BE IT RESOLVED, that the City agrees and covenants that
it will defend, save harmless and indemnify all officials ,
officers and employees of the City from any claim or demand
arising out of their work on or participatian in any part of
the transaction and revenue bond issue involving the sale,
lease and renovation activities identified as the Saint Paul
Civic Center Project. Such work or participation includes ,
but is not limited to research, data compilation, preparation
and publication of the Official Statement for the bond issue
and of project transactional documents , the rendering of
financial and legal advice and written opinions , and other
representation of the City and its HRA in the Project trans-
action.
