WHEREAS, Section 5.02 of the St. Paul City Charter and
Section 3.04 of the Administrative Code authorize the City
Council, upon request of the City Attorney, to appoint special
counsel and provide compensation therefor in cases of special
and unusual circumstances; and
WHEREAS, The City Council is currently engaged in the
process of awarding a cable television franchise to one of
three applicants whose proposals are under consideration; and
WHEREAS, It has been common and frequent throughout the
country that extensive litigation occurs over the awarding of
such franchises; and
WHEREAS, The successful defense of Council action in
awarding a franchise would require research and resolution of
questions and issues of such complexity and ma.gnitude as to
result in substantial diversion of existing professional staff
resources away from necessary current assignments; and
WHEREAS, The City Attorney has explained the need for
the hiring of outside counsel and has requested same; now,
therefore, be it
RESOLVED, That by virtue of the aforesaid special and
unusual circumstances, the law firm of Robins, Zelle, La.rson
and Kaplan be retained to assist the City Attorney in prepara-
tion for and defense of any litigation that might arise out of
the cable television franchising process at an hourly billing
rate of $85.00 per hour; and, be it

monthly basis and that the total fees shall not be in excess of
a reasonable fee having reference to the appropriate provisions
of the Code of Professional Responsibility.
