RESOLUTION AUTHORIZING EXECUTION AND
DELIVERY OF GROUND LEASE AND PURCHASE
AGREEMENT RELATING TO THE SALE OF THE
CIVIC CENTER TO THE HOUSING AND
REDEVELOPMENT AUTHORITY (HRA)
WHEREAS , by Resolution CF 280374 adopted May 26 , 1983 , the
City Council approved the Seventh Place Redevelopment Project
Financing Plan For the �ivic Center Improvement and Civic Center
Sale-Leaseback concept whereby $10, 000 ,000 would be made available
for the repair, renovation and improvement of the Auditorium and
Parking Ramp components of the Civic Center Complex property; the
Civic Center real property and improvements would be conveyed to
the HRA under Ground Lease and Purchase Agreement and an assign-
ment of said Ground Lease and Sale Agreement made by HRA to Civic
Center Partners Limited Partnership (Partnership) ; and the Partner-
ship as lessor and City as lessee would enter a Lease Agreement
providing for the continued public use and operation by the Civic
Center Authority of the Civic Center for cultural , convention and
recreational uses ; and
WHEREAS, under provision of Minnesota Statutes Sections
462.445 Subdivision 1 , 462.581 and 465 . 035 the City and HRA have
the authority to enter said lease, purchase and sale agree�_ents
in order to provide or obtain land, buildings and structures and
to improve the same as necessary for governmental , proprietary or
red.evelopment public use and purposes ; and the City and HRA have
determined that it is necessary and desireable to enter into a
Ground Lease and Purchase Agreement in the exercise of their powers
in furtherance of these purposes ; now therefore,

BE IT RESOLVED by the Council of the City of Saint Paul ,
Minnesota as follows : ,
1. That the Ground Lease between the City and the HRA for
a term of 40 years commencing June 1 , 1983 of the real property
described in the attached survey underlying the Civic Center
Arena, Auditorium, Concourse and Meeting Rooms , and Parking
Ramp and Pedest�ian Tunnel , substantially in the form presented
to and considered at this meeting and as the same may be here-
after modified in a manner and form acceptable to the City
Attorney are hereby approved as a part of the transaction des-
cribed in CF 280374 and referred to as the Civic Center Sale/
Leaseback (the "Transaction") and its execution by the proper
City officers is hereby authorized.
2. That the Purchase Agreement between the City and the
HRA dated June 1, 1983 , whereby the City agrees to sell and
the HRA. to purchase the Arena, Auditorium, Concourse, Meeting
Rooms , Parking Ramp, Pedestrian Tunnel buildings , improvements ,
fixtures and specified movable personalty used in the operation
of the Civic Center (the "Facilities") , and the HRA agrees to
pay the City as consideration therefore (a) upon closing the sum
of $5 , 032, 000, (b) periodic payments pursuant to a Tax Increment
Note attached to said Agreement, (c) on July 1 , 1998 the sum
of $26 ,576, 000 pursuant to Deferred Payment Note No. 1 thereto
attached, (d) on July 1, 1998 the sum of $14,113 ,000 pursuant
to Deferred Payment Note No. 2 and of the limitations of
the Purchase Agreement, and further the HRA agrees to expend
or cause to be expended in accordance with the terms of the

operating Lease between the Partnership and the City the sum
of $10, 000, 000 for improvements to the Facilities , which
Purchase Agreement substantially in the form submitted to
and considered at this meeting and as the same may be modi-
fied in a manner and form acceptable to the City Attorney
is hereby approved as a part of and upon condition of the
completion of the entire Transaction and its execution by
the proper City officers is hereby authorized.
3 . That prior to final City Council approval and
closing of said Transaction, the Council understands that �
the HRA. will conduct a public hearing upon the proposed .
assignment of the Ground Lease referred to in Paragraph 1,
and execution of a Sale Agreement to the Partnership ; that
the Civic Center Authority will give final approval to the
disposition and sale of the Ground and Facilities ; and that
the City Attorney will approve as to form the Transaction
Documents including the said Ground Lease and Purchase
Agreement herein approved in substance.
4. That upon the occurrence of the events described in
Paragraph 3 , above, delivery of the said Ground Lease and
Purchase Agreement to the HRA is hereby authorized timely
for the closing of the Transaction.

This is one of several forthcoming resolutions pursuant to the sale and leaseback of
the Civic Center. This resolution pertains to the conveyance of the Civic Center by
the City to the HRA under a Ground Lease and Purchase Agreement. It authorizes the
execution of such .documents by the City after an HRA public hearing to be held
June 8, 1983. and upon closing of the sale lease/back transactions.
