This Agre�nent entered into this day of , 198 ,
by and between the PUBLIC HOUSING AGII�ICY OF Tf� CITY OF SAIlVT PAUL (herein called
the '"PHA") and the CITY OF SAINT PAUL, �SOTA (herein called the "City") ;
WITNESSETH:
j�AS, The Housing and Redevelopment Authority of the City of Saint Paul,
�Iinnesota (herein called "HRA") and the City have previously entered into the
following: �
A) Cooperation Agreement dated January 26, 1950, for 2,000 Dwelling
Units (D.U.) with amenc�nents thereto dated; October 28, 1960 for
O.D.U.; August 3, 1962 for 250 D.U. ; and October 29, 1964 for 800
D.U. respectively;
B) Cooperation Agreement dated June 19, 1967 for 1500 D.U.; and
C) Cooperation Agre�nent dated March 14, 1972 for 1200 D.U.; and
4��REAS, the Public Housing Agency of the City of Saint Paul was created by
Chapter 228 of the Laws of P�iinnesota, 1977; and
�5, pursuant to Chapter 228 the PHA succeeded to all the rights, duties,
titles and obligations of the HRA relating to the provision for and administration
of the public housing proqram for the City; and
W�REA.S, the previously executed Cooperation Agreements and 1�nenc�ments are
not uniform in their application to dwelling units awned and achnirr� ��iA;
and
WI�REA.S, it is the intent of the parties hereto, that t�e rreviously_.e�ecuted
Cooperation Agre�nents arid Amer�.nts be declared null and void and be replaced by .
this Agreesr�nt which expresses the entire understariding between the parties with
respect tr� the subject matter oontai.ned herein.

4vHEFtEAS, the garties hereto wish to protrote uniform application of this
. Agreement to all qualified dw�elling units; -
NOW, TI�REFORE, in consideration of the mutual covenants hereinafter set forth,
the parties do hereby agree as follaws:
A. Whenever used in this Agre�nent:
l. The term "Development" shall mean any existing low-rent housing
or law-rent housing hereafter developed or aoquired by the PHA with
financial assistance frori the United States of America, acting
through tne Secretary of Housing and Urban Development (herein
called the �'Goverrunent") .
2, The term "Taxing Body" shall mean the State or any political sub-
division or taxing unit thereof in which a Development is situated
and which would have authority to assess or levy real or personal -
pr�perty taxes or to certify stich taxes to a taxing body or
public officer to be levied for its use and benefit with respect .
to a Development if it w�se not exe�npt fran taxation.
3. The term "Shelter Rent" shall mean the total of all charges to all

residents of a Development for dwelling rents and non-dwelling i:
rents (excluding all other incon�e of such Develo�nent) , less the

costs to the P:�, of all dwelLing and non-dwelling utilities and
special services such as heat, water, electricity, gas, sewage
disposal or qarabage removal.
B. The te.nr�s of this Agre�zt shall apply to any Develo�ent � to 5,750
dwelling units of law rent housing located within the corporate limits _

of the City. Inclucled within th,at amount are those dwelling units
presently awned and acfilinistered by the Ph�, as well as those qualifying
units that are purchased and admi_ru.stered by the PHA in the future.
C. The PHA has secured contracts or will as the need arises secure contracts
with the Government for loans and annual contributions covering one
or r,iore Developments coi�rising a total of 5,750 units of law-rent .
housing; and
D. The PHA shall endeavor tA develop any new housing and administer all
such Developments, each of which is located within the corporate limits
of the City. The obligations in this Agreement of the City and the
PHA shall apply to each such Development.
E. � Under the statutes of the State of Minnesota, all Develo�nents
are exempt fram all real and personal property taxes and special
assessments levied or inq�osed by any Taxing Body with respect to

personal property taxes or special assessments �on such Develop-
ment or upon the PHA with respect thereto. During such period,_ ,
the PHA shall make annual payments which shall include:
a. Payments in Lieu of Taxes, hereinafter referred tA
as "PILJT", and
b. Service Charges by the City of Saint Paul; w'zi.ch
includes Tawn Square maintenance charges, street
maintenance and any other service clzarges as pro-
vided in Nlinnesota Statute 429.101 (1982) .
These annual payments are for public services and facilities furnished
from time to time without other cost or charge fcr or with respect to
such Development,

time when real property taxes on such Development w�uld be paid if

5. The 10$ of the Shelter Rent as detennin�d by the PI-�1 on or

shall be for the preceding calendar year in accordance with
State Statute.
6. IJo PII;d� for any year shall be made to the City in excess of the
amount of the real property taxes which would have been paid to
the City for such year if the Developmexit were not exesnpt fran
taxation.
7, UFon failure of the PHA to make any PI.LC7r or Service Charge
payment, no lien against any Development or assets of the PHA
shall attach, nor shall any interest or penalties accrue or
attach on account thereof.
F. During the period comnencing with the date of the acquisition of any part ,
of the site or sites of any Development and continuing so long as either:
(a) Such Development is awned by a public body or governmental agency
and is used for laa-rent housing purposes, or (b) Any contract between
the PHA and the Goverrunent for loans or annual contribution, or both,
in connection with such Development remains in force and effect, or (c)
Any bonds issued in connection with such Development or any mr�nies due
to the Government in connection with such Development r�riain unpaid,
whichever period is the longest, the City without cost or charge to the �

2. Vacate such streets, roads and alleys within the area of such
Develo�ment as may be necessary for the im�rov�nent thereof, and
� convey without charge to the PHA such interest as the City may
have in such vacated area and without cost or expense to the PHA
_ or to the City, order the removal of all public or private utility
lines and equigxrient from such vacated areas as is deemed necessary;
3. Grant such deviations from the building code of tne City as are
reasonable arid necessary to prcenote ecoriomy and efficiency in the
�mprovement and ac�inistration of such Development, and at the
same tu� safeguard health and safety; and
4. Make such changes in any zoning of the site and surrounding territory
of such Development as are reasonable and necessary for the develop�-
ment and protection of such Develo�enent and the surrounding territory;
5, Accept grants of easer►ents necessary for the improvement of such
Development; and
6. Cooperate with the P1� by such other lawful action or ways as the .
City and the PHA may find necessary in connection with the improv�it

7, Provide such services as are normally provided to other inhabitants
or dwellings in the City for which the PHA will pay the City a
service charge as stipulated elsewhere in this agre�nent.
8. Within a reasonable time after receipt of a written requ�st fran

roads, alleys, and adjacent sidewalks within the area of such
' Develo�xnent, together with all storm and sanitaYy sewer mains in
such dedicated areas, after the PHA� at its own expense, has �
con�leted the grading, i�rovement, paving, and installation
thereof in accordance with specifications acceptable to the City.
9. Within a reasonable time after receipt of a written request from
the PHA, the City will accept necessary dedications of land for,
and will grade, improve, pave, and provide sidewalks for, all
streets bounding such Development or necessary to provide ade-••
quate access thereto (in consideration whereof the PHA shall pay
to the City the amount that would be assessed against the Develop--
ment site for such work if the site were privately awned) ; and
10. Within a reasonable time after receipt of a written request from
the PHA, the City will provide, or cause to be provided, water mains,
and storm and sanitary sewer m�ins, leading to such Development and
serving the boundinc� streets thereof (in consideration whereof the
PHA shall pay to the City the airount that wc�uld be assessed against
the Develo�enent for such work if such site were privately awned) .
G. If by reason of the City's failure or refusal to furnish or cause to be

' furnished any public services or facilities which it has agreed here- I
under to furnish or to cause tr� be furrLished to the PHA or to the '
residents of any DeveloFanent, the PHA incurs any experLSe to obtain such

by the PHA,
' H. No member of the governing body of the City or any other public official
of the City who exercises any responsibilities or functions with respect
to any Development during his tenure or for one year thereafter shall
have any intexest, direct or indirect, in any Development or any
property included or planned to be included in any Development, or any
contracts in connection with such Developn�ent or property, If any
such governing body member or such other public official of the City
, involuntarily acquires or had aoquired prior to the beginning of .his
tenure any such interest, he shall i�iately disclose such interest
to the PHA,
I. So long as any contract between the PHA and the Govesru�nt for laans
(including preliminary loans) or annual contributions, or both, in
connection with any Development rem�ins in force and effect, or so long
as any bonds issued in connection with any Developirent or any monies
due to the Govexrunent in connection with any Development r�nain unpaid,
this Agre�nent shall not be abrogated, changed, or modified without the
oonsent of the Governrn�nt, The privileges and obligations of the City
hereunder shall rernain in full force and effect with respect to each

Develognent so long as the beneficial title to such Develop�nent is ,
held by the PHA or by any other public body or goven�ntal agency, in- ;

cluding the Government, authorized by law to engage in the development ;
or ac�ninistration of laa-rent housing DeveloFments. If, at any time
the beneficial title to, or possession of, any Develognent is held by
_; such c•�x public �l3bdy or goverr�¢rrental agencY, including the Goverxi¢rnnt, -
