WHEREAS, the City of Saint Paul constructed the Parkway Drive Lift Station
and associated sewer system entirely at its own expense in t957; and
WHEREAS, the City of Maplewood is now requesting permission from Saint
Paul to connect a portion of its public sanitary sewer system to the
Saint Paul sanitary sewer system at Parkway Drive and Larpenteur Avenue
for the purpose of transporting sanitary sewage from the Bennington Woods
Addition in Maplewood; now be it
RESOLVED, that the Council of the City of Saint Paul does hereby approve
an agreement between the City of Maplewood which defines individual
responsibilities and sharing of costs associated with the Parkway Drive
Lift Station and the proper city officers are hereby authorized and
directed to execute said agreement on behalf of the City of Saint Paul .

• AGREEMENT
° THIS AGREEMENT, made and entered into by and between the City of Saint
Paul, a municipal corporation of the State of Minnesota, hereinafter
referred to as "SAINT PAUL" and the City of Maplewood, a municipal
corporation of the State of Minnesota, hereinafter referred to as
"MAPLEWOOD" .
WHEREAS, MAPLEWOOD has requested permission from SAINT PAUL to connect
a portion of its public sanitary sewer system to the Saint Paul
sanitary sewer system for the purpose of transporting sanitary sewage
from the Bennington Woods Addition in Maplewood, and the following
agreement is intended to reflect the mutual understanding and
agreement to accomplish this purpose.
NOW, THEREFORE, SAINT PAUL and MAPLEWOOD do hereby mutually agree as
follows: •
(1) SAINT PAUL does hereby grant permission to MAPLEWOOD to connect
Maplewood' s sanitary sewer conveging sanitary sewage from the proposed
Hennington Woods Addition development in the vicinity of Larpenteur
Avenue and Parkway Drive to the Saint Paul sewer system and lift
station located at Larpenteur Avenue and Parkway Drive. MAPLEWOOD
shall provide at least 15 days notice prior to constructing the sewer
connection to the Saint Paul sewage system and shall allow SAINT PAUL
Public Works Department inspectors an opportunity to view �the
connection before covering up the construction work. MAPLEWOOD shall
assume all costs connected with the construction of its sanitary
sewage , system and the connection to the Saint Paul lift station and
sewer system.
(2) The MAPLEWOOD sewer system to be connected to the Saint Paul
sewer system shall be used solely for the purpose of conveying
sanitary sewage, and MAPLEWOOD shall not permit any stormwater sewage
to be connected to the sewer system.
(3) MAPLEWOOD shall be solely responsible for all maintenance,
repairs and claims for damages or injuries caused to any person or
property whatsoever or from any cause whatsoever relating to the
properties or persons served by the Maplewood sanitary sewer.
MAPLEWOOD agrees to hold harmless, indemnify and defend. the City of
Saint Paul from any and all claims for damages to persons or property
which arise or which may claim to arise from any reason relating to
the sewers owned and maintained by MAPLEWOOD and which are hereby
authorized to be connected to the Sai�t Paul sewer system.
(4) It is agreed between the parties hereto that the Metropolitan
Waste Control Commission shall estimate the amount of sanitary sewage
attributable to the Maplewood properties hereby authorized to be
connected to this Saint Paul sewer syste�n and shall accordingly charge
MAPLEWOOD for its proportionate cost of sewage treatment, conveyance
and related costs in its annual billings. MAPLEWOOD and SAINT PAUL
shall cooperate with and provide all necessary information to the
Metropolitan Waste Control Commission so as to permit the proper
billing to Maplewood and credit to Saint Paul for this sewage.

(5) SAINT PAUL shall install at its Parkway Drive Lift Station a
warning alarm telemetry system and an auxiliary power supply. The
. estimated cost of these improvements is $4 , 600 .00. MAPLEWOOD hereby
agrees to pay 62� of the actual costs of the installation of these
systems with SAINT PAUL paying 38�.
(6) Saint Paul shall operate and maintain the Parkway Drive Lift
Station and the cost of operation and maintenance shall be shared by
MAPLEWOOD and SAINT PAUL in the following manner:
a. For the period commencing with the connection of the Bennington
Woods, Phase I , to the Maplewood sewer and until work on subsequent
phases is initiated, Maplewood shall pay 41� of all such costs and
Saint Paul shall pay 59� thereof. Saint Paul shall submit annual
- itemized billings of all actual costs incurred for such maintenance
and operation, and payment shall be made by MAPLEWOOD on or before
February lst of each year.
b. Maplewood will notify Saint Paul when subsequent development
work phases are initiated at Bennington Woods, after which time
Maplewood shall pay 62$ and Saint Paul shall pay 38� of the operation
and maintenance costs. Saint Paul shall submit annual itemized
billings of all actual costs for operation and maintenance of this
lift station and payment shaTl be tendered by MAPLEWOOD on or before
February lst of each year.
All major repairs or replacements to the Parkway Drive Lift Station
shall be performed by SAINT PAUL and the costs incurred therefor shall
be shared between the parties hereto with MAPLEWOOD paying 62� thereof
and SAINT PAUL paying 38� thereof.
(7) MAPLEWOOD hereby agrees to pay the sum of $10 ,000 to SAINT PAUL
representinq a reimbursement to SAINT PAUL of a portion of the costs
incurred by SAINT PAUL in the or_iginal construction and installation
of the Parkway Drive Lift Station and force main. Payment of this
amount shall be tendered at the time this agreement is executed by the
parties or February 1, 1985, whichever is later.
