for the hot water heating system to service a major portion of downtown
Saint Paul Buildings, over property owned in fee by the City of Saint Paul
and leased to the Civic Center Partners Limited Partnership; said easement

�'hEREAS , the hot water heating system servic=in� a major portion
of� downtown St . Paul buildings , and operating in ;public streets
� � and ways pursuant to . franchise �ranted by Ordinan�ce No . 16947 ,
adopted July� 20 , 1982 , is of direct benefit to a�:d services the
. Saint Pau�ivic Center ; and � � .. . '
� t�'HEP.EAS , said system must �of necessity cross; both private
and public property to function properly and mos� efficiently�
and �.n this connection must cross property owned zn fee by the
Citv of Saint Paul and leased to the Civic Cente.r Partners Limited
Partnership , a Minnesota limited gartnership , fo� which Grantee
seeks a temporary construction ;�easement and a pe�anent easement .

WHEREAS�, the granting oi such easement would not relieve the
City of Saint Paul from its obligations under the Lease Agreement
dated September 1 , 1983 to which it and the Civic Center Partners
Limited Pzrtnership are parties ; now, �herefore , the Grantors and
Grantee hereto do hereby agree and covenant as provided herein .

� RIGHT 'OF WAY
' ' In consideration of /One Dollar ($1�. 00) and other good and
valuable consideration, receipt which is hereby acknowledged;/
Grantors hereby grant , sell , and convey to the Grantee , its
. successors-�and assigns , an easement for the purposes of layinp ,
constructing , operating , inspecting , mzintaining, repairing�
�replacing , substituting , relocating , and removal of a. pipeline
for the transportation of hot water in, over and through the
following described parcel of land in Ramsey County, State of
Minnesota , subject to its obligation ta obtain consent under --
certain circur,istances pursuan;. to Section 3 hereof:

feet; thence South 80 degrees 56 minutes 36
seconds East a distance of 32. 08 feet to the
point of beginning of easements to be
described; thence continuing South 80 degrees
56 minutes 36 seconds East a distance of
394 . 00 feet; thence North 9 deyrees 03 minutes
27 seconds East a distance of 37. 00 feet;
thence South 80 degrees 56 minutes 36 seconds
East a distance of 50. 00 feet and there
terminating .
Such land is referred to herein as "Premises" ; such
easement right of way is referred to herein as the "�Easement" .
Notwithstanding the foregoing , neither the Premises nor the
Easement shall include any part of the above-described land which
lies within the outside edge of the outer wall-lower level of the
building constructed on a portion of the above--described land.
SECTION 2
TERM
� The Easement granted herein terminates when and if (1) the .
easement is no longer used by the Grantee for the operation and
maintenance of a hot water pipeline; or (2) the Grantee breaches
or does not perform any of the covenants hereunder.
SECTION 3
ADDITIONAL RIGHT OF THE GRANTEE
The Grantee shall have the right of ingress and egress to
and from the Premises for any and all purposes necessary or convenient

to the exercise by the Grantee of the rights granted herein ; provided
however , that , aiter the initial construction of such hot water pi�e-
line and its bein; placed in service , the Grantee shall not •enter
upon the Premises for any purpose which will in anv way interfere
with pedestrian or vehicular ingress to and egress from the Premises
or the use oz the lighted display sign , without notifying the Managing
Director of the Civic Center Authority sixty (60) days in advance
thereof and receiving her written permission. In case of an emer�ency
which threatens substzntial damage to the Premises or threatens life ,
. healtn and safety ..of persons , Grantee may make entry for purpose of
: . : repair , � •replacement or removal , so long as written notice of such .
action be given to the P�anaping Director at or before such work is
begun . . '
SECTION 4 �
RIGHTS OF TNE GRANTOR .
Grantors reserve the right to use and enjoy the Premises to
the extent possible without urareasonable interference with the

exercise bv the Gr�ntee of the rights �ranted herein . The Grantee' . ,
shall completely restore the Premises upon, completion of any con-
' struction , maintenznce , repair , relocating , replacement or substitution
in the Prenises area , to the same or be�tter condition as existed

SECTION S
DAMAGES �
Grantee a�rees to pay and is strictly liable for any and all
damages , injury or loss to the Premises , or any other Civic Center .
Property in which the Grantors or any one of then have an oc,Tnership
. or leasehold interest , occasioned by or arising out of the construc-
tion , maintenance , operation , repair , replacement or removal of the
said hot water pipeline or pipelines , � .
. Grantee zurther agrees to defend , indemnify and hold the
Grantors haz-riless fro� any and all damages , claims for injury or
damzge to persons or property occasioned by or, arising out of the
. � .
construction , maintenance , operation, repair , repla�ement or removal
of the pipeline or �pipelines on the Premises or co'nnected thereto.
Grantee shall insure its oblioations in this Sect�ion, before
. beginning any construction activity or work on the Premises or ease-
ment granted herewith , with an insurer authorized to do business
in the State of Minnesota (1) as to liability covera�e , in the -- �
�init*:um amount of $5 , 000 �000 single limit coverage from any one
occurrence , and (2) as to property damage or casualty loss to the
Premises or immediately adjacent to Civic Center Property , .in the
mir�i�um amount of $1 , 000 , 000 from any ,one occurrence ; both pol�icies
or coveraQes� to be approved as to form and covera�e by the City
Attorney and the Director of the Department of Finance and Mana�e-
ment Services . �.

ASSIGi�1MENT
The rights granted herein shall not be assi�nable in whole or
in oart ioithout the prior written consent of the Grantors .
