THIS AGREEMENT, made and entered this 16th
day of Julr�� 1984 , by and between the City of Saint
Paul , Minnesota, a municipal corporation, hereinafter re-
ferred to as "City", and West Seventh Neighborhood Center,
Inc. , a Minnesota nonprofit corporation, hereinafter referred
to as "West Seventh".
WITNESSETH:
WHEREAS, The City is constructing a facility known
as the West Seventh Community Center on the property known as
the St. Clair Recreation Center Site owned by the City; and
WHEREAS, West Seventh is capable of providing the
proper degree of management and staff to said Center in ful-
fillment of educational , recreational, and social programs for
the benefit of St . Paul Citizens; now, therefore
IT IS MUTUALLY AGREED BY AND BETWEEN THE CITY
AND WEST SEVENTH:
1 . That the City permits and authorizes West
Seventh to conduct human service pro�rams and other community-
oriented pro�rams in the City 's facility known as the West
Seventh Community Cent�r, and as more particularly described
in Exhibit "A" as attached. �
2. That West 3eventh will provide, in its usage
of the Center, such social services and other com�►unity pro-
grams as it deems beneficial to the residents of the City.
3. That the City will provide, in its usage of
the Center, such Recreational Programs as it deems beneficial
to the residents of the West Seventh area.
4. That West Seventh will, by each anniversary
date of this Agreement , file an annual report with the City,
identifying the names of officers and directors of West
Seventh, a �eneral description of the nature and extent of
services provided in the previous year, and a statement of

receipts and disbursements of the preceeding year as relates
to West Seventh's income and expenses in the operation of the
Center. Further, the City shall be entitled during regular
business hours to have access to West 3eventh 's books and
records and verification of such annual report.
5. That by each anniversary date of this Agree-
ment, West Seventh will supply the City with an a�enda of pro-
grams and activities to be conducted during the next year, and
the City may, in writing, provide suggestions for additional
program content and/or modification. The City will supply West
Seventh with City 's proposed seasonal a�enda in a timely manner.
6. That West Seventh may, �y agreement with
other parties, permit such other parties to rent space from
West Seventh in order to conduct pro�ram and activties in the
Center. West Seventh shall notify the City in writing of both
the agency and its programs. West Seventh may charge a reason-
able fee for such use.
7. That all parties providing programs or act-
ivities in the Center shall abide by the Rules of Operation
established by West Seventh and Ordinances of the City. See
Exhibit "B" attached St. Paul Legislative Code, Parks and Re-
creation Ordinances.
$. That rooms identified as Park and Recreation
Office and Warming ftoom as so indicated on the architect 's build-
ing design, as Exhibit "C" , shall be desi�nated as space reserved
by the City for its Recreation program.
9. That the multi-purpose room shall be pro-
grammed on a seasonal basis through an accord reached between
the City and West Seventh.
10. That all other rooms not identified above
will be under the oeprating control of West Seventh. The
space will be scheduled to meet the program needs of West Seventh

and the City, as well as of other public and private ag�ncies
and organizations serving the community.
11 . That the City and West Seventh shall permit
each other to use spaces under their sole control , consistent with
their separate programs, and without char�e or fee. Spaces under
the sole control of West Seventh shall not be deemed to include
any spaces rented to others.
12. That West Seventh will be responsible for
all maintenance, repairs and housekeeping for the interior and
exterior of the Building, and will keep it in a good state of
repair, and will comply with all federal, State, and local reg-
ulations regarding the maintenance and operations of the Building.
Further, any major structural changes to the Building must receive
prior approval from the City.
13 . That the City shall be responsible for all
ordinary grounds maintenance on the total site. This shall
not include weed control or fertilization. The City shall also
be responsible for all perimeter snow and ice removal or sanding,
including exterior walks and parking lots with West Seventh being
responsible for snow removal on steps and walkways leading to the
public sidewalk. Snow removal shall take place after each accum-
ulation of more than two (2) inches of snow.
14. That the City and West Seventh shall be
responsible for the cost of major repairs to the Center. West
Seventh 's share will be 75� of the cost. The City will order
these major repairs done, subject to the approval of West Seventh.
1�. That West Seventh is responsible for all
utility costs incurred at the Center, including water, gas, elec-
tricity, and any means of heat , with the exception of field. lighting
and outside flooding.
16. That West Seventh agrees to hold barmless
the City from any and all claims of whatever kind or nature at-
tributable to the negligent acts of West Seventh, its employees
and agents, to the extent of obtaining and paying for the follow-

ing types of insurance naming the City as Co-Insured as its in-
terest appears and on the amounts set forth: Public Liability,
$500,000 for each occurrence.; Workers ' compensation, Statutory;
and Fire and Extended Coverage, $1,000,000.
17. That the City and West Seventh agree that
no person shall, on account of race, color, creed, �ex, or na-
tional origin, be excluded from participation in, be denied the
benefit of , or be sub�ect to discrimination in the use of the
premises or in the provi�ions of social services or community
programs.
18. That this Agreement shall be for a period
of twenty (20) years, but either party ma,y t�rminate this Agree-
ment , without cause, upon 365 days ' written notice from one
party to the other.
18. That West Seventh shall be entitled to
have all of its detached property of whatever kind that it may
utilize in the Center returned to it upon the termination of this
Agreement .
