RESOLVED, That the proper City officials are hereby authorized and
directed to execute an agreement with Signal Hills, Inc. and Signal Hills
Merchants Association, said agreement providing for indemnification by the
City in the event of claims as such may arise out of the Mayor's Handicapped
Advisory Committee's co-sponsorship with the City of West St. Paul of an arts
fair to be conducted October 25-27, 1984 at the Signal Hills Shopping Center;
a copy of said agreement to be kept on file in the Department of Finance and
Management Services.

AN AGREEMENT dated this . . day of October, 1984, by and
among the CITY OF SAINT PAUL; SIGNAL HILLS, INC. , and the SIGNAL AILLS
MERCHANTS ASSOCIATION:
WITNESSETH:
WHEREAS, the City of Saint Paul, acting through its Mayor's
Handicapped Advisory Committee in conjunction with the City of West
St. Paul, desires to sponsor an arts fair to be held October 25, 26
and 27, 1984 at the SignaCl Hills Shopping Center; and
WHEREAS, Signal Hills, Inc. and the Signal Hills Merchants
Association have agreed to assist the City of Saint Paul and the City
of West St. Paul in providing space to handicapped persons who desire
to sell their arts and crafts; now, therefore
IT IS MUTUALLY AGREED by and among the parties first above named
as follows:
(1) That for good and valuable consideration, the receipt and
adequacy whereof is hereby acknowledged, the City of Saint Paul hereby
agrees to indemnify and hold free and harmless, assume legal liability
f or and defend, each of the Signal Hills, Inc. and the Signal Hills

Merchants Association and each of their agents, servants, employees,
officers and directors, fram and against any and all actions, claims.
liabilities, assertions of liability, losses, costs and expenses,
including, but not limited to, attorne�'s fees, reasonable
investigative and discovery costs, court costs, which in any manner
may arise or be alleged to have arisen, or resulted, or alleged to
have resulted, from the presence, activities, and pramotions of any
nature whatsoever or otherwise of the City of Sai.nt Paul, its agents,
servants, or employees on or adjacent to the premises known as Si.gnal
Aills, including but not limited to, claim or claims for bodily injury
or death of persons and �for loss of or damage to property, including
claims or loss by Signal flills, Inc. and the Signal Aills Merchants
Association, or their agefits or employees, but the obligations of the
City of Saint Paul hereunder shall be reduced pro tanto in
relationship to the percent of negligence of Signal Hills, Inc. or the
Signal Hills Merchants Association in the subject incident.
