WHEREAS, The St. Paul Council for Economic Self-Reliance , a
public-private partnership of business, community and government
leaders, has been organized to promote job creation, economic
development and greater self-reliance in St . Paul, and
WHEREAS, The City of St. Paul, on behalf of the St . Paul Council
for Economic Self-Reliance , did apply for a grant from the
Northwest Area Foundation on October 7, 1983; and
WHEREAS, The Northwest Area Founclation has awarded the City,
as fiscal agent for the Council for Economic Self-Reliance ,
a grant of $60 ,941 for the purpose of implementing the Homegrown
Economy Project; and
NOW, THEREFO'RE, BE IT RESOLVED, That the Council of the City of
St . Paul does hereby accept the Northwest Area Foundation grant
with all the conditions and terms attendant thereto as contained
in the attached Grant Agreement and Summary of Grant Agreement;
and be it
FURTHER RESOLVED, That the proper City officials are authorized
and directed to execute the grant agreement and contract between
the City and the Northwest Area Foundation and implement the
program referenced therein.

Schedule of reports to be made by the City of Saint Paul to Northwest Area
Foundation on the project entitled: "I�me Grown Economy."
Grant authorized at February 10, 1984 Board of Directors Meeting. Amount of
grant $60,941.
The progr�► activities supported by Northwest Area Foundation funds will
caYmence January 1, 198�+ and will end Dece�er 1, 1984. Foundation fundi�g
will conmaence on or about February 15, 1984 in the amount of $30,471. One
additional grant payment in the amount of $30,470 will be made on or about
September 1, 1984, contingent upon receipt of valid reports.
EVAL,iJAT'ION REPJRT
The canpleted Section I. of the Evaluation Plan for this project, as outlined
in the Evaluation Procedures, will be submitted by April 1, 1984.
The cc�mpleted Sections IIe and III. will be sub�mitted to the Foundation upon
campletion of the project on Decenober 1, 1984.
PROGR�SS REPORTS
Pragress Reports should describe tlae project's activities and outcames
acco�plished to date.
An interim Progress Report will be subanitted on August 1, 1984. _
The final Pcogress Report will b� submitted upon completion of the project on
Dec�ber 1, 1984.

CRA�'VT AGREEMENT
7his Agreement, made and executed this �_ day of �ebruarv .
�984 , by and between the Narthwest Area Foundatipn (hereinafter referred to
�s "Grantor'"1, and CITY OF SAINT PAUL � I�ereinafter
referred to as "Grantee").
Grantor agrees to make the following grant, and Grantee agrees to accept
such grant, in accardance with the terms and conditions hereinafter set forth.
1. AMOUNT AND TERMS OF THE GRANT. The amount of the grant and terms of
paymenfi slna�� be as stated_in t,�� SUP�MARY OF GRANT A�REEMENT attached hpr�t�
ar+d hereby made a part hereof.
2. SPECIFIC PURPOSES OF THE GRANT. The grant shall be used solely for,
and expended in the manner and over fihe period of times described ic� the grant
application date� O�tober 7,� 1983 , Grantee agrees to notify Grantor
a�f and ab�ain its consent to, any substan�ial deviations from said grant
applicafiion.
3. RECORD KEEPIN�. Grantee .agrees to maintain its books and records to

made by the Grant�e in furtheranc� of the purposes specified in the Grant
Agreement �nust be charged against the grant, Grantee will maintain recards

4� R�PORTS TQ GRA��TOR. With resp�ct to each grant, Grantee sha�1 �r�pply
Grantor ►�ith a repor� or reports showing (a) the use of funds c�ranted based
upon the re�ards of the Grantee, detaili�g all ex�enditures made from sueh

encountered during the reporting period. Such reports shall be furnished as
provided for in the SUMMARY OF GRANT AGREEMENT.
5. AVAILABILITY OF GRANTEE'S RECQRDS. Grantee will maintain its records �
Qf exp�nditures fram the grant, as well as copies of the report� submitted by �
3t to Grantor with respect to such grant, far at least four years after completion
or termination of the project.
� 6. REPAYMENT OF THE GRANT. Grantee will repay to Grantor any portian �
c�f the amaunt granted which is not �sed by Grantee for the purposes specified
in Grant Agreement. -
7. ACTIONS AGAINST GRANT�E. Grantee agrees that it will immediatety
�otify Grantor af any lawsuit, or any proceeding before any federal , state, or
iocal administrative agency, wh'ich may be initiated against it, including (but
not limited to) any proceeding against the Grantee which might affect its tax-
�xempt sta�us under federal or state law and any proceeding which might affect
its status as "not a private foundatian.°
8. COPYRIGHT OR PATENT, If any �opyrights or pat�r�ts result fram F�ur�datzor!-
�upported research or program, they s�all b� the property of the sponsorir�g
institution; but the sponsor shall take appropriate steps to assure that the
copyrigh�ed or patented materials or devices are made available to the public
at �o charge or afi a reasonable charge. �
9. TfRMIP�ATION. Thi� Agreement may be terminated at any time by m�tual _
agreement in writin�. Grantor also reserves the right, as to any moneys not
yefi paid under this Agreement, to withhold payment if (a) Grantee fa11s tc�
submit tp it any repart or reports required hereunder, or (b) ff it sh�1t learr�
that Grantee°s tax-exempt status is tentatively or finally withdrawn or suspended
by federal or state authority. Said withheld payment or payments may be �ater

re�eased, but aniy at the discretion of Grantor. Upon any final termination of
th�s Agreement, Grantee shall promp�1y upon request of Grantor, repay to Grantor
a�� unexpended grant funds, and Grantee shall not be entitled tp any further funds

10. MINNESOTA LAW. This Agreement shall be governed by the laws of the
state of Minnesota. `
