RESOLUTION ESTABLISHING A PROGRAM FOR
CLASSIFICATION OF EMPLOYNIENT PROPERTY
IN THE RIVERFRONT ENTERPRISE ZONE
WHEREAS , by Resolution No. 280279 adopted August 30, 1983 ,
upon determination of eligibility under Minnesota Statutes Section
273 . 1312 Subdivision 4, including the existence of economic hard-
ship criteria, the Council of the City of Saint Paul identified a
�roposed enterprise zone in the riverfront area of the City and
a��roved submission to the Minnesota Commissioner of Energy,
�lanning and Development of an application for enterprise zone
�:�s?�nation in accordance with Section 273 . 1314, a copy of which
a��lication dated August 30, 1983 , entitled "Proposal For City of
Sa:�n.t �aul Riverfront Enterprise Zone" is on file with the City
Clerlc; and
WHEREAS , on October 31, 1983 , the Commissioner of Energy,
Planning and Development designated the riverfront area of the
City identified in Resolution No . 280279 as an enterprise zone
and approved State tax reductions , including sales tax exemptions
and income and property tax credits n�t to exceed $4, 500, 000 in
accordance with Section 273 . 1314 Subdivision 9 ; and
GTHEREAS, the qualifying local contribution for enterprise
zone designation and State tax reductions is a property tax
reduction for employment property as provided in Section 273 . 1313 ,
and the classification of enterprise zone property as "employment
property" by the State of Minnesota Commissioner of Revenue in
accordance with Subdivision 2(a) of said section requires the

WHEREAS , the City Council has considered a pro�ram document
entitled "City of Saint Paul Riverfront Enterprise Zone Program" ,
dated January 24, 1984, consisting of five pages of text pub-
lished verbatim in the St. Paul Dispatch, St . Paul Pioneer Press
on Saturday, February 4, 1984, together with a Notice of Prelim-
inary and Final Public Hearings thereon, and attachments lettered
A through G, and as said document text and attachments have been
revised dated March 7 , 19$4 by the Council Finance, Management
and Personnel COmmitte2 and further revised at this meeting; and
WHEREAS , pursuant to said Notice of Public Hearing and
direction of the City Council , the Finance , Management and
Personnel Committee considered the Riverfront Enterprise Zone
Program in public hearing on February 16 , 1984 and in meetin�s
held March 1 , and March 13., 1984, and a public hearing was con-
ducted by the City Council on February 23 , 1984, at which oppor-
tunity has been presented to all interested persons to submit
data and views upon the Riverfront Enterprise Zone and Program
for classification of Zone property, and on March 13 , 1984, the
City Council having further considered said Program, the sub-
missions by interested persons and the recommendation of the
Finance, Manag�ment and Personnel Committee; now therefore , be
it
RESOLVED, by the Council of the City of Saint Paul as
follows :
l. That there has been presented to this meeting a docu-
ment entitled "City of Saint Paul Riverfront Enterprise Zone
Program" (the "Program") dated March 7 , 1984, consisting of

six pages of printed text stating the program ;oals , objectives
and definitions , identifying program tax reduction incentives
consisting of employment property real estate tax classification
and state tax exemptions and credits , providing a tax classifica-
tion application process and guidelines for City Council consideration
of such applications , and provisions relating to duration of the
enterprise zone and period of tax reductions , conditions for
and manner of their revocation, and quarterly and annual reportin�;
of economic activity and new employment and trainin� progress ;
and that attachments to the Program text consist of -
Attachment A Enterprise Zone Location and Acreage
Map ;
Attachment B Economic Hardship Area: 1980 Census
Tracts ;
Attachment C Pre-Application for Tax Credits Form;
At�Cachment D Application for Tax Credits Form;
Attachment E List of Governmental Units Levying
Property Taxes in the Zone;
Attachment F Provision for Repayment of Tax
Reductions ; and
Attachment G Employment and Training Section of
the Program Participation Agreement .
2. That the Riverfront Enterprise Zone Area is randomly
developed with r.iixed commercial, industrial , transportation and
public utility usage dating from the City' s beginnings and
presently characterized by significant areas of vacant and
underutilized 1and, by low intensity and inefficient use of land,

by deteriorating buildings and facilities in uses being rendered
technologically obsolete, and by other factors which have inhibited
capital investment in building renovation and new construction
resulting in the physical and economic deterioration of the area,
loss of jobs and employment opportunity, reduced property values
and a declining tax base.
3 . That the Riverfront Enterprise Zone is located within
and abutted by an area of economic hardship (Economic Hardship
Area) characterized by the existence of aged and dilapidated
housing, by a percentage of households falling below the poverty
level more than twice the City wide percentage of poverty house-
holds , by per capita incomes significantly less than those of the
City and of the Metropolitan Area (SMSA) and by unemployment twice
the City wide level .
4. That the Economic Hardship Area population is 34, 051
persons of whom 24. 1% are minority persons , constituting 26 . 9%
of the City` s minority population; that the Area contains 13%
of the City' s total households and 26% of the total of City
households below the poverty level; that the per capita income
of the Area is 71 . 34% of City wide per capita income and 56 . 25%
of the Metro�olitan Area per capita income; and that unemploy-
ment in the Economic Hardship Area in January 1984 was an estimated
10. 9% compared to a City wide rate of 5 . 6%.
5 . That public assistance is necessary to induce private
investment in the economic revitalization of the Enterprise
Zone and to provide employment opportunity for Economic Hardship
Area residents and employment opportunity and training; for unem-
ployed minority, female, handicapped and economically disadvanta,ed
persons ; and that the system of tax incentives authorized under
Minnesota Statutes Section 273 . 1314 Subdivision 9 and provided
for in Riverfront Enterprise Zone Program is desi�ned to effec-
tuate these purposes and to alleviate these elements of economic
hardship and distress .

I am happy to transmit to you the Program for City of Saint Paul Riverfront Enter—
prise Zone. As you no doubt recall, city staff developed a draft of this document,
which I transmitted to you January 30, 1984.
The public discussion and debate which has occurred in the interim appears to have
been very fruitful . I feel the revised document makes the program stronger, as
well as more focused. Implementation of the Riverfront Enterprise Zone Program
should help to revitalize this important part of our city, while at the same time
creating jobs for citizens of Saint Paul ,
I commend you on your insightful recommendations and look forward to working with
you to realize the potential of Saint Paul 's downtown riverfront.

RIVERFRONT ENTERPRISE ZONE PROGRAM
In 1983 the Minnesata Legislature enacted an Enterprise Zone Program for Minnesota
cities and counties. Enterprise zones are a new approach to revitalizing distressed
areas of the state. Their purpose is to create jobs and stimulate business
development by providing tax incentives to private enterprises. Businesses
located within Saint Paul's Riverfront Enterprise Zone (Attachment A) can become
eligible for a variety of state 'and local tax reductions.
A. G�AL
The goal for Saint Paul 's Riverfront Enterprise Zone is the same as that .
stated in the cit,�'s Comprehensive Plan as the goal of its economic develop-
ment strategy. Namely:
"Saint Paul is committed to a strong, diversified and expanding local
economy, to ensure the well-being of its citizens, and the fiscal
strength af the city. °
6. OBJECTIVES - � _
The objectives for the city's Enterprise Zone Program flow out of this goal '
ard re-af`irm Saint Paul 's commitment to i,icreasing the city's tax base
and the number of available jobs, as well as to improving thQ climate for
business ventures. At the end of the Enterprise Zone Program, the city
hopes to meet the fo? lowing objectives:
1. Private-to-public ratio of $8.00 private investment per $1.00 public
tax .rer�uction or credit;
2. One new or retained job aer $10,000 tax credits or reduct.ions;
3. One new job per $20,000 tax crpdits or reductipns; .
4. Ach�ev� tr� maximur�, ot new jobs fil �ed b�� economic hardshi� area (Attachment
6; residents �or persons who are economically disadvantaged or of a protected .

ob�ective will �e schieved through a signed Pa�ticipation A�reement, which
� will con�ain a section (Httachment G) on employment and training, detailing
the tvpes oi iobs to 5e created and an estimated hiring schedule. -
C. OEFINJTIONS
1. "EmRloyment property" means taxable property, excluding land but including
buildings, structures, fixtures, and improvements that satisfy each
of the following conditions:
(a) ThE property is located within the enterprise zone (Attachment A).
(b) The property is comnercial or industrial property which is not used . '
in a trade or business which either is described in section 103
(b)(6)(0) of the Internal Revenue Code of 1954, as amended through
January 15, 1983 (i.e. - ineligible for industria] revenue bonds)
or is a public utility.
2. "Market value" of a parcel of employment property means the value of the taxable •
property as annua]ly determined less .
(a) the market value of all property existing at the time of application
for classification, as last assessed prior to the time of application,
and
(b) any increase in the market value of the property referred to in
clause (a) as assessed in each year after the employment property
is first placed in service.
In each year, any change in the values of the employment property and _
the other property on the land is deemed to be proportionate unless
caused by a capital improvement or loss.
D. AVAILABLE INCENTIVES
On a case-by-case bas�s, the City Council may approve the following types
of incentives for businesses located in the enterpr�se zone, subject to
approval by the Comnissioner of Revenue:
1. Local. The local contribution necessary te take advantage of available .
state incentives may be a property tax reduction for property. defined
as employment property or a contribution out of local funds in an amount
equal to such a property tax reduction.
Employment property, as defined in Section C above, receives a tax reduction
� in th�t it constitutes a new class of property, 4�, and is valued and
assessed at 20 percent of the first $50,000 of market value and 21.5
percent of the remainder for the taxes levied in the year in which the
classification is approved and for the four succeeding years after the
approval. . .
It should be i�oted that by defini�tion this reduction only applies to �
ary increase in market value caused by new investment in eligible property. .
2. State. '

E. DURATION OF ZONE
By State Statute, Saint Paul 's Riverfront Enterprise Zone is effective for
seven years after the date of designation, Nhich was October 31, 1983.
That is, tax incentives may be negotiated and approved only during the seven-
year life of the zone. Such incentives may, however, outlive the zone itself:
for example, begin in year six and run through year eleven.
F. APPLICATION PROCESS
1. Riverfront Office staff ineets with a business to explain the enterprise
zone program and to determine e7igibility.
2. The business files a preapplication and a non-refundable $500 fee with
the Riverfront Office of the Department of Planning and Economic Develop-
ment. (Attachment C)
3. Riverfront Office staff ineets with the business to negotiate the amount
of enterprise zone incentives, if appropriate.
4. The negotiated fina�cial package is written as part of a draft Partieipation
Agreement an� reviewed by the City Attorney's Office.
5. Riverfront Office staff completes its review by issuing a report which
describes:.
a. the proposed employment property; �
b. the facility or improvement and its proposed use;
c. any projected increase in market value;
d. the number of jobs created or retain�d;
e. the draf t Participation Agreement; and which
f, sets forth a recommendation as to whether the proposed property
reclassification should be favorably considered by the Mayor ,and.
• City Council. � �
6. Following completion of the staff report, an application for reclassification
(Attachment D) is fi?ed with the Riverfront Office, along with a $1500
non-refundable application fee. A copy �f the application is also filed
with the City C1erK.
7. Upon receipt of an application, the city clerk wi11 furnish a copy to
the assessor for .the property and to the gover�ning body of each school
district and other public body authorized to levy taxes on the property
� (Attachment E). The Clerk will also publish a notice in the pfficial
newspaper of the time and place of a hearing to be held by the Saint '
Paul City Council on the application, not less than 30 days after the
notice is published. �This notice will state that t�he applicant, the
assessor, representatives of the affected taxing authorities, and any
Saint Paul taxpayer may be heard or may present their views in writing
at or before the hearing. �
8. Through the use of the Early Notification System (ENS), the Riverfront
Office will provide n:�tice of all such applications filed to the affected
district council. A copy of the staff report and app]ication will be
made available to members of the ENS and other interested parties upon
request.

9. Following the public hearing, the City Council �will make the final decision .
to approve or disapprove the application for reclassification within ,
30 days of the hearing. If disapproved, the reasons sha]1 be set forth
in the City Council resolution. If approved, the resolution shall include
determinations on the guidelines below (Section G) .
10. The applicant may appeal a disapproval to the Commissioner of Revenue
within 30 days thereafter, but only on the ground that the determination
is arbitrary, in relation to prior determinations as to classification
under the program, or based upon a mistake of law.
11. Within 60 days after receipt of an approved application or an appeal
from the disapproval of an application, the Commissioner of Revenue
will act upon it. The Comnissioner of Revenue will approve each application
approved by the City Council if he/she finds it complies with the prov�sions
of Minnesota Statutes Section 273.1313. If he/she disapproves the application,
or finds grounds exist for appeal of a disapproved application he/she
will transmit the finding to the City Council and the applicant.
12. When grounds for appeal have been determined to exist, the City Council
will reconsider and take further action on the application within 30
. days af ter receipt of the Commissioner's of Revenue notice and serve
written notice of the action upon the applicant.
13. The applicant, within 30 days af ter receipt of notice of final disapproval
by the Commissioner of Revenue or City Council, may appeal from the
disapproval to a court of competent jurisdiction.
G. REVOCATION
1 . The City Council �a}�� ma revoke an alternative local

to approve t e revocation of a classification pursuant to
P�Zir-*�esota Statutes Section 273 . 1313 if it finds and �
deterLnines by resolution, after hearing upon notice mailed �

longer period that may have been allowed in the
approving resolution or may be necessary due to

— with the construction or improvement of the
facility, or with its operation, in a manner
which is consistent with the purpose of
Minnesota Statutes Section 273 . 1313 and is
possible under circumstances reasonably
within the control of the applicant .

likely to create new employment or prevent a loss of employment in Saint

existing employment from one or more othe p

3. The proposal should not be likely to cause the total market value of .
employment property within Saint Paul to exceed five percent of the
total market value of all taxable property within the city, or if it
will, the resulting limitation upon the increase of the assessed value
of all taxable property within Saint Paul , considering the amount of
additional municipal services likely to be required for the employment
property, should not be likely to substantially impede the operation
• or the financial integrity of the city or any other public body levying _
taxes on property in the city.
4. The proposal should not result in the reduction of the asse;sed value
of existing property within Saint Paul owned by the applicant, through
abandonment, demolition, or otherwise, without provision for the restoration
of the existing property within a reasonable time in a manner sufficient
to restore the assessed valuation.
5. The applicant should be ab�ie to demonstrate land control and f�nancial
capability. �
6. The applicant should address the enterprise zone program's objectives
of leverage, job creation, public purpose, and tax base. ,
7, The proposal should conform with all adopted and applicable city plans.
8. Energy conservation should be encouraged.

9. Each Participation Agreement should contain recapture provisions, which
include those contained in Minnesota statutes 273.1314, Sec. 10, Subd.
10 (Attachment F).
10. Each Participation Agreement should contain -a�r a section on employment
and training ag��e�w►e� which specifies employer cooperation with the
city's Division of Job Creation and Training in order to locate qualified
applicants for new]y created jobs (Attachment G). This a�r�c�emeTr�"
section will be administered and monitored by the Division of Job Creation
and Training.
I. REPORTING
1. Public quarterly reports will be made by the Division of Job Creation
and Training detailing the number of referrals and placements made to
businesses participatinq in the program.

J. SUMMARY
Each enterprise zone proposal will be the result of a unique set of circumstances
and needs. It would be counterproductive to develop guidelines which are
too detailed and would unduly hamper the freedom to negotiate. Therefore,
guidelines are intentionally not. included for. components of the agreements -
such as specific uses, locations, interest rates and repayment schedules.
However, in all development situations these issues and others will be considered
and weighed. The package which provides the greatest long rangE+ benefit
to the city will be pursued by city staff.

I. GENERAL
A. The City desires to increase employment opportunities for long-term
unemployed, economically disadvantaged Saint Paul residents, with Developer/
Employers for jobs within Saint Paul 's Riverfront Enterprise Zone.
B. Developer/Employer agrees to use the City as its primary source for
� recruitment, training, referral, and placement of new or replacement
entry level employees in accordance with the terms of this Agreement.
C. The City's delegate agency will be the Division of Job Creation and
Training in the Department of Planning and Economic Development, Saint
Paul, MN 55102 (Job Creation) , or any other appropriate City agency
as may be designated by the Mayor.
D. This Agreement becomes effective upon the date hereof and shall continue
. for. five years from the time Employer/Developer occupies facilities
in the Riverfront Enterprise Zone, unless terminated as provided herein.
E. This Agreement shall be applicable to all Developer/Employer new or
replacement entry level positions for which CETA-eligible persons are .
or might reasonably be available. This Agreement shall not apply to
those jobs covered by existing collective bargair�ing agreements or other
contracts to which the Developer/Employer is a party, where the terms
of this Agreement would cause Developer/Employer to breach the provisions
of such agreements.
II. RECRUITMENT
A. The employment posit�ions covered by this Agreement include all Developer/
Employer job openings performed within the Riverfront Enterprise Zone,
' in the classifications, titles and qualifications contained in Exhibit
A.
, B. The Developer/Employer will notify Job .Creation of its need for new
employees in covered positions as soon as the Developer/Employer decides
to hire such employees or. if possible. e}g��ee�-���� ninety (90) working days
prior to the expected hiring dates. Notification may include the information
required in Exhibit A.
C. The Developer/Employer will provide Job Creation with its best estimate
of the number and timing of potential job openings, through use of the
form provided in Exhibit B.

D. The Developer/Employer may notify Job Creation of all vacancies for
Developer/Employer job openings in� the Riverfront Enterprise Zone which
are not covered by this Agreement. The Developer/Employer is not obligated
to hire employees from these referrals from Job Creation.
E. Job openings which are filled by internal promotions from the Developer/
Employer's local work force are not covered by this Agreement.
III. REFERRAL
A. Job Creation will refer applicants according to the qualifications requested
by Developer/Employer.
B. If training for specific job openings has been agreed upon between the
City and Developer/Employer in a separate agreement under paragraph
V. hereof, trainee applicants will be considered qualified only when
the training is successfully completed by applicant.
C. Developer/Employer reserves the right to make all decisions on hiring
new or additional employees, including the qualifications of applicants,
but agrees to hire=for covered positions from among those persons referred
by Job Creat�ion who meet the job descriptions and qualificationsT, or other
persons certified as eligible.
IV. PLACEMENT
A. When Developer/Employer notifies Job Creation of job openings in covered
positions prior to e�g��ee�-��8� ninety (90) working days in advance of the
proposed date to hire, Job Creation will notify the Employer five (5) working
days prior to the a���e��a�e�-�����g application closing date of the number
of applicants Job Creation will refer.
6. If Job Creation cannot refer the total number of qualified applicants,
the Developer/Employer may fill the remaining positions by any means.
C. Job Crea}ion will a) provide assistance and monitor job retention of
employees placed under this agreement for six months, and b) monitor
Developer/Employer's performance under this Agreement. Developer/Employer
will submit Quarterly Hiring Summaries, in substantially the form attached
as Exhibit C.
D. After the Developer/Employer has hired an applicant referred by Job
Creation, Job Creation will not be responsible for the employee's conduct .
and the Developer/Employer releases the city from any liability for �
the actions of such employees.
V. TRAINING
A. Job Creation and the Developer/Employer may agree in a separate agreement
to develop classroom training, on-the-job training, pre-employment training
or other training programs. The training specifications and cost for
such training shall be set forth in that Agreement.
B. The Developer/Employer will not discontinue routine on-the-job training
to employees hired under this Agreement, because of this Agreement or
supplements to this Agreement.

VI. CONTROLLING LAWS AND AGREEMENTS
A. If this Agreement conflicts with or requires Developer/Employer to breach
an existing collective bargaining agreement or any other existing agreements,
said agreements shall prevail .
B. Developer/Employer will provide Job Creation with written evidence that
Developer/Employer has provided the representative of any collective
� bargaining unit with a copy of this Agreement and has requested cortments
� from said unit. Developer/Employer will provide such comnents to Job
Creation.
C. The Developer/Employer will not violate any local , state, or federal
law or regulation.

VIII. DEFINITIONS

As you will recall , City Council approved the St . Paul Riverfront
Enterprise Zone application for submission to the Minnesota
Department of Energy and Economic Development last Aug;ust 30.
On Octaber 13 , 1983 , Commissioner Dayton designated St . Paul' s
selected area as one of the state' s five competitive-city enter-
prise zones . These five zoiies complement the six border-city
enterprise zones .
The attached Riverfront Enterprise Zone program sets forth the
goals , objectives , definitions , incenti.ves , duration, process ,
and guidelines necessary to implement the program. St . Paul' s
Riverfront Enterprise Zone program has the potental to revitalize
one of the city' s most underutilized areas , while at the same time
expanding the city' s employment and tax bases . I urge you to adopt
the specifics of this program, which you approved in concept last
year , and help to realize that potential .
The City Attorney' s Office advises that the program should be
considered arter pub7_ic hearin� upon published notice and opnor-
tunity for �aritten submission prior to Council approval of the
Program. A resolution setting date for hearing and form of
notice to publication are enclosed.

� � RIVERFRONT ENTERPRISE ZONE PROGRAM
In 1983 the Minnesota Legislature enacted an Enterprise Zone Program for Minnesota
cities and counties. Enterprise zones are a new approach to revitalizing distressed
areas of the state. Their purpose is to create jobs and stimulate business
development by providing tax incentives to private enterprises. Businesses
located within Saint Paul 's Riverfront Enterprise Zone (Attachment A) can become
eligible for a variety of state and local tax reductions.
A. GOAL
The goal for Saint Paul 's Riverfront Enterprise Zone is the same as that
stated in the city's Comprehensive Plan as the goal of its economic development
strategy. Namely:
"Saint Paul is committed to a strong, diversified and expanding local
economy, to ensure the well-being of its citizens, and the fiscal
strength of the city. "
B. OBJECTIVES
The objectives for the city's Enterprise Zone Program flow out of this goal
and re-affirm Saint Paul 's co�nitment to increasing the city's tax base
and the number of available jobs, as well as to improving the climate for
business ventures. At the end of the Enterprise Zone Program, the city
hopes to meet the following objectives:
1. Private-to-public ratio of $8.00 private investment per $1.00 public
tax reduction or credit;
2. One new or retained job per $10,000 tax credits or reductions;
3. One new job per $20,000 tax credits or reductions;
4. Achieve the maximum of new jobs filled by economically disadvantaged
persons confronted with substantial barriers to employment or unemployed
residents of the Enterprise Zone's economic hardship area (Attachment
6) through an employment and training agreement with the city's Division
of Job Creation and Training in the Department of Planning and Economic
Development.
C. DEFINITIONS
1. "Employment property" means taxable property, excluding land but including
buildings, structures, fixtures, and improvements that satisfy each
of the following conditions:
(a) The property is located within the enterprise zone (Attac"ment �; .
(b) The property is commercial or industrial property which is not used
in a trade or business which either is described in section 103
(b) (6) (0) of the Internal Revenue Code of 1954, as amended throuan .

2. "Market value" of a parcel of employment property means the value of
the taxable property as annually determined less
(a) the market value of all property existing at the time of application
for classificat.ion, as last assessed prior to the time of application,
and
(b) any increase in the market value of the property referred to in
clause (a) as assessed in each year after the employment property
is first placed in service.
In each year, any change in the values of the employment property and
the other property on the land is deemed to be proportionate unless
caused by a capital improvement or loss.
D. AVAILABLE INCENTIVES
On a case-by-case basis, the City Council may approve the following types
of incentives for businesses located in the enterprise zone, subject to
approval by the Commissioner of Revenue:
1. Local. The local contribution necessary to take advantage of available
state incentives may be a property tax reduction for property defined
as employment property or a contribution out of local funds in an amount
equal to such a property tax reduction.
Employment property, as defined in Section C above, receives a tax reduction
in that it constitutes a new class of property, 4d, and is valued and
assessed at 20 percent of the first $�0,000 of market value and 21.5
percent of the remainder for the taxes levied in the year in which the
classification is approved and for the four succeeding years after the
approval .
It should be noted that by definition this reduction only applies to
any increase in market value caused by new investment in eligible property.
2. State.
a. An exemption from the general sales tax imposed by Chapter 297A
for purchases of construction materials or equipment for use in
the ione;
b. A credit against the income tax of an employer- for workers emplayed
in the zone, other than workers employed in construction, up to
a maximum of $1,500 per employee, or up to $3,000 per minority,
female, handicapped, economically disadvantaged employee, or unemployed
resident of the zone' s economic hardship area (Attachment B) .
c. An income tax credit for a percentage of the cost of debt financing
to construct new facilities in the zone;
d. A state paid property tax credit for a portion of tne property taxes .
paid by a new commercial or industrial facility or tne additional
property taxes paid by an expansion of an existing com;nercial or
industrial facility in the zone.

� � ' E. DURATION OF ZONE
By State Statute, Saint Paul 's Riverfront Enterprise Zone is effective for
seven years after the date of designation, which was October 31, 1983.
That is, tax incentives may be negotiated and approved only during the seven-
year life of the zone. Such incentives may, however, outlive the zone itself:
for example, begin in year six and run through year eleven.
F. APPLICATION PROCESS
1. Riverfront Office staff ineets with a business to explain the enterprise
zone program and to determine eligibility.
2. The business files a preapplication and a non-refundable $500 fee with
the Riverfront Office of the Department of Planning and Economic Develop-
ment. (Attachment C)
3. Riverfront Office staff ineets with the business to negotiate the amount
of enterprise zone incentives, if appropriate.
4. The negotiated financial package is written as part of a draft Participation
Agreement and reviewed by the City Attorney's Office.
5. Riverfront Office staff completes its review by issuing a report which
describes:
a. the proposed employment property;
b. the facility or improvement and its proposed use;
c. any projected increase in market value;
d. the number of jobs created or retained;
e. the draft Participation Agreement; and which
f. sets forth a recommendation as to whether the proposed property
reclassification should be favorably considered by the Mayor and
City Council .
6. Following completion of the staff report, an application for reclassification
(Attachment D ) is filed with the Riverfront Office, along with a $1500
non-refundable application fee. A copy of the application is also filed
with the City Clerk.
7. Upon receipt of an application, the city clerk will furnish a copy to
the assessor for the property and to the governing body of each school
district and other public body authorized to levy taxes on the property
(Attachment E ) . The Clerk will also publish a notice in the official
newspaper of the time and place of a hearing to be held by the Saint
Paul City Council on the application, not less than 30 days after the
notice is published. This notice will state that the applicant, the
assessor, representatives of tne affected taxing authorities, and any
Saint Paul taxpayer may be heard or may present their views in writing
at or before the hearing. �
8. Through the use of the Early Notification System (ENS) , the Riverfront
Office will provide notice of al ] such applications filed to the aff ected
district council . A copy of the staff report and application wi11 be
made available to members of the ENS and other interested parties upon
request.

9. Following the public hearing, the City Council will make the final decision
to approve or disapprove the application for reclassification within
30 days of the hearing. If disapproved, the reasons shall be set forth
in the City Council resolution. If approved, the resolution shall include
determinations on the guidelines below (Section G) .
10. The applicant may appeal a disapproval to the Commissioner of Revenue
within 30 days thereafter, but only on the ground that the determination
is arbitrary, in relation to prior determinations as to classification
, under the program, or based upon a mistake of law.
11. Within 60 days after receipt of an approved application or an appeal
from the disapproval of an applicaticn, the Commissioner of Revenue
will act upon it. The Commissioner af Revenue will approve each application
approved by the City Council if he/she finds it complies with the provisions
of Minnesota Statutes Section 273.1313. If he/she disapproves the application,
or finds grounds exist for appeal of a disapproved application he/she
will transmit the finding to the City Council and the applicant.
12. When grounds for appeal have been determined to exist, the City Council
will reconsider and take further action on the application within 30
days after receipt of the Corranissioner's of Revenue notice and serve
written notice of the action upon the applicant.
13. The applicant, within 30 days after receipt of notice of final disapproval
by the Corrmissioner of Revenue or City Council , may appeal from the
disapproval to a court of competent jurisdiction.
G. REVOCATION
The City Council will request the Corrrnissioner of Revenue to approve the
revocation of a classification pursuant to Minnesota Statutes Section 273.1313
if it finds and determines by resolution, af ter hearing upon notice mailed
to the applicant by certified mail at least 60 days before the hearing, that:
l. The construction or improvement of the facility has not been completed
within two years after the approval of the classification, or any longer
period that may have been allowed in the approving resolution or may
be necessary due to circumstances not reasonably within the control
of the applicant; or
2. The applicant has not proceeded in good faith with the construction
or improvement of the facility, or wi�h its operation, in a manner which
is consistent with the purpose of Minnesota Statutes Section 273.1313
and is possible under circumstances reasonably within the control of
the applicant.
N. GUIDELINES
l. The construction or improvement of th� racility should be reasonably

total market value of all taxable property within the city, or if it
will, the resulting limitation upon the increase of the assessed value
of all taxable property within Saint Paul , considering the amount of
additional municipal services likely to be required for the employment
property, should not be likely to substantially impede the operation
or the financial integrity of the city or any other public body levying
taxes on property in the city.
4. The proposal should not result in the reduction of the assessed value
of existing property within Saint Paul owned by the applicant, through
abandonment, demolition, or otherwise, without provision for the restoration
of the existing property within a reasonable time in a manner sufficient
to restore the assessed valuation.
5. The applicant should be able to demonstrate land control and financial
capability.
6. The applicant should address the enterprise zone program's objectives
of leverage, job creation, public purpose, and tax base.
7. The proposal should conform with all adopted and applicable city plans.
8. Energy conservation should be encouraged.
9. Each Participation Agreement should contain recapture provisions, which
include those contained in Minnesota statutes 273.1314, Sec. 10, Subd.
10 (Attachment F) .
10. Each Participation Agreement should contain an employment and training
agreement which specifies employer cooperation with the city's Division
cf Job Creation and Training in order to locate qualified applicants
for newly created jobs (Attachment G) . This agreement will be administered
and monitored by the Division of Job Creation and Training.
I. SUMMARY
Each enterprise zone proposal will be the result of a unique set of circumstances
and needs. It would be counterproductive to develop guidelines which are
too detailed and would unduly hamper the freedom to negotiate. Therefore,
guidelines are intentionally not included for components of the agreements
such as specific uses, locations, interest rates and repayment schedules.
However, in all development situations these issues and others will be considered
and weighed. The package which provides the greates� long range benefit
to the city will be pursued by city staff.

EMPLOYMENT AND TRAINING AGREEMENT
The Parties are:
The City of Saint Paul (City)
and .
(Developer/Employer)
The Agreement is:
I. GENERAL
A. The City desires to increase employment opportunities for long-term
unemployed, economically disadvantaged Saint Paul residents, with Developer/
Employers for jobs within Saint Paul 's Riverfront Enterprise Zone.
B. Developer/Employer agrees to use the City as its primary source for
recruitment, training, referral , and placement of new or replacement
entry level employees in accordance with the terms of this Agreement.
C. The City's delegate agency will be the Division of Job Creation and
Training in the Department of Planning and Economic Development, Saint
Paul , MN 55102 (Job Creation) , or any other appropriate City agency
as may be designated by the Mayor.
D. This Agreement becomes effective upon the date hereof and shall continue
for five years from the time Employer/Developer occupies facilities
in the Riverfront Enterprise Zone, unless terminated as provided herein.
E. This Agreement shall be applicable to all Developer/Employer new or
replacement entry level positions for which CETA-eligible persons are
or might reasonably be available. This Agreement shall not apply to
those jobs covered by existing collective bargaining agreements or other
contracts to which the Developer/Employer is a party, where the terms
of this Agreement would cause Developer/Employer to breach the provisions
of such agreements.
II. RECRUITMENT
A. The employment positions covered by this Agreement include all Developer/
Employer job openings performed within the Riverfront Enterprise Zone,
in the classifications, titles and qualifications contained in Exhibit
A.
B. The Developer/Employer will notify Job Creation of its need for new
employees in covered positions as soon as the Developer/Employer decides
to hire such employees or, if possible, eighteen (18) working days prior
to the expected hiring dates. Notification may include the information
required in Exhibit A.
C. The Developer/Employer will pravide Job Creation with its best estimate
of the number and timing of potential job openings, througii use of the
form provided in Exhibit B.

D. The Developer/Employer may notify Job Creation of all vacancies for
Developer/Employer job openings in the Riverfront Enterprise Zone which
are not covered by this Agreement. The Oeveloper/Employer is not obligated �
to hire employees from these referrals from Job Creation.
E. Job openings which are filled by internal promotions from the Developer/
Employer's local work force are not covered by this Agreement.
III. REFERRAL
A. Job Creation will refer applicants according to the qualifications requested
by Developer/Employer.
B. If training for specific job openings has been agreed upon between the
City and Developer/Employer in a separate agreement under paragraph
V. hereof, trainee applicants will be considered qualified only when
the training is successfully completed by applicant.
C. Developer/Employer reserves the right to make all decisions on hiring
new or additional employees, including the qualifications of applicants,
but agrees to hire for covered positions from among those persons referred
by Job Creation who meet the job descriptions and qualifications.
IV. PLACEMENT
A. When Developer/Employer notifies Job Creation of job openings in covered
positions prior to eighteen (18) working days in advance of the proposed
date to hire, Job Creation will notify the Employer five (5) working
days prior to the anticipated hiring date of the number of applicants
Job Creation will refer.
B. If Job Creation cannot refer the total number of qualified applicants,
the Developer/Employer may fill the remaining positions by any means.
C. Job Creation will a) provide assistance and monitor job retention of
employees placed under this agreement for six months, and b) monitor
Developer/Employer's performance under this Agreement. Developer/Employer
will submit Quarterly Hiring Summaries, in substantially the form attached
as Exhibit C.
D. After the Developer/Employer has hired an applicant referred by Job
Creation, Job Creation will not be responsible for the employee's canduct
and the Developer/Employer releases the city from any liability for
the actions of such employees.
V. TRAINING
A. Job Creation and the Developer/Employer may agree in a separate agreement
to develop classroo�n training, on-the-job training, pre-employment training
or other training programs. The training specifications and cost for
such training shall be set forth in that Agreement.
B. The Developer/Employer will not discontinue routine an-the-�ob training
to empioyees hired under this Agreement, because of this Agreement or
� supplements to this Agreement.

VI. CONTROLLING LAWS AND AGREEMENTS
A. If this Agreement conflicts with or requires Developer/Employer to breach
an existing collective bargaining agreement or any other existing agreements,
said agreements shall prevail .
B. Developer/Empl�oyer will provide Job Creation with written evidence that
Developer/Employer has provided the representative of any collective
bargaining unit with a copy of this Agreement and has requested co�nents
from said unit. Developer/Employer will provide such cornrnents to Job
Creation.
C. The Developer/Employer will not violate any local , state, or federal
law or regulation.
VII. MISCELLANEOUS
A. If Developer/Employer transfers all or a portion of its business to
any other party by lease, sale, assignment, or otherwise, the Developer/
Employer shall notify successor of the existence of this Agreement,
notify City of the transaction prior to closing, and require successor
to meet, confer and enter into with City on a new Employment and Training
Agreement.
B. Developer/Employer and City may mutually agree to modify this Agreement
in order to improve the coverage, procedures, or working relationship
described herein or any other appropriate reason.
C. The City may terminate this Agreement at any time by thirty (30) days '
written notification to Developer/Employer if the suspension or termination
of any grants or budgetary reductions funding its operations under this
and similar Agreements, substantially impair City's ability to meet
its obligations herein.
D. Developer/Employer may terminate this Agreement by thirty (30) days '
written notice to City for material breach of this Agreement.
E. In the event of any material dispute between the Parties hereto relating
to the application or operation of this Agreement, said dispute shall
be resolved by mediation between the parties to this Agreement together
with the Saint Paul Riverfront Office. Mediation meetings shall be
convened and chaired by the Mayor of the City of Saint Paul .

NOTICE OF PRELIMINARY AND FINAL PUBLIC HEARINGS
UPON PROPOSED FINDING OF NECESSITY AND ADOPTION
OF AN ENTERPRISE ZONE PROGRAM FOR A CONSIDERATION
OF TAX CLASSIFICATIONS APPLICATIONS
Pursuant to Minnesota Statutes , Section 273.1313 Subdivision 2(1)
the Council of the City of Saint Paul proposes the adoption of a
resolution establishing a program for classification by the Comm-
issioner, Minnesota Department of Revenue of new industrial property
or improvements to existing property within the Saint Paul Riverfront
Enterprise Zone heretofor designated by the Commissioner, Minnesota
Department of Energy, Planning and Development.
The program to be established for the filing, consideration and
approval or disapproval of application for classification of property
within said Enterprise Zone as Industrial Employment Property for
purposes of assessment and levy of real property taxes is entitled,
CITY OF SAINT PAUL RIVERFRONT ENTERPRISE ZONE PROGRAM, dated
January 24, 1984, and its text is published verbatim and its attach-
ments identified hereafter. Copies of the Program text and Attach-
ments A through G, inclusive, are available at the City Clerk' s Office�
Room 386 , City Hall and Courthouse, 15 West Kellogg Boulevard, Saint
Paul, Minnesota, and at the Riverfront Office, 268 City Hall Annex,
25 West Fourth Street, Saint Paul, Minnesota, 55102.
A PUBLIC HEARING will be held before the City Council in the ����,`�

RIVERFRONT ENTERPRISE ZONE PROGRAM ���`��
In 1983 the Minnesota Legislature enacted an Enterprise Zone Program for t�linnesota
cities and counties. Enterprise zones are a new approach to revitalizing distressed
areas of the state. Their purpose is to create jobs and stimulate business
development by providing tax incentives to private enterprises. Businesses
located within Saint Paul 's Riverfront Enterprise Zone (Attachment A) can become
eligible for a variety of state and local tax reductions.
A. GOAL
The goal for _Saint Paul 's Riverfront Enterprise Zone is the same as that
stated in the city's Comprehensive Plan as the goal of its economic development
strategy. Namely:
"Saint Paul is committed to a strong, diversified and expanding local
economy, to ensure the well-being of its citizens, and the fiscal
strength of the city. "
6. OBJECTIVES
The objectives for the city's Enterprise Zone Program flow out of this goal
and re-affirm Saint Paul 's comnitment to increasing the city's tax base
and the number of available jobs, as well as to improving the climate for � .
business ventures. At the end of the Enterprise Zone Program, the city
hopes to meet the following objectives: �
. 1. Private-to-public ratio of $8.00 priva�e investment per $1.00 public
tax. reduction or credit; -
2. One new or retained job per $10,000 tax credits or reductions;
3. One new job per �20,000 tax credits or reductions;
4. Achieve the maximum of new jobs filled by economically disadvantaged
persons� confronted with substantial barriers to employment or unemployed
residents of the Enterprise• Zone's economic hardship area (Attachment
6) tnrough an employment and training agreement with the city's Division
of Job Creation and Training in the Department of Planning and Economic
Development. �
C. DEFINIiIONS
1. "Employment property" means taxable property, excluding land but including
buildings, structures, fi�tures, and improvem�n�s that satisfy each
of the following conditions :
(a) The property is located wi�hin the enterprisz zone (Rttachm�n� A)�.

(b) The property is co�nercial or industrial property which is not used
in a trade or business v;hich either is described in section ?03
{b) (6) (0) of tne ?nrernal Revenue Code of 1954, as. amend2d through
Januzry� l5, 1983 (i .e. - ineligibl�e for in�ustrial revenue bonds)

2. "Market value" of a parcel of employment property means thervalue of
' the taxable property as annually determined less
(a) the market value of all property existing at the time of applicatiorr
for classification, as last assessed prior to the time of application,
and
" (b) any increase in the market value of the property referred to in
clause (a) as assessed in each year. after the employment property
is first placed in service.
In each year, any change in the values of the employnent property and
the other property on the land is deeme� to be proportionate unless
caused by a capital improvement or loss.
D. AUAILABLE INCENTIVES
On a case-by-case basis, the City Council may approve the following types
of incentives for businesses located in the enterprise zone, subject to
� approval by the Commissioner of Revenue: _ _
1. Local. The local contribution necessary to take advantage of available
state incentives may be a property tax reduction for property defined
as employment property or a contribution out of local funds in an amount
equal to such a property tax reduction.
Employment property, as defined in Section C �above, receives a tax reduction
in that it constitutes a new class of property, 4d, and is valued and
� assessed at 20 percent of the first �50,000 of market value and 21.5
percent of the remainder for the taxes levied in the year in which the
classification is approved and for the f our succeeding years after the
approval .
It should be noted that by definition tliis reduction only applies to
any increase in market value caused by �new :investment in eligible property.
2. State. '
a. An exemption from the general sales tax imposed by Chapter 297A
f or purchases of construction materials or equipment for use in
the zone;
b. A credit against the income tax of �n employer for �,�orkers employed
in the zone, other than workers employed in construction, up to
a maximum of �1,500 per e�nployee, or up �o �3,000 per minority,
female, handicapped, economically disadvantaged ernployee, or unemployed
resident of the zone's economic hardsi�ip area (Attachment 3) .
c. An income tax credit for a percentage of the cost of debt financing
to construct new facilities in the zone; ' '
d. A st�te paid property tax credit for a po�'tion of the prOperty :3xes
paid by . a new coirrnercial or industri�l `�cility or �ne addi�ional
�roperty taxes paid by an expansion of ar� existing corn�nercial or
incustrial `acility in the zone. �

E. OURATION OF ZONE .
� By State Statute, Saint Paul 's Riverfront Enterprise Zone is effective for
seven years after the date of designation, which was October 31, 1983.
That is, tax incentives may be negotiated and approved only during the seven-
year life of the zone. Such incentives may, however, outlive the zone itself:
for example, begin in year six and run through year eleven. �
F. APPLICATION PROCESS
1. Riverfront Office staff ineets with a business to explain the enterprise '
zone program and to determine eligibility.
2, The business files a preapplication and a non-refundable $500 fee with
the Riverfront Office of the Department of Planning and Economic Develop-
ment. (Attachment C)
3. Riverfront Office staff ineets with the business to negotiate the amount
of enterprise zone incentives, if appropriate.
4. The negotiated financial package is written as part of a draft Participation
Agreement and reviewed by the City Attorney's Office.
5. Riverfront Office staff completes its review by issuing a report which
describes:
a. the proposed employment property;
b. the facility or improvement and its proposed use;
c. any projected increase in market value;
d. the number of jobs created or retained;
e. the draft Participation Agreement; and which
f. sets forth a recommendation as to whether the proposed property
reclassification should be favorably considered by the h�ayor and
City Council. �
6. Following. completion of the staff report, an application for reclassification
(Attachment D ) is filed with the Riverfront Office, along with a �1500
non-refundable application fee. A copy of the application is also filed
with the City Clerk.
7. � Upon receipt of an applicati�on, the city clerk will furnish a copy to
the assessor for the property and to the governing body of each school
district and other public body authorized to levy taxes on the property
� (Attachment E ) . The Clerk will also publish a notice in the official
newspaper of the time and place of a hearing to be held by the Saint
Paul City Council on the application, not less than 30 days after the
notice is published. This notice will state that. the applicant, the
assessor, representatives af the affected taxing authorities, and any
Saint Paul taxpayer may be heard or may present thei►- vie�,s in ►•rriting

9. Following the public hearing, t�he City Council will make the final decision
to approve or disapprove the application for reclassification within
30 days of the hearing. If disapproved, the reasons shall be set forth
in the City Council resolution. If approved, the resolution shall include
determinations on the guidelines below (Section G) .
10. The applicant may appeal a disapproval to the Commissioner of Revenue
within 30 days thereafter, but only on the ground that the determination
is arbitrary, in relation to prior determinations as to classif�cation
under the program, or based upon a mistake of law.
11. Within 60 days after receipt of an approved application or an appeal
from the disapproval of an application, the Commissioner of Revenue
will act upon it. The Corr�nissioner of Revenue will approve each application
approved by the City Council if he/she finds it complies with the provisions
of Minnesota Statutes Section 273.1313. If he/she disapproves the application,
or finds grounds exist for appeal of a disapproved application he/she
will transmit the finding to the City Council and the applicant.
12. When grounds for appeal have been determined to exist, the City Council
will reconsider and take further action on the application within 30
days after receipt of the Cor�nissioner's of Revenue notice and serve
written notice of the action upon the applicant.
13. The applicant, within 30 days after receipt of notice of final disapproval
by the Corr�nissioner of Revenue or City Council , may appeal from the
disapproval to a court of competent jurisdiction.
G. REVOCATION �
The City Council will request the Cornnissioner of Revenue to approve the
revocation of a classification pursuant to t�finnesota Statutes Section 273.1313
if it finds and determines by resolution, af ter hearing upon notice mailed
to the applicant by certified mail at least 60 days before the hearing, that:
1. The construction or improvement of the facility has not been completed
within two years after the approval af the classification, or any longer
period that may have been allowed in. the approving resolution or may
be necessary due to circumstances not reasonably within the control
• of the applicant; or .
2. The applicant has not proceeded in good faith with the construction
� or improvement of the facility, or with its operation, in a manner v;hich
is consi�stent with the purpose of Minnesota S�atutes Section 273. 1313
and is possible under circumstances reasonably within the control of
the applicant. .
H. 6UIDELI�ES
1. The construction or improvement of the facility should be reason�bly
likely to create nek� emalo �� ent or prevent a loss o� employment in Saint

2. The proposal should not be likely to h�ve the e7fect cr tr_ansfer�-ing

� 3. The proposal should not be likely to cause the total market value of
• employment property within Saint Paul to exceed five percent of the
total market value of all taxable property within the city, or if it
will , the resulting limitation upon the increase of the assessed value
of all taxable property within Saint Paul, considering the amount of
additional municipa] services likely to be required for the employment
property, should not be likely to substantially impede the operation
. or the financial integrity of the city or any other public body levying
taxes on property in the city.
4. The proposal should not result in the reduction of the assessed value
of existing property within Saint Paul owned by the applicant, through
abandonment, demolition, or otherwise, without provision for the restoration
of the existing property within a reasonable time in a manner sufficient
to restore the assessed valuation.
5. The applicant should be able to demonstrate land control and financial
capability.
. 6. The applicant should address the enterprise zone program's objectives
of leverage, job creation, public purpose, and tax base.
7. The proposal should conform with all adopted and applicable city plans.
8. Energy conservation should be encouraged. . �
9. Each Participation Agreement should contain recapture provisions, which
include those contained in Minnesota sta'tutes 273. 1314, Sec. 10, Subd.
10 (Attachment F). .
10. Each Participation Agreement should contain an employment and training
agreement which specifies employer cooperation with the city's Division
of Job Creation and Training in order to locate qualified applicants
for newly created jobs (Attachment G) . .This agreement will be administered
and monitored by the Division of Job Creation and Training.
I. SUMMARY •
Each enterprise zone proposal will be the result of a unique set of circumstances
� and needs. It would be counterproductive to develop guidelines which are
too detailed and would unduly hamper the freedom to negotiate. Therefore,
guidelines are intentionally not included for components of the agreements
such as specific uses, locations, interest rates and repayment schedules.
Ho�rever, in all development situations these issues and others will be considered
and weighed. The package which provides the greatest long range benefit
to the city w�ill .be pursued by city staff.
