WHEREAS, the City of Saint Paul and the Saint Paul Housing and Redevelopment
Authority have entered into an Agreement on the 12th day of September, 1979, the
purpose of which was to set for'ch respective responsibilities in the completion of
the City's federally-flznded Neighborhood Development Prog�am; and
�, terms contained in this Agreement required the transfer of all remaining
program requirements, as well as any fund balances, to the City's federally-fl�nded
Corrmiunity Development Block Grant Program; now, therefore, be it
RESOLUED, that upon the recorrnnenda.tion of the Mayor and the Council Corrm�ittee
on Finance, Management and Personnel, the Council of the City of Saint Paul does
hereby approve the transfer of all Neighborhood Development Prog�am assets and
corresponding liabilities to the Corrnnunity Development Block Grant Year IX Pro�am
as indicated below:

of 1949, 'as ar,iended, the Secretary of Housing and Urban �ev�:lopraent
was authorized to provide financial assistance to Local Public
Agencies for undertaking ; and carrying out Neighborhood Development
Programs; and

City's employ. It is for that reason that the assistance of the staff inembers noted
above must be acknowledged; without their assistance, this Agreement could not have
been accomplished.

MINNESOTA, herein called "HRA", and the CITY OF SAINT PtiUL, I��erein callec� "City".

WHEREAS, HRA entered into a Neighborhood T�evelogment Arogram I=unding
Agreement No. Minn. A-1 (LG) with the United States of America, Department of Housing
and Urban Development (HUD) for ti��: undertaking of a Neig}�bor}iood Development Program
(NDP} identified as Project Minn. A-1 (Project)t pursuant to Title I �f the I-lousing fict of
19�9, as amended; and � .
WHEREAS, with respect to �said Project, the approv°d project activities have I�een
substantially completed, except for certain remainino project aciivities ancl the sale of
certa:n project lands, independently audited, and accep�ed by HUD; and •
WHEREAS, HUD has directed HRA and the City ta effect a financial settlement
of the Project with �JD which will result in full repayment of aIl temporary�loans pursuanfi

to Section 112 (b) of the Housing and Community Development Act of 19%!f (I'.L. `33--383)
and the provisions of 24 CFR Part 570, Subpart I�I. Url�an Rene���a! Pro�risions, and the
execution of this Agreement providing for such settlement; and .
WHEREAS, the City has provided funds from the City's Comrn�mity llevelopment
Block Grant Program, Years I, II, III, and IV, for repzymenfi a� '�he outstanciing t�lDP pro}ec�
temporary loan which is now paid in #ull; and •
WHEREAS, the parties recognize and acknowledoe that the Provisi�ns 1-�ereinaft�r
contained in this Agreement are a condition to HUD approval of fihe financial settlement
of the Project;

SECTION 1. PROJECT PROPERTY. . �
The real Property identified in Exhibit A hereta attached shall be retainecl.by HRA for
disposition in accordance with the provisia�s and requirements of the Pro}ect
Redevelopment Plans. titaintenance of the Property shall be substantially consistent with
the property management standards applicable prior to financial settlement,
SEGTIUN 2. PROJECT ACCOUNTS.
All Project Grant funds due from HUD under the Funding Agreement to HRA have
been previously received and appplAed to reduction of Project Costs. Project Assets and
Project Liabilities and Fund Balan�e as of June 30, 1979 are set forth in the Balance Sheet -
attached hereto as Exhibit B. "
HRA agrees to appiy Project cash and proceeds from sale of Zease o� the Project
Property identified in Exhibit A in paymenfi of Project Liabilities identi#ied in saie� Balance
Sheet, including relocation benefits payments ob.tigations due persons displaced by Project
activities.
The Fund Balance in the amount o€ $119,092 shal� be reserved by HRA for payme�t
�f c�ntinoent, disp�d, unliquid�:ed �r un:dentified Project Costs or �bligations for the
pet-iod of 12 months from the date of HUD aproval of �khis Agreement and fhe �inanciai
settlement herein provided for. At the end of this perio�, the remaining Pund Balance
shall be transferred to the City for application in accordance with 24 CFR Secfiion 570.506,
and thereafter the City shall be responsible for such costs or obligations.
SECTION 3. PRO�ECT IMPROVEMENT COSTS.
HRA agrees to complete the Project Improvements listed in_ Exhibit C
which are required and necessary to complete project activities. The parties agree
that the expense of the Project Improvements listed therein shatl be considered
Project Costs. �

The parties further agce� that should the r�ature af the c�isposiiion af �}ro}��rfy .�
associated with the Project Improvements change so as to eliminate i:he need for any of said
improvements being accomplished and financed by the HRA, the HRA will i�e released irom
its obligation to accomplish said improvements. Such release shaIl accur upon acceptance -
by HUD of evidence o# the change submitted by the HRA. .
SECTION 4. PRESERVATIUN AND USE OF REIviAINING PUNDS.
Subject to the provisions of Section 2, any funds remaining after the outstanding
obligations of the Proje�t.have beer► satisfied, shall b�• classified as Communi.ty Dev�lopmenfi
Program Income and shall be returned to the City for deposit in tl�e Prograrr, Adrr,inistrative
Account of said Program for utilizatio;� for eligible Community Development Program
activities. -
SECTION S. AUD1T.
Froject activities carried out by HRA have been periodically auditeu by or at the
direction of HUD from Project commencement through �iarch 31, 1978, and a11 audit findings •
satisfied by HRA. The availability of remaining funds in the Project Fund l3alance are
subject to any requirements imposed by HUD as condi?ion to its approvaI of '�he financial
settlement.

The parties agre� to complefie preparation of and to submit ta I-IUD all nece�.sacy
do�uments for a formal application to�r financial settlement of the Projectf including tl�e
following documents:
1) Certificate of Financia� Settlement (Form HUD-6282)
2) Report �n Budge�tary Status (Y.UD-6250) �
3) Project Balance Sheet (HUD-6?.51) .
4) Expendi�ures cudget (HUD-6275)
5) Financing Plan (HUD-6280) .�

SECTION 7. COMPLIANCE. - �
Theobligations under this Agreement are subj��:�fi tothe Program[�tanagementRequirements

lOSF and lOSH of the Housing Act of 1949, as required by 570.804 (b} (7) (ii) and (iii) of
the Federal Regulations. -
