WHEREAS, the City presently operates a program of public recre- ation and playgrounds as authorized by the City Charter and other provisions of law, including Minnesota Statutes, Section 471.15 to 471.191 (the Act) ; and for this purpose is authorized under the City Charter, Section 1.103 and 13.01, and the Act to acquire land, buildings and facilities to be used for public cultural activities, including exhibitions and other events involving public partici- pationd and WHEREAS, the City currently leases certain rights in real property, buildings, fixtures and equipment (the Science Center) , pursuant to a Lease Agreement, dated as of June 15, 1978 (the Lease- Purchase Contract) between the City and Twenty Broad Street Leasing Company, Incorporated. The Bonds are to be issued pursuant to an Tndenture of Trust, dated as of July 15, 1984 (the Indenture) , between the City and First Trust Company of Saint Paul (the Trustee) ; and WHEREAS, a portion of the proceeds of the Bonds, together with moneys to be deposited by the Museum, will be placed in escrow with the Trustee, as escrow agent, for the purpose of paying and defeasing the City's obligations under the Lease-Furchase Contract, all as pro- vided in an Escrow Agreement, dated as of July 15, 1984 (the Escrow Agreement) ; between the City and the Trustee; and WHEREAS, the City has received a proposal from Smith Barney, Harris Upham & Co. , Incorporated (the Underwriter) , to purchase the Bonds upon the terms and conditions set forth in a Purchase Contract to be dated July 26, 1984 groposed to be eritered into by the City, the Underwriter and the Museuan for this purpose; and WHEREAS, the City will lease the Scierice Center to the Museum, and the Museum will lease the Science Ceriter from the City, for operation by the Museum on behalf of the City for the purposes specified in this Section 1, pursuant to a Lease to be dated as of July 15, 1984 (the Lease) , proposed to be entered into by the City and the Museum for this purpose; and WHEREAS, pursuant to a PreTiminary Official Statement, dated July 16, 1984, certain information relating to the Bonds has been given to prospective purchasers of the Bonds; and -2- • � ��/-ioo� WHEREAS, on July 12, 1984, this Council held a public hearing on the proposal to issue the Bonds; and WHEREAS, forms of the following documents relating to the Bonds (the Documents) have been prepared and submitted to this Council and are hereby directed to be filed with the City Clerk: (a) the Purchase Contract; (b) the Lease; (c) the Indenture; (d) the Escrow Agreement; and (e) the Preliminary Official Statement. NOW, THEREFORE, BE TT RESOLVED by the City Council of the City of Saint Paul, Minnesota, as fallows: Section 1. Findings. On the basis of information given the City to date, it is hereby found, determined and declared that: (a) the re£unding of the Lease-Purchase Contract, the issuance and sale of the Bonds in the principal amount of $9,020,000, the execution and delivery of the Purchase Contract, the Lease, the Indenture and the Escrow Agreement and the performance af all covenants and agreements of the City contained in the Purchase Contract, the Lease, the Indenture and the Escrow Agreement and of all other acts and things required under the laws of the State of Minne- sota to make the Furchase Contract, the Lease, the Inden- ture and the Esarow Agreement and the Bonds valid and binding obligations in accordance with their terms, are authorized by the Act; -3- ' �6�y i�a� (b) it is desirable that the Bonds in the amount of $9,020, 000 be issued by the City upon the terms set forth in the Indenture, under the provisions of which the City's interest in the Lease and the payments there- under will be pledged to the Trustee as security for the payment of the principal of, premium, if any, and interest on the Bonds; (c) the basic rent payments required by the Lease are fixed, and are required to be revised from time to time as necessary, so as to produce income and revenue sufficient to provide for prompt payment of principal of and interest on the Bonds when due; and the Lease also provides that the Museum is required to pay all expenses of the operations and maintenance of the Science Center, including, but without limitation, adequate insurance thereon and insurance against all liability for injury to persons or property arising from the operation thereof; (d) under the provisions of the Lease and Indenture, the Bonds are not to be payable 'from nor charged upon any funds of the City other than the revenue pledged to the payment thereof; the City is not subject to any liability thereon and no holders of the 8onds sha11 ever have the right to compel any exercise of the taxing powers of the City to pay any of the Bonds or the interest thereon nor to enforce payment thexeof against any property of the City; the Bonds shall not con,stitute a charge, lien or encumbrance, legal or equitable,` upon any property o� the City except the interest in the Lease; each Bond issued under the Indenture shall recite that the Bonds, including interest thereon, are payable solely from the revenues pledged to the payznent thereof; and no Bond shall consti- tute a debt of the City within the meaning of any consti- tutional or statutory limitation. Section 2. Au:thorization and Approval of the Escrow Agreement, Purchase Contract, Lease and Inden'ture. -4- (��- ��-iaG�' The forms of Documents re£erxed to above :'are appxoved, subject to such modifications as are deearied appropr�.ate and approved by the City Attorney. The Mayor, Director, Department of Finance and Management Services and City Clerk are directed to execute the Purchase Contract upon execution thereof by the Museum and the Underwriter, the Lease upon execution thereof by the Museum, and the Indenture upon execution thereof b� the Trustee. Copies of all o� the documents shall be delivered, filed and recorded as provided therein. The Mayor, Director, Departmerit of Finance and Management Services and City Clerk are also authorized and directed to execute such other instruments as may be required to give effect to the transactions herein conteanplated. _ _ Section 3. Authorizat�.on of Bonds. In antica.pation of the collection of revenues from the Lease, the City shall proceed forthwith to issue its Bonds dated as of July 15, 1984, in the form and upon the terms set forth in the Indenture and this resolution. The Bonds are sold to the Underwriter at the price and upon the terzns spec�fied in the Furchase Contract. The Bonds shall bear interest at the rates set forth on Exhibit A hereto. Section 4. Executi'on of Bonds. The Mayor, Directox, Department af Finance and Management Services and C�ty Clerk 'are hereby authorized and directed to execute the Bonds as prescribed herein and in the Indenture and to dela.ver them to the Trustee, together with a certified copy of this resoluta.on, the other documents required in the Indenture, and such other certificates, documents and instruments as may be appropriate to effect the transaction herei:n contemplated. The Trustee is here- by appointed authenticating agerit pursuant to Minnesota Statutes, Section 475.55, Subdivision l. Section 5 . Off:icial Statement. The Cit� hereby authorizes the use of an Official Statement to be dated today and substantially in the form of the Preliminary -5-- . ����ad� Official Statement by the Underwriter in connection with the resale of the Bonds. Section 6. Modifications, Absence of Officers. The approval hereby given to the various documents referred to above includes an approval of such additional details therein as may be necessary and appropriate and such modifications thereto, deletions therefrom and additions thereto as may be necessary and appropriate and approved by the City Attorney prior to the execution of the documents. The execution of any instrument by the appropriate officer or officers of the City herein authorized shall be conclus- ive evidence of the approval of such documents in accordance with the terms hereof. Limit�at�ion of City's Liability.
