The City and Provider, in consideration of the mutual terms and conditions, promises, covenants, and payments hereinafter set forth, a�ree as follows: SECTION 1: Scope of Services. Provider agrees to provide for classroom and lab simulation for the following dates and times, October 25, 26, & 27, 2000, Room # 103(0800 hours to 1630 hours), Simulation Lab (0800 hours to 1630 hours), November 16 & 17, 2000, Room #108 (0800 hours to 1630 hours), and December 1, 2000, Room 108 (0800 hours to 1630 l�ours). Tl�e City agrees to pay the provider $1,155.00 for the services provided. SECTION 2: Time For Com pletion. The services descri bed in Section 1 above shall be commenced upon exectttion ofthe Agreement and will be completed in accordance with tlie schedule mtrtually a�reed upon with the City which is detailed in Attachmeiit A, and shall be completed no later tl�an December 1, 2000. Provider shail not proceed with any task without specific authorization from the City. SECTTON3: Billings and Payment. That for R ovider's faithful performance ofthis Agreement, the City l�ereby agrees to compensate tlie Provider in the amounts and according to the schedule that appears in Attacl�ment A. Provider shall submit an itemized bills as specified in tl�e schedule. Upo�� receipt of the invoice and verification of tlie charges, payment shall be made by tl�e Ciry to Provider within thirty (30) days. S�CTION 4: Ownership of Work Proclucts. A I I de I iverable work products and supporting documentation that result from t11e Provider's services under this Agreement shall become the properiy of the City after final payment is made to tl�e Provider, with nu right, title, or interest in said �vorl: producY or supporting documei�tat9on vesting in the Provider. SECTION 5: Independent Contractor. It is a,reed by H�e partie; that, at all times and for all purposes witiiin the scope ofthis Agreement, the relationship oftl�e Provider to the cit} is that of independent contractor and not that of employee. No statement contained in this Agreement shall be construed so as to find Provider an employee of the City, aE1d Provider shall be entitled to none of the ri�hts, privileges, or benefits of Saint Paul employees. SECTION 6: Compliance with Applicable L�w. Provider a�rees to comply with a1l federal, state, and local laws or ordinances, and all app(icable rules, regutations, and standards established b}' any agency of such governmental units, which are now or hereafter promul�ated insofar as they related to the Provider's performance of the provisions of this Agreement. It shall be the obliQation of the Provider ro apply for, pay for, and obtain all permits and/or ]icenses required. SECTION 7: Hold Harmless. In the event of termination, Provider will be paid by City for all service actually, timel}•, and faithfully rendered up to the receipt of the notice of termination and thereafter until the date of termination. The City reserves the right to suspend or terminate this Agreement if the Provider violates any of the terms or conditions of this Agreement or does not fulfi ll, in a timely and proper manner, its obli�ations ofthis Ab eement as determined by the City. In the event that the Ciry esercises its right of suspension or termination under this Section, it shall subm it written notice to the Provider, specifying the extent of such suspension or termination under this Section, the reasons therefore, and the date upon �+�hich such suspension or termination becomes effective. Upon receipt of such notice, tfie Provider shall take all actions necessary to discontinue further commitments of funds to the extent that they relate to the suspended or terminated portions of this Agreement. SECTION 9: Amendment or Changes to Agreement. City or Provider may request changes thatwould increase, decrease, or otherwise modify the Scope of Services. Such changes and metliod of compensation must be authorized in writing in advauce by the City. An alternations, amendments, deletions, or waivers of the provisions of this Agreement shall be valid only when reduced to writing and duly si�ned by the parties. SECTION 10: Entire Agreement. It is understood and agreed that the entire Agreement supercede all oral agreements and negotiations between the parties relating to the subject matters hereof.
