RESOLVED, That the prop r City officials are hereby authorized and directed
to execute an agreement with the Department of Corrections, State of Minnesota -
Oak Park Heights Correctiona Facility - for the establishment of a lending library
relationship with the Divisi n of Libraries, City of Saint Paul , subject to the
terms and conditions of said agreement, a copy of which is to be kept on file and
of record in the Department f Finance and Management Services.

NOW,THEREFORE,it is agreed:
I. CONTRACTOR'S DUTIES (Attach addi ional page if necessary). CONTRACTOR, who is nat a state employee,shall:
Lend library materials via nter-library loan procedures to the Minnesota CorrectionaT
Facility Library at Oak Par Heights. �

i!. CONSIDERATION AND TERMS OF PA MENT,
A. Consideration for all services perfor ed and goods or materials supplied by CONTRACTOR pursuant to this contract shall be
paid by the STATE as follows:

2. Reimbursement for travel and s bsistence expenses actually and necessarily incurred by CONTRACTOR performance of

in the same manner and in no reater amount than provided in the current "Commissioner's Plan"

1. Paymenis shall be made by the TATE promptly after CONTRACTOR'S presentation of invoices for services performed
and acceptance of such services y the STATE'S authorized agent pursuant to Clause VI. Invoices shall be submitted in a

III. � CONDiTIONS OF PAYMENT. All servi es provided by CONTRACTOR pursuant to this conrrr,c= �ha1► be perfunned to the sat-

and local laws, ordinances, rules and reg lations. CONTRACTOR shall•not �'0..�'�VP payment for work found by the STATE to be�-
unsatisfactory,or performed in violation f federal,state or loca► law,ordinance;rule or regulation.

V. CANCELLAT(ON. This contract may b cancelled by the STATE or CONTFiACTOR at any time, �Nith or without cause, upon

payment, determined on a pro rata basis, for work or services satisfactori�y performed.

Such agent shall have final auihority fo acceptance of CONTRACTOR'S services and if such services are accepted as satisfactory,
shall so certify on each invoice submitte pursuant to Clause II, paragraph B.
VII. ASSIGNMENT. CONTRACTOR shall n ither assign nor transfer any rights or obligations under this contract without the prior
written consent of the STATE.
Vill. AMENDMENTS. Any amendments to t is contract shall be in writing, and shall be executed by the same parties who executed
the original contract, or their successors n office.
IX. LIAB�LITY. CONTRACTOR agrees to ndemnify and save and hold the STATE, its agents and employees harmless from any and
all claims or causes of aciion arising f om ihe performance of this contract by CONTRACTOR or CONTRACTOR'S agents or
employees: This clause shall not be c strued to bar any legal remedies CONTRACTOR may have for the STATE'S failure to
fulfill its obligations pursuant to this co tract. � ' '
X. STATE AUDITS. The books, records, ocuments, and accounting procedures and practices ot the CONTRACTOR relevant to
this contract shall be subject to examina ion 6y the contracting department and the legislative auditor. -
XI. OWNERSHFP OF DOCUMENTS. Any eports, studies, photographs, negatives, or other documents prepared by CONTRACTOR
in the performance of its obligations u der this contract shall be the exclusive property of the STATE and a!1 such materials shall
be remitted to the STATE by CONTR CTOR upon.completion, termination or cancellation of this contract.CONTRACTOR shall.
not use, willingly allow or cause to ha e such materials used for any purpose other than performance of CONTRACTOR'S obli-
gations under this contract without the rior written consent of the STATE.
XII. AFFIRMAtIVE ACTION. (When appli able) CONTRACTOR certifies that it has received a certiticate of compfiance from the
Commissioner of Human Rights pursua to Minnesota Statutes, 1981 Supplement, Section 363:073.
XIII. WORKERS' COMPENSATION. In acco dance with the provisions of Minnesota Statutes, 1981 Supptement, Section 176.182, the
STATE affirms th�t CONTRACTOR as provided acceptabte evidence of compliance with the workers' compensat'ron insurance
coverage requirement ot Minnesota Stat tes, 1981 Supplement, Section 176.181, Subdivision 2.
XIV. ANTITRUST. CONTRACTOR hereby ssigns to the State of Minnesota any and all claims for overcharges as to goods and/or
services provided in connection with t is contFact resulting from antitru�t violations which arise under the antitrust laws of the
United States and the antitrust laws of he State of Minnesota.
