RESOLU ION PROVIDIATG FOR THE ISSUANCE AND SALE OF
$5,375,000 WATER REVENUE BONDS OF 1985, SERIES A

I WHER AS:
A. he City of St. Paul, Minnesota (the "City" ) ,
own� and opera e� a municipal water utility (hereinafter
ref rred to as the "Water Utility") which has since its
acq�isition in 1885 been under the jurisdiction of the Board of
Wate�r Commissi ners (hereinafter referred to as the "Board" ) ;
B. he Board and the City Council of the City (this
"Cou;ncil" ) dee it necessary and expedient to improve the Water
Utillity, all a more fully described herein;
I C. o provide for such improvements the Board has
reco�nmended th t the City issue its revenue bonds to be
desi�nated "Wa er Revenue Bonds, Series 1985A" (the "1985
Bond " ) , in ac ordance with and pursuant to the provisions of
Sect�on 10.11. of the City Charter, and the City proposes to
do sb; ---
I D. here are no bonds, certificates or other obliga-
tion� payable t of the Net Revenues (as defined in paragraph
16(b� hereof, e "Net Revenues") of the Water Utility
cons ituting a ien or charge thereon, except $1,180,000 Water
Rever�ue Bonds o 1977, Series 1 (the "1977 Bonds" ) , issued
purs�ant to a r solution adopted by the City Council on
Febr�ary l, 197 , of which $360,000 remain outstanding and
undi�charged, a d $2,950,000 Water Revenue Bonds of 1978,

Se'ries 1 ( th "1978 Bonds" ) , issued pursuant to a resolution
adbpted by t e City Council on May 11 , 1978 , of which
$1',250 ,000 r main outstanding and undischarged;
, E. Paragraph 9 of said resolution authorizing the
issuance and sale of the 1977 Bonds provides for the issuance
of parity li n bonds as follows:
"9. The revenue bonds issued hereunder shall be a
first charge and lien upon the Net Revenues of the Water
Utility nd no part of such Net Revenues shall ever be
pledged to the payment of any general obligation bonds
issued b the City while any bonds of this issue or bonds
issued o a parity therewith remain outstanding and
� undischa ged. No additional revenue obligations payable
from the Revenue Bond Debt Service Account shall be
, hereafte issued unless the same are expressly made a
second a d subsequent lien upon the Net Revenues of the
Water Ut ' lity, provided however, that additional
' obligati ns may be issued on a parity of lien with the
� bonds he ein authorized, provided that the annual Net
� Revenues of said Water Utility for each of the two
complete fiscal years immediately preceding the issuance
of such dditional obligations shall have been one and one-
half tim s the maximum annual principal and interest
coming d e thereafter on all outstanding revenue
obligati ns payable from and having a parity of lien upon
the Net evenues of the Water iJtility Fund, including the
, addition 1 obligations so to be issued; provided further
however hat if the annual Net Revenues in either or both
of the a oresaid two completed fiscal years shall be
' insuffic ' ent to meet this test then any reasonably
projecte increase in Net Revenues for the fiscal year
� immediat ly following such second completed fiscal year
, may be a ded to the Net Revenues for such completed fiscal
years or either of them (but the total of such projected
increase in Net Revenues may be added only once) in
' applying the foregoing test. Such facts shall be shown by
the Cert ' ficate of the General Manager of the Board of
Water Co issioners and shall be a finding of and recited
in the r solution of the City authorizing any such
additional series. In addition, the following conditions
shall be et:
� " (a) The payments required to be made (at the
i time of the issuance of such parity lien bonds) into
� the arious funds and accounts provided for in this
reso ution have been made.

(b) All such parity lien bonds shall have a
De ember 1 maturity or maturities and shall have
� se _iannual interest payments on June 1 and December 1
' in each year.
', " (c) The proceeds of such parity lien bonds
sh 11 be used only for the purpose of making
im rovements, additions , extensions , renewals or
, re lacements to the Water Utility. "
F. Paragraph 10 of said resolution authorizing the
is5uance and sale of the 1978 Bonds is identical to said
Pa�agraph 9 r lating to the 1977 Bonds, except that its
coridition (c) has the following additional language at the end:
"arid capitali ing interest or establishing Reserves and paying
th� costs of uch financing" ;
� G. In accordance with advice received from the
Board, this C uncil finds, determines and declares that it is
nedessary and expedient to provide moneys in the amount of
$5 ,'375 ,000 to improve the Water Utility, establish a Reserve
and' provide f r the costs of the issuance thereof from the
pro,ceeds of b nds payable solely from the Net Revenues:
� NOW THEREFORE, BE IT RESOLVED by the City Council of
the City of S int Paul, Minnesota, as follows:
1. Amount; Purpose. It is hereby found, determined
and' declared hat it is advisable, expedient and necessary to
provide money in the amount of $5 ,375 ,OOU to make improvements
to the Water tility, including but not limited to the
fol�owing , to wit:
a. to construct an addition to, and to
remodel, the existing Vadnais
' Station building;
' b. to design and to construct a 1 .5
�; M.G. elevated tank in the Saint
, Anthony Park Booster Station
service area; and
c. to purchase and install an encoder-
� type remote water meter reading
system on properties served by the
' Water Utility;
and ��to fund a eserve and to pay for the costs of issuing the
1985, Bonds.

. 2. ther Revenue Bonds. Neither the City nor the
Boaxd has any utstanding bonds, warrants, certificates, or
oth�r obligati ns or evidences of indebtedness, or money
bor�owed for o on account of the Water Utility or indebtedness
for �which any f the Net Revenues of all or a part of the Water
Uti]!ity have b en pledged or which are a prior lien on such
Reveknues, exce t the 1977 Bonds and 1978 Bonds.

to bie made pri r to the date hereof into the various funds and
accaunts of th "Water Utility Fund" established pursuant to
the iresolution of this Council which authorized the issuance
of t�he 1977 Bo ds and 1978 Bonds have been made.
The nnual Net Revenues for each of the two (2)
comp eted fisc 1 years i.mmediately preceding the issuance of
the 985 Bonds have been more than one and one-half times the
maxi um annual principal and interest coming due hereafter on
all butstandin revenue obligations payable from and having a
pari�ty of lien upon the Net Revenues, including the obligations
here�n authori ed and proposed to be issued, to wit:

4. Finding of Sufficiencv of Net Revenues. This
Council purs ant to advice from the Board hereby finds,
determines a d declares that the estimated revenues to be
derived from the operation of the Water Utility during the term
of ' the 1985 onds will be more than sufficient to provide Net
Revenues ade uate to pay principal and interest when due on the
19$5 Bonds an on those which are now outstanding and to
ma�.ntain the eserves required therefor.
5. Sale; Notice of Sale. The City shall forthwith
issue and sel its $5,375,000 negotiable Water Revenue Bonds,
Se�ies 1985A referred to herein as the "1985 Bonds" , or
individually s a "Bond" ) , and the Director of the Department
of 'Finance an Management Services is hereby authorized and
directed to g 've notice of the sale by publication in the
off,icial news aper of the City, in the Daily Bond Buyer ( if
said Director deems such publication advisable) and in
Commercial We t at least ten ( 10) days in advance of the date
of �sale. The notice shall be in substantially the form of the
"Of�ficial Te s of Offering" set forth as Exhibit A to this
Resolution an hereby incorporated herein by reference.
� 6. Official Terms of Offering. Each and all of the
terms and pro isions of said "Official Terms of Offering" are
her�by adopte as the terms and conditions of the 1985 Bonds
and of the sa e thereof.
7. Bond Re istrar. First Trust Company of
Sait�t Paul, in Saint Paul, Minnesota, is appointed to act as
bonc9 registra and transfer agent with respect to the 1985

� This nd is one of an issue in the total principal
amount of $5, 37 ,000, all of like date and tenor, except as to
serial number, aturity, and interest rate as more fully
specified in th authorizing resolution adopted August 27, 1985
(the "'Resolutio " ) , which Bond has been issued for the purpose
of p�oviding mo ey to finance the cost of improvements to the
City's Water Ut 'lity. Said Bonds and the interest thereon are
payable solely nd exclusively from the Net Revenues of the
Water Utility o the City pledged to the payment thereof, and

� 9. xecution. The 1985 Bonds shall be executed on
behalf of the ity by the signatures of its Mayor, City Clerk
and Director, partment of Finance and Management Services,
and be sealed ith the seal of the City; provided , however,
that the seal of the City may be a printed facsimile; provided
f urtN�er that al of such signatures may be printed facsimiles
and the corpora e seal may be omitted on the Bonds as permitted
by law. In the event of disability or resignation or other
abser}ce of any uch officer, the Bonds may be signed by the
manual or facsi ile signature of that officer who may act on

I 12. Rights Upon Transfer or Exchange. Each Bond
delivered up n transfer of or in exchange for or in lieu of any
other Bond s all carry all the rights to interest accrued and
unpaid, and o accrue, which were carried by such other Bond.
� 13. Interest Payment; Record Date. Interest on any
Bond shall b paid on each interest payment date by check or
draft mailed to the person in whose name the Bond is registered
(the "Holder' ) on the registration books of the City maintained
by' the Bond egistrar and at the address appearing thereon at
th�: close of business on the fifteenth ( 15th) day of the
calendar mont next preceding such interest payment date ( the
"Regular Record Date" ) . Any such interest not so timely paid
shall cease t be payable to the person who is the Holder
thereof as of the Regular Record Date, and shall be payable to

Bon'd Registra may treat the person in whose name any Bond is
registered as the owner of such Bond for the purpose of

above) on, su h Bond and for all other purposes whatsoever
whe�ther or no such Bond shall be overdue, and neither the City
nor, the Bond egistrar shall be affected by notice to the
contrary.
15. Delivery; Application of Proceeds. The Bonds
when so prepa ed and executed shall be delivered by the City's
Dir�ctor, Dep rtment of Finance and Management Services , to the
purchaser the eof upon receipt of the purchase price, and the
purchaser the eof shall not be obliged to see to the proper
app'lication t ereof.
16 . Fund and Accounts. For the convenience and
proper administration of the proceeds from the sale of the 1985
-- Bonds and for the payment of principal of and interest on the

(a) A "Capital Account", into which there shall be
paid the proceeds from the sale of the 1985 Bonds, less
' any prem um, unused discount (if any) and accrued interest
' (if any) paid by the purchaser upon delivery and the
' amount ( f any) capitalized for the "Reserve Account°
' herein e tablished. From the Capital Account shall be
� paid all costs of the improvements to be financed by the
' 1985 Bon s, including legal, engineering, financing and
� other su h expenses incidental thereto. Any balance
remainin in said account after the payment of such costs

' (b) An "Operation and Maintenance Account" , into

' derived rom the operation of the Water Utility system
' includin any assessments which may from time to time be
� levied w' th respect to the Water Utility. From this
account ere shall be paid all, but only, current
� expenses f said system. Current expenses shall include
� the reaso able and necessary costs of administering,
, operating, maintaining and insuring the system, salaries,
, wages, co ts of materials and supplies, costs of water
productio and distribution, necessary legal, engineering
, and audit'ng services, and all other items which, by sound
accountin practices, constitute normal, reasonable and
current c sts of operation and maintenance, but excluding
' any allow nce for depreciation, extraordinary repairs and
payments 'nto the Revenue Bond Debt Service Account and
' the Reser e Account. There shall at all times be
' maintaine in said account a reserve in an amount
sufficien to cover the operation and maintenance costs of
� the Water Utility system for the ensuing fifteen (15) day
period. e balance from time to time remaining in the
� Operation and Maintenance Account, including interest or

, in the Wa er Utility Fund, after paying or providing for

(c) A "Revenue Bond Debt Service Account" , into

, irrevocably pledged from the Net Revenues of the operation

and inter st on the 1985 Bonds and any other bonds issued

to be " fed rally guaranteed" within the meaning of Section
�103 (h) of he federal Internal Revenue Code of 1954, as
amended (t e "Code" ) .
I 17. P rit Bonds. The revenue bonds issued hereunder
shall; be a firs charge and lien upon the Net Revenues of the
Water Utility, nd no part of such Net Revenues shall ever be
pledg�d to the ayment of any general obligation bonds issued
by the City whi e any bonds of this issue or bonds issued on a
parit� therewit remain outstanding and undischarged. No
additional reve ue obligations payable from the Revenue Bond
Debt �Service Ac ount shall be hereafter issued unless the same
are expressly m de a second and subsequent lien upon the Net

Revenues of th Water Utility, provided however, that
addi'tional obl '_gations may be issued on a parity of lien with
the bonds here n authorized, provided that the annual Net
Revenues of sa 'd Water Utility for each of the two completed
fiscal years i mediately preceding the issuance of such
additional obl 'gations shall have been one and one-half times
the �naximum an ual principal and interest coming due thereafter
on all outstan ing revenue obligations payable fram and having
pari�y of lien upon the Net Revenues of the Water tltility Fund ,
including the dditional obligations so to be issued; provided
further howeve that if the annual Net Revenues in either or
bothiof the af resaid two completed fiscal years shall be
insufficient t meet this test then any reasonably projected
incr�ase in Net Revenues for the fiscal year immediately
following such second completed fiscal year may be added to the
Net Revenues for such completed fiscal years or either of them
(butithe total of such projected increase in Net Revenues may
be added only once) in applying the foregoing test. Such facts
shall be shown y the Certificate of the General Manager of the
Boarc� of Water ammissioners and shall be a finding of and
recited in the esolution of the City authorizing any such
addi�ional seri s. In addition, the following conditions shall
be met:
( a) he payments required to be made (at the time of
the issuan e of such parity lien bonds) into the various
;funds and ccounts provided for in this resolution have
been made.
' ( b) 11 such parity lien bonds shall have a
December 1 maturity or maturities and shall have
;semiannual interest payments on June 1 and December 1 in
each year.
� ( c) he proceeds of such parity lien bonds shall be
used only or the purpose of making improvements ,
�additions, extensions, renewals or replacements to the
'Water IItil ty, and capitalizing interest or establishing
Reserves a d paying the costs of such financing.
18. R fundin Maturin Bonds. The City also reserves

same, at maturi y, which refunding revenue bonds may be on a
parity with th' s issue as to interest payments , but shall
mature subsequ nt to all the revenue obligations which are
payable from t e Net Revenues of the Water Utility Fund and
which are stil outstanding upon completion of such refunding.
19. ther Revenue Obli ations. Except as authorized
in paragraphs 17, 18 and 24 hereof, the City covenants and
agrees that it will issue or incur no obligations payable from
the �Tet Revenues of all or a part of said Water Utility or
constituting i any manner a lien thereon, unless such
obligations are expressly made junior and subordinate to the
lien and charg of the bonds herein authorized on said Net
Rever�ues , provi ed that the bonds herein authorized, or any
part thereof, ay be refunded with the consent of the holders
thereof (except as to maturing bonds , in which case such
cons�nt shall t be required) and the refunding bonds issued
shall enjoy com lete equality of lien with the portion of the
bonds not refun ed and any other then outstanding bonds payable
fram the Revenu Bond Debt Serv ice Account, i f any there be .
The refunding b nds shall continue to have whatever priority of
lien �over subse uent issues that the refunded bonds may have
had . If only a portion of the outstanding bonds shall be so
refunded and if such bonds shall be ref unded in such manner
that the intere t rate of any refunding bond shall be greater
than Ithe intere t rate of the corresponding refunded bond (or
the average net interest rate of the refunding bonds shall be,
or shall be rea onably estimated to be, higher than the average
net interest ra e of the refunded bonds) , or that the maturity
datelof any ref nding bond shall be earlier than the maturity
date of the cor esponding refunded bond (or the average
maturity of the refunding bonds shall be earlier than average
maturity of the refunded bonds) , then such bonds may not be
ref ur�ded withou the consent of the holders of the unrefunded
portion of the onds issued hereunder and any other then
outstanding bon s payable from the Revenue Bond Debt Service
Account.
I 20. I sufficient Amounts. In the event that the
moneys in the R venue Bond Debt Service Account shall be
insufficient at any particular time to pay the principal then
due and interes then accrued on all bonds payable therefrom,
said moneys sha 1 first be applied to the payment pro rata of
the accrued int rest on all such bonds , and any balance shall
be applied in p yment pro rata of the principal on all suc h
bonds�,; provided further that if it shall ever be determined by

a co rt of com etent jurisdiction while any such bonds remain
outs�anding that the sums available and to become available for
the payment of the principal thereof and interest thereon are
insufficient w ether or not then due, then the moneys in said
Reve�ue Bond Debt Service Account shall be applied in payment
of a�l then outstanding principal whether or not then due and
the interest a crued thereon to the date of payment ratably
according to t aggregate amount thereof without any
preference or riority.
21. uit b Bondholders. The holders of 20$ or more
in aggregate principal amount of bonds issued under this
resolution and at any time outstanding may, either at law or in
equit�y, by suit , action, or other proceedings , protect and
enforce the rights of all holders of bonds issued hereunder and
then outstandin or enforce or compel the performance of any
and all of the ovenants and duties specified in this
reso�ution to b performed by the City or the Board or their
offiCers and ag nts , including the fixing and maintaining of
rates and charg s and the collection and proper segregation of
revenues and th application and use thereof.
22. C venants. For the protection of the holders of
the bonds herei authorized, the City herein covenants and
agrees to and w' th the holders thereof from time to time as
follows :
( a) t will at all times through its Board
adequately maintain and efficiently operate the Water
IUtility as a City utility. It will from time to time make
all needfu and proper repairs, replacements, additions
and bette ents to the equipment and facilities of said
Water Util ty so that they may at all times be operated
'properly a d advantageously, and whenever any equipment of
said syst shall have been worn out, destroyed or
otherwise ecome insufficient for proper use , it shall be
promptly r placed or repaired so that the value and
�efficiency of the facilities shall be at all times fully
maintained and its revenues unencumbered by reason
thereof.
� ( b) he rates for all water service and the charges
Ifor all wa er supplied by the Water Utility to the City
and its re idents and to all other consumers shall be
,reasonable and just, taking into account the cost and
�',value of t e Water Utility, the cost of maintaining and
'operating he Water Utility and the proper and necessary

, allowance for depreciation, the amounts required for the
payment o _ principal and interest on the bonds payable
from the et Revenues of the Water Utility, and all other
sums cust marily paid from the revenues of the Water
Utility. �
(c) It will as required by Section 10. 11. 2 of the
City Char er (and it will continue to do so whether or not
, required y said Charter) establish, maintain and collect
' such charges and rates as will produce revenues sufficient
to pay th reasonable cost of operation, repair and
maintenance of the Water Utility and to pay the interest
, on and pr 'ncipal of the bonds herein authorized as and
! when they become due as well as to provide sufficient
money to ake the required appropriations to the various
funds and accounts established herein. The City will
review th schedule of rates and charges for the Water
IUtility a least annually when the Board budget is
rev iewed .
, (d) It will not sell , lease, mortgage, or in any
imanner dispose of the Water Utility or any part thereof
( including any and all extensions and additions that may
be made th reto) until all revenue bonds payable from the
Net Reven s of the Water Utility or any part thereof have
�been paid in full; provided , however, that the City may
sell the ter Utility or any part thereof if
simultaneo sly with or prior to said sale all of the
outstandin bonds are discharged in accordance with
Iparagraph 4 of this resolution. This covenant shall not
' be constru d to prevent the sale by the City at fair
market val e of real estate , equipment or other
non-revenu -producing properties which in the judgment of
Ithe City h ve become unnecessary, uneconomical or
inexpedient to use in connection with the Wa ter Utility
provided t at suitable facilities are obtained in place
thereof an provided further that nothing herein is
'� intended t prevent the City or the Board from terminating
'or otherwi e preventing the termination of contracts for
the furnis ing of water.
, ( e) t shall cause to be kept proper books, records
'and accoun s adapted to the Water Utility separate from
other acco nts to be audited at the end of each fiscal
year. A c py of said audit shall be furnished , without
Icost , to t e original purchaser of the bonds herein
'authorized if the City fails to provide such audit

within a easonable time after the end of said fiscal
year, the holders of 20� or more of the outstanding bonds
may cause such audit to be made at the expense of the
City. Th expense of preparing such audit shall be paid
as curren operating expenses of the Water Utility. The
', or ig inal urchasers of the bonds and the holders thereof ,
or their uly appointed representatives, from time to time
shall hav the right, at all reasonable times , to inspect
the Water Utility system and to inspect and copy the
books , re ords, accounts and data relating thereto. The
City agre s to furnish copies of such audit, without cost,
, to any ho der or holders of the bonds at their request
� within a easonable time after the end of each fiscal
ye ar.
( f) It will faithfully and punctually perform all
duties wi h reference to the Water Utility required by the
City Char er, the Constitution and laws of the State of
� Minnesota and this resolution.
( g) It will grant no franchise to any competing
utility.
23. endments. No change, amendment, modification
or a�.teration hall be made in the covenants made with holders
of t�e bonds a thorized by this resolution without the consent
of the holders of not less than 60� in principal amount of such
then-outstandi g bonds except for changes, amendments,
modifications nd alterations ( a) made to cure any ambiguity or
fortnal defect r omission, or (b) which would not materially
prejudice the olders of such outstanding bonds ; provided,
howeyer, that othing herein contained shall permit or be
construed as p rmitting (1) an extention of the maturity of the
principal of o the interest on any such bonds, or (2 ) a
reduction in t e principal amount of any such bond or the rate
of interest th reon, or ( 3 ) a privilege or priority of any such
bond or bonds ver any other bond or bonds except as otherwise
provided herei , or (4 ) a reduc tion in the aggregate principal
amoumt of such bonds required for consent of any change ,
amen�iment, mod ' fication or alteration, or (5 ) the creation of
any lien ranki prior to or on a parity with the lien of such
bonds, except s hereinbefore expressly permitted , or (6 ) a
modification of any of the provisions of this paragraph without
the consent of the holders of one hundred percent ( 100�) of the
prinCipal amount of such bonds outstanding .

24. ischar e. When all bonds issued under this
resolution hav been discharged as provided in this paragraph,
all 'pledges, c venants and other rights granted by this
reso�lution to he holders of the bonds shall cease. The City
may ��discharge 11 bonds which are due on any date by depositing
with' the payin agent for such bonds on or before that date a
st,un i,sufficient for the payment thereof in full; or if any bond
should not be aid when due, it may nevertheless be discharged
by depositing ith the paying agent a sum sufficient for the
payment thereo in full. The City may also discharge any
prepayable bon s which are called for redemption on any date
when they are repayable according to their terms , by
depositing wit the paying agent on or before that date an
amount equal t the principal , interest and redemption premium,
if any, which re then due, provided that notice of such
redemption has been duly given as provided in the resolution
authorizing th bonds. The City may also at any time discharge
this issue of onds in its entirety by complying with the
applicable pro isions of Minnesota Statutes, Section 475. 67,
and any amendm nts thereto, except that the funds deposited in
escrow in acco dance with said provisions may but need not be
in whole or pa t proceeds of advance refunding bonds. The City
may discharge onds as herein provided without the consent of
any bondholder .
25. iscal Year. As used in this resolution the
w�rdls "fiscal ear" shall mean the twelve (12) month period
begi�ning on J nuary 1 of each year and ending on December 31
of the same ye r. Should it be deemed advisable at some later
date to change the fiscal yearly basis, the same may be done by
proper actions to that effect, which change shall not
constitute an endment or modification of this resolution.
26. everabilit . If any section, paragraph or
provision of t is resolution shall be held to be invalid or
unenforceable or any reason, the invalidity or
unenforceabili y of such section, paragraph or provision shall
not affect any of the remaining provisions of this resolution.
27. ecords and Certificates. The officers of the
City are hereb authorized and directed to prepare and furnish
to the purchas r of the 1985 Bonds, and to the attorneys
approving the egality of the issuance thereof , certified
copi�s of all roceedings and records of the City relating to
the �985 Bonds and to the financial condition and affairs of
the ater Util ' ty, and such other affidavits, certificates and

legality and m rketability of the 1985 Bonds as the same appear
from' the books and records under their custody and control or
as otherwise k own to them, and all such certified copies ,
cert'ificates a d affidavits, including any heretofore

the �acts reci ed therein.
' 28. ovenant with Holders. Each and all of the terms
and provisions of this resolution shall be and constitute a
covehant on th part of the City to and with each and every
holder from ti e to time of the bonds issued hereunder.
29. ertificate of Re istration. The City Clerk is
hereby authori ed and directed to file a certified copy of this
resolution and the resolution accepting the bid on the 1985
Bond� with the County Auditor of Ramsey County, and to obtain a
certificate th t the 1985 Bonds have been duly entered in his
Bond � Register.
� 30. ative Covenants as to Use of Im rovements.
The City hereby covenants not to use, or cause to be used, the
imprmvements fi anced with the proceeds of the 1985 Bonds in
such a manner a to cause the 1985 Bonds to be "consumer loan
bond�" , or "mor gage subsidy bonds" , as those terms are defined
in Sections 103(b) , 103(0) , and 103A of the Code. In addition,
the Qity hereby covenants that neither it nor the Board has
