99-946Council File # � q� (p OR1GiI�AL Presented By Referred to RESOLUTION CITY OF SAINT PAUL, MINNESOTA Green Sheet # ���Q�{ a6 Committee: Date 1 WHEREAS, the Ciry of Saint Paul is the owner of Steam Locomotive No. 2156, which was 2 donated to it by the Northern Pacific Railroad; and 3 WFIEREAS, Locomotive No. 2156 has been leased to the Minnesota Transportation Museum 4 since 1980 where it has been located on the site of the Jackson Street Roundhouse; and 5 WHEREAS, the Minnesota Transportation Museum is a non-profit educational corporation 6 organized in 1962 to preserve and communicate to the public the experience of Minnesota's 7 surface public iransportation history; and 8 WHEREAS, the Minnesota Transportation Museum wishes to raise the money necessary to 9 renovate and restore Locomotive No. 2156 to operational condition, the cost of which is 10 estimated to range between $350,000 to $500,000; and 11 12 13 14 15 16 17 WHEREAS, ownership of Locomotive No. 2156 would allow the Minnesota Transportation Museum to proceed with fund-raising; and WHEREAS, the Northem Pacific Railroad Historical Association supports the sale of Locomotive No. 2156 to the Minnesota Transportation Museum; and WHEREAS, the Saint Paul Parks and Recreation Commission passed a motion in support of the sale of Locomotive No. 2156 to the Minnesota Transportation Museum at its June 14, 1999 meeting; and 18 WfIEREAS, the sale of Locomotive No. 2156 would serve a public purpose and benefit the 19 community as a whole and is not inconsistent with the terms of the donation of the locomofive by 2 0 Northern Pacific Railroad to the City; now, therefore, be it 21 RESOLVED, that the Northern Pacific Steam Locomotive No. 2156 be sold to the Minnesota 22 Transportation Museum for the sum of $1.00. Wwivi� �'%n' Z/� Sl c il Sale of LocomoUve 2156 for $1.00 SEP � � ��� °�y ��' tiCOP�� BILL OF SALE THE CITY OF SAINT PAUL, MINNESOTA, for valuable consideration, receipt of which is hereby acknowledged, hereby transfers to the Minnesota Transportation Museum, a non-profit corporation, all of its rights, title and interest in that certain steam locomotive known as Northern Pacific Steam Locomotive No. 2156, to have and to hold the same, consistent with the transferee's stated corporate purposes of preservation, maintenance, eachibition, and operation of vehicles, equipment, facilities and other items pertaining to the history of public transportation in the State of Minnesota, including the City of Saint Paul. The City reserves the right of first refusal to repurchase said locomotive in the event the Minnesota Transportation Museum wishes to sell or otherwise dispose of it, at a price to be mutually agreed fo by the parties. In the case the City elects not to reacquire said locomotive, the Museum sha11 put forth reasonable effort to give, sell, transfer or otherwise dispose of the title to an entity which will maintain it in a u�amier consistent with the Museum's operations.
