Enterprise Zon Progr m. This space is in the process of receiving "ts own
property ident 'ficati n number from the Ramsey County Tax Department
B. Improvement an Propo ed Use
Continental Ca levisi n of Saint Paul, Inc, entered into a lease agr ement
with Asset Dev lopmen Corporation in December 1984. The company wa
originaliy loc ted in the Metro Square Building and expanded into sp ce at
84 So. Wabasha in Dec mber 1984. The company intends to continue us 'ng the
space at 84 So Wabas a primarily for warehouse and construction pur oses,
but plans to 1 cate i s main offices in the Union Depot Place.
The facility i the U ion Dep�t Place consists of approximately 29,0 0 sq, ft.
of office, tel vision production and warehouse space. Continental C blevision
of Saint Paul, Inc. i tends to invest approximately $1,400,000 in le sehold
improvements a the U ion Depot Place.
C. Projected Incr ase in Market Value
It is estimate that he leasehold improvements will increase the ma ket
value of the p operty by about $1 ,000,000.

I 9. REVOCATION
The Council may revoke n alterna ve local contribution«nd may request the Commissioner of Revenue o approve
the revocation of a classi ication pu suant to the Act if it finds and determines by resolution,after hearing pon notice
mailed to the applicant b certified ail at least 60 days before the hearing,that
(a)The construction o improve ent of the Participating Business'property and operating facility has ot been
complsted within two ears after the approval of the classification,or any longer period as may be pro ided in
Section 8(a)hereof;
(b)The Participating siness h s not proceeded in good faith with the construction or improvement o the facility,
or with its operation,i a manne which is consistent with the purpose of the Act,the representations o the
application,or the cov nants of t is Agreement;or
(c)The Participating B siness h s misrepresented a material statement contained in its application for x credit,
has failed to pertorm y expres covenant of this Agreement or is not in continuing compliance with r quirements
or conditions for appr val or gra t of an alternative local contribution,state tax reductions or credits u der the Act,
the Program or this A reement.
REVOCATION OF AN LTERNA IVE LOCAL CONTRIBUTION OR OF AN EMPLOYMENT PROPERTY
CLASSIF�CATION SH LL TERMI ATE STATE TAX EXEMPTIONS,CREDITS AND REDUCTIONS. �
The City Council may pose or equest imposition of a remedy other than revocation,including withh Iding of~
eligibiliry certifications far credit exemptions or reductions,or institution of suit for specific performan e or other
remedy in law or equi .No failu of the City to exercise or make selection of a particular remedy for b each of this.
Agraement by the Pa cipating usiness shall be deemed a waiver of its rights to enforce performance by the
Participating Business of its obli ations under the Act or this Agreement by any remedy avaifable to th City in law.

PARTICIPATING BUSINESS
I. GENERAL
A. The City desires to in rease em loyment opportunities for long-term unemplayed,economically disa antaged Saint
Paui residents,with eveloper/ mployers#or jobs within Saint Paul's Riverfront Entarprise Zone.
B. Developer/Employer agrees to se the City as its primary source for recruitment,training,reierral,an placement of
new or replacement ntry level mployees in accordance with the terms of this Agreement
C. The City's delegate a ency will e the Division of Job Creation and Training in the Department of Pla ning and
Economic Developm nt,Saint aul,MN 55102(Job Creation),or any other appropriate City agency a may be
designated by the M yor.
D. This Agreement bec es effec ve upon the date hereof and shail continue for five years from the tim
Employer/Developer occupies cilities in the Riverfront Enterprise Zone,uniess terminated as provid d herein.
E. This Agreement shall be applic ble to all Developer/Employer new or replacement entry level positio s for which
economically disadv ntaged(i. .:JTPA-eligible)persons are or might reasonably be availabie.This A reement shatl not
apply to those jobs c vered by xisting collective bargaining agreements or other contracts to which he
Developer/Employer is a party, here the terms of this Agreement would cause Developer/Employer to breach the
provisions of such a reements.
II. RECRUITMENT
A. The empioyment pos tions cov red by this Agreement inciude ail Oeveloper/Employer job opsnings erformed within
the Riverfront Enterp ise Zone, the classifications,titles and qualifications contained in Exhibit A.
B. The Developer/Empl yer will n tify Job Creation of its need for new empl.oyees in covered positions s soon as the
Developer/Employer decides t hire such employees or, if possible,ninery(90)working days prior to he expected
hiring dates.Notifica on may in lude the information required in Exhibit A.
C. The Developer/Empl yer will p ovide Job Creation with its best estimate of the number and timing of otential job
openings,through u of the fo m provided in Exhibit 8.
D. The Developer/Empl yer may otify Job Creation of alI vacancies for Developer/Employer job openi gs in the
Riverfront Enterprise one whi are not covered by this Agreement.The Developer/Emptoyer is not bligated to hire
employees from thes referrals rom Job Creation.
E. Job openings which re filled b internal promotions from the Developer/Employer's local work force are not covered
by this Agreement.
III. R�FERRAL
' A. Job Creation will ref r applican s according to the qualifications requssted by Developer/Employer.

C. Developerf Emp(oye reserves t e right to make all decisions on hiring new or additional employees,i cluding the
quatifications of appl cants,but grees to hire for covered positions from among those persons referr d by Job Creation
or the Saint Paul Urb n League who meet the job descriptions and qualifications,or other persons c ified as eli�ible.

IV. PLACEMENT
A. When Developer/Em loyer noti ies Job Creation of job openings in covered pos+tions prior to ninety( 0)working days
in advance of the pro osed dat to hire,Job Creation will notify the Employer five(5)working days pri r to the
application closing d te of the umber of applicants Job Creation will refer.
B. If Job Creation canno refer the otal number of qualified applicants,the Developer/Employer may fill e remaining
positions by any mea s.
C. Job Creation will a)p ovide assi tance and monitor job retention of employees placed under this agre ment for six
months,and b)monit r Devefop r/Empfoyer's performance under this Agreement. Developer/Emplo r will submit
Quarteriy Hiring Sum aries in bstantially the form attached as Exhibit C.
D. After the Developer/ mployer h s hired an applicant referred by Job Creation,Job Creation wiii not b responsible for
the employee's cond ct and th Developer/Employer releases the city from any liability for the action of such
employees.
V. TRAINING
A. Job Creation and the eveloper Employer may agree in a separate agreement to develop classroom aining,
on-the-job training,p e-employ ent training or other training programs.The training specifications a d cost for such
training shall be set f rth in that greement.
B. The Developer/Empl yer will n t discontinue routine on-the-job training to employees hired under th' Agreement,
because of this Agre ment or s pplements to this Agreement.
VI. CONTROLLING LA S AND AGREEMENTS
A. If this Agreement con licts with r requires Developer/Employer to breach an existing collective barg 'ning agreement
or any other existing greement ,said agreements shall prevail.
B. Developer/Employer ill provid Job Creation with written evidence that Developer/Employer has pr vided the
representative of any ollective argaining unit with a copy of this Agreement and has requested com ents from said
unit.Developer/Empl yer will p ovide such comments to Job Creation.
C. The Developer/Empl yer will n t violate any local,state,or federal law or regulation.
VII. DEFINITIONS
A. Riverfront Enterprise one:
The area designated y the Stat of Minnesota as an enterprise zone as detailed in Exhibit D.
B. Covered Employees:
New or rep�acement ntry level mployees and such other employees as may be mutually agreed upo betweeen ihe
parties.
