SPONSOR shall firs agree in a writing signed by duly authorized
representati es of the SPONSOR to increase said Estimated Cost.

minor devia ions f om the amount or nature of the expenditure as

question ar made in connection with ARTICLE I.
E. The term "c sts" a used in this contract includes:
1. The cos of di ect labor and technical supervision, includin :
f ringe nefit at the current UNIYERSITY rate.
2. The cos of ma erials consumed in the investigation and of
special quipm nt which it may be necessary for the UNIVERSI
to purchase, a d also miscellaneous charges including (where
applicable) bu not limited to: freight, express, telephone
and tel raph harges, traveling expenses, cost of installa-

A. Any alterat ons, v riations, modifications or waivers of terms o

the UNIVERS TY.

A. This contra t may e terminated by either party hereto by giving a
written not ce to he other party thirty (30) days in advance of a
specified d te of ermination.
6. Upon receip of su h a notice from the SPONSOR, the t1NIVERSITY
shall take 11 nec ssary action to cancel outstanding purchase
orders and ther c mmitments relating to the work under this
contract, a d shal exercise reasonable diligence to cancel or
redirect co itmen s for personal services to its other activiti s
and operati ns.
C. 7he SPONSOR shall emain liable for all costs incurred under this
contract, i cludin any of the above mentioned commitments enter
into by the UNIVER ITY in good faith prior to the receipt of the
above menti ned no ice. Upon payment of such costs, the SPONSOF,,
shall be en itled, and the UNIVERSITY agrees to deliver, all
information and it ms which, if the contract had been completed,
would have een re uired to be furnished to the SPONSOR, .
including, ut not limited to, partially completed plans,
drawings, d ta, do uments, surveys, maps, reports and models.

ARTICLE VII - R cords nd Inspectian
A. The UNIVERS TY agr es to maintain books, records, documents and
other evide ce per aining to all costs and expenses incurred and
revenues ac uired nder this contract to the extent and in such
detail as w 11 pro erly reflect all net costs, direct and
indirect, o labor materials, equipment, supplies and services, �
and other e sts an expenses of whatever nature for which
reimburseme t is c aimed.
B. The SPONSOR or an duly authorized audit representative shall
have access for th purpose of audit and examination to any book ,
documents, apers nd records of the UNIVERSITY which are per-
tinent to t e cont act, at all reasonable times during the perio
of retentio provi ed for in Paragraph C below,
C. All pertine t reco ds and books of accounts related to this
contract in the po session of the UNIVERSITY shall be preserved
for a perio of th ee t3) years after the end of the eontract
period.
D. Records rel ting t any litigation or tlaim arising out of the
performance of thi contract, or costs and expenses of this
contract to which xception has been taken as a result of inspec
tion or aud t shal be retained by the UNIVERSITY until such 1it -
gation, cla m or e ception has been disposed of.

in a writin signe by a duly authorized representative of the
SPONSOR.
B. Such subcon racts hall be subject to such conditions and provi-
sions as th SPONS R may deem necessary; provided however, that
notwithstan ing th foregoing, unless otherwise provided in this
contract, s ch pri r written approval shall not be required for
the purchas by th UNIVERSITY for articles, supplies, equipment
and service whith are incidental but necessary for the per-
f orma�ce of the wo k required under ARTICLE I ; and provided,
further, ho ever, hat no provision of this ARTICLE and no such
approval by the SP NSOR Qf any subcantract shall be deemed in an
event or in any ma ner to provide for the incurrence of any obli
gation of t e SPON OR in addition to the Cost Estimate on page 1
ARTICLE IX - As ignmen s _
A. Neither par y to t e contract shall assign the contract as a who e
or in part o any arty or parties without such assignment being
reduced to writi g and signed by a duly authorized represen-
tative of t e othe party to the contract, nor shall either part
to the cont act as ign any monies due or to become due under thi
contract to any pa ty or parties without prior approval reduced o

ARTICLE X - Pu licati n
A. It is the licy f the UNIVERSITY to promote and safeguard fre
and open inquiry faculty, students and others. To further this
policy, th UNIVER ITY shall retain the right to publish the
results of he investigation. Either party to this contract sha 1
submit a co y af e manuscript to the other party prior to publ '-
cation for he pu ose of review.
6. Publication by eit er of the parties to this contract shall give
proper cred 't �o t e other party for the cooperative character o
the investi ation. No comnercial brands or trade names sha11
appear in t e publ 'cation of the results except as such brand ar
trade name s esse tial in the description of the research, nor
shall the n me of he UNIVERSITY or the SPONSOR be used in any �
way for adv rtisin purposes.
C. Prior to pu licati n by either party to this contract, no publi-
city shall e give by either party to any af the results of the
investigati n, exc pt with approval in a writing by a duly
authorized eprese tative of the other party. .
ARTICLE XI - Ri hts in Data and Copyright
A. TMe term "S bject ata" as used herein includes research data, c m-
` - puter progr s, re orts, writin s sound recordin s �- -

reproductio s, dra ings or other graphical representations, and
works of an simil r nature (whether or not copyrighted) which a e
specified t be de ivered under this agreecnent. The term does n t
include fin ncial eports, cost analyses, and similar informatio
incidental o cont act adm9nistration.
B. Ownership o all t e Subject Data and copyrights arising from th
Subject Dat shall be vested in the UNIVERSI7Y. If the UNIVERSI
does not wi h to r tain ownership of such copyrights, they may th n
be assigned to SPO SOP,. The above procedures shall not affect a
UNIVERSITY taff m mber� s rights to make use of the Subject Data 'n
pursuit of is sch larly activities in forms other than that in
�hiCh they ppear in the Subject Data form, so long as the copyri ht
is protecte in su h subsequent use.
C. Nothing in his AR ICLE shall be construed to limit the right of
f aculty memb rs to ublish the Subject Data in scholarly or pro-
f essional j rnals. _
ARTIGLE XII - Di coveri s
A. Title to all discov ries, whether patentable or not, and patents
therefrom de iving rom the work set forth in ARTICLE I of this
agreement, s all be vested in the UHIVERSITY. The SPONSOR and th
