The State has recomputed the City' s share of cos s for this contract,
usi g the low bid unit prices of Carl Bolander & Co. to whom the
con truction contract has been awarded, as shown 'n the enclosed
rev sed SCHEDULE "I" . The City' s cost share as r computed decreased
fro the preliminary estimate of $44, 687. 00 to $3 , 677.40. The
agr ement provides for the City to advance to the Commissioner of
Tra sportation the City' s revised cost share amou t of $39, 677.40; and
an i voice in this amount will be forwarded to th City in a few days,
and ' t is requested that payment be made accordin ly.

WHEREAS the State is about to award a contrac for grading ,
bituminous surfacing and wall construction an other associatea
construction work to be performed upon, along and aajacent to Trunk
ighway No. 35E from Engineer Station N.B. 457 70 (Grand Avenue) to
ngineer Station N.B. 483+15 (Kellogg Boulevar ) within the
c�rporate city limits in accordance with state plans, specifications
a d special provisions therefor designated as S ate Project No.
6 80-229 (T.H. 35E=390 ) and in tiie records of t e Federal Hignway
A inistration as Minnesota Project I-IR 35E-4 ( 95) ; and
WH REAS said state contract includes the constru tion of storm sewer
fa ilities which collect and convey storm water rainage from both
tru k highway rignt-of-way and adjacent city prop rty; and �
WHE EAS said state contract also includes , at the City' s request,
the onstruction of a concretz walk approacn to th southerly end of
Waln t Street Pedestrian Bridge No. 02804 over Tru k Highway c1o. 35E
from Smith Avenue; and
WHERE S the City has expressed its willingness to p rticipate in the
osts of said storm sewer facilities and concrete w lk approach

WHEREAS it is anticipated that certain porti ns of the construction
to be performed under State Project No. 0280- 29 (T.H. 35E=390 ) will
be eligible for Federal-aid funds participati n therein at the rate
f 90 percent, and, in that event, the costs f the eligible city
ost participation construction hereunder will be reduced by the
ederal-aid funds received by the State for co struction costs
i curred in the performance of said city cost articipation
c nstruction.

state contract to be completed in a satisfact ry manner .
RTICLE II - CONTRACT AWARD RECOMMENDATION BY HE CITY
romptly following the opening , tabulation and vertification of bids
received for State Project No. 628�-229 (T.H. 5E=390 ) construction
c ntract, the State shall submit to the Director of Public Works of
t e City a certified copy of tne low bid and an abstract of all bids
r ceived by the State for said project construc ion contract
to ether with a request for the City' s recommen ations relative to
th award of the construction contract for said tate project. In
th event the City desires to make recommendatio s relative to tne
award of said construction contract, it shall do so within ten
cal ndar days of tne receipt of the aforesaic� bid documents from the
Sta e in writing to the State ' s Contract Administ ation Engineer at
St . Paul , Minnesota. Any recommendations made by the City regarding
the ward of a construction contract for said sta e project shall be
give due consideration but shall not be binding o the State, and
the tate shall have the exclusive right to determ ne to which
bidd r said construction contract shall be awarded in accordance
with he State ' s "Standara Specifications for Construction" , 1983

ARTICLE III - INSPECI'ION BY THE CI'I'Y
The construction of State Project No. d280-22 (T.H. 35E=39U ) shall
e under the supervision ann direction of the tate; nowever the
ity cost participation construction to be per ormed hereunder and
hose roadway and pathway portions to be const ucted under said
s ate contract and released and conveyed in ac ordance with Article
V , Section A of this agreement may be inspecte periodically by the
C ty' s Director of Public Works or his authoriz d representatives.
I the City, after said city cost participation construction and the
co struction of said roadway and pathway portion has been
co pleted, believes said construction work has n t Aeen properly
co structed or that the work is clefective , the C ty snall inform the
Sta e ' s District Engineer at Oakdale in writing f such ctefects.
Any recommendations madz by the City regarding th work performed ,
und r this agreement are not binding on the State and the State
shall have the exclusive right to determine wheth r the work rias
been satisfactorily performed by the State ' s contractor. All work
cove e� under tnis agreement shall be performed in substantial
acco dance with the aforesaid state project plans , specifications
and s ecial provisions.

S id payment by tne City hereunder of the City' share of
c nstruction costs shall be based on the final uantities of city
c st participation construction work items perf rmed or the final
pa ment quantity in the case of plan quantity it ms multiplied by
th appropriate unit prices contained in the con truction contract
to be awarded by the State in accordance with Ar icle I hereof
and or multiplied by the appropriate unit prices contained in any
sup lemental agreements to the state' s contract w ich provide for
cit cost participation construction.

Sec ion C. Construction En ineerin Costs
In cldition to payment of the aforesaid construct ' on costs including
the prorated cost shares of "Mobilization" , "Fiel � Office" , "Field
Lab ratory" , "Maintenance and Restoration of Hau1 Roads" and
"Tra fic Control" , the City shall pay to the Stat a prorated share
ot t e construction engineering costs for field en ineering and
insp ction, preparation of progress and final esti ates reports,
reco d sampling , and mat�rial testing and inspecti n which will be

incurred by the State in connection with said city cost
articipation construction. Such constructio engineering costs
hall consist of charges made by state personn 1 assigned to said
tate project and of a classification no highe than "Principal
ngineer" (Resident Engineers assigned state d strict offices and

P incipal Engineers) as recorded under the stat construction cost
a counting work item code numbers appropriate f r such construction
e gineering activities on the "Time Report" (Fo m TP-3U ) and the

to percent of the estimated amount computed as he City' s total

City' s cost shares of the items of "Mobilization" , "Field Office" ,

"Tra fic Control" . )
ARTIC E V - PAYMENT BY THE CITY

It is estimated, for accounting purposes, that the ity' s share of

" " . `1'he State shall , when a construction contract is awarded whicn
i cludes the city cost participation constructi n work to be
p rformzd hereunder , prepare a revised SCHEDULE "I" based on the
c struction contract unit prices and submit a opy of said revised
SC EDULE "I" to the City. The City agrees to a vance to the
Co missioner of Transportation an amount equal the City' s total
co t share as s�t forth in said revised SCHE,�ULE "I" be it more or
le s than said sum of $44 ,687 . 00 zorthwith upon he execution of ,
this agreement and upon receipt of a request fro the State for such
adv ncement of funds.
Sec ion B. Final Pa ment b the Cit
It s contemplatea that all of the construction w rk to be performed
und r said state construction contract is to be d ne on a unit price
basi . Upon the completion and acceptance of the work provided for
in s id contract let by tne State and the prepara ion by the State
of a final estimate computing and determining the mount due the
cont actor performing the work, the Commissioner o � Transportation

shall determine and comgute the amount due th Trunk Highway Fund of
ne State of Minnesota from the City for said city cost
articipation construction work as set forth ereunder . After the
ommissioner of Transportation determines the ctual amount due from
he City, he shall apply on the payment thereo as much as may be
ecessary of the aforesaid funds advanced by t e City. If the
a ount found due from the City shall be less t an the amount of the
f nds advanced, then, and in that event, the b lance of said
a vanced funds shall be returned to the City wi hout interest. If
t e amount found due from the City shall exceed said amount of funds
ad anced , the City agrees to promptly pay to th State the
di ference between said amount found due and sa 'd amount of funds
ad anced.
Pu suant to Minn. Stat. 15.415, the State waives claim for any
am unts less than $2. 00 over the City payment fu ds earlier received
by he State, and the City waives claim for the eturn of any
amo nts less than $2. 00 of such funds advanced b the City.
Sec ion C. Acce tance of Cit ' s Final Cost Share and of
Completed Construction
It i understood and agreed tnat the aforesaid co putation anai
dete mination by the Commissioner oz Transportati n of the amount
due rom the City hereunder shall be final , bindin and conclusive.

A TICLE VI - GENERAL PROVISIONB
S ction A. Plan Chan es
T e City may request a chanye or changes in the plan by a duly
a opted City Council resolution for State Proje t No. 6280-229 (T.H.
3 E=39G ) construction to be performed hereunder in order to
sa isfactorily complete the aforesaid city cost participation
co struction, and if tne State determines that aid requested plan
ch nge or changes are necessary and/or desirable, the State will ,
ca se such change or changes in plan to be made nd appropriately
al er the affected construction.
Sec ion B. Additional Draina e
It s hereby understood and agreed that upon the atisfactory
com letion of tne aforesaid state contract constr ction, neither
par to this agreement shall drain any additiona drainage into the
stor sewer facilities constructed under the afor said state
cont act that is not included in tne drainage for hich said storm
sewe facilities were designed without first obtai ing permission to
do s from the other party.

It is hereby undzrstood and agreed that, upon the satisfactory
ompletion of the aforesaid state contract co struction, tne City
hall thereafter , without cost or expense to t' e State, accept =u11
nd total responsibility and all obligations a d liabilities arising
ut of or by reason of the use , operation, mai tenance, repair
nd/or reconstruction of those portions of Ple sant Avenue, Thompson
A enue, Pathways A, S and C, the bituminous pa hway extension of
P thway C and the concrete walk approach to the soutnerly end of
W lnut Street Pedestrian Bridge No. o2u0� from 'mith Avenue
i cluding all of the facilities a part tnereof onstructecl within
t corporate city limits under said state cont act.
It is hereby understood and agreed that, upon tne satisfactory
co pletion of the aforesaid state contract const uction, the City ,
sh 11 thereafter accept full and total responsib lity and all and
al obligations and liabilities arising out of o by reason of the
sno and debris removal of Vdalnut Street Pedestr ' an Bridge No. 62804
con tructed within the corporate city limits under said state
con ract.
Sec ion D. Release an� Conve ance of Roadwa s an Pathwa s
The tate shail , upon the satisfactory completion of the aforesaid
stat contract construction, serve upon the City "Notice of
Rele se" placing tnose portions ot Pleasant Avenue, Thompson Avenue,

Pathways A, B and C and tne bituminous pathwa extension of Pathway
including all of the facilities a part ther of constructed within
he corporate city limits under the jurisdict' on of the City; and
ubsequent thereto, after all necessary and re�uired documents have
een prepared and processed, the State shall c nvey to the City, all
" ight , title and interest of the State in said City roadway and
thway portions. Upon receipt of said "Notic of Release" , the
C ' ty shall become the authority responsible fo said city roadway
a d pathway portions so released.
S ction E. Claims
I is hereby understood and agreed that any and a11 employees of the
St te and a11 other persons employed by the Sta e in the performance
of the construction and/or construction enginee ing work or services ,
re uired or provided for under this agreement s all not be
co sidered employees of the City and that any an all claims that
ma or ini�ht arise under the Worker ' s Compensati n Act of the State
of Minnesota on behalf of said employezs while s engaged and any
