execut� copy of the subject agreement between the City of St. Paul
and thi department.
The ate has recomputed the City's share of costs for ttiis
contra ,. using the low bid unit prices of Ashbach Constr�ction
Compan , to whom the construction contract has been awarded, as shown
in the nclosed revised SCHEDULE "I". The City's cost share as
recompul ed decreased from the preliminary estimate of $139,543.62 to
$115,0 .90.
The ag ement provides for the City to advance to the Commissioner of
Transp tation the City's revised cost share amount of $125,025.90;
and an 'nvoice in this amount will be forwarded to the City in a few
days, a d it is requested that payment be made accordingly.

and misce laneous repair construction and other associated

Highway N . 149 (Dodd Road and Smith Avenue) from Engineer Station
500+63 ( t e junction with Trunk Highway Na. I10) in the City of
Mendota H ights to Engineer Station 42+68.00 (Stevens Street) within
the corpo ate city Iimits in accordance with state plans,
specifica ions and special provisions therefor designated as State
Projects o. 1917-28 (T.H. 149=001) and No. 6223-15 (T.H. I49=102) ;
and
WHEREAS s id state contract includes storm sewer facilities� concrete

WHEREAS ' n connection with said state contract, the revision of
traffic ' ontrol systems to be covered under State Project No. 1917-28
(T.H. 14 =001 ) will be covered under Traffic Control Signal Agreement
No. 6396 between the State and the City of West St. Paul.
IT IS� T EREFORE� MUTUALLY AGREED AS FOLLOWS:

ARTICLEI I - CONTRACT AWARD RECOMMENDATION BY THE CITY
Promptly�lfollowing the opening, tabulation and verification of bids
receivedifor State Projects No. 1917-28 (T.H. 149=001 ) and No. 6223-15
(T.H. 14 =102 ) construction contract, the State shall submit to the
Director of Public Works of the City a certified copy of the low bid
and an a stract of all bids received by the State for said projects
construc ion contract together with a request for the City' s
recommen ation relative to the award of the construction contract for
said sta e projects. In the event the City desires to make
recommen ations relative to the award of said construction contract�
i t shall II o so wi thin ten calendar days cf the receipt of the
aforesaic� bid documents from the State in writing to the State' s
�
Contractl dministration Engineer at St. Paul, Minnesota. Any
recommend tions made by the City regarding the award of a construction
,
contract or said state projects shall be given due consideration but
shall not be binding on the State, and the State shali have the
exclusive right to determine to which bidder said construction
contract hall be awarded in accordance with the State' s "Standard
A
Specifica ions for Construction" , 1983 edition.
ARTICLE I I - INSPECTION BY THE CITY
The const uction of State Project No. 6223-I5 (T.H. 149=102) shall be
under thellsupervision and direction of the State; however, the city
cost part cipation construction hereunder to be performed under State
Project N . 6223-15 (T.H. 149=102 ) may be inspected periodically by

the Citl' s Director of Public Works or his authorized representatives.

If the ' ty� after th� said city cost participation construction work

hereunde� has been completed, believes said constuction work has not
been prc� erly constructed or. that the work is defective, the City
shall in orm the State' s District Engineer at Oakdale in writing of
such de cts. Any recommendations made by the City regarding the work
perform under this agreement are not binding on the State� and the
State sh� 11 have the exclusive right to determine whether the work has
been sat�' sfactorily performed by the State' s contractor. Al1 work
covered I nder this agreement shall be performed in substantial
accordanl e with the aforesaid state project plans, specifications and
special rovisions.
ARTICLE V - BASIS OF PAYMENT BY THE CITY

Section Construction Costs
The Citylshall pay to the State,. as the City' s full share of the costs
of the c ns�ruction to be performed in accordance with Article I
hereof, he costs of the construction described below under "CITY COST
PARTICIP TION CONSTRUCTION" and of the costs of any contract change
orders ol supplemental agreements which may be necessary to complete
said cit cost participation construction and the cost of any
settleme ts of claims made with the state' s contractor in connection

partici tion construction work items performed or the final payment
quantity� in the case of plan quantity items multiplied by the

multiplild by the appropriate unit prices contained in any
suppleme tal agreements to the state' s contract which provide for city

ARTICLE V - PAYMENT BY THE CITY
Section A. Estimate and Advancement of the Cit ' s Cost Share
It is e timated, for accounting purposes, that the City' s share of the
costs o the construction work to be performeci by the State hereunder

which i cludes the City' s shares of the prorated items "Mobilization" ,
"Field ffice" , "Maintenance and Restoration of Haul Roads" and
"Traffi� Control" plus the 8 percent construction engineering cost
share is the sum of $139, 543.62 as shown in the attached SCHEDULE "I".

The Stat shall, when a construction contrac� is awarded which
includesl, the city cost participation construction work to be performed
. hereunde , prepare a revised SCHEDULE "I" based on the construction
contract unit prices and submit a copy of said revised SCHEDULE "I" to
the Cityt The City agrees to advance to the Commissioner of

determile and compute the amount due the Trunk Highway Fund of the
State o Minnesota from the City for said city cost participation
constru tion work as set forth hereunder. After the Commissioner of
Transpo tation determines the actual amount due from the City, he
shall a ply on the payment thereof as much as may be necessary of the

aforesai funds advanced by the City. If the amount found due from
I
the Cit is less than the amount of the funds advanced, then� and in
that eve t, the balance of said advanced funds shall be returned to
the City without interest. If the amount found due from the City
exceeds aid amount of funds advanced, the City agrees to promp�ly pay
to the S ate the difference between said amount found due and said
amount o funds advanced.
Pursuantlto Minn. Stat. 15.415, the State waives claim for any amounts
- less tha $2.00 over the City payment funds earlier received by the

State, a the City waives claim for the return of any amounts less

the Stat determines that said requested plan change or changes are
necessar and/or desirable, the State will cause such change or

In conne tion with the adjustment of water valve boxes and frame and
ring� cas ' ngs on city owned utilities to be performed by the state' s

Section C. Maintenance
It is h reby understood and agreed that, upon the satisfactory

complet on of State Project No. 6223-15 (T.H. 149=102) constructior��

the Cit shall thereafter provide for the proper maintenance, without

cost or 'lexpense to the State, of all of the storm sewer facilities�
sanitar sewer facilities and watermain facilities constructed within
the cor orate city limits under said state project and that neither
party t this agreement shall drain any additional drainage into �aid
storm se� er facilities that is not included in the drainage for which
said st� m sewer facilities were designed without first obtaining
permissil n to do so from the other party.
It is he eby understood and agreed that, upon the satisfactory
completi n of State Project No. 6223-15 (T.H. 149=102 ) construction,
the Cityllshall thereafter provide for the proper maintenance, without
cost ar xpense to the State, of all of the concrete walk and concrete
driveway pavement used as concrete walk constructed within the
corporat city limits under said state project. Said maintenance
�
shall belunderstood to include, but not be limited to, snow and debris
removal nd any other maintenance activities necessary to perpetuate
said con rete walk and concrete driveway pavement in a safe and usable
conditio .

Section L�. Claims
It is he� by understood and agreed that any and all employees of the
State anc� all other persons employed by the State in the performance

required or provided for under this agreement shall not be considered
employee of the City and that any and all claims that may or might
arise un er the Worker' s Compensation Act of the State of Minnesota on
behalf o said employees while so engaged and any and all claims made
