( the "U derwriter") has made a proposal in an agreement (the "U derwriting Agreement" ) relating to the purchase of the re enue bonds to be issued to finance the Project; WHEREAS, the Authority, pursuant to Minnesota St tutes, Section 474.01, Subdivision 7b did publish a notice, a opy of which with proof of publication is on file in the of ice of the Authority, of a public heariny on the proposal of th Company that the Authority finance the Project hereinbefore de cribed by the issuance of its industrial revenue bonds; and WHEREAS, the Authority did conduct a public hearing p suant to said notice, at which hearing the recommendations c tained in the Authority' s staff inemorandum to the C issioners were reviewed, and all persons who appeared at t hearing were qiven an opportunity to express their views wi h respect to the proposal. NOW, THEREFORE, BE IT RESOLVED by the Commissioners o the Port Authority of the City of Saint Paul, Minnesota as f lows: 1. U2 f the Act; that the Project furthers the purposes stated in Se tion 474.01 of the Act and, but for the willingness of the Au hority to furnish such financing, the Company would not un ertake the Project, and that the effect of the Project, if un ertaken, will be to encourage the develoFxnent of ec nomically sound industry and commerce and assist in the pr vention of the emergence of blighted and marginal land, and wi 1 help to prevent chronic unemployment, and will help the Ci y to retain and improve its tax base and provide the range of services and employment opportunities required by its po ulation, and will help to prevent the movement of talented an educated persons out of the state and to areas within the st te where their services may not be as effectively used and w' 1 result in more intensive development and use of land wi hin the City and will eventually result in an increase in t City' s tax base; and that it is in the best interests of t port district and the people of the City of Saint Paul and i furtherance of the general plan of development to assist the C pany in financing the Project. 2.- Subject to the mutual ag zeement of the A thority, the Company and the purchaser of the revenue bonds a to the details of the lease or other revenue agreement as d fined in the Act, and other docLUnents necessary to evidence a d effect the' financing of the Project and the issuance of the r venue bonds, the Project is hereby approved and authorized a d the issuance of revenue bonds of the Authority in an amount n t to exceed approximately 5375,000 (other than such a ditional revenue bonds as are needed to complete the Project) i authorized to finance the costs of the Project and the r commendations of the Authority' s staff, as; set forth in the s aff inemorandum to the Commissioners which was presented to t e Commissioners, are incorporated herein by reference and a proved. 3. In accordance with Subdivision 7a of 5ection 4 4.01, Minnesota Statutes, the Executive Vice-President of the A THORITY is hereby authorized and directed to submit the p oposal for the above described Project to the Commissioner of ergy and Economic Development, requestiny his approval, and her officers, employees and agents of the AUTHORITY are reby authorized to provide the Commissioner with such eliminary information as he may require. 3 � • (rn/n 3-!� � � \ `"' • ` 4. There has heretofore been filed with the u ority a form of Preliminary Agreement between the Authority n Company, relating to the proposed construction and in ncing of the Project and a form of the Underwriting ement. The forms of the agreements have been examined by he Commissioners. It is the purpose of the agreements to vi ence the commitment of the parties and their intentions it respect to the proposed Project in order that the Company ay proceed without delay with the commencement of the cq isition, installation and construction of the Project with he assurance that there has been sufficient "off icial action" nd r Section 103(b) of the Internal Revenue Code of 1954, as me ded, to allow for the issuance of industrial revenue bonds in luding, if deemed appropriate, any interi� note or notes to ro ide temporary financing thereof) to finance the entire cost f he Project upon agreement being reached as to the ulti.mate et ils of the Project and its financing. Said Ag reements are er by approved, and the President and Secretary of the ut ority are hereby authorized and directed to execute said r ements. 5. Upon execution of the Preliminary Agreement by he Company, the staff of the Authority is authorized and ir cted to continue negotiations with the Company so as to es lve the remaining issues necessary to the preparation of he lease and other documents necessary to the adoption by the ut ority of its final bond resolution and the issuance and del very of the revenue bonds; provided that the President (or ic —President if the President is absent) and the Secretary ( r Assistant Secretary if the Secretary is absent) of the ut ority, or if either of such officers (and his alternative) are absent, the Treasurer of the Authority in lieu of such a s nt officers, are hereby authorized in accordance with the pro isions of Minnesota Statutes, Section 475.U6, Subdivision 1, o accept a final offer of the Underwriter made by the U d rwriter to purchase said bonds and to execute an U d rwriting Agreement setting forth such offer on behalf of t e uthority. Such acceptance shall bind the Underwriter to s i offer but shall be subject to approval and ratification by t e ort Authority in a formal supplemental bond resolution to b opted prior to the delivery of said revenue bonds. 6. Mr. Brownson was i t ental in raising the majority of the funds for the four Albion pa n ships, the Hanm building and the Hill Plaza Apartment project which is ' iately west of and adjacent to the Blair Arcade.
