Medical Center is self- insixred for medical malpractic and
liability, and residents are covered by the hospital hen they
are functioning as SPRMC residents.

AGREEMENT
AN AG.REIIKEI�P made and entered int�o the day of , 1 85, by and
betw�een the ei.ty of Saint Paul, a m�anicipal oorp�ration of the te of
Minnesota, hereinafter referred to as the "City", acting through its Division of
Public Health, and the St. Paul I�ey M�dical Center, acting th ouc� its
Degartment of Internal Medical, Section of Infectous Diseases, h einafter
referred to as the "Medical Center";
WITNESSE`1'Ei:
WHEREA.S, the City requires medical staff t�o provide clinica servi.ces t�o
p�tients in its medir,al program; and
W'fiEREAS, the City is pennitted tro a�ntract for the perfo ce of said
service or any portion thereof; and
W!HEREAS, it is c�eemed in the best interest of the City tA ntract for said
servi ce;
NJW, ZIiEREFORE, IT IS MUPUALLY AGREED by and i�etween the Ci y and the
Medical Center as follows:

1. That the Medical Center shall provide the City wi.th the ysician �
Services of Reith Henry, M.D.
2. That the Med.ic�l Center shall be paid $30 per hour for D . Henry's
dut ies.

3. Typical duties will include but are rot limited to writi g policies and
procedures for the AIDS program, performing medical 'nations on
patients �wn or suspected t�o have oarr�unicable diseas , giving
. educational presentations tA staff and other groups, par icipating in
quality assurance activities, assisting in develognent d implementa-
tion of other AIDS program activities.
4. That the total am�unt reimbursed bo the Nledical Center der the terms
of this Agreer�►ent shall not �xceed $12,480.00
5. �at the City shall sulani:t t�o the Nl�dical Center a sched e for Dr.
Henry's time in advance.
6. That the City shall rei�urse the Med.ical Center on a rm thly basis upon
receipt of an inwice.
7. That the Medical Center shall provide Professional Liabi ity Insurance

8. That at all times the Medical Center agrees that Dr. Hen is an
indenendent v�ntract�or as tA the City and rbt an enploye of the City.
9. Zhat r�othing in this Agree�nent shall be vonstrued as 1' ting the right
of independent operation of either the N�dical Center or the City for
the affiliation of o�ntract with any other institution o agency while
this Agreanent is in effect.
10. That any Agreanent may be terminated l� eifiher party wi. or without !

cause upon thirty days' written notice. Charges whici� h ve accrta�d for
services rendered shall survive any termination of this greement.
11. That any alteration, variations, m�difications, or waive s of provisions �
of this Agreament shall be vali3 only when they have be reduced tA
writing� fully signed, and attached to the original of is Agresnent.
