IT IS� THEREFORE , MUTU�ILLY AGREED AS FOLLOWS : AR^1ICLE I - CON5TRUCTION BY THE_STATE The State shall , in connection with the award of th construction contract , administration of said contract and the p rformance of construction engineering for State Projects No. 622 -50 (T.H. 61=104) , No . 6220-52 (T.H. 61=104) , No. 6220-53 (T. . 61=104) and No. 6220-62084 (T. H. 61=104) , do and perform the fo lowing . Section A. Direction and Supervision of Construct on Direct and supervise all construction activities p rformed under said state projects, and perform all constzuction ngineering and inspection functions necessary for the satisfactor completion of said state projects construction . Section C. Plan Changes, Extra Work, Etc. Make such changes in plans or in the character of he work for said state projects construction , including the city co t participation construction hereunder, which are reasonably neces ary to cause said state projects construction to be in all things pe formed and completed in a satisfactory manner, and to that en and as supplemental to any contract let for the constructi n- of said state projects , to enter into any change orders or supplemental agreements with the state ' s contractor for the performance of ny extra work or work occasioned by any necessary, advantageous or d sirable changes in plans. However , the State ' s District Engineer a Oakdale1or his duly authorized representative will inform the City Clerk or other appropriate city official of any proposed change or er or supplement to the construction contract which will affect the ity cost participation hereunder. Section D. Construction Costs The City shall pay to the State , as the City ' s full share of the costs of the construction to be performed in �ccord nce with Article I her2of , the costs of the construction described b low under " CITY COST PARTICIPATION CONSTRUCTION" and of the costs o any contract change orders or supplemental agreements which may e n�cessary to complete said city cost participation construction nd the cost of any settlements of claims made with the state ' s con ractor in connection with said city cost participation constr ction . Said payment by the City hereunder of the City' s sh re of construction costs shall be based on the final quan ities of city cost participation construction work items performe or the final payment quantity in the case of plan quantity items multiplied by the appropriate unit prices contained in the constr ction contract to be awarded by the State in accordance with Artic e I hereo�f . and/or multiplied by the appropriate unit prices co tained in any supplemental agreements to the state ' s contract whi h provide for city cost partici�ation construction . CITY COST PARTICIPATION CONSTRUCTION 100 PERCENT of the costs not reimbursable under Fed ral-Aid Funding shall be the City ' s rate of cost participation in a 1 of the Bike Trail No. 1 construction to be performed along the outh side of the Warner Road westerly approach to Trunk Highway No. 1 and along the west side of the Trunk Hig hway No. 61 and along the west side of the Trunk Highway No. 61 southerly approach to V�arner R ad from Engineer Station 9+81 (approximately 2,000 feet west of the runk Highway No. 61 - Warner Road intersection) to Engineer Station 8+00 (approximately 2 �600 feet south of the Trunk Highwa No. 61 � Warner Road intersection) within the corporate city limits under State Project No. 6220-50 (T.H. 61=104) . All of the bituroinous surfacing construction t be performed along the south side of �aarner Road from the beginn ng of construction (approximat�ly Engineer Station 22+47 ) to Engineer Station 31+40 and then tapering at a rate of 15 to from a width of 10 feet at Engineer Station 31+40 to a width of zer feet at Engineer Station 32+90. Said construction includes but is not limited to, removal of curb and gutter and bitumino s pavement, sawing of bituminous pavement, excavation , grading nd construction of bituminous surfacing . 2 . All of the bike trail construction to be perfo med along the south side of Warner Road from the beginning of con truction ' (approximately Engineer Station 20+60. 55 ) to the en of construction (approximately Engineer Station 37+00) . Said const uction includes, but is not limited to, clearing , grubbing , salvagin of guard rail , excavation , grading , fencing , turf establishment an construction of aggregate base , bituminous surfacing , storm sewer f cilities and concrete median barrier . -8- � � � � , � � � . � G���-3�� > 63187 100 PERCENT of the costs not reimbursable under Fed ral-aid funding shall be the City ' s rate of cost participation in all of the Pedestrian Bridge No. 62084 construction to be perf rmed at Vdarner Road Engineer Station E. B. 34+8£3.057 (approximatel 0. 1 �f a mile west of the Trunk Highway No. 61 - P�arner Road inte section) within the corporate city limits under State Project No. 6229-62084 (T.H . 61=104 ) . Said construction includes, but is not li ited to , wall removal and reconstruction, excavations , grading , iling , concrete , reinforcement bars, expansion joints and their seal nt� prestressed beams and their diaphragmsr bearing assemblies and encing. Section B. Prorated Construction Costs In addition , said payment by the City shall also in lude the City' s prorated shares of the contract costs of Items No. 021 . 501 " Mobilization" , No. 2031. 501 " Field Office" , No . 20 1 .503 " Field Laboratory" , No. 2051 . 501 " Maintenance and Restorat ' on of Haul Roads" and No. 563 .601 " Traf€ic Control" as set for h in saic� attached SCHEDULE " I" . The aforesaid items are not included in the above described city cost participation constructio work items. Constr. uction_Engineering_Costs In addition to payment of the aforesaid constructio costs including the prorated cost shares of " Mobilization" , " Field ffice" , " Field Laboratory" , " Maintenance and Restoration of Haul R ads" and " TraFfic Control" , the City shall pay to the State prorated share of the construction engine�ring costs for field eng `ne�ring and insp�ction , preparation of progress and final estim tes reports , record sampling , and mat�rial testing and inspectio which will be incurred by the State in connection with said city ost participation construction . Such construction engi eering costs shall consist of charges made by state personnel as igned to said state projects and of a classification no higher th n " Principal Engineer" (Resident Engineers assigned state distri t offices and placed in charge of construction projects are class ' fied as Principal Engineers ) as recorded under the state co struction cost accounting work item code numbers appropriate for s ch construction :; engineering activities on the " Time Report" ( Form T -30) and ' the " Requisition and Distribution Sheet" ( Form 1702) . aid City prorated cost share shall be determined using the m thod and formula set forth in said attached SCHEDULE " I" . Estimate and Advancement of the City' s Cost Share It is estimated, for accounting purposes , that the City' s share of the costs of the construction work to be performed by the State hereunder which includes the City' s shares of the rorated items " Mobilization" , " �'ield Office" , " Field Laboratory" "Maintenance and Restoration of Haul Roads" and " Traffic Control" p us the 8 percent construction engineering cost share (used for esti ating purposes only) is the sum of $16, 929 .03 as shown in the att ched SCHEDULE " I" . The State shall , when a construction contrac is awarded which includes the city cost participation construction ork to be performed hereunder, prepare a revised SCHEDULE " I' based on1the construction contract unit prices and submit a cop of said revised SCHEDULE " I" to the City. The City agrees to adva ce to the Commissioner of Transportation an amount equal to he City' s total cost share as set forth in said revised SCHEDULE " " be it more or less than said sum of $16 , 929 .03 forthwith upon th execution of this agreement and upon receipt of a request from he State for such advancem�nt of funds. -11- (� �C .W � � \ i . . . - . Final Payment by the City It is contemp.l�� ted that ��11 of the constr_ uction wor to be perforrned under said state construction contract is to be don on a unit price basis . Upon the coin�letion and acceptance of the w rk provided for in said contrac.t let by the Stat� and the preparati n by the State of a final estimat� cornputing and determining the a ount due the contractor performing thA work, the Commissioner of Transportation shall determine and compute the amount due the Trun Highway Fund of the State of Minnesota from the City for said city ost participation construction work as set forth hereun er. After the Commissioner of Transportation determines the actua amount due from the City, he shall apply on the payment thereof as uch as may be necessary of the aforesaid funds advanced by the Ci y. If the amount found due from the City shall be less than t e amount of the funds advanced , then , and in that event , the balanc of said advanced funds shall be returned to the City withou interest. If the amount found due from the City shall exceed sai amount of funds advanced , the City agrees to pr�mptly pay to the St te the difference between said amount found due and said a ount of funds advanced . Pursuant to P9inn . Stat . 15 .415 , the State waives cl im for any amounts less than $2 .00 ov�r the City payment funds earlier received by the State , and the City waives claim for the ret rn of any amounts l�ss than $2 . 00 of such funds advanced by t e City. -12- � °� �� � • . . Acceptance of City' s Final Cost Share a d of Completed Construction It is understood and agreed that the aforesaid comp tation and determination by the Commissioner of Transportation of the amount due from the City hereunder shall be final , binding and conclusive . Zt is further agreed that the acceptance by the Sta e of the completed construction work provided for in said st te plans designated as State Projects No. 6220-50 ( T.H. 61=1 4) � No. 6220-52 (T. H. 61=104) and No. 6220-62084 (T.H. 61=104 ) and erformed under contract let by the State shall be final , binding a d conclusive upon the City as to the satisfactory completion of aid work. ARTICLE IV - GENERAL PROVISIONS Section A. Plan Changes The City may request a change or changes in the pla by a duly adopted City Council resolution for State Projects o. 6220-50 (T.H. � 61=104) No . 6220-52 ( T. H. 61=104) and No. 6220-6208 (T.H. 61=104) construction to be performed hereunder in order to atisfactorily complete the aforesaid city cost participation cons ruction , and if the State determines that said requested plan chang or changes are necessary and/or desirable , the State will cause su h change or changes in plan to be made and appropriately alter he affected construction . -13- � � C .� ` , . . . . Replacement of Castings In connection with th� adjustment of fr_ame znd ring castings and the installation of salvaged castings to be performed b the state ' s contractor under State Projects No . 6220-50 ( T. H . 6 =104) and No . 6220-52 (T.H . 61=104 ) , the City h�reby agrees to fu nish the state ' s contractor_ with new castings and/or parts therefor hen replacements are required , without cost or expense to the State r the state ' s contractor , excepting replacements required of cast ngs and/or parts broken or damaged by the state ' s contractor . Section C. Maintenance It is hereby understood and agreed that, upon the s tisfactory completion of State Projects IVo . 6220-50 ( T.H . 61=1 4) 6220-52 ( T. H. 61=104) � No . 6220-53 (T.H. 61=104 ) and No . 6220-620 4 (T. H. 61=104) construction , the City shall thereafter provide for the proper maintenance , without cost or expense to the State , f the entire portions of Burns Avenue , Warner Road , Point Dougla Road , Po.int � Douglas Road Connection , Battle Creek Park Entrance Road , Lower Afton Road , S.E. Frontage Road and Carver Avenue and all of the facilities a part thereof constructed within the cor orate ci.ty limits under said state projects . Said maintenance hall be understood to incluc3e , but not be limited to, snow a d debris removal , resurfacing and/or seal coating and any oth r maintenance activities necessary to perpetuate said roadway port ' ons in a safe and usable condition . -14- C � � �, , . � . . ' �'l._ � _��'/ ; ���� � 63187 Section D. Pedestrain Bridge and Bike Trail Responsibilities It is hereby understood and agreed that, upon the atisfactory comletion of State Projects No . 6220-50 ( T. H. 61=1 4) , and No. 6220-52 ( T. H . 61=104) , No. 6220-53 (T.H. 61=104 ) a d No. 6220-62084 ( T.H . 61=104 ) construction , the City shall thereaf er, without cost, expense , obligation or responsibility to the State , accept full and total responsibility and all obligations and liabi ities arising out of or by reason of the use , operation , maintenance , repair and/or reconstruction of all of the bike trails and the p destrian bridge including all of the facilities a part thereof con tructed within the corporate city limits under said state project . Said operation shall be understood to include , but not be limited to; the rules and regulations governing their use and the enforcemen of those rules and regulations . Said maintenance shall be ur�ders ood to include , but not be limited to debris and snow removal main nance of bike trail surface , mowing , brush removal , painting of tripes anc� stencils and any other maintenance activities requi ed to keep said . bike trails and pedestrian bridge in a safe and usa le condition.
