The City agrees to design and construct a skyway bridge connecting the Lowry Building with the Amhoist Building, in - accordance with City-approved plans and specifications prepared ....___. - for City by Ha�el y Green-and Abrahamson for---that pro j eet--desig- -- - nated as T'In Dot No . 95692, which plaris and specifications have been reviewed by Yorktown, Authority and LDC . � The City shall not , . without the wr�tten consent of Yorktown, Hote1 Partnership , - � Authority and LDC, which consent shall not unreasonabiy be with- held, � make or approve (1) any �change in the plans and specifications which would increase the to�tal cost �of the skyway bridge. Said skyway bridge shall include the necessary mechan- ical and electrical equipment for heating, ventilating and air conditioning ("HVAC") , lighting .and roof drainage. The mechan- r ical, electrical and roof draina;e systems of the bridge shall be tied into the respective systems of the Amhoist Building, which Amhoist Building systems shall be of sufficient capacity to serve the bridge and shall be provided at the sole cost and expense of Yorktown. Pursuant to the bridge construction contract, _�_ .__._.. . - , � the bridge mechanical,- eiectrical and roof c�r�inage lines shall be — - capped a minimum of two feet ins�ide the Amhoist Building line, and the connections of these lines to the Amhoist Building systems shall then be connec�ed by and at •the� expense of Yorktown. Said skyway bridge shall also include finishinglat skyway bridge ends , a ligh�ed ceiling, terrazzo floors , triple insulated glass to the . extent glass is used to enclose said skyway bridge, and aluminum . . and glass doors at both ends of the bridge. _ . -� � 4. City will use its best efforts to insure that the design and construction of the skyway bridge and pedes� trian concourse shall be in accordance with all applicable ordinances and state and local codes . � BRIDGE COSTS � 5 . City shall pay one-half (1/2) of the total cost of the skyway bridge, which shall include all construction costs, archi- . . _. ____ _ __ ---�r _� _- - tectv.ral design and engineering fees , and other associated costs which one-half share is currently estimated to be $2Q0, 000. Such total cost shall not include any costs for constructing, remadeling ' or reconstructing the Amhoist Building or Lowry Building for con- ' course corridors or vertical access facilities at .bridge 'ends , nor any costs for the provision of structural. support, mechanical, . electrical or roof drainage facilities within the Amhoist Building and Lowry Building, all of which non-included costs shall be borne - ' • by Yorktown and LDC respectively . 6 . Public easements as provided herein 'shall be caused to be granted by Yorktown and LDC so that such facilities will be available for use by the general public . . 9. City shall purchase the typical skyway directional signs and make them available to Yorktown., Hotel Fartnership and LDC. Yorktown, Aote1 Partnership and LDC shall at their own expense install , maintain and repair such signs in accardance with para- --_-- graph 29 •�re-rein. : . . 10. Peter Street ; and also to the Hotel at its mezzanine Ievel entrance as shown on ' . Exhibit A. 13 . The public easement through the Lowry Building shall be in accordance with E�hibit A herein, and shall commence at the westerly property line of the Lowry Building where the skyway bridge over St . LDC, Hotel Partnership and Yorktown agree that the . pedestrian concourse with the easement herein described and the adjacent access easements shall be designated as public easements and that all ordinances of the City applicable to the System . shall govern. 17 . The City hereby waives any right it may have to share in an award of damages in the event that a public body acquires all or any part of the Amhoist Building, Hotel or Lowry Building by condemnation or under threat of condemnation. Minnesota Statutes) , ' it being understood that said skyway bridge is intended to benefit - the public generally. � � OPERATION, MAINTENANCE AND REPAIR _ 19 . LDC, Yorktown and the Hotel Partnership agree to main- __ - ......_.. - � - _ ` tain, repai.r and operate the electrical,-c�ra��age and HVAC facil- . -_ - ities in and serving the skyway bridge at their sole cost and expense, and shall keep and maintain the skyway bridge in repair and in safe condition for, pedestri•an travel, reasonably clean � and free of litter and debris . � 20. LDC, Yorktown and the Hotel Partnership further agree to provide the necessary repair , operation and maintenance of the . . skyway bridge and its integral parts at their sole expense, with- _ ' . out cost to the City . Such maintenance shall include, but not be limited to , glass , floor, hardware and metal trim cleaning, polish- ing,� .repair and replacement ; roof maintenance; repainting; light bulb replacement and cleaning of light fixtures and directional . signs , if any. As used herein, the term "skyway system" is inclusive and encampasses the failowing: (1) concourse corridors, {2) node points in the concourse corridors, including, where feasible, _ one major node central to each block, generally at�the point where severai concoucse corridors intersect, (3) brides spanning streets, (4) certain vertical access #acilities connnecting the concourse corridors to public streets or ottier pubiic property. The primary purpose of this ' skyway system is to divert pedestrians from the minimal width street level sidewalks, enabling � peciestrian tcaffic to move in an enclosed environment protected from adverse weather - and vehicular traffic. The skyway system has significantly reduced pedestria*►-vehicle confiicts at street level, particularly during periods of peak tra#fic, thereby permitting a smoather flow of vehicular traffic and gre�ter safety for the pedestrian. �`-- _Another im-ortant benefii of the sk wa s stem is the o . P y y y ppoctuni�y afforded devetopers __ _ to provide shop and office space abutting the concourse. In the use of such shop spaee, the public will be unhindered by adverse weather conditions and traffic, thereby promoting the desirability of shopping and doing business in�the connected buildings and contributing _ to the economic strength of Bowntown Saint Paul. .The skyway system, through the effo:ss of the developers, also may contain sculpture, water displays, artwork, and other eiements -contributing to the aesthetic and cultural enrichment of the citizeris of the City, thereby _ _�_ becomir�g a focus of activity in the downtown area. DEVELOPNIENT PRE�MISES AND CO�'SIDERATIONS � Incorporation of the public skyway system into private development and building"ov.�nership presents sorr.�e unique implications for both the public, owners, and redevelopers. V4'ith recognition of the public and private interests involved in the skyway system, certain � premises have been established relating to the system, and these pre�riises are basic to � the regulatio�s and development criteria established for the skyway s�-st�m as set forth in succeEUing sections. Concourse Corridors - Conco�rse corridors will run through a block from buiiding face to building face connecting to a skyway bridge. The prirriary public purpose of sucii concourse �1 corridors is the accommodation of pedestrian tc�avel f rom point to point, and as such, a standard width of 12'0" is established for su�h elements. � 2. Nodes - Nodes are the points of iniersection of several concourse corridors and/or the location of a verticel access facility. At such points, pedestrian traffic is likely to be heavier and moving in varying directions, direciiona! decisions are made, and other activities may be occurring. Such nodes must clearly possess a design identity and character separating them�frorn abutting private areas, and must be primarily orienYed to the public � purpose of accommodating pedestrian travel in the skyway system, including ocientation, airection changes, and congregation or vertica! movement to street leve2. The siae and configuration of the node will be dependent upon the number of concaurse corcidors intersecting °- . its Iocatioi'�"�iithin the downtown and the overall skyway system, and the amount and nature_ . _._z _._ - - � of anticipated pedestrian activity within the node. The node must be large enough to : - accommodate anticipated pedestrian activity and to constitute a special area of importance . within the overall skyway system. Therefore, a wider than 12-foot standard concourse . area will be required, where possibie, at one major node in each block and may be necessary at other nodes. �Secondary nodes may also occvr in some instances, especialty at points � of vertical access to the street. Where appropriate, such areas shatl also have a width wider than the normal 12 feet appropriate for concourse corridors. � ' . 3. Bri�ges - Bridges generally span streets and sidewaiks between property Iines and perform , essentially the same public function as con�ourse corridors; therefore, the bridges will be � : . built with a standard clear width of 12'0". Also, the City of Saint Paul currently requires a ��ninirnum briage height clearance of 17'4" at the center of the street which it spans. eridges may span private property but must connect to an acceptabte segment of the basic skyway system, giving access to a public street or other public property. Bridges will be of a consistent design throughout the downtown area, consisting basically of exposed steel vierendeel trusses painted deep brown, with terrazzo floors and an egg crate grid luminous ceiling. � . . The exact amount � will be negotiated between appropriate City staff and benefitting building owners or developers. The City Council will make the final determination on the exact cost to be borne by the City. 2. Concoucse Corridors and Nodes - Benefitting building owners or developers wiI! pay � all costs for constructing, remodeling or reconstructing their buildings to provide acceptable concourse corridors and nodes through their buildings. . . � 3 Brid�e Support Structures and Services - The developer or building owner at each end ._. - of the bridge witl be responsible and will pay all costs for the provision of structural supports witnin.the bu.ilding; which are necessary to accommodate the bridge. The City will not � be financially responsible for such increased structure to support the bridge, nor will the . The City will require the use of skyway t �razzo in all or a major �:.: . portion of the node to b� develaped central to each block of the sky�iay systein. Such _ use of a constant material to each bridge and central node will establish a repetitive rhythm � of spaces that will aid in achieving identity and continuity for the skyway system. In eon�aurse corridors r�nning between bridges and nodes, other floor materials may be used, though a consistency of floor material for concourse corridors must be maintained throughout each building. Skyway terrazao and the concourse conidor floor material may not be used, unless changed in color tone or texture in private non-skyway building areas in proximity io the skyway system where such use would tend to obscure the identification of skyway_ materials with concourse areas. If the building owner chooses to use carpet or other non- � permanent flooring material for con�ourse corridors, the building owner must agree to - � replace such carpet with new carpet or other material matching as closely as possible the original in'color_and texture at such intervals as may be determined by the City. Excepfions will be required at wall areas where graphic panels, maps, ro�te directories, or other skyway-related graphic material is to be loeated. Skyway system walls shall be of durable, easily maintainable, finished materials. The City shall have 90 days after the submission in - which.to approve or reject the submission. If the City rejects the submission, it must dQ _ so in writing within the 90-day period and, in suc� writing set forth in detait, the valid reasons for such rejection. In the event the City fails to reject the submission within said 90-day. , period, the City`s consent shall be conclusively presumed. The City shall not be required to approve any change in easement location unless.the easement to be submitted therefor - contains at least t�he same area and dimensions of the existing easement; and the improvements thereon ace of the same�character, quality artd functional characteristics of the initial concourse, including replacement o# signs, graphics and.furniture provided in the original skyway system. When the'�City approves the substitution as aforesaid, the parties shall then jain in the execution and delivery of an amendatory agreement in recordable form which designates the substitute location and terminates the easement over the old location effective upon completion of - the construction af the new eoncourse and skyway system. � � � ' _ . . OPERATION AND N,AINTENANCE RECIUIREMENTS " --� The skyway system, including all future additions, is located on publi� property or within . � pu�lic easements. As such, the City has a proprietary obiigation for operation, maintenance, _ � .repair and replacement of the skyway system. Neverrheless, the City will require, as :� - - part o� the easement agreement, that the developer or building owner assume the full responsi- -- - - bility for the operation, maintenance, repair� and replacement f or all segments of the skyway . .- system located within its property, for bridges over streets abutting its property, and �arry � �� out such operation, maintenance, repair and reptacement at its own expense without cost to the City. In the event that the developer or building owner fails to operate, maintain, . • repair or ceplace the concourse system, or any part tnereof, tc a reasonable standard, � the City may perform such operations and assess all costs incurred in so doing against the develaper or huilding owner in accord with the normal procedures for assessments related to sidewalk maintenance, repair and replacement in the City of Saint Paul. Where skyway bridges connect the property of one developer or owner with that of another, the deveiopers or owners may share equally, or on whatever other basis is rnutually agreeable to both, the bridge operation, maintenance, repair and replacerr�ent costs.
