AGREEMENT
THIS AGREEMENT, made and entered into this day of ,
1984, by and between the CITY OF SAINT PAUL, a municipal corporation,
hereinafter referred to as "City", and the CHICAGO AND NORTHWESTERN
TRANSPORTATION COMPANY, hereinafter referred to as "Company"; -
WHEREAS, A bridge to carry PAYNE AVENUE across the tracks of the Chicago,
Saint Paul, Minneapolis and Omaha Railway Company near Fauquier Avenue, was
constructed in 1893� in accordance with an order by the Common Council dated
March 15, 1892.
WHEREAS, the Chicago, Saint Paul, Minneapolis and Omaha Railway Company
has merged with other Railway Companies, and is now known as Chicago,
Northwestern Transportation Company; and
WI�REAS, the existing said bridge, known as Minnesota Department of
Transportation Bridge No. 90418, is in unsatisfactory condition and does not
have the capacity to carry legal loads and does not meet the statutory
clearance requirements between the top of the Company's tracks and the bottom
of the structure, and in the interest of safety it is necessary that Bridge
No. 90418 be removed and a bridge to be known as Minnesota Department of
Transportation Bridge No. 62544 be constructed to separate the grades between
Payne Avenue and the tracks of the Company; and
WE�REAS, Bridge No. 62544 shall be in substantial accordance with the
plan attached hereto and made a part hereof and marked Exhibit "A"; and

WHEREAS, the City and Company wish to cooperate for the replacement of
the said bridge and this Agreement recites mutually agreed upon terms and
conditions as hereinafter set out.
NOW, Tf�REFORE, in consideration of the premises and the mutual dependent
promises of the parties hereto, it is agreed as follows:
1. The City or its authorized agent, will make all engineering surveys,
prepare the plans and specifications for the construction of a permanent
concrete bridge, advertise and receive bids for the work, award the contract
for the construction oP said Bridge No. 62544 and administrate and inspect
the construction contract for the bridge. Payments to the contractor will be
made by the City or its authorized agent. Said plans and specifications shall
be sub,ject to review and approval oP the Company's Chief Engineer, or his
designated representative, before bids are received for the contemplated work.
2. The City will require in any contract let covering the construction
of said Bridge No. 62544, as contemplated by this Agreement, that all work to
be done by the Contractor on the Company's right-of-way shall be performed in
accordance with the provisions of "1708 RAILROAD-HIGHWAY PROVISIONS",
Minnesota Department of Transportation's "Standard Specifications for Highway
Construction", dated 1983, as amended, except that the Contractor shall make
his own arrangements and secure all necessary permits to haul materials or
equipment across the tracks of the Company, over private crossings or for
storage of materials or equipment on property other than that noted in
Paragraph 11 of this Agreement.

3. The City agrees that in any contract let covering the construction of
said bridge, it shall require under the terms of said contract and
specifications that the Contractor will furnish a separate Railroad Protective
Liability Insurance Policy to the Company in accordance with the provisions of
"1708.2 Liability Insurance", Minnesota Department of Transportation's
"Standard SpeciPication for Highway Construction", dated 1983, as amended,
with the limits of said policy not less than Two Million Dollars
(�2,000,000.00) for all damages arising out oP bodily in�uries to or death of
any person or persons and for all damages arising out of loss or destruction
of or in�ury or damage to property in any one occurrence and, sub�ect to that
limit a total (or aggregate) limit of not less than Six Million Dollars
($6,000,000), for all damages arising out of bodily in�uries to or death of
any person or persons and for all damages arising out of the loss or
destruction of or in�ury or damage to property during the policy period. Said
insurance policy executed by a corporation qualified to write the same in the
State of Minnesota shall be in the form and substance satisfactory to the
Company shall be delivered to and approved by the Company prior to the entry
upon or use of its property by the Contractor. The terms of said contracts
and specifications shall also include that the Contractor meet the
requirements of "1714, Responsibility for Damage Claims", Minnesota Departwent
of Transportation's "Standard Specifications for Highway Construction", dated
1983, modified to the extent that the Contractor shall provide the Company
evidence of Public Liability and Property Damage Insurance, in accordance with
the following:

A. The insurance shall cover the Contraetor's Liability with
respect to bodily in�ury to or death of persons, and in�ury to or
destruction of property, which may be suffered by persons other than
their oHn employees, as a result of their operations in perPorming
work covered by this Agreearent.
B. Where a Contractor sublets a part of the work on any pro�ect
to a Subcontractor, the Contractor shall be required to secure
insurance protection in his own behalf under contractor's public
liability and property damage insurance policies to cover any
liability imposed on him by law for damages because of bodily in,jury
to or death of persons and in�ury to or destruction of property as a
result of work undertaken by such Subcontractors. In addition, the
Contractor shall provide for and on behalf of any such Subcontractor's
protection to cover like liability imposed upon the latter as a result
oP their operations by means of separate and individual contractor's
public liability and property damage policies; or, in the
alternative, each Subcontractor shall provide satisfactory insurance
on his own behalf to cover his individual operations.
C. The limits of liability for the insurance policies prescribed
above shall be not less than �500,000 for all damages arising out oP
bodily in,juries to or death of one person and sub3ect to that limit
for each person, a total amount of $1,000,000 for all damages arising
out of bodily in�uries to or death of two or more persons in any one
accident, and not less than �500,000 for all damages arising out oP
in�ury to or destruction of property in any one accident and, sub,ject
to the limit per accident, a total (or aggregate) limit of �1,000,000

for all damages arising out of in�jury to or destruction of property
during the policy period.
D. The insurance coverages as required shall be in full Porce and
efPect before any work or operations are commenced on Railroad
property, and shall be kept in full force until all work to be
performed under the terms of the contract has been accepted by the
Engineer.
The policy shall provide that in the event the insurance should
be changed or cancelled, such change or cancellation shall not be
effective until 15 days after =the Company has received notice of such
change of cancellation from the insurance company. The insurance
coverage shall be executed by an insurer qualified to write such
policies in the State of Minnesota.
4. The City will require in any contract let covering the construction
of said bridge that the Contractor shall arrange for protective services and
devices and provide a special bond, in the amount of �5,000.00 to the Company
in accordance with the provisions of "1708.3 Protective Services and Devices"
and "1708.4 Special Bond �' Requirements" Minnesota Department of
Transportation's "Standard Specifications for Highway Construction", dated
t983.
5. The City will give the Chief Engineer of the Company, or his
designated representative, at least ten (10) days' notice in writing of its
intention to order the Contractor to enter the premises and right-of-way oP
the Co�pany for the construction of Bridge No. 62544. Upon completion, the
premises shall be cleaned up in a condition satisfactory to the Chief Engineer
of the Company.

6. The City will require in any contract let covering construetion of
said bridge, that the Contractor shall carry out grading work required for the _
subgrades of the relocated north tracks as provided in Paragraph 8. Said
grading shall be made to a depth of 2 ft. below the top of the rails and to a
width not less than 12 ft. from the center of said tracks. The City will
notify the Company a minimum of 10 days prior to the date on which the
Contractor will begin grading work for said subgrade, and will require that
said grading work be completed within 2 days from that date. Said grading
will be at no cost to the Company.
7. The City will require in any contract let covering construction of
said bridge that the Contractor shall relocate the 1 inch water line and 6
inch sewer line, presently located ad�acent to and south of the Company's
tracks, as necessary to allow construction of Pier No. 1. Said relocation of
water and sewer lines will be at no cost to the Company.
8. The Company will make the permanent relocation of the north tracks
and communication cable, made necessary by the construction oP the pro�ect, as
shown on Ezhibit "B". Removal of the tracks to be relocated and staking the
new location of the tracks, by the Company, will be completed prior to the
date on Which the City's Contractor will begin grading work for the subgrades
as per Paragraph 6. Permanent relocation of the tracks will be completed by
the Company within 10 days after the Contractor completes the said grading.
The removal of and the permanent relocation of the north tracks and
communication cable constitutes the "Company Force Account Work"
9. Costs for the "Company Force Account Work" will be computed as
outlined in Federal-Aid Highway Program Manual, Voluae 1, Chapter 4, Section
3� Pai'a8i'aphs 4, 5, 6, 7, 8 and 9. ,

Company bills Por the "Company Force Account Work" will be submitted
� to the City in the manner prescribed in FHPM, Vol. 1, Chapter 4, Section 3, �
Paragraph 12. All Company cost records and accounts relating to the "Company
Force Account Work" will be available for inspection by the representatives of
the City in accordance with FHPM, Vol. 1, Chapter 4, Section 3, Paragraph
12C. The estimated cost of the "Company Force Account Work" is � 72,350.00,
and is shown on Exhibit "C"
The City will reimburse the Company for the cost of the "Company Force
Account Work" within thirty (30) days after receipt and approval of said
bills.
10. The Company hereby grants to the City, without charge, permanent
slope easements to be graded as necessary to provide for relocation of the
north tracks, the change in length of the bridge and the change in the grade
of Payne Avenue to provide clearance over the tracks of the Company. Said
slope easements to be that area shown colored green on the plan attached
hereto and made a part hereof and marked, Exhibit "D".
11. The Company hereby grants to the City, without charge, a temporary
easement for access to the construction area under the bridge, said temporary
easement to be that area shown colored blue on Exhibit "D". Said temporary
easement to remain in effect for a period of two years commencing on the date
that the Company is notified by the City of its intention to order the
Contractor to enter the premises and right-of-way of the Company as noted in
Paragraph 5 of this Agreement.

12. The City will require that the Contractor shall arrange for
construction of plank crossings over the Company's tracks, on the access rQute
and on the site under the bridge as necessary to carry out construction of the
piers, at the Contractor's expense as required and approved by the Company.
Such crossing shall be covered by a temporary private crossing agreement
between the Company and the Contractor which will provide that the Contractor
furnish the crossing planks and that installation is to be made by Company
forces. The granting of the temporary crossing permit and agreement shall be
at no cost to the City or the Contractor, except as noted for construction of
the crossing.
13. The use of the temporary access easement by the City's Contractor
shall be with the provision that no interference with train movements, the
Company's operations or safety, existing permits or leases, or railway
facilities shall result from such use.
14. The Company will permit closure and removal of all traffic from the
relocated storage track ad�acent to and north of Pier 2, as required to
construct said Pier. The closure of said track to be for a maximum period of
18 days. '
15. The Company will assist with future inspections of Bridge No. 625�4
and furnish such flagmen protection as may be required for repair work on the
new bridge that is carried out by City forces, at the reasonable request of,
and at no expense to the City.

16. Upon completion of construction of Bridge No. 62544, the City shall
at its own expense maintain, repair and reneW said bridge, including all
appurtenance thereto and thereof; however, nothing herein contained shall be
construed to relieve either the City or the Con�prany of common laW or statutory
liability, if any, for any damages to the bridge structure result_ing from the
operations of the Company or the City. The obligation to so maintain said .
bridge shall continue unless changed by future agreements and in accordance
with the law of the State of Minnesota, as it shall be from time to time in
the future.
