THIS AGREEMENT, made and entered into by and between the Metro-
politan Waste Control Commission, hereinafter called the "Commission" ,
and the City of St. Paul, hereinafter called "St. Paul" .
WHEREAS the Commission and St. Paul are joint NPDES permittees for
the discharge combined sewer overflows (CSO) and are both required by
NPDES permit to eliminate combined sewer overflows by December 31,
1995; and
WHEREAS the Commission and St. Paul are required to build CSO
sewer projects within the same time schedule in the same location; and
WHEREAS the Commission and St. Paul have agreed that the joint
construction of the CSO projects administered by one party will result
in an overall cost savings for both parties;
NOW THEREFORE, the parties hereto, in the joint and separate exer-
cise of each of their powers, and in consideration of the mutual cove-
nants herein contained, hereby agree as follows:
SECTION 1. RECITALS
1. 1 Commission
The Commission has determined that a new sanitary sewer intercep-
tor, called the Trout Brook Interceptor tTBI) , should be built to
implement the CSO plan (see Attachment B) . The interceptor
sewer is hereinafter referred to as the "TBI" .
1. 2 St. Paul
St. Paul has determined that a new storm sewer facility called
the Trout Brook Interceptor Outlet, Phase B, should be built to
increase storm water conveyance in the Trout Brook discharge
area as part of the CSO plan. This St. Paul facility is
hereinafter referred to as "the TBO" (see Attachment A) . In
addition, St. Paul has requested some street and utility impro-
vements to be constructed as part of the Commission's TBI, which
are listed on Attachment D.
St. Paul is also building a neighborhood separation project
called the Case-Westminster Project. The Commission has re-
quested that sanitary sewer improvements be built as part of the
Case-Westminster Project which will facilitate elimination of
two existing trunk sewer connections into the new TBI. The con-
nections are located at Cook and Geranium Streets.

1: 3 Joint Construction �����/
. , St. Paul 's TBO and the southern (lower) portion of the TBI can
best and most economically constructed under a single set of
plans and specifications and under the same construction
contract. St. Paul can best accomplish the joint project
construction due to the larger estimated construction cost of
the TBO versus the lower TBI. The joint construction of the TBO
and lower TBI will be hereinafter referred to as the "Joint
Project" . Attachment A illustrates the Joint Project limits.
The construction of St. Paul improvements, as listed on
Attachment D, can best be accomplished by the Commission as part
of the TBI. There improvements will hereinafter be referred to
as "St. Paul Facilities" .
SECTION 2. FACILITIES CONSTRUCTION
2.1 Plans and Specifications
The Commission and St. Paul have both retained Howard, Needles,
Tammen and Bergendoff, Consulting Engineers, for the preparation
of plans and specifications for their respective projects.
The Commission and Saint Paul have responsibility for the
approval of said plans and specifications and for the construc-
tion inspection of their respective projects.
St. Paul has retained Toltz, King, Duvall, Anderson & Assoc. ,
Consulting Engineers, for preparation of plans and specifica-
tions for the Case-Westminster Project.
2.2 St. Paul
St. Paul shall advertise, receive bids and shall award the
contracts for construction of the Joint Project and the Case-
Westminster Project.
2 . 3 Commission
The Commission shall advertise, receive bids and shall award the
contract for construction of the TBI, which includes the St.
Paul Facilities.
2 .4 Contract Administration �
The construction contract for the Joint Project and the Case-
Westminster Project shall be administered by St. Paul and St.
Paul agrees to cause the Joint Project to be completed in accor-
dance with the construction contract. The construction contract
for the TBI project shall be administered by the Commission and
the Commission agrees to cause the TBI project to be completed
in accordance with the construction contract.
2 .5 Contract Designees
Both St. Paul and the Commission shall each appoint and name
designees to take any actions or exercise any rights under this
agreement.

SECTION 3. PROJECT COSTS C,��� �3�/
3 .T • Step II Design Costs
St. Paul agrees to reimburse the Commission for Step II design
costs for the St. Paul Facilities built as part of the
Commission's TBI project. Such cost is agreed to be 7. 0 percent
of the costs of construction of the St. Paul Facilities based
upon the prices and quantities contained in the construction
contract as determined in Article 3. 4. This cost shall be paid
within 90 days of the award of the construction contract.
. St. Paul agrees to reimburse the Commission one-half the cost
for Step II Engineering costs �to merge the lower portion of
the TBI with the TBO-B into one project, the Joint Project. The
Commission has authorized additional services for the consulting
engineer in the amount of $36,364 for this task. St. Paul 's
share shall be $18,182 to be paid within 90 days of the award of
the Joint Project construction contract.
The Commission agrees to reimburse St. Paul for Step II design
costs for the requested sanitary sewer modifications built in
the Case-Westminster Project. Such cost is agreed to be 7. 0
percent of the costs of construction based upon the prices and
quantities contained in the construction contract as determined
in Article 3. 5. This cost shall be paid within 90 days of the
award of the construction contract.
3 .2 Easement Costs
The Commission agrees to pay for easement acquisition costs
which St. Paul pays in connection with Commission owned facili-
ties built as part of the Joint Project. These costs shall
include costs paid for easements, plus the prorated amount of
St. Paul 's administrative expenses for easement acquisition. In
common easement areas of the Joint Project, the Commission shall
pay one half for the perpetual easements and forty percent of
the temporary construction easements. The proration of admi-
nistrative costs for the Commission's share of easements shall
be based upon the number of Commission required easements
divided by the total number of required easements for the Joint
Project.
St. Paul agrees to pay the Commission for easement acquisition
costs which the Commission pays in connection with St. Paul
Facilities built as part of the TBI project. These costs shall
include costs paid for easement, plus the prorated amount of the
Commission's administrative expenses for easement acquisition.
The proration of administrative costs for St. Paul 's share of
easements shall be based upon the number of St. Paul required
easements divided by the total number of required easements for
the TBI Project.

be due and payable to St. Paul by the Commission only upon sub-

sion as Grantor of a permanent and/or temporary easement, as

3 . 3 Joint Proiect Construction Costs
The Commission shall pay St. Paul for all work, materials,
equipment and supplies used for construction of the Commission's
Facilities portion of the Joint Project on the basis of unit
prices contained in the bid proposal for the construction
contract. Attachment C lists the estimated quantities for unit
price items attributable to Commission Facilities. The esti-
mated portion for the Commission 's Facilities is $1, 700, 000 out
of a total estimated Joint Project cost of $6,600, 000. The
actual Commission share shall be determined based upon the
Consulting Engineer ' s estimate using the actual unit prices of
the awarded construction contract. The determination of shared
cost� items shall be based upon actual quantities measured for
unit� price items or estimated by the Consulting Engineer for
lump sum cost items as listed on Attachment C. The Commission
shall pay St. Paul a lower amount on unit price items for
concrete pipe installed and granular foundation material to
account for heavier class pipe required by St. Paul for future
construction of a roadway over the TBI alignment. The Consulting
Engineer shall estimate the lower amount based upon actual unit
prices of the awarded construction contract.
3 .4 TBI Project Construction Costs
St. Paul shall pay the Commission for all work, materials,
equipment and supplies used for construction of the St. Paul
Facilities portion of the TBI project on the basis of unit pri-
ces contained in the bid proposal for the construction contract.
Attachment D lists the work items requested by St. Paul which
are St. Paul facilities by the terms of this agreement. The
estimated portion for the St. Paul Facilities is $400, 000 out of
a total estimated TBI Project cost of $5,200,000. The actual St.
Paul share shall be determined based upon the Consulting
Engineer's estimate using the actual unit prices of the awarded
construction contract. The determination of shared cost items
shall be based upon actual quantities measured for unit prices
or estimated by the Consulting Engineer for lump sum cost items.
St. Paul shall pay for restoration work resulting from construc-
tion of the St. Paul Facilities as previously stated. In addi-
tion, St. Paul shall pay the Commission for a portion of the
restoration work where it involves construction of facilities
where none now exist, such as, street pavement, street curbing,
sidewalks or driveways.

3: 5 Case-Westminster Construction Costs �/��������
� • The Commission shall pay St. Paul for all work, materials,
equipment and supplies used for construction of the Commission
requested sanitary sewer modifications which are part of the
Case-Westminster Project on the basis of unit prices contained
in the bid proposal for the construction contract. Attachment E
lists the estimated quantities for unit price items attributable
to the requested sewer modifications. The estimated portion for
the requested modifications is $114, 000 out of a total estimated
Case-Westminster Project cost of $1,400, 000. The actual Commis-
sion share shall be determined based upon the Consulting
Engineer's estimate using the actual unit prices of the awarded
construction contract. The determination of shared cost items
shall be based upon actual quantities measured for unit prices
or estimated by the Consulting Engineer for lump sum cost items.
3 . 6 Additional Costs
Additional costs for work, materials, equipment and supplies
used or other costs incurred for construction of the construc-
tion contracts shall be paid by one party to the other party on
the basis of unit prices set forth in each of the respective
construction contracts.
3 . 7 Change Orders
Al1 change orders, on work built by one party for the other as
outlined in this agreement, will be coordinated with the
designed agency representatives for approval and processing.
3 . 8 Step III Desiqn Engineering Costs
Costs for consulting engineer's Step III services attributable
to other party shall be paid based on a prorated amount of the
cost of the consulting engineer 's Step III services based upon
the percentage of construction costs for the other party's faci-
lities as determined by Paragraphs 3. 3 and 3.4 compared to the
total construction costs under each respective construction
contract.
3. 9 Step III Administration Costs
Construction administration, engineering management and inspec-
tion costs by either party incurred internally shall be paid by
the other party attributable to the other party's facilities.
Such costs shall be determined on a prorated basis as described
in Paragraph 3. 7.
3 .10 Payment
Each party shall pay all project costs, attributable to that
party, to the other party as incurred and allowed in accordance
with the preceding paragraphs. Each party shall submit to the
other party not more often than a monthly statement of project
costs. Payments shall be made within 30 days of receipt of
statement.

, ' SECTION 4. OWNERSHIP, MAINTENANCE AND USE �j(�"�7�����
4 .1 Use of Projects
On completion of the Joint Project and payment of all costs
thereof, the Commission shall be entitled to sole and exclusive
ownership, .maintenance and use of the TBI, built by the Joint
Project.
On completion of the TBI project and payment of all costs there-
of, St. Paul shall be entitled to sole and exclusive ownership,
maintenance, and use of St. Paul Facilities, sewers and sewer
connections, built by the TBI project.
The Commission shall operate and maintain the TBI and regulator
devices as listed on Attachment F. St. Paul shall operate and
maintain the St. Paul Facilities built under both projects, in-
cluding regulator devices & manholes as listed on Attachment F.
Each party agrees to operate and maintain their own facilities
in good working order and without causing damage to the other
party's facilities . If it becomes necessary for either part to
excavate a portion of the adjacent right-of-way containing the
facilities of each, such party shall give the other party notice
of it' s intention to excavate. Such notice shall be given not
less than two days prior to commencement of excavation except in �
case of emergency, in which case notice shall be given prior to
commencement of excavation. Written notice may be delivered or
mailed to the St. Paul Director of Public Works or the Commis-
sion ' s Chief Administrator In the case of emergency, if the
Commission's offices are closed, the City shall give oral notice
to the Commission's Chief Administrator; and if the St. Paul
City Offices are closed, the Commission shall give oral notice
to the City' s Director of Public Works. Written notice shall
follow oral notice.
IN WITNESS WHEREOF, the parties hereto have executed this agree-
