WHEREAS, the Housing and Redevelopment Authority of the City
of Saint Paul together with the Lake Phalen Housing Limited
Partnership plans to develop the Old Gillette Hospital Site as
housing for the elderly on the following described property:
Lots 1, 2, 3, and 4 and outlots A, B, and C of Phalen
Shores Addition;
and
WHEREAS , the Lake Phalen Housing Limited Partnership and
Northern States Power Company have found it necessary to acquire
additional easements in order to serve the site with electric
service; and
WHEREAS , the easements cross portions of Phalen Park at
locations satisfactory to the City of Saint Paul; and
WHEREAS , the Lake Phalen Housing Limited Partnership and
Northern States Power Company have agreed to the following
conditions on which the conveyance of the easement shall be based:
1) The Permanent Electric Distribution Easement shall be
granted to Lake Phalen Housing Limited Partnership and
Northern States Power Company to construct, install,
mark , inspect, operate, repair , replace , reconstruct,
remove and maintain its facilities for the electric
service, including the necessary underground cables and
facilities related to and appurtenant thereto, under and
upon said easement on the following described land:

A perpetual easement for underground electrical cable
under and across the north 10.00 feet of the south
313.00 feet, both as measured at right angles , of the
west 197.00 feet, as measured at right angles, of the
Northeast Quarter of the Southwest Quarter of Section
21, Township 29, Range 22, Ramsey County, Minnesota.
2) The grant of easement herein contained shall also
include the right of reasonable access to said easement
across said lands for the purpose of exercising the
rights granted herein. Lake Phalen Housing Limited
Partnership and Northern States Power Company shall
install the underground electric cable by utilizing a
"shooting" type installation method, and shall limit
excavation to areas outside the dripline of any and all
trees. Lake Phalen Housing Limited Partnership and
Northern States Power Company understand and agree that
no tree removal is or will be permitted in the easement
area during or after installation of said electric
cable, and further agree to obtain written consent from
the Division of Parks and Recreation for the right to
remove from said easement area any other object or
obstruction encountered which in Lake Phalen Housing
Limited Partnership and Northern States Power Company's
opinion interferes with facilities or the removal of
which may be reasonably necessary for the construction
or maintenance thereof.
3) Except as otherwise provided herein, Lake Phalen Housing
Limited Partnership and Northern States Power Company
shall , after installation of the above described
electric facilities, or after the exercise of any rights
granted herein, restore the lands subject to this
easement to as near their original condition as is
reasonably possible and remove therefrom all debris ,
spoils , and equipment resulting from or used in
connection with said installation.
4) The City of Saint Paul further agrees that no structure
or obstruction will be erected or permitted or any trees
planted on or within said easement, as of the date of
execution of this document, the City of Saint Paul will
not change the ground elevation thereof without the
written consent of Lake Phalen Housing Limited
Partnership and Northern States Power Company or perform
any act which will interfere with or endanger said
electric facilities .
5) The permanent easement area described in Condition 1
shall automatically revert back to the City of Saint
Paul at no cost, when the electric line is abandoned.

6) That Lake Phalen Housing Limited Partnership and/or
Northern States Power Company pays to the City of Saint
Paul , a sum of $985.00 at the time the Quit Claim Deed
is conveyed.
7) The compensation referred to by the City of Saint Paul
in Condition 6 shall be dedicated for Parks and
Recreation purposes .
NOW , THEREFORE BE IT RESOLVED , that the proper City
Officials are hereby authorized and directed to convey by Quit
Claim Deed a permanent electric distribution easement as
described in Condition 1 of this resolution and subject to the
above conditions.
