THIS AGREEh1ENT made and entered into by and between the
State of Minnesota, Department of Transportation , hereinafter
referred to as the "State" , and the City of St. Paul , hereinafter
referrea to as the "City" , WITNESSETH :
WHEREAS, it is justified and considered mutually
desirabl to remov� the existing traffic �ontrol signal and
install new traFfic control signal with street lights , emergency
vehicle re-emption and signing on Tllrunk Highway No. 13 (Annapolis
Street ) County State Aid Highway Nb • 2 (Annapolis Street ) at
Trunk Hi hway �Jo. 149 (Smith Avenue )I; and
WHEREAS, the City will fur�ish to the project, a new
cabinet nd control equipment to ope'rate said traffic control

signal ; nd I
WHEREAS , the City and Stat will share in the cost ,
i maintena ce and operation of the traffic control signal with
street lights , emergency vehicle prel�-emption and signing as
hereinatter set forth ;

NOW, THEREFORE , I'I' IS AGREIED AS FOLLOWS :
l . The City shall preparle the necessary plan,
specifications and proposal and shall perform the engineering and
inspection requirecl to complete the items of work nereinafter set
forth. Such work as described imr�ediately above s:�all constitute
"Engine ring and Insoection" and shall be so r�ferred to

2 . The contract cost of tne traffic control signal
work or , i th� work is contracted , the cost of all labor ,
materials , and equipment rental requir2d to complete the work ,
except the cost of providing the power supply to the service pad
or pole, s all constitute the actual "Construction Cost" and shall
be so refe red to hereinafter .
3 . The City will furnish thie traffic control signal
cabinet an control equipment which sha�ll be installed under State
4 Project No 1902-35 , State Aid ProjectlNo. 164-010-38 and City
Project No T-1204 . Such mat�rials asldescribed immediately above
shall be h reinafter referenced to as "City furnished materials".

No. 164-01 -38 and City Project Vo. T-1204 on Trunk Highway No. 13

Street ) at Trunk Highway No. 149 (Smith Avenue ) , with the
Construction Costs shared as follows : I

emergency vehicle prz-emption �naterials
(cable, detectors, and lights ) and emergency
vehicle pre-emption control and interface
equipment. Total �stimated Construction Cost
is �2 , 950 . 00 . City ' s share is 100 percent.
5 . Payment to tne City wi1�1 be made by the State for
75 percent of the actual costs for the! new traffic control signal
cabinet an control eq�ipment ( estimat�d costs $7 , 310 . 00 )
furnished o the project, plus ( b ) per�ent of its shar2 for the
cost of En ineering and Inspection , an�3 upon submission by the
City of an invoice in quintuplicate tolthe State ' s Project
Engineer i emizing the costs and certi�ied by a responsible City
Official t at said materials have beenlfurnished under the terms
of this ag eement. The invoice and su�porting records are subject
to audit b State 's representative. !
6. Upon completion of the work provided for in
Paragrah 4 hereof to tt�e satisfaction of tne State ' s District
Engineer a Oakdale , the State shall pay to th2 City t't�,e Stat� ' s
share of t e actual Construction Cost plus six ( o ) percent of its
share for he cost of Engineering and Inspection.
7 . •I'ne am�unt to be encumbered for payment to the City
from Trunk Hignway Eunds for the work and materials provided under
this agree ent is $38 , bU5 . 20 which is the State ' s share of the
estimated onstruction Cost plus Engineering and Inspection costs
and tne es imated City furnisned material cost plus Engineering

and Inspec ion costs. In the event that at any tine it appears
that such eimbursemer�t will exceed said sum, the City shall
promptly n tify the State ' s District Engineer at Oakdale or his
duly autho ized representative of the r''eason for the increase in
cost and t e amount of additional funds necessary to complete the
project. f approved by the State ' s Dilstrict Engineer at Oakdale
or his dul authorizec3 representative, additional funds shall be
encumbered by the State and notice by the State ' s District
Engineer a Oakdale or his duly authorized representative to the
City of th t additional encumbrance will permit the City to
perform th t additional work .
8 . Payment to the City will be made by the State for
such work hich is complete and approved and upon submission by
the City of an invoice in quintuplicate itemizing the actual
Constructi n Cost and certified by a rejsponsible City official
that said ork has been completed under the terms of this
agreement. The invoice and supporting records are subject to
audit by ti�e State ' s representative at the direction of the State.
9 . The City shall submit to the State a certified copy
of the low bid received and an abstract of all bids received by
the City, together with the City ' s raqu�st for concurrence by the
State in tne award of a construction co�tract . Award of the
contract shall not �e ma�e until the State advis�s the City in
writing of its concurrence.

10 'I'he construction work prouided for herein shall be
under the di ection and supervision of the City. It is agreed ,
however , tha the State shall have the rilght to periodically
inspect said cost sharing construction wo�rk .
11 . The City shall perpetu�te 'an adequate electrical
power supply to the service pad or pole, �and upon completion of
said traffic control signal with street lights installation shall
continue to provide necessary electrical �ower for its operation
at the cost a d expense of the City . I
12 . Upon completion of the worik contemplated in
Paragraph 4 h reof , it shall b� the City ' S responsibility, at its
cost and expe se, to maintain and keep in repair said traffic
control signa with street lights and sigr�ing installation.
13 . Any and a11 persons engaged in the aforesaid work
to be perform d by the City shall not i�e considered employees of
the State and any and all claims tnat may or might arise under the
Worker ' s Comp nsation Act of this State on behalf of said
employees .�hi e so engaged , and any and all claims made by any
third party as a consequence of any act or omission on the part of
said �mployees while so engaged on any of the work contemplated
h`rein shall n t be the obligation and responsibility of the
�tate. The Ci y snall not be res�onsible under the Worker ' s
Compensation A t for any employees of the tate .

1 . Timing oF the traffic control signal provided for
herein shal be initially determined by the City ' s Traffic
Engineer . djustments of said signal timing may be determined by
the State, hrough its Commissioner of T�ransportation, and no
changes shall be made thereafter except 'with the approval of the
State.
15 . Upon execution by the Cit and the State and
completion o the construction work proviaed for herein, this
agreement sh 11 su�ersede and terminate greement No. C-1519 dated
September 30 , 1935 , between the parties .
