WHEREAS , Shepard Park, Rockwood Place and Shet�ard Park Plaza,
�artnerships hose partners or general partners are Stuart H.
Nolan, Herber R. Goldenberg, Ronald L. Harris and Sheldon Stewart
have submitte a Grant of Easement and Covenant to Improve, Maintain
And Ouerate P rk Land (Agreement) whereby two tracts of land in
the Shepard P rk develo�ment area are subjected to an easement for
x�assive publi parlc use (park narcels) and with two other tracts of
land (benefit ed parcels) owned by these partnershins subject to
assessment fo maintenance; and
WHEREAS , the partnerships covenant by the Agreement to improve
and maintain he park parcels at the sole cost of the partnerships
with the City authorized to cor.rect any default by the partnerships
of this coven nt assessin� the cost thereof against the benefitted
parcels ; and
WHEREAS , _ rovision without cost to the City of areas for passive
park recreatio in the Shepard Park development area will serve a
need created i large part by the multi residence development of the
area by the p tnerships and will satisfy the commitment made by the
partnerships i obtaining development financing and assistance from
the City and i s Housing and Redevelonment Authority; now therefore ,

acceptance of he Grant of Easement and Covenant to Improve ,

WHEREAS , n February 22 , 1977 , by Resolution Council File No .
268597 , the Ci y Council approved a Redevelo�ment Plan for She�ard
Park [dest and etermined necessity to grant a uartial tax exemption
to Shenard Par Plaza under the redevelopment comnany provisions of
the Housing an Redevelopment Act Minn. Stat . Section 462 . 651
Subd. 1 for a eriod of twenty-five years to undertake construction
and operation f a 101 unit rental housing nroject as the first
nhase of devel nment in the Shenard Park area (Project) ; and
WHEREAS , n November 1 , 1977 , by Resolution Council File No .
270009, the Ci y Council avproved and consented to a Redevelopment
Contract betwe n Shenard Dark Plaza as redeveloner and the �?ousing
and Redevelomm �t Authorit;� of the City of Saint Paul Minnesota
(HRA) cover th terms and conditions of the develonment and o�er-
ation of the P rk Plaza Project during the continuation of the
vartial tax ex mntion and ratified the grant of the partial tax
exemption; and �
WHEREAS , he Redeveloner has requested termination of the
nartial tax ex mntion and restriction u�on return on equity ijztr�sc-
ment to the me bers of the Shepard Park Plaza nartnershin , and it
anoearing tizat the P.edeveloper has performed its obli�ations ���.�?.�r
t?Ze Redevelomm �t Contract, and that there are no funds in tl��
�artnership af er payment of onerating expenses , authorized return5
on equity and ebt service and maintenance reserves to remit to the
City under the terms of the Redevelonment Contract ; and

objectives in r develoning the Shepard Park ��]est area and that the
