The City's cost share as recomputed decreased from the prel 'minary estimate of $15,622.54 to $13,110.18. The agreement p vides for the City to advance to the Commissioner of Transportati the City's revised cost share amount of $13,110.18; and an invoice i this amount will be forwarded to the City in a few days, and it is re uested that payment be made accordingly. Section B. Di ection and Su ervision of Construction Direct and sup rvise all construction activities performed under said state pro ects, and perform all construction engineering and inspection fun tions necessary for the satisfactory completion of said state pro 'ects construction. Howe er, the State' s District Engineer at Oakdale or his duly authorized representative will inform the City Director of � Public Works or other appropriate city official of any proposed change order or supplement to the construction contract which will affect the city cost participation hereunder. Section D. Sat sfactor Com letion of Contract Do and perform 11 other acts and functions necessary to cause said state contract o be completed in a satisfactory manner. ARTICLE II - C TRACT AWARD RECOMMENDATION BY THE CITY Promptly follo ing the opening, tabulation and verification of bids received for S ate Projects No. 6215-58 (T.H. 51=125) , No. 6215-61 (T.H. 51=125) , No. 6216-91 (T.H. 51=125 ) , No. 6216-100 (T.H. 51=125) , No. 6 16-101 (T.H. 51=125 ) and No. 6216-105 (T.H. 51=125) and State Aid roject No. 62-630-25 construction contract, the State shall submit t the Director of Public Works of the City a certified copy of the lo bid and an abstract of all bids received by the State for said projects construction contract together with a request for th City' s recommendations relative to the award of the construction c ntract of said state projects. In the event the City desires to mak recommendations relative to the award of said construction c ntract, it shall do so within ten calendar days of -b- � . ��a�� 63851 the receipt of he aforesaid bid documents from the State in writing to the State' s ontract Administration Engineer at St. Paul, Minnesota. Any recommendations made by the City regarding the award of a constructi n contract for said state projects shall be given due considerati n but shall not be binding on the State, and the State shall hav the exclusive riqht to determine to which bidder said constructi n contract shall be awarded in accordance with the State' s "Standa d Specifications for Construction" , 1983 edition. ARTICLE III - I SPECTION BY THE CITY The constructio of State Projects No. 6215-58 (T.H. 51=125 ) and No. 6216-100 (T.H. 1=125 ) shall be under the supervision and direction of the State; h wever, the city cost participation construction to be performed he eunder may be inspected periodically by the City' s Director of Pub ic Works or his authorized representatives. If the City, after sai city cost participation construction has been completed, beli ves said construction work has not been properly constructed or hat the work is defective, the City shall inform the State' s Distric Engineer at Oakdale in writing of such defects. Any recommendat ons made by the City regarding the work performed under this agre ment are not binding on the State, and the State shall have the xclusive right to determine whether the work has been satisfacto ily performed by the State' s contractor. All work covered under t is agreement shall be performed in substantial accordance with the aforesaid state project plans, specifications and special pro isions. -7- / �-�7- a�f 63851 ARTICLE IV - BA IS OF PAYMENT BY THE CITY Section A. Con truction Costs The City shall ay to the State, as the City' s full share of the costs of the co struction to be performed in accordance with Article I hereof� the c sts of the construction described below under "CITY COST PARTICIPAT ON CONSTRUCTION" and of the costs of any contract change orders o supplemental agreements which may be necessary to complete said c ty cost participation construction and the cost of any settlements of claims made with the state' s contractor in connection with said city cost participation construction. Said payment by the City hereunder of the City' s share of construction co ts shall be based on the final quantities of city cost participat ' on construction work items performed or the final payment quantit in the case of plan quantity items multiplied by the appropriate unit prices contained in the construction contract to be awarded b the State in accordance with Article I hereof and/or multipli d by the appropriate unit prices contained in any supplemental ag eements to the state' s contract which provide for city cost parti ipation construction. Attached heret , made a part hereof by reference and marked SCHEDULE "I" , is a prel 'minary construction cost estimate form which lists all of the ant' cipated city cost participation construction and construction e gineering items to be performed hereunder. Also attached heret , made a part hereof by reference and marked EXHIBIT -8- � � ���a��1 63851 "A" , are three olor coded sheets which show and/or describe all of the anticipated city cost participation storm sewer facilities construction to be performed hereunder. It is hereby un erstood and agreed that any and all liquidated damages assesse the state' s contractor in connection with the work performed under said state contract shall result in a credit shared by the State an the City in the same proportion as their respective total cost shar of construction contract work is to the total contract cost w thout any deduction for liquidated damages. CITY COST PARTI IPATION CONSTRUCTION Al1 of the cons ruction to be performed upon, along and adjacent to Trunk Highway N . 51 (Snelling Avenue) from Engineer Station N.B. 200+86.02 ( the orth end of Bridge No. 62015 over Como Avenue) to Engineer Statio N.B. 252+71 .86 (Larpenteur Avenue, also County State, Aid Highw y No. 30) under State Projects No. 6215-58 (T.H. 51=125 ) and No. 6216-100 (T.H. 51=125 ) . 40 PERCENT minu all antici ated Federal-aid fundin shall be the City' s rate of ost participation in all of the following construction: l. Except for excavation, all of the construction to be performed upon and within the approach areas of intersecting city streets within the corp rate city limits. Said city streets include, but are not limited to, Midway Parkway, Service Drives No. 1 and No. 2 -9- J'- � . ��7_a �� 63851 along Midway Pa kway, Fair Place, Arlington Avenue, Nebraska Avenue and Hoyt Avenue Said construction includes, but is not limited to miscellaneous r movals, sawing bituminous pavement� granular borrow, aggregate shoul ering , bituminous surfacing, concrete curb and gutter, concret entrance and exit noses and curb ramps. 2. All of the adjustments of City owned utility facilities. 3. All of the concrete driveway construction including its pavement remova and aggregate base to be performed within the corporate city imits. 4. All of the sodding including its topsoil borrow to be performed from the drivew y located on the east side of the Trunk Highway No. 51 (Snelling Av nue) northbound roadway at Engineer Station N.B. 209+48 (a point 400 feet south of Midway Parkway) to Hoyt Avenue within the corp rate city limits. 5. All of the replacement of trees, shrubs and vines to be perf ormed withi the corporate city limits. 14.4 PERCENT mi us all antici ated Federal-aid fundin shall be the City' s rate of cost participation in all of the cooperative • joint-use stor sewer facilities construction as shown and/or described in " range" color on the attached EXHIBIT "A" . -10- � � �. ���7 a�y 63851 4.0 PERCENT min s all antici ated Federal-aid fundin shall be the City' s rate of ost participation in all of the cooperative joint-use storm sewer facilities construction as shown and/or described in "B own" color on the attached EXHIBIT "A" . Section B. Pro ated Construction Costs In addition, sa d payment by the City shall also include an amount equal to the Ci y' s final total share of construction costs as determined in a cordance with Section A. above multiplied by the City' s prorated prorated shares of the contract costs of Items No. 2021.501 "Mobil ' zation" , No. 2031.501 "Field Office" � No. 2031.503 "Field Laborato y" , No. 2051.501 "Maintenance and Restoration of Haul Roads" and No. 563.601 "Traffic Control" . The formula by which said additional payment shall be determined is set forth in said attached SCHEDU E "I" . Said additional payment represents the City' s proporti nate shares of the mobilization, field office, field laboratory, mai tenance and restoration of haul roads and traffic control costs incurred in connection with the aforesaid city cost participation onstruction. Section C. Co struction Engineering Costs Said payment b the City shall also include an 8 percent construction e gineering charge for the city cost participation construction t be performed in accordance with Sections A. and B. above and shal be determined using the method and formula set forth in said attach d SCHEDULE "I" . -11- � . � ����� 63851 ARTICLE V - PAY ENT BY THE CITY Section A. Est 'mate and Advancement of the Cit ' s Cost Share _ It is estimated, for accounting purposes, that the City' s share of the costs of th construction work to be performed by the State hereunder which includes the City' s shares of the prorated items "Mobilization" , "Field Office" , "Field Laboratory" , "Maintenance and Restoration of aul Roads" and "Traffic Control" plus the 8 percent construction en ineering cost share is the sum of $15,622.54 as shown in the at ached SCHEDULE "I" . The State shall, when a construction co tract is awarded which includes the city cost participation c nstruction work to be performed hereunder, prepare a revised SCHEDUL "I" based on the construction contract unit prices and submit a co y of said revised SCHEDULE "I" to the City. The City agrees to dvance to the Commissioner of Transportation an amount equal to the City' s total cost share as set forth in said revised SCHEDUL "I" be it more or less than said sum of $15,622.54 forthwith upon he execution of this agreement and upon receipt of a request from th State for such advancement of funds. Section B. Fin 1 Pa ment b the Cit It is contempla ed that all of the construction work to be performed under said stat construction contract is to be done on a unit price basis. Upon th completion and acceptance of the work provided for in said contrac let by the State and the preparation by the State of a final esti ate computing and determining the amount due the -12- r �. � � �� �a�y 63851 contractor perf rming the work, the Commissioner of Transportation shall determine and compute the amount due the Trunk Highway Fund of the State of Mi nesota from the City for said city cost participation c nstruction work as set forth hereunder. After the Commissioner of Transportation determines the actual amount due from the City, he sh 11 apply on the payment thereof as much as may be necessary of th aforesaid funds advanced by the City. If the amount found du from the City is less than the amount of the funds advanced, then, and in that event, the balance of said advanced funds shall be eturned to the City without interest. If the amount found due from he City exceeds said amount of funds advanced, the City agrees to romptly pay to the State the difference between said amount found du and said amount of funds advanced. Pursuant to Min . Stat. 15.415, the State waives claim for any amounts less th n $2.00 over the City payment funds earlier received by the State, a d the City waives claim for the return of any amounts less th n $2.00 of such funds advanced by the City. Section C. Ac e tance of Cit ' s Final Cost Share and of Co leted Construction It is understo d and agreed that the aforesaid computation and determination y the Commissioner of Transportation of the amount due from the C' ty hereunder shall be final, binding and conclusive. It is further greed that the acceptance by the State of the completed cons ruction work provided for in said state plans -13- � �� �� �- �-��a�� 63851 designated as S ate Projects No. 6215-58 (T.H. 51=125 ) and No. 6216-100 (T.H. 1=125 ) and State Aid Project No. 62-630-25 and performed under contract let by the State shall be final, binding and conclusive pon the City as to the satisfactory completion of said work. ARTICLE VI - GE ERAL PROVISIONS Section A. Pla Chan es The City may re uest a change or changes in the plan by a duly adopted City Co ncil resolution for State Projects No. 6215-58 (T.H. 51=125 ) and No. 6216-100 (T.H. 51=125 ) construction to be performed hereunder in or er to satisfactorily complete the aforesaid city cost participat on construction, and if the State determines that said requested lan change or changes are necessary and/or desirable� the tate will cause such change or changes in plan to be made and approp iately alter the affected construction. Section B. Re acement of Castings In connection w th the adjustment and installation of salvaged City owned utility f cilities to be performed by the state' s contractor under State Pro 'ects No. 6215-58 (T.H. 51=125 ) and No. 6216-100 (T.H . 51=125 ) , he City hereby agrees to furnish the state' s contractor with new castings and/or parts therefor when replacements are required, w' thout cost or expense to the State or the state' s contractor, exc pting replacements required of castings and/or parts broken or damag d by the state' s contractor. -14- � � � ��7-a�� 63851 Section C. Utilit Permits The City� through the State, agrees to submit to the Minnesota Pollution Contr 1 Agency the plans and specifications for the construction or reconstruction of its sanitary sewer facilities covered by this agreement and to obtain, pursuant to Minnesota Statute 115.07, subd. 1 or Minnesota Rule 7001. 1030, subp. 2c, either a permit or written waiver from that agency for that work to be performed by others pursuant to this contract. When the Minnesota Pollu ion Control Agency issues that permit or waiver, the City will promp ly furnish the State a copy of that permit or waiver so that the wor may be performed by the State' s contractor. The City is advised that pursuant to Minnesota Rule 7001.1040, a written application for the permit or waiver must be submitted to the Minnesota Pollu ion Control Agency at least 180 days before the planned date of the sanitary sewer facility construction or reconstruction. Section D. Mai tenance It is hereby un erstood and agreed that, upon the satisfactory completion of S ate Project No. 6215-58 (T.H. 51=125 ) construction, the City shall hereafter provide for the proper maintenance, without cost or expense to the State, of all of the storm sewer facilities� Cit owned sanitary sewer facilities and City owned watermain facil ' ties constructed under said state project and that neither party t this agreement shall drain any additional drainage -15- � � . ��7��� 63851 into said storm sewer facilities that is not included in the drainage for which said storm sewer facilities were designed without first obtaining permission to do so from the other party. It is hereby und rstood and agreed that, upon the satisfactory completion of St te Project No. 6215-58 (T.H. 51=125 ) construction, the City shall ereafter provide for the proper maintenance, without cost or xpense to the State, of the entire portions of Midway Parkway, idway Parkway Service Drives No. 1 and No. 2, Fair Place, Arlington Avenue, Nebraska Avenue and Hoyt Avenue and all of the facilities a part thereof constructed within the corporate city limits under sai state project. Said maintenance shall be understood to in lude, but not be limited to, snow and debris removal, resurfa ing and/or seal coating and any other maintenance activities neces ary to perpetuate said roadway portions in a safe and usable condi ion. It is hereby und rstood and agreed that, upon the satisfactory completion of St te Project No. 6215-58 (T.H. 51=125 ) construction, the City shall t ereafter provide for the proper maintenance, without cost or xpense to the State, of all of the concrete walk and concrete dri eway pavement used as concrete walk constructed along and adjace t to the east side of the Trunk Highway No. 51 (Snelling Avenue northbound roadway within the corporate city limits under sai state project.
