WHEREAS, in the spirit of cooperation and mutual concern for
the obligation to preserve the combined City Hall of Saint Paul and
the County Court House of Ramsey (CHCH) ; and
WHEREAS, the respective units of government recognize their
privilege and function of servinq the people as trustees of the
public' s real property assets= and
WHFREAS, the City and County shall retain co-equal ownership of
the CHCH; and
WHEREAS, the County of Ramsey has submitted to the City of
Saint Paul a proposal for the City Hall and Court House repair
and improvement plans; and
WHEREAS, the City of Saint Paul has prepared for submission
to the County of Ramsey a proposal which also reflects the common
goal of providing cost-effective repairs and recognizes the
mutual concerns of the citizens and their elected City and County
officials; and
WHEREAS , both proposals recognize the following areas of
agreement:
1. We all agree that there is a need to start the repair
of the CHCH before any further deterioration takes
place.
2. We need to obtain special bonding authority for $20
Million from the 1987 Minnesota Legislature and
therefore we must quickly finalize negotiations between
the City and County.
3. That the City should support Ramsey County in taking

County should manage the building. The elimination of
the City Hall/Courthouse Committee is possible with the

fashion; and
b. That all current positions in the City
Hall/Courthouse be incorporated into all facets and
phases of the renovation and rehabilitation of the
same; and
c. That all current CHCH positions are charged with
the responsibilities of maintaining the renovated
and rehabbed City Hall/Courthouse.
THEREFORE BE IT RESOLVSD, that the City of Saint Paul City
Council does support and concur with the contents of this
resolution and hereby directs the Mayor of the City of Saint Paul
to on behalf of the City Council to initiate immediately direct
negotiations with the County of Ramsey to implement the above
area of agreement; and
BE IT FURTHER RESOLVED, that by the cooperative efforts of
the City and County staffs, as well as their respective elected
officials in bringing resolution of the these areas of agreement
a groundwork for future joint projects and venture will be paved.

Both the County' s initial proposal and the City counter proposal
reflect a common goal of producing a cost-effective repair plan
which recognizes the mutual concerns of_ the citizens and their
elected City and the County of.ficials.
There are many areas of agreement in both proposals :
First, we all agree that there is a need to start the restoration
of the CHCH before any further deterioration takes place .
Second, we need to obtain bonding approval , for at least $20
million , from the legislature while they are in session. This
means that we quickly finalize negotiations between the City and
County.
Third , that the City should support Ramsey County in taking the
lead in seeking legislative authority for Bonding to finance the
CHCH renovation as described in the attached documents .
Fourth, there needs to be single point accountability for the
day-to-day management of the CHCH and the elimination of the City
Hall/Court House Committee. We believe the County should manage
the buildinq.
In closing , I believe that by the cooperative efforts of the City
and County staffs, as well as their respective elected officials ,
resolution of these issues can provide a qroundwork for future
joint projects and ventures .

THE COUNTY PROPOSAL:
The County proposal contained in an attached draft Management
Agreement sugg,ests (1) the City retain otmership of the Science
Museum and Arts and the Science Buildings but assume operating
and maintenance responsibility from the County and the City
transfer ownershiv or release reversionery rights in the CHCH,
Saint Paul Ramsey Medical Center, Woodview and Totem Town
Detention Facilities and Lake Owasso residence to the County
in return for the County assuming the City' s remaining 1 . 6
million debt on the Medical Center, (2) the County assume the
oneration and management responsibility for the CHCH, including
res�onsibility to finance and manage the repair and improvements
of the building, (3) the City lease space for its exclusive occu-
pancy with access to conmon areas at a rental nroportionate to
the County' s cost of operation and management attributable to
the leased snace with �roration on the common area based on the
comparative exclusive space use of the City and County including
the Courts , and (4) the County have sole resvonsibility for lo-
cation of occupancv, amount of space allocated, and other issues
relating to snace allocation and building programming.
THE CITY PP��POSAL:
Countv ?"�ana ement and Snace Allocation. This assumes termination
o the CHCH Co�mission by legis ation or joint powers agreement as
the attornevs determine legally appronriate. My recommendation is
that the City accent this pronosal . The City' s nresent available
facilities management computer service should be employed by the
County and the Cit� as a day to day monitoring device with Mayor
and the resnective Finance Committee dealing with issues as part
of the annual budget or emergency vurchase and expenditure pro-
cesses . Operations and routine maintenance predicated on the �ast
years experience would be submitted by the County timely for incor-
poration in the Mayor' s budget presentation. Purchase or lease of

ca�ital items or major remodeling would require prior a�proval.
These arrangements would be formalized in a Mana�ement Agreernent
generallv in accordance taith the provisions of Part III of the
draft Manageraent Agreement submitted by the County.
For purposes of this proposal , space allocation would be based
upon the �resent usage tiahich is apnroximately one third City,
two thirds County. City space use will not be involuntarily
reduced from the nresent level . Either party would have the
right of first refusal as to space voluntarily given up by the
other.
CHCH Renovation. The building renovation would be based on the
attache Octo er 17 , 1986 Condition Assessment , utilizing air
conditioning Option A to be completed in two years . This Assess-
ment is basically the TKDA Report with the following exceptions :
1) No building addition;
2) No svace remodeling or rsodernization;
3) Less exnensive air conditioning option; and
4) Temporary leasing not required.
The County would issue in 1987 bonds of a minimum 20 year term for
the full renovation cost . Debt service costs would be allocable
on the exclusive use �roration formula.
Ownership Interests .
a. CHC:i. A conveyance of the City' s 50% o�anership
interest in t�ie Courthouse in consideration of the County
paying the building renovation cost does not make business
sense. The City share of a 20 million renovation cost
would be 36 .23% if shared on usage and 50°o if shared on
o«nershin . Assuming 40 million debt and interest cost
(20 year term bonds) the c�ty share of renovation cost
funding expense would be 14. 5 to 20 million. The City
tax base_.has _invested 43 .milli�n in the CHCH from 1930
to 1985. (Please see Blees memo Attachment A) To repro-
duce replacement space by new construction would cost
the City 37. 7 to 52 million.
A chanae from an ownership to a landlord-tenant re-
lationship will transform a status of co-equals to tnat of
dominant and subservient parties . Dealing with CHCH manage-
ment problems in a landlord-tenant relationship will pose
greater problems than tnose presently per�ei��ed to exist.

b. Medical Facility. The Facility should be leased
to the new Hospital Service Corporation under authority of
Minnesota Statutes 1986 , Section 246A. 11 by the City and
Countv. Pending further develonments looking to the lease
I recommend Mayor and the City Council and County Board
Finance Committees take up the ownership, lease and rental
of the Facility as a separate issue.
However, should the County wish a present transfer of
City ownership interest and County assumvtion of the City
Hospital debt, then I would reco�end such action on con-
dition that (1) the City retain a reversionery interest in
the event of future sale of the Facility or abandonment of
hos�ital use, (2) the City participate in present lease or
anv future sale negotiations , and (3) the City share in net
rental or sale proceeds on the basis of its 27-1/2% prior
ownership interest .
c. Detention Facilities and Lake Dwasso Residence.
The City conveye its tit e in Woo view Detention Faci ity
and Totem Town in 1973 , zaith the County asstmming the re-
maining City debt of $1,465 , 000. The deeds provide for
reverter of City title (50% interest) in event of cessation
of detention use. I recommend the reversionery interests
be retained. I recommend that the City convey its interest
(33-1/3'/0 - no debt) in Lake Owasso residence subject to a
reverter clause in event of the cessation of nursing home
use of the property.
d. Arts and Science Center and Science !�useum. The
City owns both properties although its title in the 24useum
was to facilitate tax exempt financing and involves no
possessory rights) iaith the County contributing operating
and maintenance funds to the operating entities . A recent
survey indicates Science Museum attendance is 30% Ramsey
County and 70% from outside Ramsey County.
Assuming similar visitation of the Arts and Science
Center, the County should seek assistance from the State
rather than the City. Passing the expense down to the
smaller tax base is inappropriate. I recommend a joint
City-County effort seeking State appropriation to under-
write onerating costs of these facilities .

Sumnary. CHCH repair and renovation is the most urgent matter
before the parties . We pronose $10, 700, 370 in basic renovation
activity be undertaken in 1987 and $9 , 299 , 630 in 1988 for a total
of $20, 000, 000 in accordance ��ith the October 17 , 1986 Condition
Assessment. The parties should conclude negotiation of a CHCH
Building Renovation and Management Agreement and seek authorizing
le;islation. We share resvonsibility to preserve this historic
nublic asset in a prompt and efficient manner .

I. HISTORICAL BACRGROUND
In order to acquire land and construct the City Hall and
Courthouse, (CH/CH) $4 , 000,000 in general obligation bonds were
issued between 1929 and 1932; the City of Saint Paul issued
$2,000 ,000 in thirty year bonds (see Table I) and Ramsey County
issued $2,000,000 in twenty year bonds (see Table II) . The 50/50
financing plan recognized that City functions would occupy 50$ of
the building and that County functions (primarily the Courts )
would occupy the other 50� of the space . Because of the initial
financing plan the City and the County each have joint title in
the building, but originally the City acquired the property and
conveyed half of the title to the County.
In 1961 and 1962, $1,000, 000 was spent on minor rehabilitation of
CH/CH. The City issued 5500,000 in thirty year bonds , while
Ramsey County financed their share out of their operating budget.
The financing plan for the rehab work was deemed to be 50-50
because of joint ownership. The building occupancy share in 1961
is unknown.
The Saint Paul tax base has financed the lion' s share of debt
service tinterest expense and principal repayment) for the CH/CH
bond issues. Saint Paul taxpayers were obligated to pay 100� of
the debt service for City bond issues and the appropriate share of
debt service for County bond issues based on assesse3 valuation of
taxable property. In 1930 the Saint Paul tax base comprised 96. 5$
of the County tax base and thus paid 96 . 5$ of the debt service for
County issued bonds. In 1985, Saint Paul comprised 53. 1� of the
County tax base. Table III displays that the Saint Paul tax base
will pay approximately 96. 2� of the debt service for constructing
the CH/CH and its 1961 repair. Of the total debt service payments
� of $7 ,589 ,577 for all CA/CH bond issues , Saint Paul taxpayers will
pay approximately $7 , 300 ,992 , while Ramsey County suburban cities
will pay only 3.8$ or $288 , 585.

The present value (using 1985 dollars) of debt service payments
for all CH/CH bonding totals $43 ,016 ,702. (See Table III) . The
Saint Paul tax base is responsible for $41,498 ,356 or 96. 5$ while
the suburbs contribution is $1 , 518,346 , or 3. 5$. The present value
calculation uses the Consumer Price Index for the Twin Cities
Area: with actual inflation known for 1930 through 1985, and
inflation estimates of 4$ for 1986 through 1992
By way of reference, if you were to spend $43 ,000,000 in 1986 to
build a new CH/CH which was to be occupied 65$ by the County and
35� by the City; and if Saint Paul makes up 53$ of the County's
assessed valuation; and if you financed the construction in one
year based on occupancy: the Saint Paul tax base would be
responsible for only $29 ,863, 500 or 69 . 4$ , as opposed to the
existing 96 . 5$ contribution of $41 ,498, 356
Besides converting CH/CH debt service payments to present value
($43,016,702) there are two other ways of estimating the current
value of the CH/CH:
Using the Engineering News Record' s Construction Cost
Index, the money spent in 1929 through 1932 and in
1961 and 1962 to build and remodel the building can be
converted to 1985 dollars to determine the replacement
cost. Table IV attached estimates the 1986
replacement cost to be 5104,382, 594 . This method
estimates the cost to replace the building as
originally constructed and furnished. It also
includes acquisition costs .
Another method is to use the Marshall and Swift
Valuation Service manual to determine the current
replacement value base on constructing a steel frame
Class A excellent government building with the same
square footage as the existing building . This cost is
estimated to be 551 ,907 , 270 and is basically the same
replacement value used for insurance purposes . This
replacement cost method does not include estimates for
the cost of exotic woods , valuable marble, ornate
brass, a three story indian, or acquisition costs.
In 1974 the responsibility for deciding how the CH/CH building
was to be maintained and operated was fixed with the seven
member Joint CH/CH Committee. The Mayor, three members of the
City Council, and three members of the County Board of
Commissioners are charged with the responsibility of deciding on

occupancy, use and service levels for the building, but they
must obtain budget authorization in both the City and County
budgets to implement their decisions.
In 1974, state law specified that "The expense of keeping the
building in repair and the necessary expense of heating and
maintaining it shall be paid equally by the City and the
County: one half thereof out of the treasury of the City, and
one half out of the treasury of the County" .
In 1980 state law was amended to read "commencing with the
budget year starting January 1 , 1981 , and continuing thereafter,
the expense of keeping the Courthouse and City Hall for the
County of Ramsey and the City of Saint Paul in normal repair,
and the necessary expense of heating and maintaining it , shall
be paid by the County of Ramsey and the City of Saint Paul based
upon their respective exclusive usage or occupancy of the
building. . . . " . For the past seven budgets, Ramsey County has
occupied about 65� of the building , and thus was responsible for
approximately 65$ of the CH/CH annual budget, while the City
occupies about 35$ of the space and finances 35$ of the cost.
II SUMMARY OF RAMSEY COUNTY'S PROPOSAL
A condensed summary of the County' s September 17 , 1986 proposal,
as I understand it, follows:
1 . Ramsey County would issue $44 ,000, 000 in general obligation
bonds to repair/remodel the CH/CH and spread the tax levies
for debt services county-wide. Debt service tprincipal
repayment and interest expense) is estimated to total
$89 ,630 ,000 over 20 years. The Saint Paul tax base share is
estimated to be $43,873 ,863, which is 48 .9$.
2. Ramsey County would assume from the City $1,673,098 in debt
service payments for outstanding bonds for the Saint Paul -
Ramsey County Hospital/Medical Center. The debt service
would be spread county-wide , and is estimated by the County,
to save the Saint Paul tax base $862,810.
� 3. The City would assume from Ramsey County the responsibility
of budgeting for the operation and maintenance of the Arts
and Science Center and Science Museum. The County estimates
this cost to the Saint Paul tax base to be $40 , 279 , 102 for
the years 1987 through 2007.

4. Ramsey County would take complete title to the CH/CH property,
the Saint Paul Ramsey County Hospital/Medical Center property
and the Lake Owasso Residence, without any compensation to
Saint Paul for its equity.
5. The City would release deed restrictions to the Totem Town and
Ramsey County Workhouse properties .
6. Ramsey County would be responsible for operating and maintaing
the CH/CH building and the City would be guaranteed at least
35$ of the space in the building. The County determines what
space the City can have. The City would have to hold the
County harmless for any and all liabilities while the County
managed the building.
7 . Ramsey County would take title to the CH/CH property without
any compensation to Saint Paul for its equity.
III . ANALYSIS OF RAMSEY COUNTY' S SEPTEMBER 17 , 1986 PROPOSAL
The City budget staff has analyzed the County' s proposal , using
present value analysis, assuming 4$ inflation for future years.
First, we disagree with one of the premises in the County' s
proposal, that bonds issued to remodel the CH/CH should be split
50/50 based on building ownership, but that the City should only
occupy 35$ of the building space. Rather, we believe debt service
for any future CH/CH bonds issued should be annually budgeted
based on actual building occupancy. Present value analysis is
appropriate because it measure "the buying power" of future
payments in today' s dollars, after identifying a uniform inflation
assumption. We choose 4o inflation, because that is the
assumption used in the County' s proposal.
Second, we question the assumption that $44,000,000 in bonds would
be issued, when the Ramsey County estimate supplied to the Joint
Debt Advisory Committee was $25,000,000. The January 16 , 1987
City/County agreement as to the minimum estimate for CH/CH
mechanical rehabilitation is $20,000,000.
Third, we question the County' s logic in suggesting that the
� budget assistance for the Arts and Science Center/Science Museum
complex should be shifted from the County' s Budget to the City' s
budget because more paid members live in Saint Paul than in
suburban Ramsey County. Phil Taylor, the Executive Director of
the Science Museum, has provided membership/user data that would
suggest that budget assistance should be transferred to a
metropolitan or state budget, rather than a smaller tax base like
Saint Paul. (See his December 3, 1986 letter to Blees) . Saint
Paul residents have purchased 4 ,497 of the 27 ,725 paid
memberships , just 16. 2$ of the total . Suburban Ramsey County
residents have purchased 4 ,027, or 14. 5$ memberships.

Using the Metropolitan Council ' s 1986 housing estimates for the
City ( 110 , 113) and Suburban Ramsey County (76 ,578) we find that
5.3$ of Suburban Ramsey County homes have memberships to the
Science Museum, while only 4. 1$ of Saint Paul homes have
memberships. Mr. Taylor also noted that a recent survey
estimated that 70$ of the visitors to their complex live outside
of Ramsey County. The County' s proposal assumes that the City
owns the Science Museum/Omni Theatre structure (the building on
the west side of Wabasha) . No City dollars were spent to build
that structure, although the City leases air rights to the
Science Museum of Minnesota because their privately owned
facility is constructed above the City owned parking ramp.
After the building was constructed , the City did assist the
Science Museum in obtaining tax-exempt financing for the
facility, in order to take advantage of low interest rate long
term financing , and higher interest rate investment
opportunities. To make the tax-exempt financing plan work, the
City temporarily owns the facility and leases it to the Science
Museum. Once the debt service on the tax exempt bonds is paid
off, however, the title automatically reverts back to the
Science Museum of Minnesota.
Fourth, the County's proposal assumes the operating budget for
the Science Museum inflates at the rate of 4$ per year, through
the year 2007. Obviously once the debt service is paid off for
the various bond issues , the City is left with an ongoing
budget liability for the Science Museum. Thus, their cost
analysis is valid only for the next twenty years: after the year
2007, the Saint Paul tax base loses , regardless of what bonding
and debt service assumptions are accepted.
Fifth, using present value analysis ( 1986 dollars) , we have
costed out the County' s proposal and three modifications using
more realistic assumptions:
If the County issued $44,000 ,000 in bonds and you
assumed debt service should be spread 50-50 based on
building ownership, the present value SAVINGS to the
Saint Paul tax base is estimated to be $2, 458 , 163
(Table Option I-A) .
A more realistic bonding assumptions is that Ramsey
County would issue $20 ,000 ,000 in bonds, and that debt
service would be spread annually between the County and
City budgets based on building occupancy (currently 65$
County 35� City) . If you compare the County' s proposal
to this set of assumptions , their proposal would have a
present value COST to the Saint Paul tax base of
$8 ,781 ,044 (Table Option I-A) .

If you assumed the County issued $44,000 ,000 in bonds ,
and that debt service should be spread 65-35 based on
building occupancy, then the present value COST to the
Saint Paul tax base is estimated to be $2,637 ,841
(Table: Option I-B) .
If you assumed the County issued $20,000, 000 in bonds,
and debt service should be spread 50-50 based on
building ownership, then the present value COST to the
Saint Paul tax base is estimated to be $6,790, 501
(Table: Option I-C) .
CONCLUSIONS:
1. The County' s assumption that the CH/CH debt service costs
should be split 50$ County, 50$ City (based on historical
ownership) when they propose to have the City occupy only
35� of the building space is not equitable.
2. If Ramsey County issues $44,000,000 in bonds for CH/CH
remodeling and you assume debt service payments should be
allocated to City and County based on building occupancy,
then the County's proposal COSTS the Saint Paul tax base
( 35� - 65$) $2, 637 ,841 in 1986 dollars.
3. If Ramsey County issues $20,000,000 in bonds for CH/CH
remodeling and you assume debt service payments should be
allocated to the City and County budgets based on building
occupancy, then the County' s proposal COSTS the Saint Paul
tax base $8 ,781 ,044 in 1986 dollars , after the shift in
payment responsibility for the hospital debt service and
Science Museum financing.
4. The County' s assumption that the County should have complete
title to the CA/CH building because they occupy b5$ of the
space, when the Saint Paul tax base paid for more than 96�
of the debt service associated with building and remodeling
the facility is unreasonable if no compensation is received
for the City' s equity position.
' S. The County' s assumption that the smaller Saint Paul tax base
should provide property tax support for the Science Museum
complex, is unreasonable . A higher percentage of suburban
Ramsey County families use the facility than Saint Paul
families and an even greater number of non-Ramsey County
families use the facility. Property tax support for the
Science Museum Complex should be levied across the
�letropolitan base.

6. The CH/CH ownership issue and other property related issues,
such as the Science Museum, Saint Paul Ramsey Hospital and
Lake Owasso Residence only complicate decision making for
the remodeling and day to day management of the CH/CH.
I am willing to provide ongoing assistance to find a fair and
justifiable financing plan for implementing the rehabilitation
of the Saint Paul City Hall and Ramsey County Courthouse.

In response to your request for factual data about Science
Museum memberships and use of the Science Museum complex the
following information is transmitted.
1. The Science Museum currently has 27,725 members.
4,497 members are from the City of St. Paul
4,027 come from rural Ramsey County
19,201 are from outside of Ramsey County
2, The annual visitor attendance at the Science Museum is
800,000 plus visitors. A recent survey showed that 3Q�
or 240,000 visitors come from Ramsey County and 70°6 or
560,000 visitors come from outside Ramsey County.
I have also attached a copy of a recent economic impact
statement compiled by the Museum.

Direct and Indirect Saendin¢ � �
The Science Museum o! Minnesota and Chimera Theatre generate a total of
. 524,802,000 in direct and indirect spendinp. Direct spending accounts for
$8.476�400 of this amount. . The indirect spending figure was reached
- through •the adoption of a conservative multiplier used by the Metropolitan
Council in its recent study oP the arts as a regional industry. The
multiplier of 2.926 was developed by the United States Department of
. Commerce system called the Regional Industrial Multi�plier System (RIMS) . �
. . It is specific to this geographical area and to such service industries as
the Science Museum and Chimera Theatre. It measures the "ripple" ef�ect �
oP spending when buying services in the local economy.
Audience Spendin� �
In addition to the 524.802,000 worth of business generated by direct and
indirect spending. the visitors to the Science Museum and Chimera alsc
spend money for parking, shopping. meals. babysitters, gas, etc. The
Metro Council, in a survey conducted by its staff, has estimated an
audience spendinQ Pigure of $22.55 per person. This figure compared
favorably with other surveys that were made. Because the Science Museum
of Minnesota has such a diverse audience ranging from families to
organized groups, we have reduced this Metro Council multiplier by •1/2 to
$11.28 per individual. The audience spending, as we estimate it for
Chimera and the Science Museum, is therefore calculated at 59.216.800.�
In addition to individuals. family groups and school classes, the Museum's
� visitors included. in a 10-week period. such diverse groups as business
associations. rotary clubs. Shriner's groups, farm union tours. tour
operator groups. colleges. community center groups. treatment centers.
church groups. and park and recreation programs.
The Museum is a �aajor Ramsey County tourist attraction. It is visited by
an estimated 21.000 Poreign teurists annually, 150,000 visitors Prom other
states in the United States and 110,000 visitors outside of the seven-
county metropolitan area.

The Metro CounCil Report encouraged arts organizations to become more
� "child friendly" or face decreasing attendance as their visitors start
families. The Museum is "child friendly". It is the largest school group
destination in the State among year-round cultural organizations. Family
members make up 89x of its members with children in the 6-18 year age
� range. Thus it provides not only an economic return today but for the
future when the parents of the future return with their children. Rasmey
County is noted for centrally located family activities. The Science
Museum is a resource that insures Puture health of the county's core area.
The Maintenance support by the County has been for the hard dollars used
to keep the buildings open all day long. weekends and evenings--widening
visitors opportunities to spend Aore. This policy enables the Science
Museum and Chimera to put their full ePfort into raising program money. •
As a result of this spending by the County and the shared ePfort of the
County and private sector� the Science Museum and Chimera have served
825,000+ visitors each year and have improved the quality of life
- environment in our community which helps to retain and bring in new
business and families into our area.
In addition. the economic impact of this shared effort, which has cost the
County less then 1/2 oP lz of its annual budget. has resulted in a total
positive economic impact through direct and indirect spending and visitor
spending of 534,018,800.
