RESOLVED, that the proper City officials are hereby authorized and
directed to execute an Agreement granting $750.00 to the ST. PAUL AMERICAN
INDIAN CENTER for the purpose of staging the Holiday Community Dinner to held

AGREEMENT
THIS AGREEMENT, made and entered into this 23rd day of November , 1988
by and between the CITY OF SAINT PAUL, a municipal corporation of the State of
Minnesota (hereinafter referred to as "City") , and ST. PAUL AMERICAN INDIAN
CENTER, (hereinafter referred to as "A.I .C.") .
WHEREAS, on January 6, 1987 the St. Paul City Council established a
Community Festival Loan Fund and Grant Program, administered by
the Division of Parks and Recreation, for the purpose of
assisting neighborhood festivals with expenses, startup costs and
insurance coverage; and
WHEREAS, the St. Paul City Council has approved rules and regulations to
ensure the fair and equitable distribution of the funds; and
WHEREAS, the AIC has applied for a grant in accordance with these rules
and regulations.
NOW THEREFORE, the parties agree as follows:
1. That the City shall grant to AIC the sum of Seven Hundred Fifty Dollars
($750.00) for the purpose of helping to fund the Holiday Community Dinner
to be held on December 21, 1988 as more particularly outlined in the AIC' s
application attached hereto as Exhibit A and made a part of this
Agreement. -
2. That the AIC will prepare and submit to the City a report outlining all
expenses and revenues derived from the Festival and specifically detailing
how the grant money was spent within 90 days after the completion of the
festival noted above. AIC further will permit the Division of Parks and
Recreation staff full access to its books and records concerning the

3. That the AIC shall submit to the City a copy of the AIC's liability
insurance policy naming the City as an additional insured, said policy
shall be forwarded to City by December 14, 1988.

COMMUNITY FESTIVAL FUND
BACKGROUND
Developing a feeling of unity and e�zthusiasm among residents is a means
to breathe new life into a community. The resultant pride can maintain
and improve neighborhoods that might otherwise decline. When this
vitality is communicated to others the result will be increased demand
for housing, new business and increased revenue. These are some of the
conclusions reached by the Department of Planning and Economic
Development in their publication, "St. Paul Tomorrow" which recommends
that neighborhoods adopt a marketing strategy to insure that the
strengths and merits of their communities are made known to the wider
public.
' The St. Paul City Council has recognized public festivals as being
vital to the spirit, history and pride of St. Paul' s individual
neighborhoods. While the Councii is aware that these events reinforce
the unique character of each area, they acknowledge that it has become
increasingly difficult to find an adequate funding source to start up
or to promote these celebrations.
POLICY
The City of Saint Paul has a limited responsibility to assist nonprofit
organizations which provide a public benefit for Saint Paul residents.
The City will therefore appropriate 25 cents per ticket sold at
' Riverfest 1987 , to initiate a Community Festival Fund. The fund will
be administered by the St. Paul Division of Parks and Recreation and
will be available in mid-August, 1987 . The fund will be known as the
Community Festival Fund.
PURPOSE •
The St. Paul City Council in a Resolution dated January 6, 1987 has
established a fund to provide start up costs in the form of loans or
grants to community groups or organizations desiring to promote a
neighborhood festival.
CONDITIONS FOR ELIGIBILITY
1 . Funds will be awarded and contracts made only with community based
non-profit organizations that can be insured. The City shall be
liste.d as coinsured in the contract.
2. Use of funds must have a public benefit and fit within City
priorities. ,
3. The submitting organization must provide, at the time of
application:
a. Verification of nonprofit status and copy of organizational by-
laws

b. List of Officers or Directors
c. Letter verifying organization' s approval of the proposal
d. Previous year' s budget and financial statement, if applicabie
e. Current balance sheet, income and expense statement, if
applicable
f. Proposed budget (expenses and income) for the festival
g. Evidence that insurance can be obtained by the organization
h. Plan for staging the festival event.
4 . The financial information must demonstrate that the majority of the
organization' s funding is used for public benefit.
5. Organizations receiving funds shall file with the City financial
reports within ninety days showing how the funds were expended and
for what purpose. No additional funds will be awarded until the
organization has filed such reports of previous expenditures.
_ DEFINITIONS
Community groups or organizations
a. Must be representative of and be active in the neighborhood
served by the festival event.
b. Must be a nonprofit organization and have a valid plan for
staging the festival event.
c. Must have a set of by-laws.
Festivals
Are defined as an event of a cultural, �social or educational nature
including but not limited to music, dance, food dispensing, parades
� � or commemorative activities. The event should be open to the
public free of charge, be local in nature and recognize specific
geographic boundaries.
Eligible Expenses include:
- Insurance coverage
Promotion and publicity costs
Fees and permits expense
Purchase of food or supplies
Entertainment
Training expense for festival coordinators.
Examples not eligible for funding include:
Staff salaries
Fundraising activities
Contractual payments to promoters.
GENERAL PROCEDURES
1 . Applications will be due April 1 with award by May 1 to permit time
for review and development of a contract.
2. Applicants for funding will be considered on a first come, first
served basis.

� 3 . Both loans and grants wil'1 be awarded to eligible organizations
according to the following guidelir�,es:
a. Will be awarded up to a limit of $2 ,000 per event for the first
year, and up to $1 , 000 for the second and third year.
b. Will be awarded based on need and cannot be used as a
substitute for"-another available revenue source.
c. Will not be considered for an event of a religious or political
nature.
d. Requests must be submitted for review to the District Council
representing the neighborhood served.
e. Requests, after District Council review and comment, are then
to be forwarded to the City where they will be considered in
the order received.
f. At least two officers from the organization must personally
sign the agreement.
g. A plan for staging the festival event must be submitted.

but now for financial reasons might not be held.
-Only one grant per organization per year.
-Must be able to demonstrate ability to match funds granted.
Loans
-Requests must be accompanied by an outlined method or plan
for repayment within ninety (90) days after the last date of the
festival.
-Requests that are awarded and promptly repaid will be considered
on a year to year basis.
-Organizations with unpaid loans to the city will not be eligible
for funding until loans are repaid
EVALUATION CRITERIA '
1 . Priority in awarding funding will be given to groups that show need
for assistance in producing a festival for the benefit of. the
public and to positively reinforce the unique character of an area.
2. Priority will be given to proposals that present a plan for loan
repayment.

3. Priority will be given to organizations who demonstrate the ability
to produce an ongoing festival.
4. Priority will be given to organizations that demonstrate
cooperative efforts within a community.
REVIEW
1. Proposals will be reviewed by the Division of Parks and Recreation
for:
a. Eligibility under the guidelines
b. Completeness of information
c. Viability of the festival plan
d. Ability to obtain independent insurance coverage
e. Sound financial information
- 2. Organizations will be notified if additional information is
required for the review.
AWARDS
1 . All grants and loans must be approved by City Council before they
are awarded.
2. Organizations will be notified if their proposal is accepted or
turned down.
3. Contracts will be written between the City and the organization
� receiving an award of a grant or loan.
4. A final report will be required within ninty days after the
festival is complete.
" EVALUATION
The Division of Parks and Recreation will prepare an annual report (due
January lst) for the City Council which reviews the process, evaluates
program effectiveness and recommends improvements.

Program Description
The St . Paul . American Indian Center seeks funding for a one-time
only event to serve between 350 - 500 low income, multi-cultural
individuals a Holiday Dinner on December 21 , 1988 beginning at 12 :30
at the St . Paul American Indian Center
The American Indian Center normal�y participates in the annual "Toys
For Tots" gift giving campaign sponsored by veterans organizations
and the Armed Services groups through its affiliation with the
Holiday Bureau. This year, the annual event is not being administered
by the Holiday Bureau and the American Indian Center is not able to
- sponsor a Holiday Dinner be��.use of financial constraints. In 1987
the American Indian Center ser�ved approximately 2 ,600 individuals
through i�bs Community Food and Nutrition Education Programs . This
year, 1988, the Center anticipates serving 5 ,000 individuals , an
increase of 192%.
The Americaa� Indian Center will still collect gifts that are usually
considered additional or complementary to "Toys for Tots" . Parents
and families will be invited to the Center to share a Holiday Dinner
in a community feast atmosphere on Wednesday, December 21st . The
Center will distribute small gifts such as, mittens , gloves , puzzles
coloring books, c�-t�..., as well as , holiday food baskets to needy families
at '�he feast . An event such as the proposed community feast is an
opportunity to recognize and share a feeling of unity, peace and gift
giving during a season that is often seen as � depressing one, given
the economic condition that our community f aces.

PREAMaLE
We, of the St. Paul American Indian Center, in order ta preserve and
perpetuate the heritage of the American Indian and promote good citi-
Zensi�ip, do establish and maintain a Central organization for the
purpose of furthering the educational , social and cultural activities
vf the American Indian people.
FORWARD
On August 19, 1968, the American Indians of St. Paul met to express
, their desire for a Center. The- name, St. Paul American Indian Center
was choosen. It was their wish to put forth their time and efforts
� for the betterment of all American Indian people. The Indian Center �
, is open to both Indian and non-Indian. It is a non-partisan and a
non-sectarian organization. It is independent, does not come under
the direct control of any organization dealing with Indian Affairs,
private or Governmental . It is also charitable and a non-profit
organization.
ARTICLE I
Name and Purpose
A. To promote fellowship and unity among the American Indian
people of all tribes within the urban conttnunity. , ,

B. To create bonds of understanding and fellowship between
Indians and non-Indians. � , �
C. To advance the health, education, and general welfare of
the Urban American Indian people.

ARTICLE II
MEMQERS
SECTION 1 . ELIGIQILITY '
Membership in the Center will be open to both Indian and non-Indians.
Non-Indian members are {ionorary Members.
SECTION �. SELECTION OF MEMaERSHIP
A. Application for membership to the Center shall be on a prescribed
form. This form shall state the applicant's name, address, tribe
and other information deemed desirable.
' Q. Membership will be conferred on applicants upon their signed
agr�ement to abide by the rules and regulations of the Center.
� C. Membership card entitles new members to all rights and privileges
of inembership except voting privilege, which shall automatically
be in effect, for voting members, fifteen (15) days after appli-
cation has been rnade.
D. Membership shall be perpetual . Membership may be renewed by
continuing compliance with the requirements set forth in subsec-
tions A, a, and C above. �
SECTION 3. VOTING RIGHTS �
Each Indian Member sixteen (16) years of age and over shall be entitled
to one vote on each matter submitted to a vote of the members. Honorary �
members shall be entitled to be present at all meetings of the member-
ship and shall have the right to be heard, but shall not be entitled to
vote in general elections. They are permitted to vote on Board issues
if they are elected or appointed .on the Qoard.
SECTION 4. TERMINATION OF MEMQERSHIP .

The Board of Director's affirmative vote of two-thirds (2/3) of a
quorum in attendance at a full Board meeting may suspend or expel a �
member from the membership for cause after an appropriate hearing.

� SECTION 1'. AN�IUAL MEETINGS
An Annual Meeting of the members shall be held during the monrh of June,
beginning with the year 1969, on sucii date as may be specified by the
Doard of Directors, for the purpose of electing Directors, and for t}ie
transactiqn of such other business as may come before the meeting.
SECTION 2. SPECIAL MEETINGS
Special meetings of ,the registered voting meiubers of The Saint Paul Amer-
ican Indian Center may be called in any of the following ways: 1. by the
President; or, Z. by the I3oard of Directors; or, 3. by petition of at
least 10% of the registered voting members of ti�e St. Paul American Indian
Center.
SECTION 3. PLAC� OF ME�TING
The President o£ the Board of Directors may designate any place as the
place oL meeting for any annual meeting or for any special meeting called
by the Board of Directors.
SECTION 4. NOTICE OF MEETING
Notice of any regular meeting of the membership shall be posted at the
� St. Paul American Indian Center not less than fifteen (15) days prior
, to such meeting. Notice of special meetings of the membership shall be
mailed to all members at their last recorded address not less than three
(3) days prior to said special meeting. Tt�e notice of special meetings '
shall specify the purpose for which said meeting has been called.
SECTION S. INFORMAL ACTION BY MEMBERS
Any action requested to be taken at a meeting of the registered voting
members of The St. Pau1 American Indian Center may be presented to the
Board of Directors for their consideration. This must be in the form of
a petition of at least 60% of such members.
SECTION 6. UORUM
Two-thirds of the registered, voting members of The St. Paul American
Indian Center shall constitute a quorum at any annual or special meeting.
To pass any motion to suspend or remove any director, two-thirds of the
total number of registered members of The St. Paul American Indian Center
having voting rights must vote in f�vor of such motion, and the vote mi�st
be a standing vote or a secret writ�en ballot.
SECTION 7. WAIVER
Board Members can waive their right of notice to meetings by a ma�jority
vote.

� � „� At all meetings of the members, includin� the annual meeting and any
special meeting of the membership, tl�ere stiall be a registration pro-
cedure by which each member shall siKn a reKistration roster, and in
addition to each member's si�nature, each member shall print clearly
his or her name� address, age, telephone numher and tribal affiliation.
In addition, the President or the Secretary may make such further pro-
visions including delegate badges and prepared ballots, as will facil-
itate the good order of such meetings. Provision may be made for '
supervision of all voting procedures hy' an organization of established
reputation for social services or community services, such as the
League of [•lomen Voters.

ARTICLG IV
BOARD OF DIRrCTORS
SECTION 1. GENERAL POI-JERS
The affairs of the Center shall be governed accordin� to the decisions
of the policy makinR body, which is its Board of Directors,
SECTION 2. NUMBER, TENURE AND QUALIrICATI�NS
A. The Board of Directors shall consist of nine (4) members, ei�ht
stiall be of Indian descent and one (1) of non-Indian descent,
three (3) of which shall be elected at each annual election. All
other vacancies shall be filled by appointment only until the
next annual election and seniority of. appointment or election
shall be determined by the remainin� portion of the term the
appointment was made for.
B. Any voting or non-voting members of the Center shall be eli�;ible
, for election of the Board of Directors provided that the Indian
members shall constitute eipht-ninths (8/9) majority of the Board
of Directors.
C. The Board shall be concerned ,with Urban American Indians, disre-
garding their tribal affiliations; the main criteria being their
desire to carry out the functions and responsibilities of a Board
member.

' D. All Indian members of the Board of Directors shall be required
to produce proof of tribal affiliation to be seated as a Board
ilember, except the sin�;le non-Indian member of the Aoard of

SECTION 3. REGtILAR MEETINGS ,
Regular- meetin�s of the Board of Directors si�all be held on the second
Tuesday of eacl� month.
SECTIQN 4. SPIsCIAL MEETINGS
Special meetings of the Board of Directors may be called by or at the
request of the President or any two Directors. The person or persons
authorized to call special meetings of the Roard may fix any place,
either within or without the State oE Minnesota as the place for hold-
ing any special meetings of the Board of Directors. At any special
meeting, no business shall be transacted except that which is stated
in the notification calling the special meeting.
SECTION 5. NOTICES
Notices and purpose of any special meeting of the Board of Directors
shall be p,iven at least two days previously thereto by written notice
delivered personally or sent by mail or telegram to each Director at '
1�is address as shown by the records of. the Center.

OFFICERS
SECTION 1 . OFFICERS
All officers of the Center shall be elected with Urban American Indian _.
Preference. The Officers of the Center shall be a President, Vice- .
President, Parliamentarian, Treasurer, and a Secretary, and such other
officers as may be elected in accordance with the provisions of this
Article. The President and Chairnian of the Qoard shall be one and the
same person. The Board of Directors may elect or appoint such other
officers as it shall deem desirable; all officers have the authority
to perform the duties prescribed in the Qy-Laws.
�ECTION 2. ELECTION AND TERM OF OFFICE
The officers of the Center shall be elected annually by the Qoard of
Directors after the June meeting of the membership and the election
of the new Board members. If the election of officers shall not be
held at such meeting, such election shall be held as soon thereafter
as a special meeting may be called. Vacancies may be filled or new
offices created and filled at any meeting of the Board of Directors.

� SECTION 3. REMOVAL
Any officer or agent elected or appointed by the Qoard of Directors
may be removed by the Board of Directors whenever in its judgement
the best+'interests of the Center would be served thereby, but such
removal shall be without prejudice to the contract rights, if any, .
of the person so removed.
SECTION 4. VACAP�CIES
A vacancy in any office because of death, resignation, removal , etc. ,
may be filled by the Board of Directors and until the next annual
election.
SECTION 5. PRESIDENT
The President shall preside and be responsil�le for the proper conduct
of inembership and Board of Director's meetings, and Executive Commit-., �
tees, in accordance with these Consititution and By-Laws. He may sign
with the Treasurer or any other proper officer of the Center authorized
by the Board of Directors, any deeds, mortgages, bonds, contracts, or
other instruments which the Board of Directors have authorized to be
• � executed, except in cases where the signing and execution thereof shall
,,� •� be expressly delegated by the Board of Directors of the Center; and in
( general shall perform all duties as may be prescribed by the Board of
l Directors from time to time. He will act as direct liaison between tbe
Executive Director and the Board of Directors. "

SECTION 6. VICE-PRESIDENT (� �� �9��
• � In the absence .of the President or in the event of his inability or
refusal to act, the Vice-President shall perform the duties of the
1' President, and when so acting, shall have all the powers of and be
subject t'o all the restrictions upon the President. The Vice-Presi-
dent shall perform such other duties as from time to time may be
assigned to him.
SECTION 7. PARLIAMENTARIAN

The Parliamentarian shall have a working knowledge of Roberts Rules
of Order so that meetings are conducted properly.
SECTION II. TREASURER �
At each regular Qoard meeting the Treasurer shall receive and submit
a written financial report of all monies and securities accruing to
the Center. In the absence of the Treasurer, his duties will be per-
formed by the President:

The Secretary shall conduct .all correspondence and keep the files and
records in regards to Qoard business only. In the absence of the Sec-
retary, the Vice-President will perform his or her duties.
SECTION 10. PRESIDING OFFICER
The President, Vice-President, Secretary, Treasurer, or other officer
so designated to serve in his/her absence, shall act as Chairperson
for all meetings, in that order.
ARTICLE VI .
COMD1ITTEES
SECTION 1 . COMMITTEES OF DIRECTORS
The Qoard of Directors, by resolution adopted by a majority of the .
directors in office, may designate;,one or more committees, each of �%
which shall consist of one or more 'Directors, which committees, to
the extent provided in said resolution, shall have and exercise the
authority of the Board of Directors in the governing of the Center,
but the designation of such committees and the delegation thereto of
authority shall not operate to relieve the Board of Directors, or any
individual Director, of any responsibilities imposed upon it or him
( by law.

. 2. Need to meet a ti�ht deadline date for submission of a pro-
gram proposal or a proyram report wf�en the limited time
available results from an unusually short time set by the

- � of available time for 6oard action results from procrastin-
ation by concerned staff.
3. Need to employ staff to insure continiaed smooth operation
of Center or any Center project or proyram when the need
for staff results frorn resignation 4rithout adequate notice,
disability or death.
• 4. �1ny other situation which, in the judgement of the President
or, in the Presidents absence, of ttie Vice-President, cannot
wait for poard action at the next Regular Qoard meeting or
, in a Special Qoard meeting.
B. Request for Executive Committee Action:
1 . The President or, in the Presidents absence, the Vice-Presi- �
dent may convene meetin�s of the Executive Coirnnittee or pol_1
Executive Committee members by telephone, to deal with emer-
gency s� ua �ons as e �ne a ove.
2. The Executive Director, or Acting Fxecutive Director, may
request the President or, in tl�e Presidents absence, ti�e
Vice-President, to convene a meeting of the Executive Com- .
mittee to act in an einergency situation, or for authorization
to poll Executive Commi�tee members by telephone for this
purpose.
� 3. Three Executive Comm�ttee members shall constitute a quorum
for conduct of Executive �ornmittee business. An effort ' �
shall be made to contact all Cxecutive Committee members in .
telephone polls in the time available. An affirmative vote
of not less than three Executive Committee members is required
� for any Executive Committee action.

� be kept by the Secretary, who shall arrange with the Center
Administrative Secretary for prompt duplication and distrib-

Director. Such minutes shall describe briefly and clearly
each emergency situation dealt with and Executive Committee
action on the same.

Emergency situations dealt with by the Executive Committee by

1 . Recorded by the person conducting the telephone poll .
2. Shall indicate who authorized the telephone poll .
3. Shall describe briefly and clearly each emergency on wi�ich
the Executive Committee was asked to act.
4. List by name Executive Committee members contacted by tele-
phone and on what date or dates.
5. The vote for or against affirmative action by each Executive
� Conm�ittee member contacted. Such record shall be si�ned by
� the person preparing the same, viho shall arrange for prornpt
� duplication and distribution of the record to all Qoard mem-
� ' bers and the Executive Director.
SECTION 3. OTHER COMMITTEES
Other committees not having and exercising the authority of the Qo1rd
� of Directors in the management- of the corporation may be designated
by a resolution adopted by a majority of the Directors present at a .
meeting at which a quorum is r�resent. Except as otherwise provided
in such resolution, members of each committee shall be members of the
corporation.
SECTION 4. ORGANIZATION OF STANDING COMMITTEES
Chairman for each standing committee should be appointed by the Qoard
and from the Qoard, to serve only until the first official conm�ittee
. meeting and election of a Chairman by the membership of the committee.
At the first official committee meeting, the Chairman appointed by . '
the Qoard, will preside. An elect`ion shall be I�eld, and a Chairman
(and any other officers desired) shall be elected by the members. The
Board appointed Chairman will give up the chair to the new Chairman,
and will certify the election and its results to the Qoard. The Qoard
member remains as a member of the cornmittee, receives copies of the
committe� meeting's minutes, and reports these each month to the Qoard
� , according to the regular agenda for committee reports and may serve as

• SECTION 5. UQ ORUM
Unless otherwise provided in the resolution of the Board of Directors
� designation a committee, a majority of the whole committee shall con-
stitute a quorum and the act of a majority of the members present at
a meeting at which a quorum is present shall be the act of the comrnittee.
SECTION 6. RULES
Each committee may adopt rules for its own government not inconsistent
with these By-Laws or with rules adopted, by the Board of Directors.
�SECTION 7. ADVISORY COMMITTEE
r� An Advisory Comrnittee consisting of both Indians and non-Indians will be
� sd �y established by the Board of Directors. This committee will advise the
� �� � Roard and/or staff on such matters, among others as Personnel Policies ,
�'� � ��'S� fund raising, administration, financial matters, publicity, proyram,
�{� ,� leadership development, personal services, and election procedures. This
R� committee shall serve until the Qoard decides otherwise. The Chairrnan

ARTICLE VII '
� CONTRACTS, CHECKS, DEPOSITS AND GIFTS

SECTION 1 . CONTRACTS
The Board of Directors may authorize any officers, agent or agents of
the Center, in addition to the officers so authorized by these Qy-Laws,
to enter,,into any contract or execute and deliver any instrument in the
name of and on behalf of the Center and authority may be general or con-
fined to specific �instances. �
SECTION 2. CHECKS
Al1 checks, drafts, or other orders for the payment of money notes or
other evidences of indebtedness issued in the name of the Center, shall
be signed by either the President, or the Treasurer and other agents
desic�nated by the Board.

SECTION 3. DEPOSITS
All funds of the Center shall be deposited from time to time to the
credit o` the Center is such banks, trust companies or other deposit-

ories as the Board of Directors may select or approve.

The Board of Directors may authorize an.y officer or officers, agent
� or agents of the Center, to accept on behalf of the Center any con-
tribution, gift, bequest or devise for the general purposes or for
any speGial purpose of the Center.
� ARTICLE VIII
;� DOOKS AND P.ECORDS
The Center shall keep correct and complete books and records of account
and shall also keep minutes of the proceeding of its rnember, aoard of .
Directors, and shall keep at the principal office a record giving the
• names and addresses of the members entitled to vote. All financial
records of the Center will be open to audit to individuals and organi-
zations approved by the Qoard of Directors.
SECTION 1 . BOARD P1INUTES
All Board of Directors minutes of official meetings shall be reduced
to typed transcript and signed by the recording secretary and duly
notarized.
i SECTION 2. PUaLIC POLICY REQUIREMENTS
That all of the books and records of the Center shall conform to and
be subjected to the policy requirements of Health, Education, and Wel-
• fare, Office of Human Development, Native American Programs as to con-
fidentiality as per chapter 1336.53 and all other access to information
regulations of the state and federal statutes.
ARTICLE IX
AP1ENDMENTS TO THE BY-LAWS
These By-Laws may be altered, amended or repealed and new By-Laws may
be adopted by a majority of the Directors present at any regular meet-
� ing or at any special meeting, provided that at least fifteen (15) days
written notice is given of intentjon and reason to alter, amend or re-
peal , or to adopt new By-Laws at such meeting.

SECTION 1 . STAFF APPOINTMENTS
The Governing Qoard shall appoint the Executive Director of the St.
Paul American Indian Center after advice from the Personnel Gonmittee.
The Executive Director shall make all other staff appointments, within
. the established and approved Personnel ,Policies and Procedures Manual ,
� except that the Governing Board shall appoint Project Directors on
the recommendation of the Executive Director.
SECTION 2. TERP1INATION OF STAFF
� The Qoard of Directors by a majority vote may terminate the employment .
of any staff inember.
SECTION 3. CONFLICT OF INTEREST
No Board Member or employee of the St. Paul American Indian Center, or
individual participating in any Center Program or Project, shall use
his/her position for a purpose that is , or qives the appearance of
being motivated by a desire for private gain for himself/herself, or
others, particularly those with whom he/she has family, business or
( other ties.
SECTION 4. NEPOTISM
The St. Paul American Indian Center shall not hire, or permit the hiring
of, any individual who is a member of the immediate family (wife, husband,
son, daughter, mother, father, sister, brother, first cousin, or other
legal dependent) of a member of the Board or of an employee who serves
in administrative capacity, with responsibility for selection, hiring, or
supervising the incumbent of the position to be filled.
A. In electing Board Members and in filling Qoard P4embers
positions. .
B. In employment of staff, but will not affect either present
Board members or present staff.

I have examined the balance sheet of St . Paul American Indian
Center , Inc. as of December 31 , 1987 , and the related state-
ments of support , revenue and expense and changes in fund
balance and cash balance for the year then ended. Except as
set forth in the following paragraph, my examinatic,n was made
in accordance with generally accepted auditing standards and
accordingly, included such tests of the accounting recc,rds
and such other auditing procedures as I considered necessary
in the circumstances .
The Organization did not complete the recording of all their
transactions for the year . Further, much of the documentation
supporting evidence of revenue and expense transactions is no
longer available. I was unable to satisfy myself as to the
completeness of the evidential matter by means of other ac-
� counting procedures .
Since the organization had incomplete records and insufficient
documentation and I was unable to apply adequate alternative
procedures regarding their books of record as noted in the

Note 1 Summary_of_Significant_Accounting_Policies
Purpose_of Organization - The St . Paul American Indian Center
was established in 1968 . It is a human service agency serving
the entire St . Paul American Indian community plus the general

The purpose of thF St . �aul American Indian Center is to: pro-
mote fellowship and unity among urban Indian people ; preserve
setting; promote understanding between the general community
and Indian people; and to aid in the empowerment and advance-
ment of Indian people especially in the areas of health and
education .
Accounting - The accc�unts of the Organizatic�n are maintained
in accordance with principles of fund accounting, a procEdure
in which resources for various purposes are classified fc�r ac-
counting and reporting reasons into funds according to their
nature and purpose. Separate accounts are maintained for each
fund .
Income Taxes - The Organization is exempt from income taxes
under Section 501 (c) (3) of the Internal Revenue Code. Ac-
cordingly, no provision for income taxes is shown .
Eguipment - Past equipment acquisitions have been charged off
to operations in the year acquired . This method is not in
accordance with generally accepted accounting principles .
Because of this and the fact that the Organization currently
leases their office space, copier and phone system - the
Property and Equipment Fund has no activity.
Functional Allocation_of_Expenses - Expenses which are directly
identifiable by program or supporting service are allocated
thereto . Other functional expenses are allocated on the best
estimates of management .

Note 2 Prior_Period_Ad�ustment
The 1987 audit revealed $30 , 321 of back taxes , penalties and
interest from periods prior to 1987 . These amounts have been
entered by a prior period adjustment of the beginning fund
balance.
Note 3 Operating_Leases
Aggregate rentals under operating leases for the year ended
December 31 , 1987, amounted to $5 , 169 . At December 31 , 1987 ,
the aggregate future minimum rentals on operating leases were
as follows :
