RESOLUTION APPROVING APPLICATION OF
ST. PAUL STAMP WORKS, INC. FOR CLASSIFICATION
OF PROPERTY LOCATED IN THE SAINT PAUL
RIVERFRONT ENTERPRISE ZONE AS CLASS 4d
EMPLOYMENT PROPERTY
WHEREAS, St. Paul Stamp Works, Inc. (the "Company") filed with the City Clerk an Ap-
plication for classification of its property located north of Empire Drive in Empire
Builder Industrial Park as Employment Property pursuant to Minnesota Statutes Section
273. 1313 and the Saint Paul Riverfront Enterprise Zone Program (the "Program"); and
WHEREAS, the new investment, tax classification, and State tax credits as set forth
in detail in the October 19, 1988 Staff Report will result in the creation of 8 new posi-
tions in Saint Paul with the construction of a new 20,950 square foot manufacturing
facility for St. Paul Stamp Works, Inc. ; and
WHEREAS, there has been presented to and considered at this meeting a Particlpation
Agreement between the City and the Company whereby the Company covenants respecting the
completion of property improvements; and
WHEREAS, the Port Authority of the City of Saint Paul has received authorizatton from
the Department of Trade and Economic Development to utilize an alternative local contribu-
tion of infrastructure improvements in lieu of local property tax reduction; and
WHEREAS, the City Clerk duly published on October 15, 1988, in the Saint Paul Legal
Ledger, the official newspaper for the City a notice of public hearing before the City
Council upon the Company's Application; and
WHEREAS, District 6 and 7 Planning Councils have reviewed and recommended approval of
the Applicatlon; and

WHEREAS, the City Council conducted a public hearing on November 17, 1988, upon the
Application at which hearing opportunity was provided for the Applicant, the County Asses-
sor, representatives of affected taxing authorities and any taxpayer of the City or member
of the public to present their views orally or in writing at or before the hearing, and
having duly considered the testimony and written views presented at the hearing and the
Application, staff report and draft Participation Agreement; now therefore, be it
RESOLVED by the Council of the City of Saint Paul that it hereby determines that the
Application of St. Paul Stamp Works, Inc., the property improvements, retained and new
Jobs and tax benefits proposed meet the ob,jectives of the Saint Paul Riverfront Enterprise
Zone Program.
RESOLVED FURTHER that the City Council additionally finds and determines that the
construction of the new facility ( I ) is reasonably likely to create new employment in the
City; (2) will not have the effect of transferring existing employment from one or more
other cities within Minnesota; (3) will result in an increase in market value ot the
employment property of $800,000 which is .0115� of the market value of all taxable
property in Saint Paul ; and (4) will not result in the reduction of the assessed value of
existing property within the City owned by Applicant.
RESOLVED FURTHER that the Application and employment property reclassification
thereby proposed is hereby approved and the City Clerk is directed to transmlt the Ap-
plication together with a certified copy of this resolution to the Commissioner of Trade
and Economic Development for consideration and final approval .
RESOLVED FURTHER that the Participation Agreement between the City and the Applicant
is hereby approved, and the proper City officers are authorized to sign the same on behalf
of the City, and upon its signature by the Applicant to transmit Attachment C of said
Agreement to the Commissioner of Trade and Economic Development for signature by the Com-
missioner or designee upon final approval of the Applicatton.

SUBJECT: ENTERPRISE ZONE CREDITS
ST. PAUL STAMP WORKS, INC.
Dear Ken:
We submit herewith for your review and referral to the office ot the
Mayor, City Council and City Attorney's Office details pertaining to the
issuance of Enterprise Zone Credits to St. Paul Stamp Works, Inc. The
credits will be in the form of $160,000 in State income tax credits made
up of $24,000 in employee credits and $136,000 in debt service credits.
Local contribution in the amount of $101,547 has been approved by the
State in the form of infrastructure improvements in Empire Builder In-
dustrial Park.
Enterprise Zone credits will be used as an incentive for St. Paul Stamp
Works, Inc. to construct a new 20,950 square foot manufacturing faciltty
in Empire Builder Industrial Park. The company presently has 37 full-
time empioyees and will create 8 new positions within three years of the
completion of the proJect.
In addition to the staff report, we are attaching the Participation
Agreement and a draft copy of the proposed City Council resolution which
authorizes the execution of the Participation Agreement and the submit-
tal of the proposal to the Department of Trade and Economic Development.

STAFF REPORT
RE: ST. PAUL STAMP WORKS
ENTERPRISE ZONE APPLICATION
A. PROPOSED EMPLOYMENT PROPERTY
St. Paul Stamp ��Vorks, inc. proposes that approximately 93,549 square feet
or approximately 2. 15 acres of land leased from the Port Authority of the City
of Saint Paul in the Empire Builder Industrial Park be determined eligtble for
reclassification as employment property through the City's Riverfront En-
terprise Zone Program. The property will not be formally reclassified for tax
purposes as an aiternative contribution of infrastructure improvements is
being provided in lieu of local property tax reduction. This aiternative con-
tribution has been approved by the Minnesota Department of Energy and Economic
Development. The property description is attached. This property is iden-
tified by the Ramsey County Tax Department through the property identification
number 31-29-22-22-0087.
This property was formerly owned by the Burlington Northern as part ot its
Jackson Street Shops complex.
B. IMPROVEMENTS AND PROPOSED USE
St. Paui Stamp Works is one of the largest manufacfiurers of marking and
identification products in the country. These products include custom hand
stamps for improving paper fiow, decorative trim, nameplates and labels for
identifying products and maktng equipment for stamping variable informatlon on
customer parts. '
St. Paul Stamp Works will construct a 21,000 square foot production
facility in Empire Builder Industrial Park. The new facility will be financed
with Port Authority tax exempt industrial revenue bonds of $935,000 with total
new investment estimated at $1,253,000.
C. PROJECTED INCREASED MARKET VALUE
The market value will increase by the amount of the improvements pius the
tand value as the property has not generated any taxes being owned by the Port
Authority. The development will result in an estimated market value of
$800,000 which is .0115 of the market value of all taxable property in Saint
Paul .

D. RETAINED AND NEW JOBS
The companies have 37 full-tlme employees who will be retained in Saint
Paul with construction of the new facility. in addition, the companies es-
timate they will hire at least 8 new employees within the next three years.
The company has entered into a City of Saint Paul Employment and Training Par-
ticipation Agreement and anticipates recruiting from the immediate neigh-
borhood.
E. DRAFT PARTICIPATION AGREEMENT
A draft Participation Agreement has been negotiated with the following tax
benefits:

State New Employee Credits 24,000
State Debt Financing Credits 136,000 136,000
Alternative local contribution is $101,546.65 based on $47,231 per acre of
Port Authority site improvements. The contributton has had prior approval
from the Department of Trade and Economic Development.
This represents a private-to-public ratio of approximately $7.83 private
per $i public tax reduction or credit. It also represents one new job per
$20,000 tax credits.
F. COUNCIL FINDINGS
St. Paul Stamp Works, Inc. 's applicatlon proposes to create up to 8 new
jobs, none of which would be a transfer from another Minnesota municipality.
The proposal will not result in the abandonment or demolition of other
property owned by the applicant in Saint Paul causing reduction of the as-
sessed value of existing property within the City.
G. RECOMMENDATION
The staff of the Port Authority of the City of Saint Paul recommends the
City Council approve the attached Participation Agreement for St. Paul Stamp
Works, Inc. as drafted. Staff further recommends the City Council determine
that the proJect is eligible for empioyment property reciassification and that •
Attachment C of the Participation Agreement be forwarded to the Commissioner
of Trade and Economic Development.

The type and amount of exemption and credits shall be those as certified by the
Commissioner of Energy and Economic Development. If there is variance between
this section and the Commissioner's Certification, the latter will control
(Attachment C).
Subject to compliance with this Agreement, to the provisions of Minnesota
Statutes 1984, Section 273.1312 to 273.1314 inclusive, and such regulations as
nnay be adopted by the Department of Revenue or of Energy and Economic Development
(the "Act"), and upon filing proper tax returns and schedules, the participating
business is eligible for credits as appropriate against Minnesota income tax and
property tax liabilities for the tax years 19 $$ through 19 91 .
8. COVENANTS BY PARTICIPATING BUSINESS:
In making application for enterprise zone credits, the participating bu'siness
has represented and hereby covenants, for itself and its successors or assigns,
(the "Participating Business"):
(a) that (it) (XXXk�� will submit construction plans and evidence of financing
and will commence, diligently pursue and timely complete improvements to the
property described in Section 5 above in the dollar amount and as specified
in the "Property Improvement Schedule" annexed hereto as Attachment "A".

(b) that (it) (XXX��) will recruit, employ and train new employees resident in
the economic hardship area designated in the Riverfront Fnterprise Zone
Program, or persons who are unemployed and economically disadvantaged or of
a protected class in accordance with the provisions of the "EMPLOYMENT AND
TRAINING SCHEDULE" annexed hereto as Attachment "B", and that the minimum
number of new employees shall be as follows:

of the covenants set forth in Section 8(a) and (b) herein, and permit access
to said records by accredited representatives of the Minnesota Commissioner
of Revenue, Ramsey County Tax Department and Saint Paul Port Authority; that
(it) (XXx��) will report quarterly to the Division of Job Creation and
Training the number of hires covered by this Agreement; and that upon
request and at least annually (it) (XXX�qe� will report to the Saint Paul
Port Authority on forms provided by the Saint Paul Port Authority on
construction completion, new hires and other direct or indirect economic
activity resulting from its facility operations in the Riverfront Enterprise
Zone.
(d) that (it) (xXX� will promptly and satisfactorily perform each covenant
herein undertaken and each other requirement of the Act, the Program or of
this Agreement imposed as a condition of the approval of the application for
and grants of tax credits and designation of property classification.
9. REVOCATION
The Council may revoke an alternative local contribution and may request the
Commissioner of Revenue to approve the revocation of a classification pursuant
to the Act if. it finds and determines by resolution, after hearing upon notice
mailed to the applicant by certified mail at least 60 days before the hearin�,
that
(a) The construction or improvement of the Participating Business' property and
operating facility has not been completed within two years after the
approval of the classification, or any longer period as may be provided in
Section 8(a) hereof;

(b) The Participating Business has not proceeded in good faith with the
construction or improvement of the facility, or with its operation, in a
manner which is consistent with the purpose of the Act, the representations
of the application, or the covenants of this Agreement; or
(c) The Participating Business has misrepresented a material statement contained
in its application for tax credit has failed to perform any express covenant
of this Agreement or is not in continuing compliance with requirements or
conditions for approval or grant of an alternative local contribution, state
tax reductions or credits under the Act, the Program or this Agreement.
REVOCATION OF AN ALTERNATIVE LOCAL CONTRIBUTION OR OF AN EMPLOYMENT PROPERTY
CLASSIFICATION 3HALL TERMINATE STATE TAX EXEMPTIONS, CREDITS AND REDUCTIONS.
The City Council may impose or request imposition of a remedy other than
revocation, including withholding, of eligibility certifications for credits,
exemptions or reductions, or institution of suit for specific performance or
other remedy in law or equity. No failure of the City to exercise or make
selection of a particular remedy for breach of this Agreement by the
Participating Business shall be deemed a waiver of its rights to enforce
performance by the Participating Business of its obligations under the Act or
this Agreement by any remedy available to the City in law.
10. RECAPTURE _
In the event the Participating Business ceases to operate its facility in the
Riverfront Enterprise Zone within two years after the expiration of tax
reductions under the Act and this Agreement, the Participating Business
covenants and agrees that it shall repay the amount of tax reductions and of the
local contribution pursuant to the following schedule:

Less than 6 months after expiration of tax reductions 100 percent
6 months 75 percent
12 months or more, but less than 18 months 50 percent
18 months or more, but less than 24 months 25 percent
The repayment shall be immediately due upon such cessation of operation of its
zone facility, payable to the State of Minnesota to the extent it represents an
income tax credit or reduction and payable to the City to the extent it
represents a property tax reduction or other local contribution.

12. EFFECTIVE DATE
This Agreement has been accepted and executed on behalf of the Participating
Business by the afficers whose titles and signatures appear in Section 3, above
The Application and Agreement have been approved by action of the Saint Paul
City Council as recited in Section 2 above, and is executed on behalf of the
City of Saint Paul by the officers whose titles and signatures appear below.
This Agreement shall be effective upon its execution in Section 2 above and its
delivery to the City of Saint Paul by the Minnesota Commissioner of Revenue or
his authorized designee.

I. GENERAL
A. The Ciry desires to increase employment opportunities for unemptoyed, economically disadvantaged City residents participating
in the comprehensive employment and training services provided through the Saint Paul Employment and Training Cerrter.
B. DevelopedEmployer agrees to use the Ciry as its primary source for recruitment, training, referral, and placement of new or
replacement employees in accordance with the terms of this Agreement. �
C. The Ciry's delegate agency will be the Job Creation and Training (JG"T) Section in the Department of Planning and Economic
Development, Saint Paul, Minnesota, or any other appropriate City agency as may be designated by the Mayor.
D. This Agreement becomes effective upon the date hereof and shall continue for five years from the time Employer/Developer
occupies any developed facilities unless othervvise specified as provided herein or until the job creation goals as described in
the Estimated Hiring Schedule (Attachment B) are fullfilled.
E. This Agreement shall be applicable to all Developer/Employer new or replacement entry level positions for which unemployed,
economically disadvantaged persons might reasonably be available. This Agreement shall not apply to thase jobs covered by
existing collective bargaining agreements or other DevelopedEmployer Agreements, where the terms of this Agreement would
cause Developer/Employer to breach the provisions of such agreements.
F. The Developer/Employer shall incorporate this agreement in each lease and sale agreement for space, if any, developed with
public assistance, provided by or through the Ciy of Saint Paul in a manner in which the space so leased or sold and the -
lessee or purchaser thereof shall bear a proportional share of the job placement to be accomplished under this agreement. _ ___
II. RECRUITMENT -
A. The employment positions covered by this Agreement include all DevelopedEmployer job openings in the ctassifications, tides
and qualifications contained in Attachment B.
B. The Developer/Employer will notify Job Creation of its need for new employees in covered positions as soon as the
Developer/Employer decides to hire such employees or, if possible, fifteen {15) working days prior to the expected hiring dates.
Notification will include the information in Attachment A.
C. The DevelopedEmployer will provide Job Creation with its best estimate of the number and timing of potential job openings
through use of the form provided in Attachment B.
D. The Developer/Employer may notify Job Creation of any vacancies not covered by this Agreement. Atthough the
Developer/Employer is not obligated to hire employees from Job Creation referrals, they must consider such individuals for hire
in good faith. '
E. Job openings which.are filled by internal promotions from the Developer/Employer's existing work force are not covered by this
Agreement. - --- =.-_
II1. REFERRAL
A. Job Creation will refer applicants according to the qualifications requested by Developer/Employer.
B. If training for specific jobs has been agreed upon between the Ciry and Developer/Employer in a separate agreement under
Section V, hereof, trainee applicants will be considered qualified only when the training is successfully completed by applicant.
C. Deve�oper/Employer reserves the right to make all decisions on hiring new or additional employees, including the qualifications
of applicants, but agrees to hire for covered positions from among those pe�sons referred by Job Creation who meet the job
descriptions and qualifications or other pe�sons certified as eligible.
D. The Job Creation and Training Section will coordinate its referral and placement efforts with the Minnesota Job Service.
Referrals and placements from either organization will apply toward the total hiring goal stated herein.

IV. PLACEMENT
A. When Developer/Employer notifies Job Creation of job openings in covered positions prior to fifteen (15) working days in
advance of the proposed date to hire, Job Creation will notity the Employer five (5) working days prior to the application
submission date of the numbe�of applicants Job Creation will refer.
B. If Job Creation cannot refer the tatal number of qualified persons, the Job Creation and Training Section will notify the
DevelopeNEmployer who may fill the remaining positions by any means.
C. Job Creation will: a) provide assistance and monitor job retention of employees placed under this agreement for six months,
and b) monitor Developer/Employer's performance under this Agreement. DevelopedEmployer will submit Quarterly Hiring
Summaries in the form attached as Attachment C.
D. After the Developer/Emplo�ner has hired an applicant referred by Job Creation, Job Creation will not be responsible for the
employee's conduct and the Developer/Employer releases the City from any liabiliry for the actions of such employees.
V. TRAINING
A. Job Creation and the DevelopedEmployer may agree in a separate agreement to develop training programs including:

INSTRUCTIONS
If you wish to claim the enterprise zone credit, you must complete Part 1 of
this form and have a representative of the enterprise zone city fill in Part 2
to show the amount of credit the city will allow. The representative and an
elected official must also certify that the information is correct by signing at
the bottom of the form.
After the information has been certified by the city, it must be sent to the
Department of Trade and Economic Development for approval. Mail the form to:
Minnesota Department of Trade and Economic Development
Community Development Division

After the form has been approved by the Departa►ent of Trade and Economic
Development, the Department will notify the Enterprise Zone City of approval.
Note: If you stop operations in the enterprise zone within two years after you
claim these credits, you will have to repay all or part of these credits.
This form should be filed with your county auditor if local property tax
reductions (4D property reclassification) or state paid property tax credits aYe
requested. If the city has allowed you a credit for property tax payable on
line 6 (or line 7 for border city zones) , you must file this approved form with
your county auditor to receive credit on your property tax statement.
