WHEREAS, on January 6, 1987 the St. Paul City Council established a Community Festival Loan Fund and Grant Program, administered by the Division of Parks and Recreation, for the purpose of � assisting neighborhood festivals with expenses, startup costs and insurance coverage; and - WHEREAS, the St. Paul City Council has approved rules and regulations to ensure the fair�and equitable distribution of the funds; and WHEREAS, the MPCC has applied for a grant in accordance with these rules and regulations. NOW THEREFORE, the parties agree as follows: 1. The Council has representation from residents, businesses, human services, schools, religious institutions, and other civic organizations. The Council seeks to give a voice to the Merriam Park community in decision-making processes at all levels of government. The Merriam Park Council was incorporated in 1968 - making it one of the oldest neighborhood organizations in the Twin Cities. Its roots l.ie in the homeowner-association "movement" found in the United States after World War II. Enclaves of activists existed in Merriam Park in the 1930's. The community has a long, strong history of involvement in its own development. . ������ Project Description Nineteen eighty-eight marks the 20th Anniversary of the formalization of the Merriam Park Community Ceuncil. This is a significant threshold for a valunteer citizen-rnn organization to reach. The Merriam Park Council has truly "co:�e of age". The 20th Anniversary Project is designed to do three things: - reflect where we have been, historically, - reflect who we are today, and• - invite the wider community to join in planning for , and being active in, our future. The purposes of the 20th Anniversary Project are: - to heighten awareness in the Merriam Park Community of the Community Council. We want more people to know who we are, what we do, and how they can become involved. - to build community identity and pride by showing community members the stages and accomplishments of their organization. - to celebrate together the things that make Merriam Park a vital, desirable place to live and work. - to enhance the future by strengthening the community's commitment to work together for the common good. The 20th Anniversary 8roject includes several events, which are still in the process of being planned. One event - The Puppet and Mask Pageant - is the reason for this request to the Community Festival Fund. Listed below are the events still being planned. Detailed for your review is the plan for the Pageant: Events Being Planned - Merriam Park Community Council History Project. With pictures and narrative, the story of the Council's development will be exhibited at the Merriam Park Community Center during the month of October (the month of our Annual Meeting) . Included will be information about current activities and a "pitch" for involvement. - Arts and Craft Fair. While events are taking place in Merriam Park on October 1, local artisans can exhibit and sell their work. - Performance in the Park. A local band will play old-time music, and a clog-dancing troupe will join them for part of the time. - The sale of food and T-Shirts will be a "grass-roots fundraising" effort during the events in Merriam Park. �-�����' - Sporting events are a possibility�- but not much planning has been done in this area yet. The Pageant In The Heart Of The Beast puppet and Mask Theatre is a community- sensitive professional art group working in the Twin Cities. I.T.H.O.T.B. is experienced in organizing and producing community-based events. They will provide a month-long "residency" in September which will include: - one or two meetings with interested community members to determine the theme for a Puppet and Mask Pageant. - several (up to eight) workshop sessions to teach children, parents, and other interested community members how to create the masks they will use in the Pageant. (The masks can then be saved for Halloween, etc.) . - rehearsals (up to four) of the content of the Pageant - which will be created by I.N.T.H.O.T.B. in conjunction with community members, to tell the "story" of the Merriam Park Community. The Pageant will include a community parade of about a half-hour duration, followed by a performance of the Merriam Park Community "story" of about a half-hour duration. Local talent from Merriam Park will be sought and used wherever possible. I.T.H.O.T.B. has a Minnesota State Arts Board Grant that can be used to match, by about one-half, the cost of this plan. If the ' Merriam Park Community Council receives funding from the Community Festival Fund, we will also approach Longfellow School, St. Mark's School, and local churches for in-kind support in the form of free use of their space, janitorial help, adult supervision, and some supplies for the creation of masks and rehearsals. The following brief budget outlines only the costs of the Puppet and Mask Pageant. More detail can be supplied during your review process. Section 1 . The name of the corporation shall be Merriam Parlc Community Council, Inc. , hereinafter referred to in these By-Laws as the "Council. " • ARTICLE II . AREA SERVED. . Section 1. ARTICLE III. MEMBERSHIP. Section 1. Classes of Members. The Council shall have five classes of members, consisting of the following: A. Organizational Members. Organizational Members shall be those persons designated as delegates to the Council by a regularly established religious, civic, educational, political, buainess or service organizatian serving the community, and standing committee chaic- persons. An Organizational Member need not be a resident af Nterriam Park. Each organization is allowed only one vote. B. Resident Membe�s. Resident Members shall be those persons of the - Council who are residents of the community and who fulfill the . reyuirements in Article III, Section 2, A-2. Each Resident Member is allowed one alternate, but only one vote. C. Contributinq Resident Members. Contributing Resident Members shall be those persons who are residents of the community and who fulfill the requirements in Acticle III, Section 2, A-3. D. Provisional Members. Pecsons who have initiated the process of petitioninq for recognition as the Reaident Member Eor an open seat shall be seated on the Council on a provisional basis with full vating riqhts upon submission of fifteen (I5) gualified signatures. � Provisional Deleyates shall be seated for a six (6) month period at the end of which they must, in order to remain seated on the Council, submit a petition which meets the full requirements of Article III, Section 2, A-2. Each application for membership shall be submitted, in wcitinq, to the Secretary, shall be signed by the applicant, and shall contain ttie name, address and telephone number of the applicant. All ap��iications for membership shall be referred to the MembershiF� Committee, as �jefined in Article XIII , Section 3. A-1. Organizational Members. If the applicati<�n is for Orqanizational Membership in the Cvuncii, the application shali also contain the name of the �ryanization the applicant intends to represent. In addition, there shall be attached to the application a certification of represen- tatic�n siqned by a duly authorized officer of such arganization stating that the appiica�t has been delegated to represent that organization on the Council. A-2. Resident Members. Resident Members are seated after presenting a valid petition containinq the signatures of residents within a specified a�ea of the community. The Resident Membec must reside within the area he or she petitions for . There shall be a maximum of three (3) represen- tatives from each desiqnated area. With twenty (20) days written notice the Council, by absolute majority vote at a regular meeting, shall specify the number c�f siynatures required and the boundaries of the desiqnated area. A-3. Contributinq Resident Members. Contributinq Resident Members are th�se members of the community who have provided some financial support to the Merriam Park Cc�mmunity Council to further the goals of the community and the Council . Contributinq Resident Members do not have votinq riyhts on the Council unless they fulfill all reyuirements of Article I1I , Sectian 2, A-2, B. Approval of New Members. Application for membership in the Council may be approved at any re��ular or s�ecial meetiny of the membership. Section 3. Transfer of Membership. An organization represented in the Council by an ()rganizational Member may terminate the membership of such member by qiving written notice to 'r` the Secretary. B. Any member may terminate membership in the Council by giving wcitten notice to the Secretary. C. Notwithstanding anything to the contrary herein contained, a member who is an officer of the Council, and whose membecship is terminated by the revocation of their appointment as a representative of an orqanization, shall be entitled to remain a member of the Council and to remain in office for the balance of that term of office, without authority to vote, since the orqanization is entitled to another reprQSentative. ARTICLE IV. OFFICERS Section 1 . Number . The officers of the Council shall consist of a president, two Vice-Presidents, a Secretary, and a Treasurer. Section 2. Qualifications. The officers of the Council shall be lnembers in good standinq. Section 3. Term of Office. The term of office for each officer shall be one (1) year . No officer shall serve more than two (2y cc�nsecutive terms in the same ofEice. !�RTICLE V. POWERS AND DUTIES OF OFFICERS. Section 1 . President. The President shall be the chief executive officer of the Council, shall preside over all meetings of the membership and of the Executive Committee, shall have the qeneral power and duties of supervision and management usuaily vested in the office of the Pcesident of a corporation, and shall serve as ex-officio member of all standinq arcl special committees of the Council. The President shail be empowered to �ppoint any person who, in his judgement, is knowledgeable in the forms of parlimentary procedure� to advise him on any parlimentary yuestions upon which he may wish to seek advice. The Pcesident's ruling shall be final. The President shall delegate tu either of the VicA-Presidents the task of orientinq new Resident and Organizational Delegates to their positions. There shall be two Vice-Presidents, a First Vice-President and a Second Vice Presidpnt who shall , in order �f succession, perfc�rm the duties and exercise the powers of the Presi�ont. or in the event of the President's inability oc refusal to act. Tt,e Vice-Presidents shall perform such other duties assiqned by the President, o� the Executive Committee, c>r by the membership. Section 3. Secretacy. The Secretary shall attend all meptings of the membership and the t:xecutive Committee, and shall preserve in the . books of the Councit true minutes of the proceedinqs of all s�ch meetings meetinys. The Secretary shall safely keep in custcxly the sPal of the Council, if one is hereafter adopted, and shall have authority to affix the same to all instt;!ments where its use is required and duly authorized in accordance with the pr.ovisions of the law and of these By-Laws. The Secretary shall keep a register of the post office address of each member which shall be furnished to the Secretary by such member, and in qeneral perform all duties as may be delegated by these E3y-Laws, by the membership, and by the Executive Committee. Section 4. Treasurer . The Treasurer shall have the care and custody of thp Council funds and securities and shall keep in books bel<.�nyinq to the Council full and accurate accounts of all recei��ts and disbursements, and deposit all monies, securities and other valuable effects in the �ame of the Council in such depositocies as may be designated f�r that purpose by the membership. The Treasurer shall disburse the funds vf the Council as may be ordered by the membership, taking proper vouchers or receipts for such disbursements, and render to the Executive Committee and the membership at the regular meetings of the same, or whenever requested by them, a repoct and an accountinq of all transactions as the Treasurer , and of the financial condition of the Council. If required by the membership, the Treasurer shall deliver to the Pcesident of the Council , and shall keep in force, a bond in form, amount and with a surety of sureties satisfactory to the membership, conditioned for the faithful perfocmance of the duties of the office, and for restoration to office, oE all books, papers, vouchers, ceceipts, money and property of whatevec kind belonging to the Council. The Treasurer shall furnish � an annual financial report to the membership at the Annual Meetinq. _ t3efore the Annual Meetinq of the membership, the Treasurer's records shall be audited by a committee of at least threc� �3) persons, who need not be members of the Council, who shall be appointed by the President with the approval of a majority of the members �resent at any regular or special meeting of the membership. Section 5. Fillinq of Vacancies. In the event c>f a vacancy in any office occurring for any reason ahatsoever, the members shall elect a member of the Council qualified to hold such office tc� fill each vacancy. The term of any officer so elected shall be the unexpired portion oE the term of the officer who vacated the office. ARTICLE VI. ELECTION OF OFFICER5. Section 1. Election and Taking Office. Nominating Pcocedure. At least sixty t60) days E�rior to the Annual Meeting, a maj�rity of the members present at a meetiny af the membership shall elect two (2) members to serve on a Numinatinq Cc:nmittee, with a thicd member appointed by the President. This committee shall present a full slate of names f�r the officers to be elected by the membership at the Annual Meetihy. Uther nominations for office may be presented from the floor at the meeting. Any member nominated must be in y�x�c! standing and must yive consent to be nominated foc such c�f f ice. . . Section 3. Method of Voting. Votinq shall be by a secret ballat. and ��nly members in good standiny who are present at the meetiny shall be yualified to vote. The President shall apEx�int, with the a�praval of a majority of the members present , at least two (2) members c�f the Council, who are not nc�minees fc�r office, as tellecs f��r the electit�n to receive and canvass the vote. Section 4. Results. The nominee receivinq the maj�rity of the votes cast shall be declared elected. If none of the n��minees for a particulac c�ffice receive a majority �f the vokes cast, then an election shall be held in the manner provided in Section 3, above, between the two l2} nominees rece iv i ny the most v��tes for that c�f f ice. ARTICLE VII. EXECUTIVE COMMITTEE. Section 1 . Members. The Executive Committee shall consist of the duly elected officers and immediate Past President, Standing Committee Chairpers�ns� and any additional members that m�y be elected by the Council. Section 2. Meetinys. The Gxecutive Cammittee shall provide by resolution the time and place fc�r holdinq of ceyular meetings. Nu other natice than .such resc�lutic�n shall be required for such meetings. Any officer may direct the Secretary to call a special meecinq of the 'Executive Committee and may designate the time and place for the holdinq of such a special meetinq. There shall be an Executive Committee meeting called by the President within thirty (30) days of the fillinq of vacancy of the office of President . Section 3. Notice. Neither the business to be conducted nur the purpose of any regular or special meetinq of the Executive Committee need be specified in the notice of the speical meetinq, unless specifically required by law or by these By-Laws. Section 4. Quocum. The majority of the Exec�tive Committee shail constitute a quorum for the transaction of business at any meeting of the Executive Committee. Section 5. Manner oE Actiny. The act of the majority of. the Executive Committee pcesent at a meeting at which a yuc�cum is present shall be the � act of the Executive Committee, unless the act c3f a qreater number is requiced by law or by these E3y-Laws. Section 6. Action by a Unanimous Written Consent. Section 7. Genecal Powers and Ju:ies. The Executive Coir.rnittee shall see that all orders and cesolut:ons of the membership are carried into effect and shall have aeneral management powers and duties customacily belonqing to such a Committee, including such E,owers and duties as may from time to time be qiven to it by the membership provided, however, in the absence of specific Council c�rders or xes�lutions, the Executive Committee shall nut represent the Council in person or in writinq before any public or private afficial or organization, or before any ' yovernmental aqency or department unless specifically authorized, in writing, by an absolute majority of the c:ouncil members in �7ood standinq. Section 8. Emergency Power . Shc�uld a situation emerye between reyular Council meetings that, in the judyement of a maj<�rity of the Executive Committee requices action prior to the next reyular Council meeting, but does not reyuire an emergency Council meetiny, the Fxecutive Committee may act on t>ehalf of the Council. Such action should take place in a special Executive Committee meetiny; however , should such a meetinq prove impractical, a telephone or mail E.>oll ce�nducted by an Ufficer is acceptable. In the case of a poll, an attemE�t must be made to contact evecy member of the Executive Committee, and the affirmative vote of a majority of the Executive Committee is required for the action to be taken. ARTICLE VIII . MEt�IDERSHIP MEETINGS AND VCYi'ItJG. Section 1 . Regular and Annual Meetings. The members shall prescribe by resolution the time and place of regular meetinqs. The cegular meeting to be heid in October of each calendar year shall be desiqnated as the Annual Meetinq. All such meetings are open to the pubiic. Section 2. Special Meetings. Special meetinqs of the members may be called by (a) the President, (b) the Executive Committee, or (c► _by seven (7� or more members. Section 3. Notice of Meetinqs. The Secretary shall qive notice to the - membership of all reqular meetings. The pecs<.�n or persons entitled to cail a special meeting shall make written reyuest to the Secretary to qive notice to the membership of the special meeting which shall be held at least tpn (10) but no more than thirty (3) days aftec the Secretary receives such a request. If the Secretary fails to give notice of the special meetiny within seven (7) days frum the day on which the request was made, the person or persons who requested this special meeting may fix the time and place of the meeting arx3 qive notice thereof to the membership in the manner provided herein. Nc�tice of all meetings of the membership shall be qiven in writing to all members entitled to v.ote at such meeting not less than five (S) nr�r more than thirty (30) days prior to such meetinq. The business to be contracted at, and the purEx�se of any special meetinq of the membecship must be specified in the notice of such special meeting. Quorum. A yuorum will consist aE une-third (l/3) of the membecship in qood sta�ding at any given time. Section 5A. Motions. Motions shall be made only by members ic: good standino, Section SEi. All motions, oth�r than procedural motions, must be presented in writing to the Council Secretary before discussion uf the motion may take place. Section 6. Voting. Each member of the Cauncil in qood standing shall have one (1) and only one (1) vote an any question presented at a meeting of the membership. The act of the majority of the members present and qualified to vote on a question f��r which a quorum is present shall be the act of the membership �n such yuestion, unless the act of a greatec number is reyuired by law ot by these By-Laws. Whenever the appr�val or vote of an "absolute Majority" �f the members is required by these ey-Laws, it shall mean a ma�ority of the total number of inembers of the Council who are in goad standinq at the time the approval is sought or the vote is taken. A. Alternates. A member sha11 appoint an Alternate Delegate and must submit the name of the Alternate to the Seccetary in writiny. Any Alternate so appointed shall have full votinq riqhts in the absence of the member . E3. Good Standing. A member shall not be in go��d standinq if delinquent in payment of dues as defined in Article IX, Section 1 , ar the member and/or Alternate have not attended three ( 3! consecutive reqular meetings. The Secretary shall notify in writing those members not in gocx3 standing prior to the next monthly meeting. C. Reinstatement. Voting �ights shall be ceinstated at the second of two �2) successive meetings attended by said member , and k�r u�.�on payment �f any delinquent dues. ARTICLE IX. DUES. The dues of all Resident Deleyates and Contributing Resident Members shall be detecmined by the Community C�>uncil on an annual basis at a reyular or special meeting by majority vote. Dues shall be payable on, or befoce, January lst of each year. Any member who is delinyuent in the payment of dues for mare than six (6) mc�nths shall not be in good standinq, and shall n<�t t>e entitled to vote on any question cominq before the membershiE>. The membershiE� fee reyuirement for Resident Deleqates may be wa►ved by the President in case of financial hardship, upc>n the request c>f a prospective Resident Delegate. ARTICLE X. RULES OF ORDER. Section 1. Robert's Rules of Order (revised) sh�ll qovern the proceedinys of all meetings, the Executive CommittPe and all other cc>mmittees except as otherwise provided in the Articles c>f Incorporation and the By-Laws of the Council. Any member may FruPn3e an amendment to these By-Laws by giving notic� thereof tn Lhe S2cretary. The ��ntents of the proposed amendment shall be included by the Secretacy in ttiw notice sent to each member , and su::h nutice shall be given to each mem�.� at least sixty (60) days in adv�nce of the reyular or special meetiny called for the �urpose of cunsiderinq such amendment. Section 2. Adoption �f Amendment. An amendment to these By-Laws may be . adoptecl or.ly by the afficmative vote of an absolute majority of the members tr. go�3 standing. ARTICLE XII . FISCAL YEAR. Sectic�n 1. The fiscal year af the Council shall begin c�n the first day of July and erxl on the last day of J�ne in each year. ARTICLE XIII. COMMITTEES. Section 1. Standing Committees. Standing Committees of the Cauncil shall be the By-Laws, Membership, Community Issues and Legislation, Planning, Housing, and Publicity Committees. Section 2. ey-Laws Committee. The ey-Laws Committee shall review all proposed By-Laws resalutions a�d make recommendations to the Council as to their passaye. TF�ry 5ya11 intecpret the meaniny c>f the Dy-Laws to the Council. Sect.ion 3. Membership Committee. The Memt>ership Committee shail review all applications for membership to the Counc►1 and make recommenda- tions to the Council. The committee shall E�eriodically review the membership of the Council and certify the m�mbership u�n request. Section 4. Community Issues and Legislation Committee. The Community Issues and Leqislation Committee ahall serve as liaison between the �Council , the community, and all forms of governmental orqanizations. Section S. Planniny Committee. The Planniny C'��mmittee shall f�rmulate lonq ranye plans to prvmote the development and stability uf the community. Section 6. Housinq Committee. The Fiousing Comm�ttee shall coordinate Council proqrams related to community hous�ny. Section 7. Publicity C�mmittee. The Publicity Cc>mmittee shall oversee the publication and ope�ation of the Merriam Park POST newspaper, and perform any other promotional and publici[y functions for the Council as directed by the President. Section 8. The President shall appc�int or remc�ve the Chairperson for each committee s�bject to the approval of the Cauncil. Section 9. At the discretion of the President, the President may create oc dissolve such tem�rary committees as deemed necessary. Section 10.
