WI�EREAS, the Heritage Preservation Commission of the City of Saint Paul commissioned a manuscript about the
city's architectural history with the intenfion of having the work published as a book, and
WI�REAS, the City's portion of the manuscript has been completed and the Heritage Preservation Commission has
reached agreement with the University of Minnesota Press to print the manuscript as a book; and
WI�EREAS, there currently exists no such book about the city's azchitectural history and such a work would help to
fulfill the Commission's mission to promote awazeness and understanding of the city's rich heritage; and

WHEREAS, the City desires to give the manuscript to the Universiry of Minnesota Press in exchange for the Press's
taking responsibiliTy for editing, publication, photographs, indexing, and commissioning a new chapter from the
authors to bring the manuscript up to date;
NOW, THEREFOR.E, BE IT RESOLVED that the Council of the City of Saint Paul hereby authorizes the proper City
officials to execute the contract between the City and the University of Minnesota Press for the publication of the
book: Architecture of Saint Paul.

I am pleased to offer the enclosed contracu for pubiication of Architecture of St. Paac1. If you find
that everything is in order, please have all three copies of the contract signed and initialed by the
mayor or his representative and return them to me for countersignature. I will retum one fu11y
exec�ted copy to you.
Outlined below aze faur additional points that the Press agrees to. If the Commission finds these points
acceptable, please have its representative sign below. When countersigned by the Commission, this
letter will become an attachment to the enclosed contract.
• The Press acknowledges that the book will be revised by Jeffrey Hess, the firm of Hess Roise,
and Paul Clifford Larson who will also write a new chapter. The Press assumes full responsibility
for working with Hess, Hess Roise, and Larson to complete the necessary revisions.
• The Press will make every effort to publish the book in its Fa1120�0lWinter 2001 publication
season. This is dependent upon Hess, Hess Roise, and Larson delivering a manuscript that is
acceptable and complete in every regazd by approximately September 1, 1999.
• While the Press has the final say over the manner in which the book is published, it assures the
commission that it will publish a handsome volume using high quality paper and an attractive cover
and interior design. It is very likely that ti�e baak will have a large dimension (perhaps 7 x 10 ar
8 x 10 inches) and be published in hardcover.
• The Press acknowledges that the Comsnission has agreed to forego royalties and any future
financial compensation. The Press will assume full responsibility for contracting with Jeffrey
Hess, the firni of Hess Roise, and Paul Clifford Larson to complete the revisions to the book,
inciuding sec�ring photographs and permission to reprint, drafting maps, and compiling an index.
The Press will publish the book at iCS own expense and assumes full responsibility for its
promotion and distribution.

the Regents of the Universiry of Mlnnesota (hereinafter the "University")
re�arding (tentatively titled): Architectare of St. Po�tl
(hereinafter the "Wurk")

accocding to the following te�ms and conditions:
1. GRANT OF P.IGHTS
The Pzopcietor heceby grants, bargains, sells, conveys, and assigns to the University the exchisi��e right
to print, reprint, publish, reproduce, ancj sell the Work, in whole or in part, in all forms uf
�ommunicatiun now Imuwn or hereafter tu become knuwn (including, but not limited to, all forrzti�ts of
eiectronic, magnetic, digitaf, lasex oc optical-based media), and in �111anguages throughout the world
for the full term uf copyright and all renewals and extensions. The Fruprietur alsu gxants Yo the

2. WARRANTY
The Proprietor wacrants and cuvenants that:
A. Proprietor has the sole and exclusive right to sell the Work;
B. The Work h�s not dleretofoce been published in whole, or in part, excepC as the
Proprietor has advised the Uniaersity in writing prior to the execuYion ot thls Agreement;
C. The Wock contains no matter which is Iibelous oc othenvise imlawfid oL which
infringes any rights at common law or any statutory right and dlat it m�ikes nu imlawEid invasivn oE
privacy;
D. Proprietor will abide by the decision of the University to make changes in the Work
necessary in the Uni«ersicy's opinivn to avoid the possibility that fl1e Work does contain matter which
is unlawfid; anc9
E. Proprietor wi11 hold harmless and indemnify the UniveLSiry (inctuding its regenb,
officers, employees anc9 agents), and its distributors and licensees, against any and all suits, claims,
demands, oc recoveries, including damages, costs, expenses, and attorney's fees, which may be made,
taken, or incurrec9 at any time by or against the University by reason of any alleged or actual violation
af any iights or of any unlawfiil mattec allegedly oc actually conYained in the Work as delivered to the
Univecsity, or occasioned hy any other failure on the part of the Proprietor, or Proprieror`s
representations, covenants, and agreements contained in this Agreement.
These warianries and inAemnifications shall survive in the termination of this Agreement.

3. COPYRIGHT
The University and the Proprietor agree that the copyrighE for the published Work will be taken out
in the name of the University and the University is authorized to take all reasonable steps to secure
the copyright. The University, at its sole opeion, may register a ciaim to cop;night in advance of or
subsequent to publication. Each parEy agrees to promptly execute at any time on request and without
additional financial compensarion all such papers and documents as may be necessary or convenient to
protect and otherwise effectuafe the rights herein granted.
4. MANUSCRIPTDELIVERY
The Proprietor agrees to deliver to the University by April 1, 1999 one (1) entire]y double-spaced word-
processed printouE and all related i1lusErations. The work wi11 consist of one hundred thousand
(700,000) words including notes, references, bibliography, and appendices, if any, and two hundred (200)
black and white illustrations. If the I3niversity finds the Work unacceptable and not easily susceptible
to satisfactory revision, it may terminate this Agreement.
5. PUBLICATION
The University agrees to publish the Work within 18 months oF acceptence of the manuscript which
must be complete in every regard, at its own expense except as herein provided, under such title and in
such style and manner (including prices, discounts, date of publication, punctuation, capitalization,
spelling, grammar, typography, design, advertising and other forms of promotion, and the number and
distribution of free copies) as it shall deem proper, taking into consideration insofar as possible the
wishes of the Propxietor. The manuscript completion is the responsibi]ity of the parties pursuant to the
attached letter of understanding and is noc the responsibility of the Proprietor.
6. PROPRIETOR'S COPIES
The University will �ive to the Proprietor on publiration twenty-five (25} copies of the Work and of
any revised edition of it published by the University. If {he Work is published simultaneously in
hardcover and paperback, the Proprieror wi1l receive two (2) hardcover and twenty-three (23)
paperbound copies. The Proprietor may purchase additional copies of the Work at a discount of £orty
percent (40`70) from the list price. Copies purchased at the Proprietor s discount may not be resold in any
manner.
7. COMPETIlVG MATERIAL
The Proprietor agmes that Proprietor will not, without the prior written consent of the Univezsity,
publish material elsewhere which would compete with or interfere with the sale of the Work.
8. INSURANCE
The University is not obligated to insure the manuscript copy, illustrative copy, or any other materials
used in connection with The publication of the Work against physical harm such as loss, damage, theft,
full or partial destruction, and shali be 1'rable only for gross negligence in the care thereof.
9. NOTTCE
Any notice or request which either party is required to or desires to give to the other party shall be
deemed to have been duly given if mailed by United StaYes mail with postage charges prepaid and
addressed, in the case of the University, to: 111 Third Avenue South, Suite 290, Minneapolis, MN
55401-2520; and in the case of the Proprietor to: St. Paul Heritage Preservation Commission, 350 St.
Peter Street, #300, St. Paul, MN 55102-1510; or in either case at such other addresses as hereafter shall

be specified by written notice to the other party. Except as otherwise provided herein, any approval
the Universiry requests in wriYing from the Proprietor will be deemed granted if no respanse is received
by the University within thirty (30) days of confirmafion (by certified mail or express carrier) of
Proprietor's receipt of the approcal request. If the Proprietor fails to notify the University of a change
of address, and any payments due the Proprietor under the terms of this Agreement are undeliverable
by the United States Postal Service within three (31 years, the University is entitled to use the
amounts for other purposes in its general publishing program.
10. APPLICABLE LAWS
This Agreement and the performance thereof, irrespective of the place of its execution, delivery, or
performance, shall be interpreted in accordance with the laws of the State of Minnesota.
11. WAIVER
Tt is mutually understood and agmed that: (A) no waiver, change, or modification in this Agreement is
valid or binding unless in writing and signed by the parties; (B) no waiver of any breach, c�efault, or
provision shall be deemed a waiver to any repetition of such breach or default, or aEfect any other
provision; (C) the parties will perform all acts and deliver al1 documents necessary or desirable to
evidence and/or effectuate the terms of the Agreement; and (D? if there are joint Proprietors, all oE the
obligations are deemed to be the joint and several obli�ations of all of them.
12. DURATION
This Agreement shail be binding on and inures to the benefit of the parties hereto, their heirs,
executors, administrators, successors, or assigns, and shall wntinue during the life of the copyright of
the Work, of the copyright of all its revisions or adaptations or condensations or abridgments. If one or
more copyrights are legally unavailable, this Agreement shall be binding during the period in which
the copyrights would be in force if they were available.
13. PROMOTION
The Proprietor grants to the University, its licensees, successors, and assigns, the right to use the
Proprietor's name and likeness and biographical data in connection with the Work, and advertising
and promotion for the Work.
14. SPECIAL PROVISIONS
A. Preface. The University agrees to publish as part of the Work a Preface
supplied by the Proprietor. The Preface shall consist of not more than one thousand f1,000} worda The
Proprietor agrees to deliver one {1) entirely double-spaced word-processed printout with corresponding
electronic files on disk(s) within a time limit set by the University.
B. Acknowtedgmenf. The University agrees to acknowledge the cooperation of the
Proprietor in the publication of the Work by printing the following norice on the Hfle page: "Published
in cooperation with the City of St. Paul Heritage Preservation Commission." This cooperation shall
also be made evident on the dust }acket copy and/or back wver copy.
The University agrees that Jeffrey A. Hess and Paul Clifford Larson wiil be credited as the authors of
the Work on the cover and title page.

1. GRANT OF P.IGHTS
The Pzopcietor heceby grants, bargains, sells, conveys, and assigns to the University the exchisi��e right
to print, reprint, publish, reproduce, ancj sell the Work, in whole or in part, in all forms uf
�ommunicatiun now Imuwn or hereafter tu become knuwn (including, but not limited to, all forrzti�ts of
eiectronic, magnetic, digitaf, lasex oc optical-based media), and in �111anguages throughout the world
for the full term uf copyright and all renewals and extensions. The Fruprietur alsu gxants Yo the
University all cibhts in all fucros of comm�mieation, now known ox hereaEtec ta becume known, in atl

2. WARRANTY
The Proprietor wacrants and cuvenants that:
A. Proprietor has the sole and exclusive right to sell the Work;
B. The Work h�s not dleretofoce been published in whole, or in part, excepC as the
Proprietor has advised the Uniaersity in writing prior to the execuYion ot thls Agreement;
C. The Wock contains no matter which is Iibelous oc othenvise imlawfid oL which
infringes any rights at common law or any statutory right and dlat it m�ikes nu imlawEid invasivn oE
privacy;
D. Proprietor will abide by the decision of the University to make changes in the Work
necessary in the Uni«ersicy's opinivn to avoid the possibility that fl1e Work does contain matter which
is unlawfid; anc9
E. Proprietor wi11 hold harmless and indemnify the UniveLSiry (inctuding its regenb,
officers, employees anc9 agents), and its distributors and licensees, against any and all suits, claims,
demands, oc recoveries, including damages, costs, expenses, and attorney's fees, which may be made,
taken, or incurrec9 at any time by or against the University by reason of any alleged or actual violation
af any iights or of any unlawfiil mattec allegedly oc actually conYained in the Work as delivered to the
Univecsity, or occasioned hy any other failure on the part of the Proprietor, or Proprieror`s
representations, covenants, and agreements contained in this Agreement.
These warianries and inAemnifications shall survive in the termination of this Agreement.

3. COPYRIGHT
The University and the Proprietor agree that the copyrighE for the published Work will be taken out
in the name of the University and the University is authorized to take all reasonable steps to secure
the copyright. The University, at its sole opeion, may register a ciaim to cop;night in advance of or
subsequent to publication. Each parEy agrees to promptly execute at any time on request and without
additional financial compensarion all such papers and documents as may be necessary or convenient to
protect and otherwise effectuafe the rights herein granted.
4. MANUSCRIPTDELIVERY
The Proprietor agrees to deliver to the University by April 1, 1999 one (1) entire]y double-spaced word-
processed printouE and all related i1lusErations. The work wi11 consist of one hundred thousand
(700,000) words including notes, references, bibliography, and appendices, if any, and two hundred (200)
black and white illustrations. If the I3niversity finds the Work unacceptable and not easily susceptible
to satisfactory revision, it may terminate this Agreement.
5. PUBLICATION
The University agrees to publish the Work within 18 months oF acceptence of the manuscript which
must be complete in every regard, at its own expense except as herein provided, under such title and in
such style and manner (including prices, discounts, date of publication, punctuation, capitalization,
spelling, grammar, typography, design, advertising and other forms of promotion, and the number and
distribution of free copies) as it shall deem proper, taking into consideration insofar as possible the
wishes of the Propxietor. The manuscript completion is the responsibi]ity of the parties pursuant to the
attached letter of understanding and is noc the responsibility of the Proprietor.
6. PROPRIETOR'S COPIES
The University will �ive to the Proprietor on publiration twenty-five (25} copies of the Work and of
any revised edition of it published by the University. If {he Work is published simultaneously in
hardcover and paperback, the Proprieror wi1l receive two (2) hardcover and twenty-three (23)
paperbound copies. The Proprietor may purchase additional copies of the Work at a discount of £orty
percent (40`70) from the list price. Copies purchased at the Proprietor s discount may not be resold in any
manner.
7. COMPETIlVG MATERIAL
The Proprietor agmes that Proprietor will not, without the prior written consent of the Univezsity,
publish material elsewhere which would compete with or interfere with the sale of the Work.
8. INSURANCE
The University is not obligated to insure the manuscript copy, illustrative copy, or any other materials
used in connection with The publication of the Work against physical harm such as loss, damage, theft,
full or partial destruction, and shali be 1'rable only for gross negligence in the care thereof.
9. NOTTCE
Any notice or request which either party is required to or desires to give to the other party shall be
deemed to have been duly given if mailed by United StaYes mail with postage charges prepaid and
addressed, in the case of the University, to: 111 Third Avenue South, Suite 290, Minneapolis, MN
55401-2520; and in the case of the Proprietor to: St. Paul Heritage Preservation Commission, 350 St.
Peter Street, #300, St. Paul, MN 55102-1510; or in either case at such other addresses as hereafter shall

be specified by written notice to the other party. Except as otherwise provided herein, any approval
the Universiry requests in wriYing from the Proprietor will be deemed granted if no respanse is received
by the University within thirty (30) days of confirmafion (by certified mail or express carrier) of
Proprietor's receipt of the approcal request. If the Proprietor fails to notify the University of a change
of address, and any payments due the Proprietor under the terms of this Agreement are undeliverable
by the United States Postal Service within three (31 years, the University is entitled to use the
amounts for other purposes in its general publishing program.
10. APPLICABLE LAWS
This Agreement and the performance thereof, irrespective of the place of its execution, delivery, or
performance, shall be interpreted in accordance with the laws of the State of Minnesota.
11. WAIVER
Tt is mutually understood and agmed that: (A) no waiver, change, or modification in this Agreement is
valid or binding unless in writing and signed by the parties; (B) no waiver of any breach, c�efault, or
provision shall be deemed a waiver to any repetition of such breach or default, or aEfect any other
provision; (C) the parties will perform all acts and deliver al1 documents necessary or desirable to
evidence and/or effectuate the terms of the Agreement; and (D? if there are joint Proprietors, all oE the
obligations are deemed to be the joint and several obli�ations of all of them.
12. DURATION
This Agreement shail be binding on and inures to the benefit of the parties hereto, their heirs,
executors, administrators, successors, or assigns, and shall wntinue during the life of the copyright of
the Work, of the copyright of all its revisions or adaptations or condensations or abridgments. If one or
more copyrights are legally unavailable, this Agreement shall be binding during the period in which
the copyrights would be in force if they were available.
13. PROMOTION
The Proprietor grants to the University, its licensees, successors, and assigns, the right to use the
Proprietor's name and likeness and biographical data in connection with the Work, and advertising
and promotion for the Work.
14. SPECIAL PROVISIONS
A. Preface. The University agrees to publish as part of the Work a Preface
supplied by the Proprietor. The Preface shall consist of not more than one thousand f1,000} worda The
Proprietor agrees to deliver one {1) entirely double-spaced word-processed printout with corresponding
electronic files on disk(s) within a time limit set by the University.
B. Acknowtedgmenf. The University agrees to acknowledge the cooperation of the
Proprietor in the publication of the Work by printing the following norice on the Hfle page: "Published
in cooperation with the City of St. Paul Heritage Preservation Commission." This cooperation shall
also be made evident on the dust }acket copy and/or back wver copy.
The University agrees that Jeffrey A. Hess and Paul Clifford Larson wiil be credited as the authors of
the Work on the cover and title page.

WI�EREAS, the Heritage Preservation Commission of the City of Saint Paul commissioned a manuscript about the
city's architectural history with the intenfion of having the work published as a book, and
WI�REAS, the City's portion of the manuscript has been completed and the Heritage Preservation Commission has
reached agreement with the University of Minnesota Press to print the manuscript as a book; and
WI�EREAS, there currently exists no such book about the city's azchitectural history and such a work would help to
fulfill the Commission's mission to promote awazeness and understanding of the city's rich heritage; and

Outlined below aze faur additional points that the Press agrees to. If the Commission finds these points
acceptable, please have its representative sign below. When countersigned by the Commission, this
letter will become an attachment to the enclosed contract.
• The Press acknowledges that the book will be revised by Jeffrey Hess, the firm of Hess Roise,
and Paul Clifford Larson who will also write a new chapter. The Press assumes full responsibility
for working with Hess, Hess Roise, and Larson to complete the necessary revisions.
• The Press will make every effort to publish the book in its Fa1120�0lWinter 2001 publication
season. This is dependent upon Hess, Hess Roise, and Larson delivering a manuscript that is
acceptable and complete in every regazd by approximately September 1, 1999.
• While the Press has the final say over the manner in which the book is published, it assures the
commission that it will publish a handsome volume using high quality paper and an attractive cover
and interior design. It is very likely that ti�e baak will have a large dimension (perhaps 7 x 10 ar
8 x 10 inches) and be published in hardcover.
• The Press acknowledges that the Comsnission has agreed to forego royalties and any future
financial compensation. The Press will assume full responsibility for contracting with Jeffrey
Hess, the firni of Hess Roise, and Paul Clifford Larson to complete the revisions to the book,
inciuding sec�ring photographs and permission to reprint, drafting maps, and compiling an index.
The Press will publish the book at iCS own expense and assumes full responsibility for its
promotion and distribution.

13. PROMOTION
The Proprietor grants to the University, its licensees, successors, and assigns, the right to use the
Proprietor's name and likeness and biographical data in connection with the Work, and advertising
and promotion for the Work.
14. SPECIAL PROVISIONS
A. Preface. The University agrees to publish as part of the Work a Preface
supplied by the Proprietor. The Preface shall consist of not more than one thousand f1,000} worda The
Proprietor agrees to deliver one {1) entirely double-spaced word-processed printout with corresponding
electronic files on disk(s) within a time limit set by the University.
B. Acknowtedgmenf. The University agrees to acknowledge the cooperation of the
Proprietor in the publication of the Work by printing the following norice on the Hfle page: "Published
in cooperation with the City of St. Paul Heritage Preservation Commission." This cooperation shall
also be made evident on the dust }acket copy and/or back wver copy.
The University agrees that Jeffrey A. Hess and Paul Clifford Larson wiil be credited as the authors of
the Work on the cover and title page.

throu�h its Heritage Preservation Commission (the "City") to enter into the Book Publishing
A�reement relating to the Architecture of Saint Paul (hereinafrer "the Work"), and in
consideration for the Book Publishin� A�reement, the undersijned (each, an "Author") each
ackno�vled�es and aarees that the Work constitutes a` made for hire; ' the City owns the
copyri�ht in the Work; and to the extent the Author may o��n any copyright or other interest in
the Work, the Author hereby assigns his right, title, and interest in the ��Tork, including the
copyright, to the City. Each pariy agrees to promptly execute at any time on request and without
additional financial compensation all such papers and documents as may be necessary or
convenient to protect and otherwise effectuate the rights herein granted
