resolution 258871 approved June 1, 1972 and resolution 274315,
approved January 24 , 1980 vacat public land described as
follows:
Myrtle Avenue between the westerly line of

Avenue,
Wabash Avenue between the westerly line of
Vandalia Street and the easterly line of LaSalle
Street,
Hampden Avenue betwee the northerly line of
Wabash Avenue and the outherly line of Myrtle
Avenue.
Also Pillsbury Street tween the northerly line
of Myrtle Avenue and the southerly line of
University Avenue;
WHEREAS, condition number 1 of resolution 258871 required
Hoerner-Waldorf Corporation to fu nish the City with an indemnity
bond in the amount of $200 ,000; a d,
WHEREAS, the City is wil ing to accept Covenants of
Indemnity from H. Enterprises I ternational , Inc. and Waldorf
Corporation (formerly Hoerner-Wal orf Corporation) , a subsidiary
of H. Enterprises International , Inc. , in lieu of the original
indemnity bond.
THEREFORE BE IT RESOLVED, that the requirement of an
indemnity bond in condition elev n be deleted and replaced with
Covenants of Indemnity which are described as Exhibits "A" and
"B" attached hereto and made a rt of this resolution; and,

To the Honorable, the City Counci
of Saint Paul, Minnesota
H Enterprises Internatio al, Inc. , a Delaware
corporation ("Enterprises") , is presently the owner of certain
property that was originally vac ted upon the petition of
Hoerner-Waldorf Corporation in r solution C.F. 258871 approved
June 1, 1972 and subsequently am nded by resolution C.F. 274315
approved January 24, 1980. The acated property now owned by
Enterprises is described as foll ws :
Those parts of vacated yrtle Avenue and Pillsbury
Street accruing to Lots 84, 85, 86 and 87, "Hewitts
Outlots First Division" which accrued thereto by
reason of the vacation hereof.
Enterprises agrees, egc pt as hereinafter provided, on
behalf of itself, its assigns an its successors in interest,
to indemnify, defend and save ha mless the City of Saint Paul,
its officers and employees from 11 suits, actions or claims of
any character brought as a resul of injuries or damages
received or sustained by any per on, persons, or property on
account of this vacation, includ'ng but not limited to a claim
brought because of any act of o ission, neglect or misconduct
of Enterprises or because of an claims or liability arising
from any violation of any law or regulation made in accordance
with the law whether by Enterpr' ses or any of its agents,
employees, assigns, or successo s in interest. This indemnity
shall not extend to claims brou ht or liabilities incurred as a
result of any act of omission, eqlect or misconduct of the
City of Saint Paul, its officer and employees .
This indemnification i offered in lieu of the bonding
