AGREEMENT
THIS GREEMENT, Made and en ered into this �of

hereinafter called "Supplier", a d the CITY T AUL, hereinafter cal
"Ci ty���
- WITNESSETH:
IT IS MUTUALLY AGREED BX AN BETWEEN THE SUPPLIER AND THE CITY AS FOLLOWS:
1 . That at all times Suppl er will keep the terms and conditions of this
Agreement confidential and shall not disclose usages hereunder to inquiries of
third parties without prior cons ltation with the City's liaison hereinafter
named.
2. That automobiles furnis ed to the �City by the Supplier hereunder shall
be for the exclusive use of the ity's Police Department's Vice
Unit , and no other divisions or units of the City's Police Dept. shall make use
of such vehicles.
3. That Suppl�er will have available during regular business hours for
the City's use, automobiles whic shall be of 1985, 1985 and 1987 calendar-year
manufacture or another year of m ke and model as may be agreed to by the parties.
4. That in consideration o the use of Supplier's vehicle(s) the City
agrees to pay Supplier the sum o ten dollars ($10.00) per day, per vehicie, to
maximum of three hundred ten dollars ($310.00) per month, per vehicle.
5. That the City agrees to save and hold Supplier harmless from any and
all claims arising out of the Ci 's use of vehicles hereunder and shall,
additionally, repair at its own xpense any damage sustained by the vehicles '
during the course of City's use, normal wear and tear excepted.

6. That the City shall be sponsible for supplying each vehicle rented
hereunder with such amounts of g soline and oil as is needed to make the '
vehicle operational , but no othe maintenance obligations shall be the respon-
sibility of the City. �
7. That the City will not se any vehicle for a period of more than
sixty (60) days without Supplier's consent, but the City reserves the right
to request and receive from Supplier a replacement vehicle of a type and
make as above-described at any t me; time being of the essence in fulfilling
requests for replacement vehicle .
8. That the City acknowled es the right of the Supplier to demand the
return of the vehicle rented her under upon twenty-four (24) hours' notice to
the City and upon such notice, t e City will return said automobile.
9. That the use of the veh cles rented hereunder are for the use of the
City's Police Department and for the purpose of the administration of this
agreement, Captain Steenberg, 10 East Eleventh Street, Saint Paul , .
Minnesota, Phone No. 292-3588, s all be its liaison.
10. That this Agreement sha 1 be for a period of one (1 ) year and shall
automatically be extended for an additional period of one (1 ) year providing
no written notice is submitted b either party of an intent to terminate this
Agreement at least thirty (30) d ys prior to the expiration of the first year.
