COOPERATI CONSTRUCTION . , AG EMENT 65721 S.P. 6208-30 (T.H. 52=104 ) State Funds Agreement between AMOUNT ENCUMBERED The State of Minnesota Department of Transportation, a d $468, 933 . 73 The City of St. Paul Re: State cost storm sewer and AMOUNT roadway construction by th RECEIVABLE City on Trunk Highway No. 2 (University Ave. ) in St. P ul (None) THIS AGREEMENT made and entered into by and between the State of Minnesota, Department of Transp tation, hereinafter referred to as the "State" and the City of St. aul, Minnesota, acting by and through its City Council, hereinafter re erred to as the "City" . WITNESSETH: ..,p�+i� v^ . C;�- '1'/�S� � � 65721 WHEREAS in the early part of 1986 the City was about to award a contract for sewer separation cons ruction and other associated construction to be performed upon, along and adjacent to Trunk Highway No. 52 (University Avenue) from M ntgomery Street to Simpson Street and upon and along various City a enues and streets within the corporate city limits in accordan e with City prepared plans and specifications therefore designat d by the City as City Project No. 86-5-8015 and by the State as Sta e Project No. 6208-30 (T.H. 52=104 ) ; and WHEREAS the City requested State ost participation in certain portions of said sewer separatio project because it included Trunk Highway No. 52 (University Avenu ) drainage; and WHEREAS there was not sufficient time to property prepare and execute a cooperative agreement; and WHEREAS the State approved the C ty's commencement of their project with the understanding that a co perative agreement would be entered into at a later date; and WHEREAS said City project has no been completed; and WHEREAS Minnesota Statute 16A. 1 provides, in part, that no payment shall be made and no obligation shall be incurred against any fund, allotment or appropriation unle s the Commissioner of Finance shall -2- • ��� . , �r��-�9�� � ' 65721 first certify that there is a s fficient unencumbered balance in such fund, allotment or appropriatio to meet the same. However, said statute also provides that clai s presented against existing appropriations without prior al otment or encumbrance may upon investigation, review and appro al by the Commissioner of Finance be determined valid where the servi ces, materials and supplies for which payment is claimed have been ac ually rendered or furnished to the State in good faith without col usion and without intent to defraud. Thereafter, the Commissioner of Finance may draw his warrant in payment of such claims in the s me manner in which other claims properly allotted and encumbere prior to inception thereof, are paid; and WHEREAS it is the opinion of th State that said roadway and storm sewer facilities construction pe formed by the City is reasonable, valid and justified and was perf rmed in good faith without collusion and without intent to defraud; a d WHEREAS the State is willing to articipate in the costs of said roadway and storm sewer faciliti s construction as hereinafter set forth; and WHEREAS it is 'anticipated that t e construction performed under State Project No. 6208-30 (T.H. 52=104 will be eligible for Federal Grant funds participation, and in that event, the costs of the state cost -3- �� � . . . ������ ' � 65721 participation construction here nder will be reduced by the Federal Grant funds received by the Cit for the construction costs incurred in the performance of said stat cost participation construction. IT IS, THEREFORE, MUTUALLY AGRE D AS FOLLOWS: ARTICLE I - BASIS OF PAYMENT BY THE STATE Section A. Construction Costs The State shall pay to the City, as the State's full and complete share of the City contract cons ruction performed in accordance with state approved City plans, spec ' fications and special provisions therefor designated by the City s City Project No. 86-5-8015 and by the State as State Project No. 6 08-30 (T.H. 52=104) which are on file in the office of the City Engine r at St. Paul, Minnesota, and in the office of the Commissioner of Tr nsportation at St. Paul, Minnesota, and are made a part hereof by re erence with the same force and effect as though fully set forth herein the costs of the construction described below under "STATE COS PARTICIPATION CONSTRUCTION" . Said payment by the State under this greement for construction work item costs is based on the final quan ities of State cost participation construction work items performe multiplied by the appropriate unit prices contained in the construc 'on contract. It is hereby understood and agree that any and all liquidated damages . assessed the City's contractor in connection with the work performed under said City contract shall re ult in a credit shared by the City 4- �� � . . � ���-�9s� � � 65721 and the State in the same pro rtion as their total share of construction contract work is o the total contract cost without any deduction for liquidated damag s . A SCHEDULE "I" , which lists al of the State cost participation construction and construction ngineering items covered under this agreement, is attached hereto nd made a part hereof by reference. A color coded EXHIBIT "A" , which shows and/or describes all of the State cost participation storm sewer facilities construction covered under this agreement, is attached he eto and made a part hereof by reference. STATE COST PARTICIPATION CONST CTION All of the following constructi n performed upon, along and adjacent to Trunk Highway No. 52 (Univer ity Avenue) from Montgomery Street to Simpson Street and upon and alo g various City avenues and streets within the corporate City limit under State Project No. 6208-30 (T.H. 52=104) . 60 PERCENT STATE COST minus all antici ated Federal Grant fundin All of the cooperative �oint-us storm sewer facilities construction as shown and/or described in "G een" color on the attached EXHIBIT "A" including all associated roadwa construction. Said construction includes but is not limited to hose construction items as described and tabulated on Sheets No. 2 a No. 3 of the attached SCHEDULE "I" . � -5- ��� . . . �-�- ,�� � 65721 22 .5 PERCENT STATE COST minus 11 antici ated Federal Grant fundin All of the cooperative joint-u e storm sewer facilities construction as shown and/or described in " range" color on the attached EXHIBIT "A" including all associated r adway construction. Said construction includes but is not limited to those construction items as described and tabulated on Sheets No. 4, No. 5, No. 6 and No. 7 of the attached SCHEDULE "I " . Section B. Prorated Constructi n Costs In addition, said payment by th State shall also include an amount equal to the State 's final tota share of construction costs as determined in accordance with S ction A. above multiplied by the State ' s prorated shares of the ontract costs of Items No. 2021. 501 "Mobilization" , No. 2031.501 "F eld Office" , No. 412 . 605 "Sign, Type Project^ and No. 563 . 601 "Traff c Control" . The formula by which said additional payment shall be det rmined is set forth in said attached SCHEDULE "I " . Said additional ayment represents the State's proportionate shares of the mob' lization, field office, sign type project and traffic control cos s incurred in connection with the aforesaid state cost participat' n construction. Section C. Construction En inee in Costs In addition, said payment by the State shall also include an amount equal to S percent of the State' final total share of construction costs as determined in accordanc with Section A. and B. above, as the State's proportionate share of c nstruction engineering costs incurred -6- ��� . . . . ���9-��.s�O 65721 by the City in connection with aid state cost participation construction. ARTICLE II - CITY'S CERTIFICATI N OF CONSTRUCTION PERFORMED The City does hereby certify an attest to the following: a. The satisfactory performan e and completion, in accordance with State approved City plans, spec ' fications and special provisions made a part hereof by reference, of e contract construction represented in the City' s invoice. b. The acceptance and approval of all materials furnished for said invoice construction relative to the compliance of such materials to the State 's current "Standard Sp cifications for Construction" . c. The City having made paymen in full to its contractor for the contract construction represente in the City's invoice. ARTICLE III - PAYMENT BY THE STA E Section A. Estimate and Advance ent of the State's Cost Share It is estimated, for accounting urposes, that the State's share of the costs of the construction wo k performed by the City hereunder which includes the State 's share of the prorated items "Mobilization" , "Field Office" , "Sign Type Proje t" , and "Traffic Control" plus the 8 percent construction engineering cost share and a $30,000.00 contingency amount is the sum of $468,933.73 as shown in the attached -7- �K� . . . ��-�9� � ` 65721 SCHEDULE "I" . The attached SC DULE "I" form lists all of the State cost participation construction items and was prepared using final quantities and contract unit pr'ces. The aforesaid contingency amount is provided to cover overruns o the State cost participation due to a decrease in the Federal Grant p rcentage. The State shall advance to the ity an amount equal to $438,933.73 as shown in said attached SCHEDULE "I" forthwith at such time as the following conditions have been et; 1 . Encumbrance by the State o an amount equal to $468,933 . 73 as shown in said attached SCHEDULE "I" . 2 . Full and complete executio of this agreement and the State 's transmittal of same to the City. 3. Receipt by the State of a w itten request from the City for said advancement of funds. Section B. Records Kee in and nvoicin b the Cit The City shall keep such records and accounts that will enable the City, before final payment is ma e by the State in accordance with Section C. of this article, to p ovide the State with the following: 1. Receipt by the State of the final Federal Grant percentage and the proper documentation, accept le to the State's External Audit Unit, used to determine said perc ntage. The Federal Grant percentage -8- ��� . . C����� ' 65721 shall be determined using the m thod and formula set forth in the attached SCHEDULE "I" . 2 . Receipt by the State of co ies of the appropriate endorsed and cancelled City warrant(s) or ch ck(s) for payment on the city contractor's invoice(s) coverin the State cost participation construction performed hereunde . 3. When requested by the Stat , receipt by the State of copies, certified by the City' s Enginee , of material sampling reports and of material testing results for the materials furnished for the city contract construction work repre ented in the City's invoice. 4 . Receipt by the State of a f rmal invoice (one original signed copy and four reproduced copies) in the amount of the total State cost participation per the terms and onditions of this agreement. Section C. Final Pa ent b the State Final payment by the State to th City hereunder in accordance with Article I hereof of the State 's tal cost participation amount less the total amount of advanced pa nt made by the State pursuant to Section A. above shall be made up n the State 's receipt of the final Federal Grant �percentage and upon invoicing the State by the City in accordance with a written procedu e furnished the City by the State. If the amount found due from the tate is less than the amount of funds advanced, then, and in that event, the balance of said advanced funds shall be promptly returned o the State without interest. 9- ��� . �"��-i9� ' 65721 � Pursuant to Minnesota Statute 5 . 415, the City waives claim for any amounts less than $2 . 00 over t e State payment funds earlier received by the City, and the State wai es claim for the return of any amounts less than $2 . 00 of such funds dvanced by the State. ARTICLE IV - GENERAL PROVISION Section A. Maintenance It is hereby understood and ag eed that, upon the full and complete execution of this agreement, t e City shall thereafter properly maintain, without cost or expe se to the State, all of the storm sewer facilities, sanitary sewer fac ' lities and watermain facilities constructed within the corpora City limits under the aforesaid City contract and that neither part to this agreement shall drain any additional areas into said stor sewer facilities that are not included in the drainage areas or which said storm sewer facilities were designed without first obt ining permission to do so from the other party. The drainage area served by the storm sewer facilities constructed under the construct on contract are shown in a drainage area map, EXHIBIT "Drainage Are " , which is on file in the office of the State's District Hydraulics Engineer at Oakdale and is made a part hereof by reference with the sa e force and effect as though fully set forth herein. -10- ��� . , . �'�'�i-�95� � 65721 It is hereby understood and agr ed that, upon the full and complete execution of this agreement, th City shall thereafter properly maintain, without cost or expen e to the State, the entire portions of all of the City streets and all of the facilities a part thereof constructed outside of the Trun Highway No. 52 (University Avenue) right of way limits within the orporate City limits under the aforesaid City contract. Said m intenance shall be understood to include, but not be limited to, snow and debris removal, resurfacing and/or seal coating and any oth maintenance activities necessary to perpetuate said roadway portions in a safe and usable condition. It is hereby understood and agre d that, upon the full and complete execution of this agreement, the City shall thereafter properly maintain, without cost or expens to the State, all of the concrete walk and concrete driveway pavem nt used as concrete walk constructed within the corporate City limits under the aforesaid City contract. Said maintenance shall be unders ood to include, but not be limited to, snow and debris removal and ny other maintenance activities necessary to perpetuate said con rete walk and concrete driveway pavement in a safe and usable co dition. Section B. Examination of Books Records Etc. As provided by Minnesota Statute, Section 16 .095, the books, records, documents, and accounting procedu es and practices of the City relevant to this agreement are su ject to examination by the 11- . ��� . H��-,�� 65721 contracting department or agenc , and either the legislative auditor or the state auditor as appropr ate. Section C. Claims The City indemnifies, saves and holds harmless the State and all of its agents and employees of and from any and all claims, demands, actions or causes of action of atsoever nature or character arising out of or by reason of the City ontract construction, associated construction engineering and mai tenance work or services by the City hereunder, and further agrees to defend at its own sole cost and expense any action or proceeding commenced for the purpose of asserting any claim of whatsoeve character arising as a result of said City contract construction, associated construction engineering and maintenance work and service by the City hereunder. It is hereby understood and agre d that any and all employees of the City and all other persons emplo ed by the City in the performance of any construction, construction e ineering and/or maintenance work or services required or provided for hereunder by the City shall not be considered employees of the State and that any and all claims that may or might arise under the Worker's Compensation Act of the State of Minnesota on behalf of said emplo ees while so engaged and any and all claims made by any third parties s a consequence of any act or omission on the part of said City employees while so engaged on any of the construction, construction en ineering and/or maintenance work or 12- ��� . . �-���� 65721 services to be rendered herein by the City shall in no way be the obligation or responsibility o the State. Section D.
