ANTHONY PARK COMMUNITY COUNCIL, (hereinafter referred to as "S.A.P.C.C. ") . WHEREAS, on January 6, 19 7 the St. Paul City Council established a Co unity Festival Loan Fund and Grant Program, a ministered by the Division of Parks and Recrea ion, for the purpose of assisting neighborhood fes ivals with expenses, startup costs and insura ce coverage; and WHEREAS, the St. Paul Cit Council has approved rules and regulations to e sure the fair and equitable distribution of e funds; and WHEREAS, S.A.P.C.C. has ap lied for a grant in accordance with these rules nd regulations. NOW THEREFORE, the parties agree as follows: 1. That the City shall grant o S.A.P.C.C. the sum of Two Thousand Dollars ($2, 000 . 0 ) for the purpose of helping to fund the Raymond Avenue Br dge Celebration to be held on October 7, 1989 as more pa ticularly outlined in S.A.P.C.C. ' s application a tached hereto as Exhibit A and made a part of this Agreem nt. 2. That S.A.P.C.C. will prepa and submit to the City a report outlining all expens s and revenues � derived from the Festival and specifically d tailing how the grant money was spent within 90 days after he completion of the festival noted above. S.A.P.C.C. fu ther will permit the Division of Parks and Recreation sta f full access to its books and records concerning the fest val. 3. That S.A.P.C.C. shall submi to the City a copy of the S.A.P.C.C. The name of this org nization shall be the St. Anthony Park Community Council. These bylaws shall establish and gov rn the organization and functioning of the District 12 Community Council. Section 1.2 Location. The Council sha11 be concerned with an area generally made up of North St. Anthony Park, South St. Anthony Park, West Midway, and related industrial and commercial areas. The boundary of the district sha11 be as follows: Commencing at the extreme n rthwest corner of the city the boundary sha11 extend east along the cit limit on Hoyt Avenue to Cleveland Avenue, south along the city limit on C1 veland Avenue to a point near Como Avenue, east along the city limit and Co o Avenue to Aldine Street, south along Aldine Street to Wynne Avenue, east alon Wynne Avenue to Snelling Avenue� south along Snelling Avenue to the Burli gton Northern Railroad right-of-way just south of Rosen Road� westerly along the railroad right-of-way to Cleveland Avenue extended north from ilniversity Av nue, south along Cleveland Avenue extended and Cleveland Avenue to Interst te Highway 94, westerly along Interstate Highway 94 to the western cit limit, and then north along the city limit to the northwest corner of the cit where the boundary line began, and/or as described by the City Council as Citi en Participation District #12. Section 1.3 Offices. The offices of th St. Anthony Park Community Council shall be located within the repr sentative boundaries set out in Section 1.2. ' ARTIC II PURPOSE AND RINCIPLES Section 2.1 Purpose. The purposes of th St. Anthony Park Community Council sha11 be: A. To prepare a plan for the distric which provides for the physical� social, and economic requirements of he district. B. To work with those who live and w rk in the district, individually and collectively, in developing an accept ble plan. C. To provide early two-way communic tion so that the district has in-put to city-wide plans and so that city-w de plans can be translated into effective actions acceptable to the d strict. D. To establish a planning and imple entation approach which encourages the district members to explore and m ke use of all available implementation resources. E. To have well-informed neighborhoo s realistically pursuing their best interests thereby improving the quali y of life in the city and increasing the confidence in the future of the c'ty and the district. F. To ensure that citizen involvemen is channeled into a process which is constructive and into the development f planning products with lasting usefulness. 1 . � l� �-is�y : G. To enable private developers to e proposals to the Council for fair and impartial consideration and deter ination. I. To establish an effective working relationship between this district and other planning districts. Further, the purposes of this Co ncil sha11 be charitable and educational so as to unite, in common cause, residents of, and organizations erving, the area described in Section 1.2, in a continuing ffort to promote harmonious environmental conditions and fa rable community relationships therein and to un ertake such charitable and educational actions and service as may by its membership be determined to be desirable to s rve these purposes. Within these purposes it is intended t at this Council shall attempt to educate the communit as to the necessity for maintaining community pride in atters of common interest for the survival of a desirable livable neighborhood. In furtherance of the foregoing, among the purposes of this Council shall be to solicit fu s and to accept gifts and contributions, to put to produ tive use a11 of the funds and property which it may own at a y time, and to use and distribute its income and prop rty exclusively for charitable and educational pur oses. Section 2.2 Principle. Notwithstandin any other provisions of these Bylaws, the Council shall not carry on any acti ity not permitted to be carried on by an organization or association exempt f om federal income tax under Section 501 (c) (3) of the Internal Revenue Code of 1954 or (b) by an organization or association contributions to which are eductible under Section 170 (c) (2) of the Internal Revenue Code of 1954. ' ARTI LE III PARTI IPATION Section 3.1 Residential. A residenti 1 participant is any person who resides in or owns residential property in the district, and is eligible to participate in the selection of delegates and alte nates as specified in Article IV. All participants must be at least 16 years of age. Section 3.2 Industrial/Commercial. industrial or commercial participation participant is a person is an officer, director, partner, or employee of an office/business within the area descr'bed in Section 1.2. Midway Civic and Commerce Association shall select del gates and alternates as specified in Article IV to serve for a period of o e year. A list naming the delegates and alternates will be submitted to the c uncil no later than the second Tuesday of April annually. All participants mus be at least 16 years of age. Section 3.3 Affirmative Action. The St. Anthony P rk Community Council consists of 15 delegates and 6 alternates. Delegation of five delegates and two alternates members each will be selected from nort St. Anthony Park, south St. Anthony Park and the commercial/and/or industri 1 sector. The delegates and alternates delegations shall be selected as determ ned below in the month of April of each year. Section 4.2 Terms. Terms of office sha 1 be 2 years for residential delegates; 1 year for commercial/indust ial delegates; and one year for alternates. Section 4.3 Selection of DeleAates. A. For the purpose of the selection of d legates and alternates from north St. Anthony Park and south St. Anthony Park, any residential participant as defined in Article III is eligible to be selecte as a delegate or alternate. For the selection of delegates and alternates fr m the commercial/industrial sector, any industrial or commercial participant as defined in Article III is eligible to be selected as a delegate or alternat . For the purposes of these bylaws, the dividing line between north and sout St. Anthony Parks will be the Burlington Northern right-of-way north o Kasota Avenue/Energy Park Drive. B. Delegates and alternates shall Ue se ected for the St. Anthony Park Community Council as follows: 1. Each year the North and Sou h St. Anthony Park delegations shall each select a nominating and el tion committee of three people, non-council members, who meet e 'gibility requirements of Article III, and having the following respon 'bilities: a. To establish a procedur for filing for election, and to make an appeal for candidates. b. To establish and public ze the time and place of voting which will take place in April. c. To send a letter to est blished organizations in North or South St. Anthony public zing the election and the method of filing. d. To review all candidate ' applications for eligibility as defined in Article III. e. To announce in March th time and place of the election and to publish the names and bi graphies of the candidates. f. To have ballots printed g. To arrange for monitori g of the election and to certify the results to the St. Anthony rk Community Council. 2. Each year the Midway Civic a Commerce Association (MCCA) wi11 have the right to select in a man er approved by its Board of Directors, five delegates and two alternates to represent the commercial and industrial sector ho meet the criteria for participation as defined in ArCic e III. Delegates or alternates do not have to be paid members of MC A. Delegates and alternates shall take office at the same time as t e residential delegates and alternates elected from North and South St. Anthony Park. 3 � ��'/5�� .� C. The remaining candidates i each election will be rank-ordered according to the number of vot s received with the highest seated as first alternate and the next h'ghest seated as second alternate. d. Notwithstanding the forego'ng, in 1988 the three candidates from South St. Anthony receiving t most votes will be rank-ordered according to the number of vo s received with the highest two seated for two year terms and the th' d highest seated for a one year term. Thereafter, when three vacanc" s from North St. Anthony occur then two vacancies from South St. Anth y will be filled and vice versa. Section 4.4 Vacancies. a. Vacancies occurring in th delegate ranks will be first filled by alternates, first by the firs alternate and second by the second alternate. An alternate shal serve out the unexpired term of a delegate. b. Any remaining vacancies in a delegation sha11 be filled by eligible participants selected by the emaining members of the delegation. Section 4.5 Removal from Office. A de egate or alternate may by decision of the Executive Committee be removed fro office or otherwise disciplined after three unexcused absences in any 12-mon h period from meetings of either the standing committee to which such indiv dual has been appointed or the full Community Council or both. The Execut ve Committee sha11 determine if an absence is excused. Failure to carry ut responsibilities as set out in Section 13.2, or other behavior or con uct detrimental to the purposes of the council sha11 also be considered groun s for removal from office or other discipline: Before removing any indiv dual from office or otherwise • disciplining such individual� the Exec tive Committee shall give such individual written notice of the matte and an opportunity to be heard. If the individual being removed or discipline disagrees with the decision of the Executive Committee, he or she may app al the decision to the full council by written notice given within ten days o receipt of the decision of the Executive Committee. AR CLE V 0 ICERS Section 5.1 Chairperson. Each delega 'on shall elect from among its delegates a chairperson and such other officers as it feels necessary from that delegation. The three delegation cha'rpersons shall hold the office of the chairperson of the St. Anthony Park C mmunty Council on a rotating basis. The order of serving as council chairpers n shall be: Commercial, South St. Anthony Park, North St. Anthony Park. Each s all chair for a four month period so as 4 � ����� � to share the responsibility equally ov r the term of one year. The chairperson . • � who will be next in line for the Commu ity Council chairperson position sha11 act as first vice-chairperson during t e term preceding his/her term. The chairperson for the first four month p riod each year shall' be first vice-chairperson during the last four onth period each year. The person not serving as chairperson or first vice-c airperson shall serve as second vice-chairperson. Section 5.2 Secretary. The secretary of the St. Anthony Park Community Council shall be hired or appointed by the Co unity Council from the Council delegates and sha11 serve for a period of one y ar. The secretary's duties shall include taking minutes, notifying delegates o meetings, handling official correspondence, and other matters. Section 5.3 Treasurer. The treasurer of the St. Anthony Park Community Council shall be appointed by the Community C uncil from the Council delegates, and shall serve for a period of one year. The treasurer shall be responsible for handling funds and maintaining books. AR ICLE VI ETINGS Section 6.1 Re�ular Meetin�s. Regu ar meetings of the St. Anthony Park Community Council shall be held the ednesday next following the first Thursday of each month. Delegates and altern tes shall be notified of the monthly meetings, stating the agenda, the pl ce� and time of such a meeting. Section 6.2 Special MeetinRs. Spec al meetings of the St. Anthony Park Community Council may be called by t e chairperson or by a ma�ority of the three delegate chairpersons and shal be called by the chairperson at the request of a majority of the delegat s to the St. Anthony Park Community Council. Delegates and alternates s all be notified by the secretary at least one week in advance and the purpose f the special meeting shall be specified. Section 6.3 Town MeetinQs. Town Me tings shall be held at least 2 times/year or as the Council deems necessary a may be held in conjunction with a regular meeting. The purpose of the Town M tings shall be to provide a public forum for discussion of community concern and to allow Council members to report activities to the community. Advan e notice of the Town Meetings and the agenda sha11 be communicated to the community. Section 6.4 StandinR Committees. egular meetings of the Physical Planning and Human Services committees shall meet the first Thursday of each month and others at the call of the chair. S ecial meetings may be called by the chair of each committee or by the chairpe son of the St. Anthony Park Community Council and shall be called by the hairperson of the committee at the request of a majority of the voting members of the committee. Section 6.5 Open MeetinAS. A11 me tings covered by these Bylaws are open to the public. S , . ����`s.�� • • ARTICL VII � DUT ES Section 7.1 Duties. The St. Anthony Par Community Council shall be responsible for the fulfillment of all d ties specifically assigned by these bylaws or by a resolution of the City Co nci1. The Council shall further determine and use all legal ways and mea s possible and necessary to accomplish the purpose and principles in these byla s. Section 7.2 Bylaw Review. The St. Antho y Park Community Council shall at least biennially reexamine these bylaws nd suggest changes as necessary including changes in the groups or inter sts that should select delegates to the Community Council. ARTICL VIII CONA�II EES Section 8.1 Executive Committee - The S . Anthony Park Community Council shall establish an Executive Committee and del gate specific responsibilities and authority to this committee including bu not limited to the emplayment of staff, performance reviews, organization 1 negotiations, management operations, insurance concerns� fiscal matters, cont act review. The Executive Committee sha11 also act as the budget committee o the St. Anthony Park Community Council. This coromittee sha11 consist o the officers per Article V of these bylaws and the chairpersons of the stand ng committees. This committee will be responsible for the development of the a enda, for meetings designated in Article VI of these bylaws, and for tran acting council business which must be accomplished between these meetings. Section 8.2 StandinA Committees - There shall be four Standing Committees: Human Services, Economic and Physical P1 nning, Housing and Zoning Enforcement and Environment. Each committee will se ve for the purpose of overseeing the planning and the achieving of goals for hat category. Each committee shall have a Chairperson who shall be responsi le for conducting their committee meetings, supervising the committee busi ess, and acting as a liaison to the Cortununity Council. The chairperson shal be elected for a one year term by the majority of the voting members of the co ittee. The Human Service and Physical Planning ommittees sha11 have two members from each of the three delegations. Housing nd Zoning Enforcement and the Environmental committees sha11 have one ember from each of the three delegations. Alternates to the Communit Council may serve on these committees with full voting rights. The deliberati ns of the Standing Committees will be recorded. The recording secretary shall be an employee of the Council. Four members shall constitute a quorum of a s anding committee. Each of the committees may have Ad Hoc members appoi ted by the committee chair whose voting priviledges are limited to the St nding Committee. Section 8.3 Temporary Committees - Spec al Ad Hoc Committees may be forroed as needed by the Community Council or by St nding Committees to research and recommend various positions on certain p ojects or situations as pertain to District 12. Members of Ad Hoc Committe s may be selected from any "Participants" as defined in Article III These committees will be selected by and report to the Standing Committee mos concerned with the sub�ect of the Ad Hoc Committee. In the case that the sub ect matter is not under the jurisdiction of a single Standing Commit ee, the Ad Hoc Committee wi11 be named by and report to the Community Gouncil. 6 y , ���- ��.�/ . . ARTICLE X ,' PARLIAMENTARY OCEDURE Section 9.1 Parliamentary Procedure. Robe t's Rules of Order shall be followed by the St. Anthony Park Community Council n all cases involving parliamentary procedure; unless superceded by these byla s or rules established under Article IX, Section 2. Section 9.2 Exceptions. The St. Anthony P rk Community Council may establish rules for the orderly conduct of the regul r and special meetings of the St. Anthony Park Community Council and for the Town Meetings unless overruled by a 2/3 vote of those participants present at town meeting. ARTICLE X FINAN Section 10.1 Non-Profit Status. The St. thony Park Community Council will be a non-profit organization. No part of th net earnings or funds of the Council shall inure to the benefit of, or be dist ibutable to, its members, officers, or other private persons except that the ouncil sha11 be authorized and empowered to pay reasonable compensation or services rendered and to make payments and distributions in furtherance of the purposes set forth in Section 2 hereof. Section 10.2 Exceptions. The St. Anthony Park Community Council may establish additional regulations on financing as fu ding becomes available. Section 10.3 Fiscal Year. The fiscal yea shall be from July 1 through June 30. ARTIC XI STA Section 11.1 Selection. Selection o£ st ff and determination of staff responsibilities will be handled by the t. Anthony Park Community Council or as required by funding. The St. Anthony Park Community Council may establish additional regulations on staffing as fu ding for staff becomes available. ARTICL XII AMEND NTS Section 12.1 Amendments. Amendments to he bylaws shall presented at a Town Meeting called for this purpose. The am ndments will be adopted at the subsequent regularly scheduled Town Meet ng upon a 2/3 vote of those present as identified in Section 3.1 and 3.2. Noti e of the proposed changes must be included in the agenda and made availabl at least 10 days in advance of the Town Meeting at which they are voted on. ARTI 7CIII OOND�ICP AND PONSIBILITIES Section 13.1 Conduct. A. No substantial part of the ac ivities of the Gouncil shall be the carrying on of propaganda or therwise attempting to influence legislation. The Council sha 1 not participate in or interfere in { . ����"i�s� (including the publishing or di tribution of statements) any political campaign on behalf of any candidate for public office. The Council may make lobbying expen itures which are not in excess of the lobbying ceiling amount (if any for the Council for each fiscal year. B. Elected delegates or alternates of the Council wi11 refrain from the public endorsement of political parties, candidates or legislation while identifying themselves as members of the St. Anthony Park Community Council� C. A Council member who in the dis arge of official duties would be required to take an action or m e a decision substantially affecting the financial interest of such mber or a business with which a member is associated shall take equired actions cited in the St. Paul Legislative Code Chapter 24, Code of Ethics� (24.03, Conflicts of Interest). D. Delegates and Alternates, as wel as other taskforce and committee members shall serve without comp nsation. E. Delegates and Alternates, as wel as other taskforce and committee members shall not act as an agen of the Council unless specifically requested to do so. F. Conduct or behavior detrimental o Council purposes wil� be assessed and determined by the Executive ommittee (4.05 Removal From Office). Section 13.2 Responsibilities. A. Council Delegates and Alternates are expected to attend at least one full Orientation and Training se sion. B. Council Delegates and Alternates must attend full Council and standing committee meetings unle s excused from attendance. C. Council Delegates, Alternates an members are expected to participate in Council activities. Particip tion will be a factor considered in Council attendance. D. Council Delegates, Alternates an members are expected to reach decisions and act responsibly fo the good of the area described in Section 1.2 as a whole and not f personal good or gain. ARTICLE X V DISSOIATI Section 14.1 Dissolution. Upon the dissolu ion of the council, the elected delegates shall, after paying or making pro ision for the payment of all of the liabilities of the Council, dispose of all f the assets of the Council exclusively for the purposes of the Council in such manner, or to such organization or organizations organized and operated exclusively for charitable, educational, religious or scien ific purpose as shall at the time qualify as an exempt organization or organi ations under Section SO1(c)(3) of the Internal Revenue code of 1954 (or the c rresponding provision of any future United States Internal Revenue Law), as the elected delegates shall determine. Any such assets not so disposed of shall be disposed of by the District Court of the county in which the principal office of the Council is then located, exclusively for such purposes or such organ zation or organizations, as such court shall determine, which are organized nd operated exclusively for such purposes. 8 � , �9`/S�� , .
