WHEREAS, Como Park Cons r atory, built in 1915 in Saint Paul' s Como Park, has reache critical state of deterioration and is being restored throug ublic and private funding; and � WHEREAS, The Como Conse v tory Master Plan estimates that $12.4 million will be needed t completely renovate and restore the Como Conservatory; and WHEREAS, the Metropolit n Council has allocated $2. 3 million for Como Conservatory Restor t'on; and , WHEREAS, the City has a t orized the issuance of $5 million in general obligation bonds o continued renovation of Como Park Conservatory; and , WHEREAS, The Como Conse v tory Restoration , Fund, a non- profit organization, has suc e sfully completed a 1. 7 million dollar fundraising campaign o the renovation of Como Park Conservatory; and ' . � -2- WHEREAS, The City provides basic operating and maintenance funding for Como Park Conservatory; and WHEREAS, Additional operation and maintenance funding will be needed to ensure that the newly restored and renovated Como Park Conservatory will not physically deteriorate in the future; and WHEREAS, The City needs assistance to: A) Identify and recruit supporters to further efforts to restore and promote Como Conservatory, B) Make additional funds available for capital maintenance improvements, and C) Coordinate an ongoing public relations effort; and NOW THEREFORE, the parties agree as follows: WITNESSETH: A. The Foundation will establish a Como Conservatory Project Fund (hereinafter called the "Fund") which shall be used by the Foundation for the following purposes: 1 . Identify and recruit supporters to further efforts to restore and promote Como Park Conservatory; 2. Make additional funds available for capital maintenance and improvement of Como Park Conservatory; 3. Coordinate ongoing public relations efforts with respect to Como Park Conservatory. � . ����.�� -3- B. The Foundation wi 1 se the Fund to provide funding for a consultant to work under he direction of th� Como Park Conservatory Supervisor in on ultation with the Superintendent of Parks and Recreation and wi h Conservatory Support Groups to: 1. Improve the Conse va ory's public image; 2. Develop the Conse va ory's fundraising campaign; 3. Provide appropria e ecognition activities for Conservatory dono s; 4. Provide follow-up on Como Conservatory Restoration Fund campaign. C. The consultant wi 1 repare and submit a yearly work plan to the Como Park Conse va ory Supervisor on an agreed upon date, each year that this a re ment is in effect. � D. The Foundation re re ents that at the time this Agreement is executed the c ns ltant is an independent contractor � . and not a regular employee f he City. , � • E. The Como Park Con er atory Supervisor shall. 1. Provide advi e nd support for the consultant; 2. Help identif u anticipated capi,tal maintenance needs; 3. Review and a r ve the consultant' s yearly work plan; ' 4. Provide cler' a support for the program, up to $8, 700 per y r subject to an an�nual review of need, with p nt made by the City upon receipt • of invoice f m the Foundation; ' 5. Serve as the i y' s contract manager. -4- F. That the Superintendent of Parks and Recreation or his designee shall provide : . 1. Written description of the overall capital needs and improvement needs of the Conservatory subject to annual review; 2. Written requests to the Foundation for immediate, unanticipated capital maintenance repairs and improvements; 3. Written approval of the consultant' s annual work plan. G. The length of this agreement shall be for a minimum period of five years, beginning on the date of this agreement and ending on June 30, 1994. The agreement will be reviewed and, if needed, updated annually on an agreed upon date, each year that this agreement is in effect contingent on the satisfactory review of annual progress by both parties. I. This agreement is contingent upon sufficient funds being contributed to the Foundation' s Como Conservatory Project Fund to carry out the terms of this agreement. J.
