AG EEMENT
THIS AGREEMENT, made and en er d into this 2���r day of ri , 1989
by and between the CITY OF SAINT PA L, a municipal corporation of the State of
Minnesota (hereinafter referred o s "City") , and NORTH END AREA
REVITALIZATION, INC. , (hereinaft r eferred to as "N.E.A.R.").
WHEREAS, on January 6, 1987 th St. Paul City Council established a
Community Festival Lo n Fund and Grant Program, administered by
the Division of Pa ks and Recreation, for the purpose of
assisting neighbor oo festivals with expenses, startup costs and
insurance coverag ; a d
WHEREAS, the St. Paul City ou cil has approved rules and regulations to
ensure the fair a d uitable distribution of the funds; and
WHEREAS, N.E.A.R. has applied for a grant in accordance with these rules
and regulations.
NOW THEREFORE, the parties ag ee as follows:
1. That the City shall grant o .E.A.R. the sum of Two Thousand Dollars
($2,000.00) for the purpos o helping to fund the Sidewalk Extravaganza,
to be held on August 5, 19 9 s more particularly outlined in N.E.A.R. 's
application attached heret a Exhibit A and made a part of this
Agreement.
2. That N.E.A.R. will prepare an submit to the City a report outlining all
expenses and revenues deri ed from the Festival and specifically detailing
how the grant money was sp nt within 90 days after the completion of the
festival noted above. N.E A. . further will permit the Division of Parks
and Recreation staff full cc ss to its books and records concerning the
festival .

3. That N.E.A.R. shall submit to the City a copy of the N.E.A.R. 's liability
insurance policy naming th C ty as an additional insured, said policy
shall be forwarded to City by July 29, 1989.

encompassing most of the business d st ict, and adding more vendors and
a second stage. The antique car sh w as also improved, moved to the
Auto Max site at 1015 Rice Street. � Tu nout was somewhat higher the second
year than the first, but still has 1 ng way to go. Very hot weather has
hurt our turnout in both of our Ext av ganzas.
After two years of running the Extr va anza as a trial part of the Rice
Street Festival , we have decided to bu ld it into a annual event. Your
funding would help this effort grea ly
There is currently a Sidewalk Extra ag nza Committee meeting monthly to
plan out next summer' s event. They ha e been meeting since September,
and currently intend to bring in a ar aval , have two stages with enter-
tainment, make the car show larger, ke p the sidewalk sale, flea market and
arts and crafts, and keep the dunk an .

Section F : Action without a Meetin
� Any action which might e taken at a meeting of the Board of
Directors or of the Executiv Committee or any other lawfully consti -
tuted committee may be taken without a meeting if the action is ' taken
in writing and signed by 11 the Directors then in office , or by all
of the members of the com it ee , as the case may be.
Section G : Signators
The Board shall desi na e any four of its members as signators ,
for the purpose of signin c ecks for authorized expenditures . Any
two of these four members mu t sign each check written by N .E . A . R .
A blanket bond shall be o tained for all officers and the Directors
as authorized by the Boar .
ARTICLE 8 - OFFICERS
Section A : Election and f ice
The officers of the o poration shall consist of the Chair-
person of the Board , the i st Vice-Chairperson , the Second Vic�-
Chairperson , the Secretar , the Treasurer , and such other officers
as may from time to time e elected by the Board . No person shall
hold two ( 2 ) offices at o e time ; however , the offices of Secre-
tary and Treasurer may be c mbined if the Board so desires . Except
as provided in these By-Law , the Board of Directors shall fix the
powers , duties and compensa ion of all officers .
Section B : Election Te m f Office and ualifications
The officers shall e lected by the Board from among its
members at the first Boa d eeting after the annual meeting . The
officers shall � serve for on ( 1 ) year or until their successors
shall have been elected r ntil their earlier resignation , re-
moval from office or dea h . Any person shall be eligible to serve
a maximum of Five consec ti e terms in the office and the person � - _
may hold that of ice aga n fter a minimum of one year absence
from serving in that off ce .
Section C : Removal and acancies
Any officer may be e oved from office at any time by the
vote of 2/3 of tf�e entir embership of the Board , with cause ,
but with due notificatio f such action and the right to be heard
thereon . If there is a a ancy among the officers of the corpor-
ation by reason of death , esignation or otherwise , such vacancy
shall be filled for the n xpired term by the Board at a regular
meeting or a special mee i g called for that purpose .

, The Chairperson shall ha e he power of general management of
the business of the corp ration . He/She shall preside or del -
egate such authority at 11 meetings of the Board of Directors•.
He/She shall be the chie xecutive officer of the corporation
and shall see that all o d rs and resolutions of the Board are
carried into effect . He S e shall be a member ex-officio of
all committees . He/She h 11 be considered "President" of the
corporation for the sole p rpose of carrying out the duties of
signatory agent and may x cute documents on behalf of the cor-
poration under that titl . The Chairperson shall be entitled
to vote on all matters b f re the Board or the Executive Com-
mittee in the same manne s any other member of those bodies .
In general , the Chairperso shall perform all duties usually
incident to that office an such other duties as the Board may
prescribe .
SectionE : FIRST VICE- HA RPERSON
The First Vice-Chairper on shall have such powers and perform
such duties as may be s ec fied in the By-Laws or prescribed
by the Board of Directo s r by the Chairperson . In the event
of absence or disabilit o the Chairperson , the lst . Vice-
Chairperson shall succe d o his/her power and duties .
Section F : SECOND VIC C AIRPEaSON
The Second Vice-Chairpe so shall have such powers and perform
such duties as may be s ec ' fied in the By-Laws or prescribed by

Section G : SECRETARY
The Secretary shall be ecretary of the meetings of the Board
of Directors and shall ecord all proceedings of the meetings
in the appropriate minu e book of the corporation . He/She shall
give proper notice of in e ings to Directors . He/She shall sign •
and execute such docume t as may be necessary to the tr�nsac- �
tion of business by the c rporation . He/She shall perform such
other duties as may fro ime to time be prescribed by the Board
of Directors or by the h irperson .
Section H : TREASURER
The Treasurer shall cause to be kept accurate accounts of all
moneys of the corporation received or disbursed and shall render
to the Board of Direct rs or to the Chairperson , whenever re-
' quired , an account of he financial condition of the corporation
and shall perform such ot er duties as may from time to time be
' prescribed by the Boar o Oirectors or by the Chairperson . He/
She shall be responsib e or supervising the receipt , deposit
and disbursement of th f nds of the corporation in accordance
