BE IT RESOLYED, that the City of Saint Pa I approve and enter into Agreement
No. 65620 with the State of Minnesota, ep ment of Transportation for payment of
approximately $57,000 by the State to C ty to be deposited into Public Works
Account No. PIR-807-62906-0732-62 for the State's shaze of the sewer separation
project constructed by the City on Trunk Hi way No. 5 (Seventh Street) irom Payne
Avenue to Earl Street under State Proje . 6229-28 (5=109), and
BE IT FURTHER RESOLVED, that the City officials aze hereby authorized and
directed to execute such Ageement.

WHEREAS in the early part o 198G tha City was about t� awar3 two
contracts for s�w�r separ ti n construction and oth�r associated
construction to be p�rfor ed upon, a-long and adjacent to Trunk High�aay
No. 5 (7th Street) from P yn Avenue to Earl Str�et and u�on and along
easements and Burli�gton r hern Railroad right-of-way within th�
corporste city limits in a c rdance with City prepared plans and
specifications therzfore d s 'gnatad by the City as Phalen Creek
Sanitary Trunk 86-S-3012 ( & B) and by the State as State Project No.
5229-28 (T.H. 5=109) ; and
WHEREAS the City requestzd St te cost participation in certain
portions of said sewer sep ra ion project because it included Trunk
Highway No. S (7th Str2et) r inage; and
WHEREAS thsre was not suffi i nt time to properly �repare and execute -
a cooperativ� agreement; an
WHEREAS the State approved he City' s commencement of their project
with the understanding that a ooperative agreement would be entered
into at a lat�r date; and _
WHEREAS said City project h s ow been completed; and
WHEREAS Minnesota Sta tute 15 . . 5 provides, in part, that no payment
shall be made and no obligat'o shall be incurred against any fund,
allotment or appropria tion u 1 ss the Commissioner of Fin3�ce shall

first czrtify that there s sufficient unencumb�red balance in such
fund, allotment or aporop i tion to mz2t the same . However, said
statut� also provides tha lsims pres��tsd against �xisting
appropriations without pr o allotment or encumbra:�ce may upon
investigation, review and a proval by the Commissioner of Finance be
determined valid wh�re th rvicss, mat�rials and supplies for which
payment is claimed hsve b e actually rendered or furnished to th�
State in good faith witho t collusion and without intent to defraud.
Thereafter, the Commissio e of Fin3nce may draw his warrant in
payment of such claims in t same manner in which other cla�ims
properly allated and encu� b red prior to inception ther�of, are paid;
and
WHFREAS it is th� opinion o the State that said roadway 3nd storm
sew�r facilities construc i performed by the City is reasonable,
valid and justified and w s perform�d in good faith without collusion
and without intent to def a ; and
WHEREAS th� State is wili ng to participate in ths costs of said
roadway and storm sewer f cilities canstruction as hereinafter set -
forth; and
WHEREAS-it is._snticipated t t the construction p�rformed under Stat2
Project No. 6229-28 (T.H. 5 109) will b2 eligible for F�deral Grant
funds participation, and_ n that ev�nt, the costs of the stat� cost

IT IS, THEREEORE, MUTUALLY A RE�D AS FOLLOWS:
ARTICLE I - BASIS OF PAYME T BY THE STATE
Section A. Construction Co t
Th� State shall pay to the City, as the State' s full and complAte
share of the City contract co struction p�rformed in accordance wi[h
state approved City plans, sp cifications and special provisions
th�refor designat�d by the Ci y as Phalan Cre�k S3nitary Trunk
8�-S-9012 (A and B) and by th State as Stat? Project No. 6229-2g
(T.H. 5=109) which are on il in tha office of the City Engineer at
St. Paul , Minnesota , and in t � office of the C�mmissionsr of
Transportation� at St. Paul , M nnesota, and are made a part hereof by
reference with th� same for e and effect as though fully set forth _
herein, the costs of th� co s ruction described below under "STATE
COS-T PARTICIPATION CONSTRUC I N" . Said payment by the State under
this agreement for construc i n work itsm costs is based on the final
quantitites of State cost p rt' cipation construction work items
_ performed multiplied by the ap ropriate �unit pric�s contained in the
construction contract.

A SCHEDULE "I" , which lis s 11 of ths State cost particigation
construction and construc io engine�ring iters covered un�er this
agreement, is attached h2r t and made a part hereof by reference. A
color coded EXHIBIT "A" , w i h shows and/or describes all of the State
cost participation storm s w r facilities construction covered under
this agreement, is attache reto and made a part hereof by
reference.

attsched SCHEDULE "I" . Said a ditional p3yment represents th� State' s
pr�portionatz sharas of the o ilization and field office costs
incurrsd in connection with he aforesaid state cost participation
construction.

In additio� , said payment by t State shall also include an amount
equal to 8 percent of th� St te' s final total share of construction
costs as determined in accor an e with Section A. and B. abov� , as the
Sta te' s proportionate shara f onstruction engineering costs incurred
by the City in connection wi h aid state cost participation
construction. _
ARTICLE II - CITY'S CERTIFIC TI• N OF CONSTRUCTION PERFORMED

c. The City havin� ma�e p y ent in full to its contr3ctors for the
contract construction repre e ted in th� City' s invoices.
ARTICLE III - PAY�'IENT BY TH TATE
Section A. Estimat� and Ad a cement of the Stat�' s Cost Shar�
It is estimated, for accoun i purposes, that the State' s share of
the costs �f the constructi n ork performed by the City her�un�er
which inclu�3es the State' s ha a of the pror3te3 itams "yobiliz3tion"
and "Field Office" plus the t3 ercent construction enginsering cost
sh3ra and a $4,000.00 conti ge cy amount is the sum of $66, 624.05 as
shown in the attached SCHED LE " I" . The attached SCHEDULE " I" form
lists all of the State cost pa ticipation construction items and was
prepared using final quanti ie and contract unit prices. The �
aforesaid contingency 3moun i provided to cover overruns of the
State cost particio3ti�n du t a decreasA in the Federal Grant
percentage .
The State shall advance to he City an 3mount equal to $62,624.05 as
shown in said attach�d SCHE L " I" �orthwith at .such time as the
following conr]itions hav� be n met;

3. Receipt by the State of a written request from the City for said
advancement of funds.
S�ction B. Records Keepin nd Invoicin b the Cit
The City shall keep such r c rds and accounts that will enable tne
City, before final payment i made by the State in accordance with
S2ction C. of this article o provide the State with the following :
1. Receipt by the Stata f Federal Grant percentage 3nd the proper
documentation, acceptable o the State' s Ext�rnal Audit Unit, used to
determine said percentage . hz Federal Grant percentage shall b�
determined using the mstho a d formula set forth in the attached -
SCHEDULE "I" .
2. Receipt by_the State f opies of the appropriate endorsed and
c3ncellzd City warrant( s) r heck( s) for payment on the city
contractor' s invoice( s) co er ng the State cost participatioa
construction performed here n er. --
3. When request?d by the t te, receipt by the State of copies,

copy and four reproduced copies) in the amount of the ��tal State cost
participation per th� terms a� onditions of this agreement.
S�ction C. Final Payment b he State
Final payment by the Sta te to th City h�reunder in accordance with
Article II hereof of th= State' s total cost participation amount less
the total amount of advanced p y ent made by the State pursuant to
SPction A. above shall be made ( ) upon the satisfactory comoletio� of
all of the State cost particip t on construction work performed under
said City contract, acceptance t 2reof by the Stat? and invoicing the
State by the City in accordanc ith a written p�ocedure furnished thz
Ci ty by the Sta te and ( 2 ) upon t e completion �f a 11 of sa id Ci ty
contract construction. If the a ount found due from the State is less
than the- amount of funds a�9van e , then, and in that event, the
balance of said advanced funds s all be promptly returned to the State
without interest.
Pursuant to Minnesota Statute 5 415, the City waives claim for any
amounts less than $2.00 over t e State payment funds earlier received
by the City, and the State wai e claim for the return of any amounts
less than $2.00 of such funds d anced by the State .

Section A. Maintenance

execution of this agreemen , he City shall th�reafter properly
maiZtain, ��ithout cost or xp nsz t� tha State � �11 of the storm sewer
facilities, ssnitary sew�r fa ilities and wat�rmain facilities
construc ted wi thin the cor r te Ci ty 1 imi ts under the aforesa id Ci ty
contract and that neither o r y to this agreement shall drain any
additional 3reas into s3id t rm sewer facilities that are not
included in the drainage ar a for which said st�rm sewer facilities
w�re designed without first o taining permissian to do so from the
other party. The drainage re s served by the storm sew?r facilities
_. constructed under the const uc ion contract are shown .in a drainage
area map, EXHIBIT "Drainage Ar a" , which is on file in the office of
the Sta te' s District Hydrau ic Engineer a t Oakdal� and is made a part
hereof by reference with th s me force and effect as though fully set
forth herein.
It is hereby understood and g eed that� upon th�_ .full and complete
execution of this agreement, t e City shall thereaft�r Qroperly
maintain, without cost or ex e se to ths State, the entire portions of
all- of the City streets an�3 � 1 of the facilities a part th�raof
constructed outside` of the T u Highway No. 5 3nd No. 61 right of way
limits within the corporate it limits under the aforesaid City
contract. Said maintenance s al be understood to include, but not be
limit�d to, snow and debris em val , resurfacing and/or szal coating

roadway portions in a safa a usable condition.
It is hereby understood an greed th3t� upon the full and complete
execution_of this agreemen , the City shall thereafter Qroperly
maintain, without cost or x �ns2 to th� State , all of the concrzte
walk and concrete driv�way p vement used as concrete walk constructed
within tha corporate City i its under the aforesaid City contract.
Said maintenance shall be n erstood to include, but not be limitad
to� snow and debris removal nd any othsr maintenance activities
n�cessary to perpetuat? said concrat? walk and concrete driveway
p�vement in a s3fe and us3b1 condition.
S�ction B. Examination o B aks, Records, Etc.
As ,�rovided by Minnesota ta ute , S�ction 16.095, the books, records,
documents, and accounting pr cedur�s and practices of th� City
relevant to this agreemen a e subject to examination by the
contracting department or ag ncy, and either the legislative auditor
or the state au3itor as a pr priate.
Section C. Claims
�he City indemnifies� sav s nd holds harmless the State and all of
its agents and employees f nd from any and all claims, demands,
actions ar c3uses of acti n of whatsoever nature or character arising
out of or by reason of th ity contract construction, associated
construction engineering n maint�nance w�rk or services by the City

heraund�r, and further agree t defend at its own s�le cost and
expense 3;�y action or procee in commenced for the purpose of
asserting any claim of whats ev r character arising as a r�sult of
s3id City c�ntract construct"on associated construction engin�ering
and maiatenance work and ser ic s by the City h�reunder.
It is her?by und�rstood and gr ed thst any and all employees of the
City and all oth�r oersons e pl yed by thz City in tt�e performance of
3ny construction, constructi n ngineering and/or maintenance work or
s�rvices required or provide f r hareunder by the City shall not be
consid�red employ�es of the ta � and that any 3nd all claims that ;nay
or might aris? under the Wor er s Comp�nsation Act of the Stat� of
Minnesota on behalf of said mp oy��s while so engaged and any and all
claims made by any third par ie as a consequence of any act or
omission on the part of said Ci y employees whil� so �ngaged on any of
the construction� constructi n ngineering and/or maintenance work or
s�rvices to be rendered here n y the City shall in no way be the
obligation or responsibility of the State. _
Section D. Agreement A rov 1
Befor2 this agreement shall ec me binding and effective, it shall be
approved by resolution of th ity Council of the City and shall also
receive the approval of such s te officers as the law may provide in
addition to the Commissioner o Transportation or his duly authoriz2d
representative.
