WHEREAS, The Board of Water Commi si ners of the City of Saint Paul by its
Resolution No. 3909 adopted January 6, 1989 did approve a water main easement
agreement by and between Andrew Real y orp. and the Board of Water Comtnissioners
of the City of Saint Paul; and
WHEREAS, Said agreement establishes n w water main easements and terminates
existing water main easements on op rty owned by Andrew Realty Corp. known as
Seeger Square; and
WHEREAS, The Board requests that th Co ncil of the City of Saint Paul concur
with Board action and approve said se ent agreement; now, therefore, be it
RESOLVED, That the Council of the i of Saint Paul does hereby concur with
action taken by its Board of Wa r ommissioners and does hereby approve said
water main easement agreement betwe e Board and Andrew Realty Corp.

WHEREAS, Andrew Realty Corp. is owner of a parcel of land on
Arcade Street, City of Saint a 1 , known as Seeger Square and is
proposing the relocation of xisting public water mains within
existir►g water main easements n the site; and
WHEREAS, The Saint Paul Wat r Utility staff has reviswed the �
proposed improvement and reco nds the relocation of the water
main and its required appurte n es; and .
� WHEREAS, An agreement by and t een Andrew Realty Corp. , the City
• of Saint Paul and the Board o ater Commissioners of the City of
Saint Paul establishes new t r main easements and terminates

therefore, be it

BOARD OF WATER COMMISSION RS OF THE CITY OF SAINT PAUL, a
Minnesota municipal corpo at'on, (hereinafter designated as
"Board" ) and the CITY OF SA NT PAUL, MINNESOTA, a Minnesota
municipal corporation, (her in fter designated as "City" ) .
R E C T A L S:
WHEREAS, Andrew i the fee owner of certain real
property located in the Cit o Saint Paul, Ramsey County, State
of Minnesota, legally descr be on Exhibit A attached hereto and
made a part hereof by this r f rence ( "Premises" ) ;
WHEREAS, Andrew de ir s to grant a utility easement in
R• favor of Board and City over a portion of the Premises subject to
the terms and conditions her i after set forth; and
WHEREAS, Andrew, o rd and City mutually desire to
terminate an existing perpe u 1 easement in favor of Board and
City over a portion of the P e ises as hereinafter set forth.
NOW, THEREFORE, in c nsideration of One Dollar ($1. 00 )
and other good and valuabl onsideration, the sufficiency of
which is hereby acknowledged b Andrew, and in further considera-
tion of the premises and co en nts contained herein, the parties
agree as follows:
1. Grant of Ease en . Andrew hereby grants, bargains
and conveys unto Board and it , their successors and assigns, a
perpetual utility easement n, over, under and across a portion

of the Premises legally de cr bed on Exhibit B attached hereto
and made a part hereof by hi reference ( "Easement Property" )
for the purpose of installi g, maintaining, operating, repairing
and reconstructing of water ai s. -
It is hereby under t od and agreed by all parties as
follows:
a. Andrew re a' ns the� right to use the Easement
Property for any la ful purposes, provided that no
buildings, structur s or trees are permitted within the
Easement Property, r any temporary structure, material
storage, fixture o ther objects that will prohibit
normal access to w ter facilities for maintenance
purposes.
b. No change fr m the existing grade is permitted
without written per is ion from Board and City.
c. No chang 'n surfacing within the Easement
Property is permit ed without written permission from
Board and City.
d. That Andr w, its successors and assigns shall
fully indemnify, de e d and save harmless the Board and
City, their office s, agents, employees and servants
from all suits, act on or claims which shall arise from
any injuries or da a es received or sustained by any
break in any servi ipe, water main, or connection in
said reserved easem nt, arising out of or resulting from
any negligence of A drew, its employees, agents or
business invitees.

Andrew, its succes r and assigns, does covenant with
the Board and City, their su c ssors and assigns, that it is the
fee owner of the Easement P o erty and has good right to grant
and convey the easement here n o the Board and City.
2. Release of Eas me t. Board and City hereby release
and quitclaim to Andrew all i terest which Board and City may
have in and to� the utili y easement over a portion of the
Premises legally described o xhibit C attached hereto and made
a part hereof by this refere ce ( "Vacated Easement" ) .
3. Easement to Ru w th Land. This easement shall run
with and be appurtenant to t e remises and shall be binding upon
and inure to the benefit of th parties hereto, their successors
and assigns.
