desirable to install a new raffic control signal with street
lights , interconnect and em rg ncy vehicle pre-emption on Trunk
Highway No. 5 (East Minneha a venu?) at Forest Street; and
WHEREAS , the City wi �_ furnish to the project a new
traffic signal controller a d abinet with emergency vehicle
pre-emption control and int _rf ce equipment to operate said
traffic control signal .

inspection required to compl te the items of work hereinaf_ter set

cabinet and control equipme ' t hich shall be installed under

Such materials as described im ediately above shall be
hereinafter referenced to a " ity furnished materials" .
4 . The City wit. i s own forces and equipment or by
contract shall perform the �ra fic control signal work provi�ed
for under State Aid Project Io 164-135-05 and City Project No.
T-1229 with the Cons�ruction, C sts shared as follows :

includes $8 , 150 .00 for City furnished

share of the actual Construct ' on Cost plus six (o) percent of its
share for the cost of Enginee in and Inspection.

under this agreement is $27', 2 3 .20 which is the State ' s share of
the estimated Construction o t plus Engineering and Inspection

Fngineering and Inspections' C sts . In the event that at any time
it appears that such reimbu s ment will exc�ed said sum, the City
shall promptly notify the S a e ' s District Engineer at Oakdale or
his duly authorized represe t tivA in writing of the reason for
the increase in cost an� ti� . a ount of ad�3itional funds necessary
to complete the project . I a proved by the State ' s District
Engineer at Oakdale or his ul authorized representative,
additional funds shall be e cu . bered by the State and notice by
the State ' s District Engine r t Oakdale or his duly authorize�
representative tc� the City f hat additional encumbrance will
permit the City to complete th s project .
8 . Payment to t. e ity will be made by the State for
such work ��hich is complete an approved and upon submission by
the City of an invoice in qu,in uplicate itemizing the actual
Construction Cost and certifie by a responsible City official
th�t said work has been comp e ed under the terms of this
agreement. The invoice and u porting records are subject to

State.
9 . The City shal. s bmit to the State a cer�ified
copy of the low bid rec�ived an an abstract of all bids received
by the City, together with t, e ity' s request for concurrence by
the State in the award of a c'on truction contract. Award of the
contract shall not be made un�ti the State advises the City in
writing of its concurrence .
10 . The constructi n work provided for herein shall be
under the direction and super i ion of the City. It is agreed ,
however , that the State shall h ve the right to periodically
inspect said cost sharing con truction work .
11 . The City shall pr vide an adequate electrical
power supply to the service p d r pole, and upon completion of
sai�] traffic control signal w th street lights installation shall
provide necessary electrical ow r for its op�ration at the cost
and expense of the City.
12 . Upon comple�io ' o the work contemplated in
Paragraph 4 hereof, it shall he City' s responsibility , at its
cost and expense , to maintain n� keep in repair said traffic
control signal with street lig t , interconnect and emergency
ve:�icle pre-emption .

to be performed by the City sh 11 not be considered employees of
the State anu any and all clai s that may or might arise under
the Worker ' s Compensation Alt f this State on behalf of said
employees while so engaged , l�an any and all claims made by any
third party as a consequenc o any act or omission on the part
oP sai�3 employees while so ng ged on any of the work
contemplated herAin shall n t e the obligation and
responsibility of the State . he City shall not be responsible
under the Glorker ' s Comnensatio Act for any employees of the
State .
14 . Timing of the t aEfic control signal provided for
herein shall b� initially de e mined by the City' s Traffic
Engineer . Adjustments of sa ' d signal timing may be determined by
the State, through its Commi s ' oner of Transportation, and no
changes shall be made therealt r except with the a�proval of the
