WITNESSETH: WHEREAS, Lessor and Lessee have previously entered into a Lease Agreement dated January 1, 1995 for portions of the premises located at 179 East Robie Street, Saint Paul, Minnesota; and WHEREAS, Lessee has received funding through a Youth Initiative Grant from the State of Minnesota pursuant to Laws of Minnesota, Chapter 463, Section 4, for remodeling the facility to expand enrichment activities for children in grades 4- 8; and WHEREAS, acceptance of the grant funds for the improvement of the premises will cause the property to become subject to Minn. Stat. § 16A.695, requiring certain provisions in any Use Agreement involving state bond financed property; NOW, THEREFORE, parties agree as follows: i. That Paragraph 2 of the Agreement ("Term of Agreement") shall be amended by adding the following: " In no event shail the Lessee be entitled to renew the term of the Lease, even though such notice is timely given, unless the Lessee shall have performed ail of its obligations hereunder as of the date of the expiration of the initial term hereof, and the Lessor shall determine by official action that the use continues to carry out a governmental program authorized by law." 2. That the following pazagraph shall be added to Section 3("Use of Premises") of the Agreement: " Lessor believes that the purposes for which Lessee may use the Premises, as set forth in this pazagraph, serve the governmental program set forth in Laws of Minnesota 1996, Chapter 463, §4., and will provide youth in grades four through eight with enrichment activities during non- school hours. This Agreement is authorized pursuant to that statute and by the o�cial actions of the City Council for the City of Saint Paul by Council Resolution File No 97-1576 and approved by the Mayor on January 17, 1998, and by Minn. That Paragraph 12 of the Agreement ("Cancellation or Tennination") shail be amended by adding the following language: " If NEIGHBORHOOD HOUSE terminates or changes the purpose for which it uses the premise to other than that agreed to by the parties in Pazagraph 3, which results in the properry no longer being used for a governmental program, the CITY may cancel the agreement by giving 60 days written notice to NEIGHBORHOOD HOUSE." 4. Paragraph 34 of the Agreement ("Reports, Records and Other pocuments") shall be amended by adding the following language: " Upon direction of the Lessor or the Commissioner of Finance for the State of Minnesota, Lessee shall take such action and fiirnish such documents as Lessor or the Finance Commissioner determine to be necessary to insure that the interest paid on the G.O.Bonds is exempt from federal taa�ation."
