BE IT RESOLV D, that the City of Saint Paul enter into Agreement No. 65403 with
the State of innesota, Depertment of Transport�tion for the following purposes,

WHEREAS the tate is about to award a contract for grading ,
• surfacing , s orm sewer facilities, traffic signals, lighting and
bridge const uction and other associated construction to be
performed up n, along and adjacent to Trunk Highways No. 212
(Lake Street then Marshall Avenue) from Engineer Station L30R2
41+20 (a poi t 120 feet east of 46th Avenue South) in the City of
Minneapolis o Engineer Station L30R2 55+14. 28 (Otis Avenue)
within the c rporate City limits in accordance with State plans,
specificatio s and special provisions therefor designat�d as
State Projec s No. 2749-30 (T.H. 212) and No. 6228-49 (T.H. 212)
and in the r cords of the Federal Highway Administration as
Minnesota Pr ject BRM 5409( 5) ; and
WHEREAS said State contract includes additional construction to
be performed upon, along and adjacent to Trunk Highway No. 212
(Marshall Av nue) under State Project No. 6228-49 (T.H. 212) over
and above th t necessary to accommodate normal trunk highway
traffic; and
WHEREAS said State contract includes extra construction to be
performed up n, along and adjacent to the North Mississippi River
Boulevard an the North Frontage Road that is outside of the
Trunk Highwa No. 212 (Marshall Avenue) right of way limits; and

6�HEREAS th� C�ty has expressed its willingness to participate in
the costs of �aid additional and extra construction as
herainafter s�t forth; and

WHEREAS it isj anticipatad thst certain portions of the
construction to be performed under State Project No. 6228-49
(T.H. 212) wi�ll be eligible for Federal-Aid funds participation
�
therein at th rate of 80 percent , and in that ?vent, the cost of
the eligible ity cost participation construction hereunder will
be reduced byjthe State for construction costs incurred in the
�
performance oif said City cost participation construction.

IT IS, THEREEIORE, MUTUALLY AGREED AS FOLLOWS:

ARTICLE I - C�ONSTRUCTION BY THE STATE
The State shajll , in connection with the award of the construction
contract, adm�inistration of said contract and th� performance of
construction �engineering for State Projects No. 2749-30 (T.H.

212) and No. !6228-49 (T.H. 212) do and perform the following .
Section A. f�ontract Award
Duly adverti�e for bids and award a contract to the lowest
responsible bidder for the Trunk Highway No. 212 (Lake Street
then Marshal]} Avenue) construction and other associated

coi�struction 'n accordance with State plans, specifications and
special provi' ions bearing the above project number designations
and which are on file in the office of the Commissioner of
Transportatio at St. Paul , Minnesota , and are made a Qart hereof
by reference ith thz same force and effect as though fully set
forth herzin.
Section B. D ' rection and Supervision of Construction
Direct and su ervise all construction activities performed under
said contract and perform all construction engineering and
inspection fu ctions necessary for the satisfactory completion of
said contract construction.
Section C. P an Chan es, Additional Construction, Etc.
Make changes ' n plans or in the character of said contract
construction, lincluding the City cost participation construction
hereunder, wh' ch are reasonably necessary to cause said
construction o be in all things performed and completed in a
satisfactory anner, and to that end and as supplemental to the
contract� to nter into any change orders or supplemental
agreements wi h the State' s contractor for the Performance of any
additional co struction or construction occasioned by any
necessary, ad antageous or desirable changes in plans. However,
the Sta te' s D' strict Engineer at Oakdale or his duly

authorized re�presentative will inform the appropriate City
official of alny proposed change order or supplement to th�
construction contract which will affect the City cost
participatior� h�reunder.
Section D. �atisfactor� Completion of Contract
Do and perfo�m all other acts and functions necessary to cause
said contracr to be completed in a satisfactory manner.
ARTICLE II - CONTRACT AWARD RECOiNMENDATION BY THE CITY
Promptly fol owing the opening , tabulation and verification of ,
bids receive for Statz Project No. 6228-49 (T.H. 212 )
construction �contract, the State shall submit to the Director of
Public Worksiof the City a certified copy of the low bid and an
abstract of �11 bids received by the State for said proj2ct
construction � contract toqether with a request for the City' s
recommendati�n relative to the award of the construction contract �

for said sta�e project. In the event the City desires to make
recommendati�ns relative to the award of said construction
contract, itlshall do so within ten calendar days of the receipt
�
of the afore$aid bid documents from the State in writing to the
Sta te' s Cont*act Administration Engineer at St. Paul , Minnesota .
Any recommen�ations made by the City regarding the award of a
construction! contract for said state oroject shall be given du�

consideration but shall not be binding on the StatP , and the
State shall h ve the exclusive right to determine to which bidder
said construction contract sh311 be awarded in accordance with
the State' s " tandard Specifications for Construction" , 1988
edition.
ARTICLE III - INSPECTION BY THE CITY
The construction of State Project No. 6228-49(T.A. 212) shall be
under the sup rvision and direction of the State ; however, the
City cost par icipation construction hereunder to be performed
under State P oject No. 6228-49(T.H. 212) may be inspected
periodically y the City' s Director of Public Works or his
authorized re resentatives. If the City, after the said City

cost particip tion construction work hereunder has been
completed, be ieves said construction work has not been properly
constructed o that the work is defective, the City shall inform
the State' s D' strict Engineer at Oakdale in writing of such
defects. Any recommendations made by thz City regarding the work
performed und r this agreement are not binding on the Sta te , and
the State shall have the exclusive right to determine whether the
work has been satisfactorily performed by the State' s contractor.

ARTICLE IV - ASIS OF PAYMENT BY THE CITY
Section A. C nstruction Costs
The City shal pay to the State , as the City' s full share of the
costs of the ontract construction to be performed hereunder, the
costs of the onstruction described below under "CITY COST
PARTICIPATION' CONSTRUCTION" .and of the costs of �ny contract
change orders or supplemental agreements which may be necessary
to complete s id City cost participation construction and the
cost of any s ttlements of claims made with the Sta te' s
contractor in connection with said City cost participation .

Said payment �y the City hereunder of the City' s share of
construction osts shall be based on the final quantities of City
cost particip tion construction work items performed or the final
payment quant ty in the case of plan quantity items multiplied by
the appropria e unit prices contained in the construction
contract to b awarded by the State hereunder and/or multiplied
by the approp iate unit prices contained in �ny supplemental
agreements to the State' s contract which provide for City cost
participation construction.

It is hereby understood and agreed that any and all liquidated
damages assessed th� State ' s contractor in connection with the
construction performed under said contract shall result in a
credi t shared by the Sta te and the Ci ty in the same proportion as
their total contract construction cost share is to the total
contract construction cost without any deduction for liquidated
damages.

In addition , aid payment by the City shall also include an
amount equal o the City' s final total share of construction
costs as dete mined in accordance with Section A. above
multiplied by the City' s prorated share of the contract costs of
Items No. 202 .501 "Mobilization" , No. 2031 . 501 "Field Office" ,
No. 2031.503 Field Laboratory" , No. 2051 . 501 "Maintenance and
Restoration o Haul Roads" and No. 563 .601 "Traffic Control" .

ARTICLE V - P YMENT BY THE CITY
Section A. E timate and Advancement of the City' s Cost Share
It is estimat d, for accounting pur�oses, that the City' s share
of the costs f the construction to be performed by the State
hereunder whi h includes the City' s shar2 of the prorated it�m
costs is th� um of $385 ,305.42 as shown in the attached
SCHEDULE "I" . The State shall , when a construction contract is
awarded which includes the City cost participation construction
to be perform d hereunder , prepare a revised SCHEDULE "I" based
on the constr ction contract unit prices and submit a copy of
said revised CHEDULE "I" to r_he City. The City agrees to
advance to th Commissioner of Transportation an amount equal to
the City' s to al cost share as set forth in said revised SCHEDULE
"I" be it mor or less than said sum of $385 ,305.42 forthwith
u�on the exec tion of this agreement and upon receipt of a
request from the State for such advancement of funds.
Section B. F nal Payment by the City
It is contemp ated that all of the construction to be performed
under said co�tract is to be done on a unit price basis. Upon
th� completio and acceptance of the construction provided for in
said contract and upon computing the final amount due the
contractot pe forming the construction, the State shall compute
thz total cos of th� City participation construction as se t

fo�rth hereund r. If the total cost of the City participation
construction ' s less than the amount of the funds advazced by the
City, then , a d in that event, the balance of said advanced funds
shall be prom�{tly returned to the City without interest. If the
total cost of !the City participation construction exceeds said
amount of func�s advanced by the City, the City agrees to promptly
pay to the St te the difference.
Pursuant to M'nn. Stat. 15.415, the State waives claim for any
amounts less han $2.00 over the amount of City funds previously
received by t e State , and thz City waives claim for the return
of any amount less than $2.00 of such funds advanced by the
City.
Section C. A�ceptance of Cit�' s Final Cost Share and of
C�mpleted Construction
It is underst od and agreed that the aforesaid computation by the
State of the mount due from the City hereunder shall be final ,
binding and c nclusive . It is further agreed that the acceptance
by the State f the completed construction performed under the
contract shal be final , binding and conclusive upon the City as
to the satisf ctory completion of said construction.

ARTICLE VI - G NERAL PROVISIONS
Section A. P1 n Changes
The City may request changes in the plan by a duly adopted City
Council resolution for State T?roject No. 6228-49 (T.H. 212)
construction tlo be performed hereundzr in order to satisfactorily
complete the aforesaid City cost participation construction , and
if the State determines that said requested olan changes are
necessary and/or desirable, the State will cause such changes in
plan to be made and appropriately alter the affected
construction.
Section B. Replacement of Castings
In connection with the construction of inplace City own�d
facilities to be performed by the Sta te' s contractor under the
construction ciontract, the City hereby agrees to furnish the
State ' s contrajctor with new castings and/or parts therefor when
replacements re required, without cost or expense to the State
or the State' contractor, excepting replacements required of
castings and/ r parts broken or damaged by the State' s
contractor.

Section C . Utilit� Permits
The City� thrdugh the State , agrees to submit to the Minnesota
Pollution Con rol Agency the p13ns and specifications for the
construction r reconstruction of its sanitary sewer facilities
covered by this agreement and to obtain , pursuant to Minnesota
Statute 115.0 �, subd. 1 or Minnes�ta Rule 7001 .1030, subp. 2C,
either a permit or written waiver from that agency for the
construction r reconstruction to be performed by others pursuant
to this contr �ct. When th� Minnesota Pollution Control Agency
issues that permit or waiver, the City will promptly furnish the
State a copy f that permit or waiver so that the construction or
reconstructio may be performed by the State' s contractor. The
City is advised that pursuant to Minnesota Rule 7001.1040, a
written appli ation for the permit or waiver must be submitted to
the Minnesota Pollution Control Agency at least 180 days before
the planned d te of the sanitary sewer facility construction or
reconstructio .
The City shall�, within 90 days after the satisfactory completion
of the utilit'es constructed under said contract� submit to th�
State' s Agree ent Services Section Director five copies of a
permit applic tion, including "as built" sketches, for all of
said utilitie constructed upon and within the trunk highway
right-of-way nd within the corporate City limits. Application

for such per�it shall be made on the State' s "Application For
Utility Perm t On Trunk Highway Right-Of-Saay" ( Form TP2525) .

Section D. Maintenance
��
It is heraby understood and agreed that, upon th� satisfactory
completion o State Project No. 5228-�9 (T.H. 212) construction,
the City sha 1 thereafter provide for the proper maintenance ,
without cost or expznse to the State , of all of the storm sewer
facilities, . anitary sewer facilities and watermain facilities
constructed ithin the corporate City limits under said projects
and that nei h�r party to this agreement shall drain any
additional d ainage into said storm sewer facilities that is not
included in he drainage for which said storm sewer facilities
were designe without first obtaining permission to do so from
the other pa ty. The drainage areas served by the storm sewer
facilities c nstructed under this agreement are shown in a
drainage are map, EXAIBIT "Drainage Area" , which is on file in
the office o the State' s District Hydraulics Engineer at Oakdale
and is made part hereof by r�ference with the same force and
effect as th ugh fully set forth herein.
It is hereby understood and agreed that, upon the satisfactory
completion o State Project No. 5228-49 (T.H. 212) construction,
the City sha 1 therea£ter provide for the proQer maintenance ,

without cost o� expense to the State , of the entire portions of
Marshall Avenu�, North Mississippi River Boulevard and North
Frontage Road �nd all of the facilities a part thereof
constructed witthin the corporate City limits under said projects.
Said maintenan e shall include , but not be limitzd to, snow and
debris removal resurfacing and/or seal coating and any other
maintenance ac ivities neczssary to perpetuate said roadway
portions in a afe and usable condition.
It is hereby u derstood and agreed that, upon the satisfactory
combletion of tate Project No. 6228-49 (T.H. 212) construction,
the City shall thereafter provide for the proper maintenance ,
without cost o expense to the State , of all of the bituminous
bike path, bit minous walk, concrete walk and concrete driveway
pavement used s conerete walk constructed within the corporate
City limits un er said project. Said maintenance . shall include ,
but not be limited to , snow and debris removal and any other
maintenance activities necessary to perpetuate said bituminous
bike path, bi uminous walk, concrete walk and concrete driveway
pavement in a safe and usable condition.
Section E. C aims
It is hereby nderstood and agreed that any and all employees of
the State and all other persons employed by the State in the

4ecformance of the construction and/or construction engineering
work or services required or provided for under this agreement
shall not be cq'nsidered employees of the City and th3t any and

all claims that� may or might aris2 under the Worksr' s
Compensation Ac�t of the State of Minnesota on behalf of said
employees whil� so engaged and any and all claims made by any
thir� parties s a consequence of any act or omission on the part
of said emQloy es while so engaged on any of the construction
and/or constru tion enginzering work or services to be rendered
hsrein shall i no way be the obligatioa or responsibility of the
City.
It is hereby u derstood and agreed that 3ny and all employees of
the City and a 1 other persons employed by the City in the
performance of any of the maintenance work or services required
or provided fo under this agreement shall not be consid�red
employees of t e State and that any and all claims that may or
might arise un er the Worker' s Compensation Act of the State of
Minnesota on b half of said employees while so engaged and any
and all claims, made by any third parties as a consequence of any
act or omissi n on the part of said employees while so engaged on
any of the ma 'ntenance work or services to be rendered under this
agreement by he City shall in no way be the obligation or
responsibilit of the State .

Th� City at it own expense will defend , indemnify and save
h3rmless the S ate and all of its agents, officers and employees
of and from an and all claims, demands� actions or causes of
action of what oever nature or character arising out of or by
reason of the �ity' s negligent acts or omissions in connection
with the maint � nance work covered by this sgreement.
Section F. No discrimination
The provisions of Minnesota Statute 181 . 59 and of any applicable
ordinance rela ing to civil rights and discrimination shall be
considered par of this agreement as if fully set forth herein.
S2ction G. Ag eement Approval
Before this ag eement shall become binding and effective, it
shall be appro ed by zesolution of the City Council of the City
� ,
and shall also � receive the approval of such State officers as the
law may provid in addition t� the Commissioner of Transportation
or his duly au horized representative.
