WHEREAS, the ity of Saint Paul in 1987 separated the sewer system in the
SnellingWest S venth Street �ea of Saint Paui and requested State cost participation
in certain porti of this storm sewer praject because it inciuded Trunk Hi�way No. 5
(West Seventh treet} ctainage; therefore
BE IT RE50LV D, that the City of Saint Paul enter into Agreement No. 64030 with the
State of I�innes ta, Dep�tment of Transporta�on to provide for payment of
approximately 2,3�.�0 by the State to the City of the State's sh�e of the sewer
separation proj constructed by the Ci#y on Trunk Hi�way No. 5 {West Seventh
Street) beiween Saint Paul Avenue and Snelling Avenue within the corporate City
limits under Stat Project No. 6201-62 ( T. H. 5=111); and
BE IT FURTHEi� RESOLVED, that the prope�- City Officers are hereby authorized and
�ected to execluute such ag�eement.

THIS AGR�EMENT! made and entered into by and between the State of
Minnesota , Dep�artment of Transportation , hereinafter referred to as
the "State" anjd the City of St. Paul , Minnesota , acting by and through
its City Councjil , hereinaft�r referred to as the "City" .

WHEREAS in thel!early part of 1987 the City was about to award a
contract for s�wer separation construction and other associated
construction t� be performed upon, along and adjacent to Snelling
Avenue from En ineer Station 23+20.72 (Trunk Highway No. 5) to
Engineer Stati n 30+00 (Montreal Avenue) and upon, along and adjacent
to Trunk Highw�y No. 5 (West 7th Street) from Engineer Station 1+18
(St. Paul Avne�e) to Engineer Station 11+54 (Snelling Avenue) within
th� corporate qity limits in accordance with City prepared plans and
specifications ': therefore designated by the City as City Projects No.
87-P-0999 and l�o. 87-5-8016 and by the State as St3te Project No.
6201-62 (T.H. �=111 ) and Municipal State Aid Project No. 164-231-01 ;
and '

WHEREAS thQ Ci�y rsquested State cost participation in certain
portions of s3i�d storm sewer project because it included Trunk Highway
No. 5 (West 7tY� Street) drainage ; and
WHEREAS there Was not sufficient time to properly prepare and execute
a cooperative agreement; and
WHEREAS the Stajte approved the City' s commencement of their project
with the understanding that a cooperative agreement would be entered
into at a later date ; and

WHEREAS said Ci�ty project has now been completed; and
WHEREAS Minnes�ta Statute 16A. 15 provides, in part� that no payment
shall be made �nd no obligation shall be incurred against any fund,
allotment or a�propriation unless the Commissioner of Finance shall
first certify �hat there is a sufficient unencumbered balance in such
fund, allotmenit or appropriation to meet the same. However, said
statute also pKovides that claims presented against existing
appropriations' without orior allotment or encumbrance may upon
investigation,, review and approval by the Commissioner of Finance be
determined valjid where the services, materials and supplies for which
payment is claiimed have been actually rendered or furnished to the
State in good �!faith without collusion and without intent to defraud.
Thereafter, th�e Commissioner of Finance may draw his warrant in
payment of suc$h claims in the same manner in which other claims
properly allotted and encumbered prior to inception thereof, are paid;
and '
WHEREAS it is � the opinion of the State that said roadway and storm
sew�r facilities construction performed by the City is reasonable ,
valid and justified and was performed in good faith without collusion
and without i�tent to defraud; and

WHEREAS the St�te is willing to participate in the costs of said
roadway and stcprm sewer facilities construction as hereinafter set
forth; and '
WHEREAS it is ajnticipated that the construction p�rformed under State
Project No. 62C}1-62 (T.H. 5=111 ) will be eligible for Federal Grant
funds particip�ltion, and in that event, the costs of the state cost
participation donstruction hzreunder will be reduced by the Federal
Grant fund� redeived by the City for the construction costs incurred
in the performa�nce of said state cost participation construction.
IT I5 , THEREFORIE, MUTUALLY AGREED AS FOLLOWS:

ARTICLE I - BASI�IS OF PAYMENT BY THE STATE
Section A. Cons�,truction Costs
The State shall', pay to th� City, as th� State' s full and complete
share of the Cilty contract construction performed in accordance with
state approved ICity plans, specifications and special provisions
th�refor design�ted by the City as City Projects No. 87-P-0999 and No.
87-S-8016 and b� the State as State Project No. 6201-62 (T.H. 5=111 )
and Municipal S{tate Aid Project No. 164-231-01 which are on file in
the office of .the City Engineer at St. Paul , Minnesota , and in the
office of the C�mmissioner of Transportation at St. Paul, Minnesota ,
and are made a part hereof by reference with the same force and effect

as though full� set forth herein , the costs of the construction
described belo� under "STATE COST PARTICIPATION CONSTRUCTION" . Said
payment by thellState under this agreement for construction work item
costs is based on the final quantitites of State cost participation
construction wqrk items performed multiplied by the appropriate unit
prices containe�d in the construction contract.

e eby unld�rstood and agreed that any and all liquidated damages
assessed the Cillty' s contractor in connection with the work performed
under said Cityj contract shall result in a credit shared by the City
and the State in the same proportion as their total share of
construction cojntract work is to the total contract cost without any
deduction for liquidat?d damages.

Attached hereto', made a part hereof by reference and marked SCHEDULE
"I" , is a finallconstruction cost form which lists all of the State
cost participat�ion construction and construction engineering items
performed hzrzu�der. Also attached hereto, made a part hereof by
reference and m�rked EXHIBIT "A" , is one color coded sheet which shows
and/or describe� all of the State cost participation storm sewer
facilities construction performed hereunder.

STATE COST PAf�TICIPATION CONSTRUCTION
All of the fo]�lowing construction to be performed upon and along Trunk
Highway No. 5 'i (West 7th Street) from Engineer Station 1+18 (St. Paul
Street) to Engineer Station 11+54 (Snelling Avenue) within the
corporate Cit�r limits under State Project No. 6201-62 (T.H. 5=111 )
60 PERCENT STA�E COST minus all anticipated Federal Grant funding
All of the coo�erative joint-use storm sewer facilities construction
as shown and/ok described in "Green" color on the attached EXHIBIT "A"

including all �ssociated roadway construction. Said construction
includes but i$ not limited to those construction items as described
and tabulated �n Sheet No. 2 of the attached SCHEDULE "I" .
13 PERCENT STA�E COST minus all anticipted Federal Grant funding
All of the coo�erative joint-use storm sewer facilities construction
as shown and/orl described in "Orange" color on the attached EXHIBIT
"A" including a�ll associated roadway construction. Said construction
includes but isi not limited to those construction items as described
and tabulated ol� Sheets No. 3, and No. 4 of the attached SCHEDULE "I" .
Section B. Projrated Construction Costs
In addition, sap�d payment by the State shall also include an 3mount
equal to the St�te' s final total share of construction costs as
determined in a�cordance with Section A. above multi�lied by the
State' s prorate� shares of the contract �osts of Items No. 2021 . 501

"Mobilization" ,i No. 2031 . 503 "Field Office" and 412.602 "Sign Type
Project" . The �formula by which said additional payment shall be
determined is �et forth in said attached SCHEDULE "I" . Said
additional payalent represznts the State' s proportionate shares of the
mobilization, �ield office and sign type project costs incurred in
connection wittl the aforesaid state cost participation cosntruction.
Section C. Cor�struction Engineering Costs
In addition, sajid payment by the State shall also include an amount
equal to 8 per�ent of the State' s final total share of construction
costs as determiner� in accordance with Section A. and B. above, as the
State' s propor�.ionate share of construction engineering costs incurred
by the City in Iconnection with said state cost participation
construction.
ARTICLE II - C�TY'S CERTIFICATION OF CONSTRUCTION PERFORMED
The City does J�ereby certify and attest to the following :
a . The satis�actory performance and completion, in accordance with
State approved City plans, specifications and special provisions made
a part hereof �y reference , of the contract construction represented
in the Ci ty' s �.nvoice .

b. The acce�tance and approval of all materials furnished for said
invoice const�}uction relative to the compliance of such materials to
the State' s c�rrent "Standard Specifications for Construction" .

c. The Cityihaving made payment in full to its contractor for the
contract const�ruction represented in the City' s invoice.
ARTICLE III - ��PAYMENT BY THE STATE
Section A. EStimate and Advancement of the State' s Cost Share
It is estimateld, for accounting purposes, that the State' s share of
the costs of t�he construction work performed by the City hereunder
which includesi th� State' s shares of the prorated items
"Mobilization"'„ "Field Office" and "Sign Type Project" plus the 8
percent constr�,uction engineering cost share and a $2,000.00
contingency amlount is the sum of $32 , 359. 37 as shown in the attached
SCHEDULE "I" . ' The attached SCHEDULE "I" form lists all of the State
cost participajtion construction items and was prepared using final
quantities and, contract unit prices. The aforesaid contingency amount
is provided to� cover overruns of the State cost participation due to
the change in Ithe Federal Grant percentage .
The State shal� advance to the City an amount equal to $30, 359.37 as
shown in said �ttached SCHEDULE "I" forthwith at such time as the
following cond'p.tions have been met;

1. Encumbrac�ce by the State of an amount equal to $32, 359.37 as
shown in said 'attached SCHEDULE "I" .
2. Full andlcomplete execution of this agreement and the State' s
transmittal o� same to the City.
3. Receipt by the State of a written request from the City for said
advancement o� funds.
Section B. Rejcords Keeping and Invoicing by the City
The City sha11�I keep such records and accounts that will enable the
City, before f�inal payment is made by the State in accordance with
Section C. of ��,this article , to provide the State with the following :

1. Receipt b�y the State of Federal Grant percentage and the proper
documentation ,� acceptable to the State' s �xt�rnal Audit Unit, used to
determine saidl percentage. The Federal Grant percentage shall be

determined using the method and formula set forth in the attached
SCHEDULE "I" . '�
2. Receipt b� the State of copies of the appropriat� endorsed and
cancelled City; warrant( s) or check( s) for payment on the city
contractor' s iq�voice( s) covering the State cost participation
construction p�rformed hereunder.

3. When requ�sted by the State , receipt by the State of copies,
certified by tl�e City' s Engineer, of material sampling reports and of
material testirlg results for the materials furnished for the city
contract constrtuction work represented in the City' s invoice .
4. Receipt b�t the State of a formal invoic� (one original signed
copy and four �ieproduced copies) in the amount of the total State cost
participation pjer the terms and conditions of this agreement.
Section C. Fin'�al Payment by the State
Final payment bl,y the State to th� City hereunder in accordance with
Article II herepf of the State' s total cost participation amount less
the total amounit of advanced payment made by the State pursuant to .
Section A. abov� shall be made ( 1 ) upon the satisfactory completion of
all of the Stat� cost participation construction work to be performed
under said City�� contact, acceotance thereof by the State and invoicing
the State by th� City in accordance with a written procedure furnished
the City by the �jState and ( 2 ) upon the completion of all of said City
contract constr�iction. If the amount found due fro�n the State is less
than the amount , of funds advanced, then � and in that event, the
balance of said '�� advanced funds shall be promptly returned to the State
without interesl�.

Pursuant to Mi�hnesota Statute 15.415, the City waives claim for any
amounts less t�an $2.00 over the State payment funds earlier received
by the City� ar�d the State waives claim for the return of any amounts
less than $2 .04 of such funds advanced by the State .
ARTICLE IV - G�NERAL PROVISIONS
Section A. Mai�ntenance
It is hereby ur�derstood and agreed that� upon the full and complete
execution of ttu,is agreement, the City shall thereafter properly
maintain , withojut cost or expense to the State , all of the storm sewer
facilities, san',itary sewer facilities and watermain facilities
constructed wit�in the corporate City limits under the aforesaid City
contract and th�t neither party to this agreement shall drain any
additional areas into said storm sewer facilities that are not
included in the �, drainage areas for which said storm sewer facilities
were designed w�.thout first obtaining permission to do so from the
other party. Tthe drainage areas served by the storm sewer facilities
constructed undgr the construction contract are shown in a drainage
area map, EXHIB�T "Drainage Area" , which is on file in the office of
the State' s Dist�rict Hydraulics Engineer at Oakdale and is made a part
herof by referer�ce with the same force and effect as though fully set
forth herein.

It is hereby �nderstood and agreed that, upon the full and complete
execution of khis agreement, the City shall thereafter properly
maintain , witmout cost or expense to the State , the entire portions of
all of the Cit�y streets and all of the facilities a part thereof
constructed oultside of the Trunk Highway No. 5 (West 7th Street) right
of way limits �within the corporate City limits under the aforesaid
City contract.�� Said maintenance shall be understood to include , but
not be limited, to , snow and debris removal , resurfacing and/or seal
coating and anj� other maintenance activities necessary to perpetuate
said roadway pbrtions in a safe and usable condition .
It is hereby urpderstood and agreed that, upon the full and complete
execution of tHis agreement, the City shall thereafter properly
maintain , withqut cost or expense to the State , all of the concrete
walk and concreite driveway pavement used as concrete walk constructed
within the corpprate City limits under the aforesaid City contract.

Said maintenancje shall be understood to include , but not be limited
to, snow and de}�ris removal and any other maintenance activities
necessary to pe$�petuate said concrete walk and concrete driveway
pavement in a s�fe and usable condition .
Section B. Exa�ination of Books , Records, Etc .
As provided by l�innesota Statute , Section 16.095 , the books , records,
documents, and aiccounting procedures and practices of the City

relevant to th�s agreement are subject to sxamination by the
contracting deg�artment or agency, and either the legislative auditor
or the state a�iditor as appropriate .
Section C. Cl�ims
The City indemrlifies, saves and holds harmless the State and all of
its agents andjemployees of and from any and all claims, demands,
actions or cau�es of action of whatsoever nature or character arising
out of or by rejason of the City contract construction, associated
construction er�gineering and maintenance work or services by the City
hereunder, and ',further agrees to defend at its own sole cost and
expense any action or proceedin� commenced for the purpose of
asserting any c�!laim of whatsoever character arising as a result of
said City contr�ct construction, associated construction engineering
and maintenance work and services by the City hereunder .
It is hereby un�erstood and agreed that any and all employees of the

City and all ot�er persons employed by the City in the performance of
any constructiod�, construction engineering and/or maintenance work or
services requir�d or provided for hereunder by the City shall not be
considered empl�yees of the State and that any and all claims that may
or might arise �nder the Worker' s Compensation Act of the State of
Minnesota on beMalf of said employees while so engaged and any and all
claims made by �ny third parties as a consequence of any act or

omission on th� part of said City employees while so engaged on any of
the constructi�n, construction engineering and/or maintenance work or
services to bell, rendered herein by the City shall in no way be the
obligation or �esponsibility of the State . .
Section D. Ag�eement Approval
Before this ag�eement shall become binding and effective, it shall be
approved by re�olution of the City Council of the City and shall also
receive the ap�roval of such state officers as the law may provide in
addition to th� Commissioner of Transportation or his duly authorized
representative.�
